With the Collaborate and Grow with Avaya IP Office promotion, you can offer customer s unified communications through Avaya s flagship collaboration platform at a promotional discount that will help you win the deal. This promotion is available to Avaya IP Office resellers in the US until December 20, Requirements for eligibility and discount rates are shown below. Please review the offer document for a complete list of discountable material codes. Promotion Description Avaya is pleased to announce the Collaborate and Grow with Avaya IP Office promotion. The promotion is effective starting October 1, 2013 through December 20, Partners can receive up to a 12% discount off the list price on eligible IP Office hardware & software, select phone sets and Avaya Data Networking switches (see Addendum for complete list of eligible material codes). 4 New! With the Collaborate and Grow with Avaya IP Office promotion we are providing discounts on the Avaya D100 SIP DECT system. The Avaya D100 SIP DECT wireless telephone system integrates fully with IP Office to provide full access to system features. Utilizing next-generation digital wireless technology (DECT 6.0), the Avaya D100 SIP DECT wireless telephone system offers crystal-clear, high quality voice communication. Discounts are consistent with the other endpoints listed in the Addendum. A unique promotion authorization code is to be used for each individual End User and cannot be shared among multiple End Users. Furthermore, only the quantity of materials the customer requires at point of sale can be on the order and be eligible to receive promotional discounts. Per the 2013 Global Reseller Sales Reporting Policy, stocking of products is strictly forbidden. Any violation of the above, or of any of the terms and conditions within this document, may result in the promotion discounts being charged back to the reseller, loss of financial benefits, demotion or contract termination. The following maximum quantities will be verified by the distributor prior to order submission. If these quantities are exceeded the additional quantities will be moved to a separate purchase order and will not receive the promotional discounts. 1. The number of IP/Digital desksets is not to exceed 20% more than the total number of IP/Digital users 2. The number of SD cards is not to exceed 2x the number of v2 chassis Avaya and the distributor reserve the right to question other product quantities if they appear to be in excess. 5 Avaya Partner Process: 1. Customers purchasing a new IP Office system signs a contract with an authorized Avaya partner. 2. Avaya partner submits required information to the Collaborate and Grow with Avaya IP Office registration site. ( 3. Avaya reviews the submission, and if it meets all requirements will provide the Avaya partner with the unique authorization code through an confirmation (within 1 hour of submission). 4. Avaya partner submits the confirmation with the authorization code and minimum order requirements with their order to the distributor. 5. Avaya partner must place the order in one purchase order with the minimum configuration from the confirmation and not to exceed the maximum quantities provided within this Offer Document. Non-compliant orders will be rejected by the distributor. 6. Avaya partner must place the order in one PO with the minimum configuration from the confirmation by December 20, The product must ship and invoice from the Distributor by December 31, Non-compliant orders will automatically be rejected by the distributor. The terms and conditions outlined herein will be in effect for the duration of this promotion (hereinto defined as the promotion). 2. Avaya partner must be authorized for each product line/service offerings and meet any additional requirements for reselling specific products/services. The Avaya partner is not automatically authorized for a product line /service by virtue of receiving this notice. 3. Violation of any of the terms and conditions within this document may result in the promotion discounts being charged back to the reseller, loss of financial benefits, demotion or contract termination. 4. Avaya may cancel, suspend, amend, modify, revoke, or terminate this promotion, in whole or in part, for any reason, at any time, with reasonable notice. 5. All sales made from this promotion are fulfilled under the terms and conditions under which Avaya partner has agreed to resell products and services. This promotion does not alter or change the terms and conditions under which Avaya partner has agreed to resell products and services unless otherwise specifically stated in this promotion. 6. Avaya expressly disclaims any and all liability relating to the results of any of its marketing plans or promotions. 7. Government Solutions:

Any attempted alteration shall be deemed null and void and of no force or effect. In no event shall Avaya be liable for any errors or omissions resulting from the information contained herein. 15. Avaya partner s participation in this promotion is Avaya partner's acceptance of the terms and conditions of this promotion. In the event that Avaya partner does not agree with any terms or conditions of this promotion, Avaya partner may not participate in this program. 16. Both Avaya and the Avaya partner agree that customer information, or any other salesrelated information, provided under this promotion is confidential and proprietary whether marked as such or not. Avaya agrees that it shall use such information solely for the purposes of this promotion or for internal Avaya operation management. 17. To participate in this promotion, the sales representatives must be working for an authorized Avaya partner and the partner must be authorized to sell the Avaya product/services within the bill of sale. 18. Orders to be installed as demonstration equipment, defined as hardware and software purchases for use in internal offices, demonstration centers, training facilities, technical labs, and other locations exhibiting Avaya products for customer viewing, do not qualify for this promotion. 19. All system upgrades purchased under this promotion require the Avaya partner to register the system with Avaya in accordance with the terms and conditions under which Avaya partner has agreed to resell Avaya products and services. Failure to do so within the specified time frame will result in the Avaya partner forfeiting any and all promotion incentives. 20. Avaya may confirm the location and installation of all Avaya products sold/licensed under this promotion.
