2 The Institute for Life Science Entrepreneurship (ILSE) is a regional research integrator, accelerator and incubator bringing together basic researchers and clinical scientists from academia with applied scientists, entrepreneurs and business leaders possessing R&D development and business experience. Together, the goal is to facilitate the translation of early innovation into successful health care solutions. ILSE has been incorporated as a 501(c)(3) not-for-profit organization, raised seed funding and secured start-up operating space, laboratory incubator space and support services in the New Jersey Center for Science, Technology and Mathematics (STEM), located at Kean University in Union, NJ.

3 1 BACKGROUND An extraordinary depth of experienced life sciences talent exists in the New Jersey area. Key contributors to that talent base are academic centers and a declining but still significant number of research-based biopharmaceutical companies that house world leaders across a broad range of scientific fields. In spite of this wealth of talent in the life science arena, the region continues to lose leadership and high paying jobs to other life-science hubs. The global business model for health delivery is evolving rapidly, and pharmaceutical and biotechnology companies increasingly rely on academia for early innovation and translational science. However, academic institutions often lack the requisite infrastructure and experience to effectively translate early innovation into commercially focused R&D programs. The result is a value gap between the science-focused output of academic research centers and the development-stage assets sought by the biopharmaceutical industry. To help address this gap, we have created the Institute for Life Science Entrepreneurship (ILSE), a regional research integrator, accelerator and incubator that brings basic researchers and clinical scientists from academia together with entrepreneurs and business leaders with R&D development and business experience, with the goal of facilitating the translation of early innovation to successful health care solutions. Critical to the formation of ILSE will be the recruitment of regional academic, industry, philanthropic and government partners to both contribute to and benefit from ILSE s mission. 2FOUNDING MEMBER INSTITUTIONS & LEADERSHIP To-date, ILSE has secured seed funding, start-up operating space and support services in the New Jersey Center for Science, Technology and Mathematics (STEM), located on the campus of Kean University in Union, NJ. This 133,000 sq. ft. building, which opened in 2010, is a state-of-the-art laboratory facility with a modern meeting and conferencing center that can accommodate groups of up to 400 people. Approximately 10,000-15,000 sq. ft. of incubator laboratory space as well as access to core chemistry, molecular and cellular biology laboratories, NMR, mass spectrometry, analytical instrumentation and super-computer facilities located on-site will be available for use by ILSE, its partners and start-up companies. The STEM building is easily accessible via the Garden State Parkway and Route 78 or by rail, with convenient access to New York and the northeast corridor. Immediate access to these resources and support will greatly accelerate the ramp-up of ILSE s operations. With this support, Kean University has committed to become a Founding Member of ILSE. An additional 3-4 Founding Member institutions from academia, the healthcare sector and industry are currently being sought. ILSE is incorporated as a 501(c)(3) not-for-profit organization, governed by a Board of Directors and further advised by Scientific and Industry Advisory Boards. ILSE will identify and attract scientific innovators, entrepreneurs, investors and business leaders and bring them together in a manner unique to our region to: Foster the identification of early innovation and expedite its translation into medically and commercially viable solutions Develop a culture of entrepreneurship and train the next generations of entrepreneurs ILSE will achieve its mission through the following four goals: Create value by linking multiple sources of innovation in the region to create early life science R&D programs and/or companies Enhance the value of the portfolio of ILSE research programs by providing R&D and business expertise and services, aligned with cutting-edge science initiatives Realize value as programs mature and transition to new entities via new company formation or outlicensing to an existing company capable of bringing them to fruition Develop future entrepreneurs by creating opportunities for hands on, real world experiences for students and trainees via internships, training programs and access to cutting edge scientific and life science business leaders 2

5 Vision ILSE will work in partnership with affiliated academic and biomedical institutions to accelerate and extend progression of their early innovations into high-value assets for third-party licensing and commercialization. ILSE is conceived as an accelerator and integrator, designed such that innovation flows in through its network of affiliates and is then matured and strengthened through a value chain of resources to produce development-stage assets. Programs exit via license to industry partners or as the focus of a new company, also returning value to ILSE, its affiliates and investors. OPERATIONS 4ILSE will provide capabilities not typically found in academic settings, consisting of early product/service development expertise and research infrastructure together with project management and business functions required to advance the value of product candidates. Such capabilities will exist both in tangible form at ILSE and in semi-virtual form via a network of external consultants and CROs/ laboratory services providers. These services will provide a near term revenue flow to ILSE, and over the longer term, value realization will occur via partnering of ILSE s portfolio of research assets (its own and its share of collaboration assets) with biopharmaceutical companies or investors, or via new company creation. ILSE will consist of four integrated operating units designed to foster the maturation of programs through each stage of the research and development value chain. The flow of innovation through these units is shown schematically on page 4. We anticipate that the launch of these operating units will be staged over a 2-year period, as programs are ramped-up. We project that ILSE will be generating licensing revenue within 3 years of inception and self-sufficient in 5 years, with the revenue streams from successfully exited projects and ILSE s various business activities, grants and philanthropy balancing operating cost. The ILSE Life Science Incubator, housed in the state-of-the-art STEM building at NJCSTM was launched in January 2015, with occupancy for 8-10 small life science companies and start-ups. 6 ILSE TECHNOLOGY ENGINE ACADEMIC INSTITUTIONS FOUNDATIONS VALUE CREATION PUBLIC AGENCIES ACADEMIC RESEARCH NETWORK CORE LAB NETWORK INNOVATION - VALUE ENHANCEMENT ENTREPRENEUR CENTER BUSINESS CENTER START-UP COMPANIES LICENSED TECHNOLOGY VALUE REALIZATION INVESTORS LIFE SCIENCE COMPANIES ENTREPRENEURS At the core of ILSE will be a network of academic scientists and core laboratories connected with and collaborating with ILSE researchers, designed to capture and accelerate innovation and enhance productivity. The Academic Research Network (ARN) will consist of a network of researchers from the region s universities and research institutions as a critical innovation driver for ILSE s mission of maturing novel research programs into development-stage life science assets. An experienced scientific leader will lead each of 3 health areas, with responsibility for creating a pipeline of research projects, including collaborations among scientists at affiliated network institutions, third-party funded research, as well as internal ILSE projects. Importantly, primary ownership of the network programs will be retained by the parent institution(s), with ILSE participation reflective of its value added. 4

7 The Core Lab Network (CLN) will operate as an organized network of laboratory facilities and CROs capable of providing across-the-board state-of-the-art technologies for the ARN and affiliate members, with some capabilities located physically at the ILSE facility, others located at the facilities of network affiliates, and still others accessed virtually. The Entrepreneur Center (EC) will be established to bring academic investigators in proximity with experienced advisors, and the business and operational resources to help create and nurture start-up companies. The EC will contain an incubator and science/ business accelerator, creating a full range of virtual to semi-virtual start-up opportunities for regional entrepreneurs. The incubator will be initially located in the existing STEM facility, allowing for a rapid start-up of this phase of ILSE s mission. The Business Center (BC) will function as the public face of ILSE, with a mission of attracting interest in ILSE s programs, technologies and capabilities and serving as a portal for companies interested in accessing the activities of ILSE. The BC will also offer business development advice and services to our clients & partners as part of ILSE s suite of service offerings. Working within this area will be an Office of Integrated Services and Consulting Network that will provide one-stop access to a full range of business services as well as to vetted project management and professional consulting resources, as we see those as a key differentiating success factor of ILSE. These integrated capabilities are a critical component of the ILSE value proposition, and will be the focus of our early operational activity. We believe that regional academic research centers will embrace the ILSE concept as a way to keep and grow innovation in the region, and that there are sufficient regional talent and infrastructure capabilities available to create the ecosystem we envision and deliver on our mission. Longer-term, it is our intent to leverage public-private partnerships and other regional stakeholders to create a vibrant Institute that can enhance our regional life sciences ecosystem and ensure its future sustainability.
