negratín Letter from the Director Letter from Senior Management NIt gives us great pleasure to introduce you to our company, which was founded in 1998, and to give you some idea of what we are capable of providing and of the solidity of our operation given the especially complex nature of the environment in which we are currently working. In the wake of the deterioration of an increasingly complex and variable market, the most demanding challenge for Negratín has been to engineer an immediate response to these changes, which would not have been possible without our decision to rapidly adapt ourselves to these new circumstances and to increase the professionalism of our company. Faced with a progressively demanding market, we believe the only solution open to us is to continue investing in the high degree of specialisation of our workforce and giving our employees the security that only comes from working for a dynamic company that enables them to develop and contribute their experience without worrying about their future. The resulting stability forms an instant basis for efficiency, adaptability and commitment, and this leads to us meeting our objectives and thereby consolidating ourselves as a company that has known how to apply the necessary adjustments without allowing our turnover to fall while contributing towards reducing the most acute social problem of our time, namely unemployment. It is no less true that in addition to successfully meeting the complex challenge of achieving stability here in Spain, several other factors have proved vital with respect to our company being able to forge and retain a privileged market position for itself: the reinvestment of all our profits in the company and the internationalisation thereof, which has not only given us more market share, but has also shown us how to meet new challenges and rapidly adapt ourselves to previously unknown markets. Our presence in projects implemented in Latin America, Europe, etc. has resulted in the company channelling much of its effort into developing through geographical diversification, with one of the upshots of this being that we now have offices in Peru and Chile. This has really not been an individual achievement given the fact that at Negra- 4
negratín Letter from the Chairman tín we see the real success as having faced up to this situation and managed to overcome it, mainly thanks to our workforce and its ability to adapt, its professionalism and its drive, all of which have combined to make the transformation of Negratín a reality. At present Negratín consists of three business lines, namely Industrial, Energy and Operation and Maintenance (O&M), each of which is equipped with the tools it needs to complete the full cycle of each project, each of which involves the following phases: Development, Engineering, Construction and O&M. Without ever forgetting our roots, at Negratín year after year we manage to exceed our most demanding objectives and by diversifying we have been able to respond to the new gauntlets thrown down by the market by offering and providing efficient and sustainable solution, thereby guaranteeing that the projects in which we Our philosophy, a constant but sure growth, on a solid base. are involved are implemented in accordance with the very highest standards of quality, are environmentally friendly and are a safe and healthy workplace for our employees, proof of which was provided in 2002 with the company being awarded the following three certificates: ISO 9001 for quality, ISO for environmental protection and OSHAS for occupational health and safety. Our corporate philosophy is one of continuous yet sustainable growth based on solid foundations which, while enabling us to remain stable, allows us to tackle changes calmly and confidently. Angel y Celedonio Noguera Gerentes de Negratín 5
negratín Mission, vision and values Mission, vision and values Our Mission To provide, by way of our business lines, an overall vision based on our high degree of expertise and our ability to generate added value for our customers in order to ensure the sudcess of the projects we are commissioned to implement. Our Vision Our ability to adapt quickly to changes and to provide alternative and balance-based solutions means that we see the future as the integration of the parts that make up the projects in such a way as to make them sustainable in time. Our Values The safety, commitment and efficiency we provide make our customers trust that our involvement is a key factor towards ensuring the sudcess of a more stable and safer, longer lasting end product.. 6
Strategy negratín Strategy This basically involves us establishing our objective to continue growing while giving our customers the security, reliability and efficiency with respect to the services they require and thereby ensuring their plans become reality. Strategic lines: Reinvestment of 100% of the profits generated by the company. Opening up and developing new sectors and markets. Efficiency and safety, the best service for our customers. Geographical diversification, consolidating our presence at an international negratín negratin corparate corporate dossier 7
Sales (Thousands of euros) Twenty-five percent of growth thanks to a carefully crafted strategy negratín Main Figures Main Figures EBITDA (Thousands of euros) Despite finding ourselves in a complex business environment such as the one we are currently experiencing, our sales figures show the success of the strategy implemented over the past few years, which has enabled us to maintain the stability of the markets in which we operate and achieve growth of 25% in absolute terms in 2013 as against our sales figures for This growth has been due not only to the opening of new business lines, but also to the International Expansion based on our energy line, which has allowed us to reach new markets, consolidate, and position ourselves in such a way as to be able to concentrate on developing the rest of our business lines

This Business Line represents 73% of our current projects portfolio compared with 50% of the projects implemented so far this year. In line with its strategy of providing its customers with a quality service and full support, Negratín plays an ever-present role not only throughout the Development and Execution of the project, but also during the working life of the resulting facility by taking charge of the Operation and Maintenance thereof in order to optimise its performance, a fact reflected in the 10% increase of this business line against the total portfolio of the company. 9

negratín International Expansion International Expansion The type of expansion process we have embarked upon is never easy, but we now find ourselves in a position where we can safely say that the company s international presence has been consolidated. This process began with the execution of several projects in Spain, Italy and Peru, the latter of which proved to be the stepping stone towards us establishing a presence in a developing market such as Latin America and, as a result, setting up subsidiaries in Peru and Chile. It was our energy business line that made this expansion possible, but we are currently in the process of implementing the rest of our business lines in Latam as we now have the infrastructure to be able to tackle this new phase in our company s development. This relatively new international presence has enabled our company to not only maintain its turnover, but also to increase the size of its works portfolio with overseas projects, the fruits of which will be reaped over the next few years. 11

Negratín Energy represents 73% of the company s portfolio Negratín Energy provides Energy Negratín began working in the renewable energies sector in 2008 with the implementation of a number of photovoltaic installations. The sudcess of these resulted in the company deciding to integrate all the other renewable technologies into its energy business line, thereby enabling us to tackle all manner of projects of this type. Negratín Energía currently carries out projects involving all the different renewable technologies, namely photovoltaic, wind generation, solar thermal, biomass, cogeneration, energy efficiency and trigeneration or combined cooling, heat and power (DCHP). To optimise these projects we have developed a new container integration service and created a specialist work team. This business line now represents 73% of the company s portfolio and earlier this year led to us setting up our development and engineering departments, thereby enabling us to tackle any type of project right from its inception. 15

Integration of containers provides Energy In anticipation of our customers needs, Negratín implements a container integration process that adapts these elements to the characteristics of the means of transport employed, which may be by road or sea, optimises the space they odcupy and ensures they arrive in perfect condition. We integrate transformation centres, electricity generating sets, osmosis installations, changing rooms, toilets, canteens, HVAC installations and all types of electrical installation, with the only limitation being the maximum weight that the chosen container can withstand. Containers can be adapted in an infinite number of ways, with the intended function or use being the most important factor in each case when it comes to working on the design. Starting with standard containers, we shall make the appropriate modifications for each individual project, including all the necessary safety elements, thereby guaranteeing their suitability for the means of transport chosen. First Phase: we shall plan the partitioning of the container, with the required compartments being perfectly defined and sized. Second Phase: we shall apply the suitable exterior finish: We shall prime the exterior surface using one of the different alternatives available We shall decide whether to increase the insulation capacity We shall fit the adcess points chosen from among the many types available (doors, windows, etc.) We shall install the specific systems for controlling the temperature, if necessary. Third Phase: we shall prepare the interior finish. 33 The industrial complete cycle, obtaining an industrial efficiency. provides industrial Negratín industrial The industrial business line is where it all started for Negratín back in 1998, when the company began its involvement in the development and construction of all types of industrial facilities. This business line currently represents 49% of our turnover and sees the company working in a variety of different areas, such as electricity, HVAC, water treatment, SCADA, fire protection, telecommunications and oil facilities. The slowdown and eventual paralysation of the Spanish market meant we had to implement a new strategy that would enable us to rapidly adapt ourselves to the new needs. This involved us investing in greater preparation, expanding the company s services via the incorporation of a development and engineering department and setting up our subsidiary in Peru, all of which has enabled us to meet the international demand by executing projects in Latin America and consolidate our presence by opening doors to other developing markets. negratín negratin corporate dossier 33
