4 With 17 hospitals and 11 residences and centers for the handicapped, IDCsalud is present in 4 different regions in Spain. Our staff currently numbers over 9,000 employees, and with the opening of the Hospital Público de Collado Villalba in 2013, this number will top 10,000. We have a long-standing track record of partnering with public-health authorities through a variety of contractual arrangements. We are proud to be the company behind the first 3 hospitals to be managed under the public-private partnership (PPP) model, and our numerous management agreements currently in place with the public-health system are a further testament to our solid position within the healthcare sector. Over time, our group has gathered a wealth of experience in managing and providing comprehensive services for out-of-pocket patients, insured patients, and individuals covered by mutual-benefit associations. Our staff teams work within a multidisciplinary network, providing quality services that are adapted to the specific demands of each region. IDCsalud employees are the firm's most valuable asset. To better carry out their responsibilities, our professionals work with cutting-edge technology, engage in continuous training, and operate under a common management model, thus guaranteeing the quality of the services they render. IDCsalud covers all medical and surgical specialties, excelling particularly in the diagnosis and treatment of cardiovascular disease and oncology. In recent years, IDCsalud has invested upwards of 300 million euros in technology, equipment, and facilities improvement. Such a substantial effort is just one way the company makes good on its commitment to its stability and growth. 7 IDCsalud milestones The origins of IDCsalud date back to Grupo Sanitario Ibérica de Diagnóstico y Cirugía (IDC Group), a company that by 2005 had become the leading provider of health-care management and health services in Spain IDC began over 12 years ago as 3 clinics (2 in Castile-La Mancha and 1 in Madrid). Between that time and 2002, the Group continued to grow, expanding to 11 health-care centers located throughout 3 regions of Spain (Castile-La Mancha, Extremadura, and Madrid). In 2002, the Hospital General de Cataluña joined the IDC Group saw the inclusion of the Fundación Jiménez Díaz in Madrid, a pioneering hospital with over 75 years of history. 5 The IDC Group joined the Swedish healthcare-management group Capio in Capio is a leading provider of health services and has a total staff of over 16,000 employees who work in 8 different countries. 6 7 The positive care and financial results of the Fundación Jiménez Díaz were key factors in its becoming a reference hospital for more than 400,000 citizens of Madrid in That same year, the specialist-care centers of Pontones and Quintana became affiliates of Capio Fundación Jiménez Díaz. In 2008, Princess Elena was on hand for the opening of the Hospital Infanta Elena in Valemoro, a reference hospital for over 100,000 inhabitants of the area and also a part of the network of public hospitals. 8 9 In 2010, Capio Sanidad began work on the New Public Hospital in Móstoles, which would eventually deliver health care to more than 200,000 citizens. Under an administrative concession, this hospital has become part of the public network of hospitals in the Madrid region. Toward the end of 2010, Capio Sanidad was the successful bidder for the contract to build, equip, and manage the health services in the New Public Hospital of Collado Villalba. This hospital will provide care to more than 150,000 citizens residing in the northern part of Madrid. 10 The Hospital Universitario Rey Juan Carlos opened in

11 We at IDCsalud know that professional competence and the commitment of all staff members are fundamental pieces behind our ability to provide patients with quality services and the finest care. We strive to maintain these two components by establishing a stable and committed work scheme thanks to a personnel policy that is rooted in these basic pillars: Our employees work with cutting-edge technology, receive continuous training, and are guided by a common management model. 1. In addition, the Group maintains a cordial and respectful relationship with various stakeholders in society, and partners with local health-care authorities. IDCsalud works under a number of agreements with the major mutual-benefit associations and healthinsurance providers. 6. The company strongly believes in the principles of transparency and non-discrimination, and applies these concepts in its hiring and promotion policy. 7. IDCsalud promotes a healthy balance between work and personal life. We are proud to have seen our total staff surpass 9,000 employees in the past year. The company strives to provide stable employment: 80% of the IDCsalud staff has been with the firm for an average of 7.5 years. These employees, who on average are 39 years old, work under openended contracts. Over 60% of the company's professionals are women. The IDCsalud human-resources policy pursues clear objectives: to recruit highly qualified staff; to provide stable employment through open-ended contracts; to secure the loyalty of the people who work with the company; to promote and consolidate a sense of belonging to the Group; and to best train staff to fulfill the company's needs so as to offer quality service to our patients

12 Training and prevention Providing our staff with continuous training is one of the ways we look to the future. Our professionals are the greatest asset we have. Preventing occupational risks, ensuring patient safety, and establishing continuous training opportunities are clear and decisive actions we take to develop the people that make up the company. An essential part of the IDCsalud Prevention Policy are the measures necessary to prevent occupational risks and care for the health of the company's employees. To make this happen, IDCsalud has a Plan for the Prevention of Occupational Risks and a common management model for all our health-care centers, which is why we can maintain such high standards in employee safety. Thanks to the company's investment in training, the professionals of IDCsalud have been provided with the tools necessary for optimal patient care. In the coming years, this will continue to be one of the top priorities within the corporate training policy. Training at IDCsalud is organized according to two major lines: training to improve day-to-day work, and training given to new professionals according to agreements and ties with universities such as the Universidad Autónoma de Madrid (UAM), the Universidad Internacional de Catalunya (UIC), and the UAM Nursing School

13 Patient and Family Help Center Each of our health-care centers has a patient answer center. These units report directly to the managing director of their particular center, who serves as the coordinator between the patient-answer center, the Office of the Medical Director, and the Office of the Nursing Director, in order to provide information on the company's different hospitals, clinics, and residences. The goal is to improve our services and resolve any issues that patients or their families may have. Patient-answer centers also handle suggestions, consultations, and information requests filed by patients and their families. Patient answer centers review and analyze the expectations and the satisfaction of the people who use the company's services. These data are gathered from the ongoing satisfaction surveys administered by IDCsalud. At IDCsalud, quality personal and personalized health care comes from our orientation to those who require our services, guaranteeing swift and individualized care for these individuals. The trustworthiness, training, and know-how of our professionals as well as their human touch bring the right degree of empathy and respect to our health care. We are guided by the opinions of our patients, which is why IDCsalud continuously conducts satisfaction surveys in the company's health-care centers. This feedback helps us to establish continuous-improvement goals for our services. Satisfaction reports give us the opportunity to foster a corporate culture that is based on respect and information. 15 Technology in IDCsalud IT development is one of the basic pillars of the care model at IDCsalud. IT is present in every improvement made in processes and in every model used to run the organization. In 2012, a number of projects were implemented to improve processes, to standardize how the different centers work, to better the communication among our staff, and to increase the degree of access given to patients. Development has begun on the Casiopea project - a basis for automatizing tasks, managing processes, and defining protocols for our activities. Casiopea is the foundation for an open hospital that provides services sooner, is closer to patients, does not require physical presence in many cases, and which aids in decision-making. Technological infrastructure, communication, financial-management systems, personnel management, electronic medical records, patient and shift management, computerized surgery, laboratory, image diagnostics, diagnostic imaging, histopathology, the pharmacy department of the Hospital Universitario Rey Juan Carlos, and IDCsalud Hospital de Ciudad Real. System to aid the prescription process for oncohematologic diseases in a large number of hospitals and clinics

The integration of department-specific systems, small-scale applications, and diagnostic equipment is one of the bases of synchronized operation and task automation. Developments and integration measures in the digital imaging system in ECGs, pulmonology, blood bank, rehabilitation, vital-signs monitor in triage, nephrology, genetics, and anticoagulation control. Connect hospitals and clinics with the Castile-La Mancha regional imaging system. Improvements in the free-choice-of-specialist system in Madrid. The relation with patients and other people using our services, such as family members, care staff from other centers, caregivers, the surrounding society, etc. - has ushered in a new era in providing services. This new era has created a need for initiatives that will take us outside of the clinics and hospitals themselves and maintain constant contact with those who require our services. Initiatives have been developed in the following fields, among others: Extend the on-line appointment system as well and provide greater access to lab-test results. SMS platform providing reminders of appointments, information, and alerts. WiFi-access areas. Integration of clinical and management information for improved coordination with public-health services. Socio-healthcare portal for relations with residences. Portal for primary-care professionals. Introduction of the first results protocol not requiring the patient to be present. Information system for individuals accompanying patients in the Hospital General de Cataluña Emergency Department. Improvements to the patient-response system in the Hospital General de Cataluña call center. Increased digitalization in the health-care centers belonging to the IDCsalud network allows patients and other individuals to enjoy numerous benefits 26 27

17 Electromedicine, diagnosis, and treatment "ADVANCED TECHNOLOGY" is an essential part of the equipment of any hospital, since it allows staff to use the finest tools, which makes it possible to offer the most superb diagnoses and most advanced and least invasive surgical procedures, thus increasing the quality of diagnosis, treatment, and recovery. For this reason, the medical equipment available in all the IDCsalud health-care centers is constantly revised and updated. Excellent technology helps our professionals provide optimal diagnoses and therapy. Technology at IDCsalud is up-to-date and features some of the most cutting-edge tools, such as: the latest in multislice CTs, a linear electron accelerator for cancer treatment, a 3T MRI, a digital remote control x-ray system, and a Da Vinci surgical robot and a PET-CT in the newly opened hospitals. IDCsalud uses a comprehensive management system for all the equipment in the new hospitals and clinics, thus optimizing machines and increasing the quality of equipment management

18 Communication A number of projects to strengthen communication have been implemented and developed, such as: The corporate website, Broadcasting the most relevant news items (press releases) together with industry media outlets. We at IDCsalud are aware of how hospitals, health-care workers, and patients are interconnected, and how important it is to have adequate communication with society as a whole. For this reason, over the past years we have developed an active corporate-communication policy that has been adapted to the different needs and circumstances faced by our hospitals, clinics, and residences. The company's communication strategy is focused on driving the IDCsalud brand among health-care professionals, public authorities, the media, and society as a whole. IDCsalud communications reinforces the company's image as a solid, trustworthy, and standard-setting firm within the health-care industry. This has been complemented by a substantial effort to develop internal communication, since our employees represent the values and attitudes of our company. Initiatives have been enacted to adapt corporate communications to our needs and the situation faced by our surroundings. We have bolstered the presence of IDCsalud online, in corporate magazines, in newsletters geared toward professionals, and through our intranet; all these channels have been used to better communicate with internal and external stakeholders. These initiatives seek to improve the communication between patients and their families and company staff, as well as between the company and its team. In 2013, the IDCsalud brand will be rolled out gradually in all our clinics, hospitals, and residences thanks to a common communications strategy. The internet has played a larger role as a medium for recruitment. Online appointments have also been scaled up, thus streamlining the appointment process and increasing the level of comfort for our patients. Communications 2.0 and social media: development of the communications strategy and new information technology, especially on social media (Twitter and corporate blog (blog.idcsalud.es). These initiatives have been put in place because of our desire to be close to people who use our services or who collaborate with us. As concerns public relations, we have promoted the profiles of our professionals, our health-care centers, and our brand during conferences, forums, seminars, and a number of other events. These initiatives have allowed us to promote IDCsalud and its hospitals, clinics, and residences among the greater public. A number of objectives and key messages have been established for each hospital, allowing greater proximity and communication with our surroundings. This presence has allowed IDCsalud centers to become points of reference for patients and their families

19 Quality and environmental issues IDCsalud earned its first quality certification over 15 years ago. Later, the Central Quality Division was formed, providing the firm with a specific unit developed and implemented thanks to the collaborative efforts of a number of professionals in the Group. Together these individuals successfully created a quality-management system for IDCsalud. The commitment of IDCsalud to patients motivates us to continuously search for improvements in care processes and to work in line with the ISO 9001:2008 quality models as well as the demands of AENOR external quality audits. 17 of the 28 health-care centers that form part of the IDCsalud group are certified under these quality standards. In recent years, the ISO 1401:2004 environmental-management standards have been added to the external quality guidelines used in the company. The IDCsalud Central Quality and Environmental Division is constantly updating and developing the Corporate Quality Plan. The Division also revises and promotes the implementation of clinical indicators, supports hospitals and clinics as they strive to obtain external quality certifications, and carries out periodic internal audits in all of our health-care centers so as to maintain standards of quality and safety for our patients and others requiring our services. The Division provides "custom-made" training initiatives, conducts awareness-raising campaigns to educate our staff on quality and safety issues, and represents IDCsalud in quality forums and conferences. Thanks to the efforts of the Division in 2012, IDCsalud Hospital Universitario Fundación Jiménez Díaz earned the Recognized for Excellence (5-star level) quality assessment in 2013 from the EFQM

20 Investigación Research is one of the pillars of IDCsalud, and the IIS-FJD is the most high-profile symbol of research in the company. The IIS-FJD was founded thanks to an agreement between the Fundación Jiménez Díaz (FJD) and the Universidad Autónoma de Madrid (UAM). Certified by the Ministry of Science and Innovation in 2010, this partnership joins research and teaching staff of the FJD together with their counterparts in the UAM. These individuals make up the central research structure that carries out basic, clinical, epidemiologic, and health-services research. 21 Teaching One of the biggest news items in 2012 was the signing of the partnership agreement between the Hospital Universitario Infanta Elena in Valdemoro and the Universidad Francisco de Vitoria, which made it possible for university medical and health-sciences education to be offered in the hospital. Another partnership agreement was signed between the Hospital Rey Juan Carlos in Móstoles and the Universidad Rey Juan Carlos, setting the groundwork for medical education in the hospital. A great many partnership agreements were signed with a number of universities. These agreements will provide a framework for undergraduate and graduate-level students to do their practicum in major Spanish universities. In 2012, another agreement was signed with the regional government of Madrid allowing hospitals like the FJD, Hospital Universitario Infanta Elena, and Hospital Universitario Rey Juan Carlos to participate in the Dual Vocational Training system. Also known as the German model, the Dual hospitals participate in training high-level technicians in the clinical-diagnosis laboratory (14 students) and in anatomic pathology and cytology (3 students). A plan allowing students to divide their training between time spent at the university (1/3) and time spent at the company's facilities (2/3). In 2012, we consolidated the teaching offered within the group and trained 281 residents in their respective medical specialties and taught over 1,750 students across the different educational periods. In continuous training, we consolidated the number of courses offered to over 5,600 employees. These educational initiatives represented over 27,500 classroom hours at a cost of 577,000 euros

22 Socio-health care IDCsalud is also committed to the socio-healthcaare sector doubtless one of the fastest-growing areas of health care and one that has become increasingly important in recent years. Due to the aging of Spain's population, it has become necessary to plan for comprehensive health care for our elderly, the chronically ill, and the physically or mentally handicapped. IDCsalud is in a strong position in socio-health care, providing services in its own residences as well as facilities managed by the firm. Currently, the IDCsalud Group has residences for the elderly in Albacete, Ciudad Real, and Cuenca

The Fundación Jiménez Díaz and 2 specialist-care centers belonging to the public-health network, where some 430,000 citizens who make up the centers' reference population receive their health care. Hospital Universitario Infanta Elena (opened in 2007), Hospital Universitario Rey Juan Carlos (opened in March, 2012), and Hospital Público de Collado Villalba (construction completed) were designed according to the PPP model and structured as administrative concessions under which IDCsalud performs both care and non-care services. 26 Health centers in Catalonia idcsalud Hospital General de Catalunya idcsalud Clínica del Vallès idcsalud Hospital Universitari Sagrat Cor In Barcelona, IDCsalud manages three hospitals in their entirety: IDCsalud Hospital General de Catalunya. The HGC is a pioneering center within Catalonia, due to both its activity as well as its top-notch quality of care and technology. The hospital covers all medical and surgical specialties under a partnership contract in place with the public-health authority and enjoys a leadership position in relations with insurance companies. In September, 2011, IDCsalud strengthened its position in Catalonia by signing a management agreement with the mutual-benefit association Quinta de Salud la Alianza. IDCsalud has added 2 of the company's hospitals to the health-care centers it manages in Barcelona: IDCsalud Hospital Universitari Sagrat Cor, located in metropolitan Barcelona, is part of the Catalan public-health network (XHUP). This teaching hospital treats highly complex medical cases in accordance with its complete offering of medical-surgical specialties. IDCsalud Clínica del Vallés is located in Sabadell near the IDCsalud Hospital General de Cataluña, opening up synergy opportunities in the region. IDCsalud Hospital Albacete is a reference hospital for the province of Albacete in cardiovascular surgery, nuclear medicine, diagnostic and interventional neuroradiology, and hemodynamics. IDCsalud Hospital Tres Culturas was built in 2004 in Toledo on a plot of land measuring 14,000 m 2 and is located in an area of urban growth within the city. IDCsalud Hospital de Ciudad Real. In 2012, idcsalud opened the newly constructed hospital. IDCsalud Clínica Alcázar. One of the most modern health-care centers, this clinic is located in Alcázar de San Juan. Here, oncology treatment is provided to patients who reside in the surrounding area. IDCsalud Hospital de Talavera. Located in Talavera de la Reina, this center works under the idcsalud Hospital Tres Culturas as its reference center. * The contract will be discontinued in 2013 due to reduced outsourcing conditions established by the regional authorities

IDCsalud Clideba and IDCsalud Hospital de Santa Justa are two reference centers within the province of Badajoz. The former is located within the city of Badajoz, and the latter, in Villanueva de la Serena. IDCsalud Clideba has become a reference clinic for the province of Badajoz. The clinic houses a specialist-care unit for outpatient consultations in the most common medical and surgical fields. Throughout the years, many improvement initiatives have been implemented for the facilities and state-of-the-art equipment and techniques (e.g., photosensitive vaporization of the prostate, CO2 laser surgery, etc.), as well as specialist units (neonatal unit, integrated cardiology unit). Located in the city of Cáceres, IDCsalud Hospital Virgen de Guadalupe is an ISO certified center. 33 The latest IDCsalud projects include building, equipping, and managing two new hospitals belonging to the public health-care system. These hospitals Hospital Rey Juan Carlos in Móstoles and the New Public Hospital in Collado Villalba began construction in Also, IDCsalud Clínica Coreysa in Ciudad Real was recently acquired by the company so that it could be renovated in its entirety. The Hospital Público de Collado Villalba, to be managed by IDCsalud after the company was named the winner of the bid process, will provide care to nearly 113,000 residents in Collado Villalba, Alpedrete, Becerril de la Sierra, Cercedilla, Collado Mediano, Moralzarzal, and Navacerrada in Madrid. This new hospital features the very latest in technology, a wide offering of services, and professionals who are highly trained in new information technologies and who will be able to share in real-time the electronic medical records of their patients. With 55,600 m 2 of space, the hospital will contain 140 individual rooms, 12 neonatology stations, and 85 emergency bays. The hospital will provide a wide offering of services, such as nuclear medicine, oncology, neonatology, geriatrics, and the like. Located in Ciudad Real, IDCsalud Clínica Coreysa will work to better the health of the area's residents and will feature such general services as histopathology, radiodiagnostics, outpatient consultations, rehabilitation and physiotherapy, a chemotherapy room, an OR and inpatient ward, and a 24-hour Emergency Department.
