Call to Order The 41st Annual Business Meeting of the American Association of Diabetes Educators was called to order by 2014 President, Joan Bardsley, MBA, RN, CDE, FAADE, at 1:30 pm EDT, on August 8, II. Adoption of the Report of Eligible Registered Voters President Bardsley announced that 1,900 eligible voters registered for the meeting and that the quorum required was met. The report of eligible voters was adopted. III. Adoption of Standing Rules The Standing Rules of Order were read and accepted without objection. IV. Adoption of the Order of Business The Order of Business was adopted as presented. V. Minutes of August 9, 2013 Meeting The minutes of the 2013 Annual Business meeting, held on August 9, 2013 at the Pennsylvania Convention Center in Philadelphia, PA, were approved at the November 9, 2013 meeting of the AADE Board of Directors, and are posted on the AADE website. The President appointed the 2014 Board of Directors as the body to approve the minutes for the 2014 AADE Annual Business Meeting.

3 VII. Year End Review President Bardsley presented an overview of the Association s accomplishments over the past 12 months, including growth in the Diabetes Education Accreditation Program (DEAP) and BC- ADM exam participants. President Bardsley also highlighted AADE s advancements in advocacy, research, and various publications throughout the year. VIII. Treasurer s Report Treasurer, Carol Rasmussen, reported that AADE had another successful year in AADE revenues come from a diverse source, and last year totaled $12.6 million. AADE expenses came in lower than budgeted due to financial controls put in place by the national office. Expenses were $12.4 million, which was a slight increase over AADE revenues along with restrained expenses generated positive Net Revenues for the year of approximately two hundred thousand dollars. These net revenues contributed to the AADE s Net Assets which finished the year at $14.2 million. AADE Net Assets increased more than $1.5 million dollars, primarily due to investment income from 2012 to 2013, and continue to grow in 2014 The Treasurer emphasized that AADE s revenues are not overly-reliant on any single source or category. The portion of revenues that originate from membership dues is 18%. This relatively low percentage reflects the fact that 82% of revenues of the Association are from non-dues sources, which allows AADE to keep membership dues low. The percentage of dues revenue is low compared to other professional associations and reflects the popular programming offered by AADE. IX. President Bardsley stated that the Nominating Committee Chair has declared that the members whose names were read are the newly elected AADE officers, directors, and members of the Nominating Committee for 2015 and that their term commences on January 1, X. Open Forum President Bardsley invited members to share their input on the following question: What broad trends, be they scientific, demographic, technical, economic, social, or political, are you seeing that you believe will have implications for diabetes educators and/or AADE?

5 Member feedback focused primarily on the following concerns: Economics of diabetes education Value of diabetes education to patients, providers and payers Increased advocacy Need for models of care including holistic inclusiveness/continuum of care AADE branding and direct marketing to patients Public awareness of practice levels Pre-diabetes as a stage of diabetes In addition to the responses given for question posed above, members commented on other topics, including: Funding for supplies for uninsured or low-income patients to manage their diabetes outside of the hospital Care coordination Decline in attendance for the Annual Meeting Need for a delineated pathway to become a diabetes educator XI. Adjournment With no further business, President Bardsley thanked all participants and adjourned the meeting at 2:34 pm EDT. An audio recording of this meeting will be held at AADE s headquarters.
