9 The Canadian Company and PT Aquamare Foreigners in Indonesia who buy or sell land or sell shares in Indonesian companies are burdened with a complex system of taxation and reporting. The Canadian company (Ontario Inc. hereafter referred to as CanCo) has been formed to be the only Canadian entity interfacing with the Indonesian bureaucracy. CanCo currently owns 95% of the shares of PT Aquamare (PTA). Both CanCo and PTA will issue shares to new shareholders. The only direct Canadian shareholder in PTA will be CanCo. Canadian investors will participate in PTA through CanCo as their nominee holder of PTA shares. In Canada, the firm Grant Thornton LLP has been engaged as accountant and business advisor and the firm Mitchell, Bardyn & Zalucky LLP is the acting legal advisor. In Indonesia, KKP Prima Artha Konsultama in Bali is the accounting firm and tax consultant for PT Aquamare. Lili Consultants in Lombok serve as tax and investment advisors and government liasons. It is anticipated the Indonesian partners will eventually hold about a 50% share in the company, PT Aquamare
