2 INVITATION HEALTH CARE DELEGATION TO CHILE AND PERU SANTIAGO AND LIMA, OCTOBER, 2014 You are invited to participate in a health care delegation to Chile and Peru. The delegation is organized by Business Sweden, Swecare, the Embassy of Sweden in Chile and the Consulate of Sweden in Peru. The purpose of the delegation is to facilitate new business opportunities in the life sciences and health care sectors in Chile and Peru for Swedish companies, with the objectives to: Generate interest for Swedish health care innovations and solutions by leveraging SymbioCare Health by Sweden as a world leading concept Make use of the Swedish health care delegation for networking, relationship building, and reach out to decision makers and potential buyers from both the public and private sectors Support Swedish companies that are considering to enter the Chilean and/or Peruvian markets Utilize official Sweden to engage target stakeholders, including premier networking events and a Swedish function hosted by the Swedish Ambassador at the residence The Chilean Health Care Market Chile has a population of 17,4 million and health care expenditures of 21 billion USD which is equivalent to 7,7% of GDP, of which 45% is public and 55% is private spending. The new government under President Bachelet took office in March 2014 and has announced an investment plan of 4 billion USD for the upcoming period, , to expand health coverage for the 80% of the population covered by the public health insurance. By 2018 the goal is to have: 1) completed 20 new hospitals 2) have 20 more hospitals under construction and 3) to have performed the technical studies for another 20 hospitals. 223 new primary care units will be constructed in the same period. The main challenges for the Chilean health care sector are the typical socio-demographic changes that a society in development experiences; ageing population, a more sedimentary lifestyle and an increase of obesity. Cardiovascular illnesses and diabetes are some of the life style related diseases that are rapidly increasing in Chile. A top priority for both the private and the public sector is to improve the efficiency of the administration and the management of the health care system. A new tax reform has been approved and will be implemented shortly funded by a rise in corporate taxes. This will further put pressure on private clinics to improve efficiency and productivity to maintain the return of investment. The Peruvian Health Care Market Peru has a population of 30,1 million and health care expenditures of 10 billion USD, which is equivalent to 5,1% of GDP, of which 56% is public and 44% is private spending. The Peruvian government has set focus on social inclusion and it seeks to improve the health care coverage for all citizens of which 7,5 million are not covered by any health insurance. The central government has in collaboration with the regional governments developed an investment plan of 3 billion USD, , which includes renovation and construction of 750 health centres and hospitals all over the country. 1/5

3 The aim is to modernize the public health care and the standard of services. Among the recipients of the announced public investments are the National Cancer Institute, the Institute for Bone Marrow Transplants, and to be able to offer specialized health care solutions to the population in rural and isolated areas. The Peruvian Ministry of Health has expressed a special interest in solutions which would facilitate medical exams, diagnostics and more efficient care for the population in rural areas. Within the private sector one of the biggest investments currently is a new medical mall which is being constructed in Lima. The initiative encompasses 908 million USD to build a mall for medical equipment, ready in 2016 with 70% of the area already occupied; the aim is to facilitate the purchasing process for the public hospitals and private clinics. If successful the concept will then be applied in other regions in Peru. Focus of the Delegation The delegation will focus on promoting Swedish health care solutions by acting as a door opener and highlighting business opportunities, as well as providing occasions to meet with key players on the market. The overall theme for the delegation will be value-based health care, parting from the concept of SymbioCare and the integrated model of Swedish health care. The delegation is therefore open for companies from different areas of expertise, and the program will be adapted to a certain extent as per the specific interest of the participating companies. At the Ministry there will be opportunities to discuss national Chilean priorities, challenges and future investments. Meeting with Association of Private Clinics The Association of Private Clinics gathers the most important private clinics in Chile and will give an introductory presentation of the Chilean health care system. VIP reception hosted by Swedish Embassy, Santiago With possibility to invite your own guests Tuesday 21 st of October - Santiago Study visit hospital/clinic/national Cancer Institute According to the interest of the specific companies, study visits will be arranged with public hospitals and private clinics, as well as with the national health institutes such as the Cancer Institute. The study visits will provide an opportunity to meet with the medical doctors who would work with the products or services of the participating companies. Meeting with distributors and Cenabast Meetings will be held with relevant distributors and/or Cenabast, the governmental body overseeing the purchases of pharmaceutical products and vaccines. 8 General Conditions for Participation in Joint Export Activities (exhibitions, delegation travels, etc) 1. General BUSINESS SWEDEN undertakes to carry out the export activity described in the invitation on condition that the necessary number of companies signs up by giving binding notice of participation and no obstacles specified in section 5 below exist in regard to the performance of the activity. 2. Participation fee Companies taking part in the activity undertake to cooperate in order to achieve its aim and facilitate its performance and also to pay the fee specified in the invitation. Participation in the activity may not be made available or assigned to a third party without the prior written consent of BUSINESS SWEDEN. Unless otherwise expressly stated, all prices are exclusive of VAT. The participation fee shall be paid in advance. If the price has been specified in SEK and BUSINESS SWEDEN has to pay certain costs in local currency, the price shall at the time of payment be adjusted if the exchange rate has changed by more than 5% between the date of the invitation and the date of invoicing. In the event of fewer companies signing up for the activity than required in the invitation, the participating companies undertake to pay an increase not exceeding 10% of the participation fee. The term of payment is 30 days from the invoice date. In the event of late payment, penalty interest is payable at the current Swedish reference rate ( referensränta ) plus eight (8) percentage points. Any costs for collection or other measures to obtain payment will be charged to the company. 3. BUSINESS SWEDEN s undertakings BUSINESS SWEDEN s undertakings are limited to what is stated in the invitation and the present conditions. Payments for services that BUSINESS SWEDEN has undertaken to perform by written agreement, over and above what is included in the activity, shall be made as they fall due after invoicing. BUSINESS SWEDEN is entitled to depart from the method specified in the invitation of performing the activity if its performance requires this. 4. Cancellation etc Registration is binding. If not stated otherwise in the invitation, upon cancellation of participation the fee will be charged in full as from the date BUSINESS SWEDEN has received and confirmed the company s binding reservation. 5. Force majeure etc BUSINESS SWEDEN may cancel the activity or postpone carrying it out for a reasonable period if any obstacle to or unreasonable increase in the cost of carrying it out arises or if carrying it out would jeopardise the safety of persons or property affected by the activity, due to an event or circumstance outside BUSINESS SWEDEN s reasonable control (force majeure). Such events or circumstances include acts of violence or a risk of acts of violence of all kinds (including war, hostilities, acts of sabotage etc.), natural phenomena (earthquakes, hurricanes, floods etc.), sudden events which cause injury or damage (fires, explosions etc.), labour conflicts (strike, lockout, blockade, working to rule etc.), events and interventions of an official nature (changes in the law, new legislation, a change in the exchange rate), and other unforeseen events or unforeseen consequences of foreseeable events such as lack of transport, a shortage of skilled workers, power cuts etc. BUSINESS SWEDEN shall inform the participating companies in an appropriate manner as soon as possible after force majeure is deemed to exist. In addition to what is stated in the first paragraph of this section, the effect of invoking force majeure is that BUSINESS SWEDEN will be absolved from economic consequences, including damages for delay in carrying out the activity or for the activity not being carried out at all or not being carried out as agreed. 6. Disputes etc These general conditions shall be governed by and are construed in accordance with Swedish law. Any dispute in connection with these general conditions shall be finally settled by arbitration in accordance with the Rules for Expedited Arbitrations of the Arbitration Institute of the Stockholm Chamber of Commerce. 2/2
