1 ILTM ASIA 2016 BUYER TERMS & CONDITIONS 1. DEFINITIONS In these Terms and Conditions, the following words shall have the following meanings unless the context otherwise requires: 1.1 "ILTM Asia" or "Exhibition" means the International Luxury Travel Market Asia to be held at Shanghai, China from 30 th May 02 nd June 2016 which is owned and organised by Reed Exhibitions (PTY) Limited 1.2 Buyer means the person, accepted by Reed Exhibitions, who will attend the Exhibition as a buyer of luxury travel products where complimentary accommodation, transfers and in some cases flight contribution, are provided by Reed Exhibitions. 1.3 "Executive Buyer" means the person, accepted by Reed Exhibitions, who will be granted access to the Exhibition as a buyer of luxury products and services on a non-hosted basis (i.e. without complimentary flights, transfers or accommodation provided by Reed Exhibitions). 1.4 "Pre-Scheduled Appointment (PSA) System" means the appointment system operated by Reed Exhibitions to co-ordinate the appointments of the Buyer during the Exhibition. 1.5 "ILTM Asia Team" means the ILTM Asia exhibition team at Reed Exhibitions Limited of Gateway House, 28 The Quadrant, Richmond, Surrey TW9 1DN, UK. 2. BUYERS "Buyers" will receive from Reed Exhibitions: 2.1 Return Economy flights from selected airports on specific dates 2.2 Up to four nights accommodation and breakfast at one of the ILTM Asia preferred hotels 2.3 Return airport transfers from Shanghai to host hotel on specific dates 2.4 Entry to the ILTM Asia Opening Forum on 30 th May Pre-scheduled appointments from 31 st May 02 nd June Entry to official ILTM Asia evening party and ILTM Asia networking events 3. BUYERS (WITHOUT FLIGHTS) "Buyers (without flights)" will receive from Reed Exhibitions: 3.1 Up to four nights accommodation and breakfast at one of the ILTM Asia preferred hotels 3.2 Return airport transfers from Shanghai to host hotel on specific dates 3.3 Entry to the ILTM Asia Opening Forum on 30 th May Pre-scheduled appointments from 31 st May 02 nd June Entry to official ILTM Asia evening party and ILTM Asia networking events

2 As a condition of receiving the complimentary services from Reed Exhibitions, "Buyers" and "Buyers (without flights)" will be required to: 3.6 Actively participate in the Pre-Scheduled Appointments Programme, i.e. selecting the required number of appointment preferences within a specified timeframe. 3.8 Attend all meetings and networking sessions scheduled by the ILTM Asia Team and included by the ILTM Asia Team in their diary. 3.9 Wear business dress as a condition of entry to the Exhibition. Failure by any person to comply with the requirements stated above may result in a review of the person's Buyer status and / or exclusion from the ILTM Asia Buyer Programme and future ILTM Asia Programmes without refund of any sums that may have already been paid by that person. A significant shortfall by the Buyers on the minimum commitment with respect to attending appointments shall be treated by Reed Exhibitions as a cancellation and cancellation fees will apply (see "Cancellations" section below). Attendance at the above will be monitored on site by the ILTM Asia Team 4. TRAVEL AND ACCOMMODATION 4.1 Reed Exhibitions will supply the Buyer with a return flight from an agreed point of departure to Shanghai, either as a direct flight or connecting. All flights shall depart on 29 th or 30 th May 2016 (depending on point of departure) with arrival in Shanghai on the 29 th or 30 th May 2016, and shall depart from Shanghai on 2 nd or 3 rd June 2016 depending on final destination point. Please note that these arrangements are non-transferable. The flight times will be allocated to ensure maximum time at the Exhibition. Airport changes requested by the Buyer are subject to availability and cancellation of flights may incur a fee (see "Cancellations" section below). Any additional cost will be the responsibility of the Buyer. All flights provided by Reed Exhibitions shall be standard economy fare. Upgrades/Airline Changes may be available but additional charges will be payable by the Buyer. 4.2 Each Buyer (without flights) who is arranging their own travel will provide their travel details to the ILTM Asia Team by Wednesday 4 th May Reed Exhibitions will provide the Buyer with a return transfer from Shanghai airport to their accommodation in Shanghai. This will be either by car or minibus. 4.4 Reed Exhibitions will provide the Buyer with 2-5 nights accommodation in Shanghai (depending on the package offered) between the dates of 29 th May and 3 rd June This will be on a bed and breakfast basis. Reed Exhibitions will not be responsible for extra room costs incurred during the stay. Any room upgrades will be solely at the discretion of the hotel management. 5. CANCELLATION & REPLACEMENTS FOR BUYERS 5.1 Replacements: Invitations to Buyers are non-transferable. In instances where Buyers need to cancel their participation, they may request that a colleague from their organisation attends as a replacement. On the condition that the replacement is accepted by the ILTM Asia Team, a cancellation /change fee will not apply. 5.2 Cancellation of attendance: whilst not encouraged, Buyers may cancel their attendance to the Exhibition with no penalty before 13 th April Cancellations received on or after 13 th April 2016 but on or before 20 th May 2016 will incur a fee of $700USD. Cancellations received on or after 20 th May 2016 will incur a fee of $800USD. All cancellations must be received by the ILTM Asia Team in writing and must be acknowledged by the dates specified above.

3 5.3 A significant shortfall by Buyers on their minimum commitments with respect to attending appointments shall be treated by the ILTM Asia Team as a cancellation of attendance and the Buyer will incur a Cancellation Fee of GBP $800USD. 5.4 No Show: Buyers who do not inform the ILTM Asia Team of their cancellations and do not attend ILTM Asia will incur a No Show Fee of $800USD. 5.5 Buyers agree that the above charges are a reasonable pre-estimate of the loss suffered by Reed Exhibitions in the event of Buyers breaching these Terms and Conditions. 6. Cancellation of flights: 6.1 Buyers who cancel their flight after confirmation/acceptance will be charged the cancellation fee as per the airline they have chosen. This is also applicable for no shows to scheduled flights in addition to any cancellation of attendance fee. 6.2 Any name changes to flight tickets, or replacements which result in name changes to flight tickets if requested will be charged as per the chosen airline s policy. Should you wish to cancel the flight booked by Reed Exhibitions and wish to book your own, the flight cancellation fee must be paid. 6.3 Cancellation of Attendance Fees and No Show Fees shall be payable by Buyers within fourteen days of the closing date of the Exhibition. Reed Exhibitions shall take payment of such cancellation and no show fees from the Buyer s credit card (details of which must be provided by the Buyer upon registration) at the latest fourteen days after the closing date of the Exhibition if the payment has not been made by other means. Reed Exhibitions will provide the buyer with a receipt in respect of such credit card charges for cancellation of attendance fees, no show fees and flight cancellation fees. The Buyer may request an invoice if required. 6.4 The Buyer agrees that the above charges are a reasonable pre-estimate of the loss suffered by Reed Exhibitions in the event of the Buyer breaching these Terms and Conditions. 7. EXECUTIVE BUYERS 7.1 For a fee of $800USD, Executive Buyers will receive from Reed Exhibitions: 7.2 Access to the ILTM Asia Self-Scheduled Appointment System online diary to schedule meetings 7.3 Entry to the ILTM Asia Opening Session on 30 th May Entry to official ILTM Asia evening party and ILTM Asia networking events Executive Buyers will: 7.5 Arrange their travel and accommodation to ILTM Asia independently and at their own cost. 7.6 Ensure the fee of $800USD, is paid to Reed Exhibitions. Reed Exhibitions shall take the payment from the Executive Buyer's credit card upon registration (details of which must be provided by the Executive Buyer upon registration). Cancellations and Replacements for Executive Buyers 7.7 In instances where an Executive Buyer needs to cancel their participation, they may request that a colleague from their organisation attends as a replacement. The ILTM Asia Team shall make the final decision with respect to whether the replacement may attend the Exhibition.

4 7.8 In instances where the Executive Buyer cancels their participation at the Exhibition the $800USD initially paid by the Executive Buyer to Reed Exhibitions will not be refunded. 8. EXCLUSION OF LIABILITY 8.1 Reed Exhibitions takes no responsibility: for Buyers who miss their flight; for the insolvency or failure of any airline company or hotel or ground handling company or other supplier; for flight cancellation or delay; if the Buyer is refused permission to board the aircraft or is refused entry to China; for any delay or loss of baggage or excess baggage charges - any subsequent dispute shall be directly between the Buyer and the airline. Any replacement flights and other costs incurred in relation to the above will be at the expense of the Buyer or airline, where appropriate. 8.2 The Buyer, Buyer (without flights) and Executive Buyers must obtain adequate travel insurance coverage for their stay and it is recommended in particular that Buyers take out adequate cancellation insurance to cover the instances referred to in section 5, insurance for their baggage and medical insurance. 8.3 Individual visa requirements, travel permits, other licences and inoculations will be the sole responsibility of the Buyer, Buyer (without flights) and Executive Buyers including any necessary costs incurred. 8.4 Reed Exhibitions, its agents, its employees, and its subcontractors shall not be liable for loss, damage or delay resulting from acts or threats of war, hijack, terrorist activity, civil commotion, industrial disputes, fuel shortages, natural disasters or adverse weather conditions, strikes or lockouts intervention or regulation, military activity, epidemics or any other circumstances outside Reed Exhibitions or its subcontractor s control which shall make it impossible or inadvisable for Reed Exhibitions to hold the Exhibition at the time and place provided or makes it impossible to get the Buyer, Buyer (without flights) and Executive Buyers to the Exhibition or to provide flights, hotels, transfer appointments, events or other services to Buyers, Buyers (without flights) and Executive Buyers. Reed Exhibitions reserves the right to re-schedule the Exhibition at another date and/or at an alternative site. 8.5 Reed Exhibitions shall not be liable to the Buyer, Buyer (without flights) and Executive Buyers, in contract, tort or otherwise for any loss of profit, loss of business or revenue, loss of anticipated savings or any indirect or consequential loss or damage, costs or expenses arising out of or in connection with the Buyer s, Buyer s (without flights) and Executive Buyer s attendance at the Exhibition. 8.6 Reed Exhibitions shall not be liable for the death or personal injury of any Buyer, Buyer (without flights) and Executive Buyers save where such liability cannot be excluded under English Law. 8.7 Reed Exhibitions liability to the Buyer, Buyer (without flights) and Executive Buyers in respect of their attendance at the Exhibition under these Terms and Conditions whether in contract, tort or otherwise shall not exceed $1850USD. 9. GENERAL 9.1 Completion of an online or other application form applying to become a Buyer at the Exhibition does not automatically guarantee a place on the Buyer Programme. Applicants will be notified by the ILTM Asia Team if their application is successful. The ILTM Asia Team's decision is final. Only one application form may be completed by each proposed participant and only the first application form will be accepted. Applicants must be over the age of eighteen.

5 9.2 Successful applicants will only be accepted as Buyer, Buyer (without flights) and Executive Buyer if they have read and agreed to these Terms and Conditions and have ticked the relevant boxes on the online application form and have provided their credit card details. 9.3 The ILTM Asia Team reserves the right to remove a Buyer, Buyer (without flights) and Executive Buyer from the ILTM Asia Programme and to withdraw complimentary flights and accommodation at its complete discretion without liability if it is in the best interests of the Exhibition and its exhibitors. 9.4 Persons accompanying the Buyer are not included in any offers regarding the Buyer Programme. Any accompanying person is responsible for the cost of his / her accommodation, flights and transfers. 9.5 These Terms and Conditions, and any dispute, controversy, proceedings or claim of whatever nature arising out of or in any way relating to these Terms and Conditions, the validity and performance hereof or their formation (including any non-contractual disputes or claims), shall be governed by and construed in accordance with English law (save that the conflicts of law principles will be expressly excluded). The parties hereby irrevocably acknowledge and agree that the English courts shall have exclusive jurisdiction in respect hereof. 9.6 By agreeing to these Terms and Conditions, you are consenting under all relevant data protection legislation to Reed Exhibitions communicating with you by telephone, fax, and by post and using your personal information for internal processing and for disclosure to third parties such as airlines, hotels and exhibitors in connection with your attendance at the Exhibition. In addition, we may use your details to invite you to other events organised by Reed Exhibitions or its group to offer you other relevant products and services supplied by Reed Exhibitions' group or third parties. PRE AND POST EVENT ADVENTURES 10.1 Participation in an Event Adventure is entirely at the discretion of the Tour hosts Only buyers who register their interest for the Event Adventure by the given deadline will be considered No shows and cancellation from an Event Adventure after confirmation of attendance will be subject to a $500USD charge made at the discretion of Reed Exhibitions Charges will be made to the Buyer s credit card which was used upon registration for ILTM Asia Only Buyers whose attendance at ILTM Asia has been approved prior to 25 th March 2016 will be considered for participation in an Event Adventure Only one attendee per company may attend an Event Adventure.
