Protiviti Independence, Integrity and Professionalism Protiviti is a global business consulting and internal audit firm composed of experts specializing in risk, advisory and transaction services. The firm helps solve problems in finance and transactions, operations, technology, litigation, governance, risk, and compliance. Protiviti s highly trained, results-oriented professionals provide a unique perspective on a wide range of critical business issues for clients worldwide. Protiviti was founded in May 2002, when Robert Half International (RHI) hired 700 experienced and highly qualified partners and professionals who had formerly been with Arthur Andersen s internal audit and risk consulting practices. Since our founding, Protiviti has more than tripled in size and expanded operations to more than 70 locations in the Americas, Asia-Pacific, Europe and the Middle East, and now serves over 35 percent of companies in the FORTUNE Global 500. With a heritage of excellence, professional expertise and independence, we have established the Protiviti name as synonymous with excellence in consulting, risk management, corporate governance and internal audit services. We provide consulting and advisory services to help clients around the world identify, assess, measure and manage financial, operational and technology-related risks, and we assist in the implementation of the processes and controls to facilitate their continued monitoring. We also offer a full spectrum of internal audit services to assist management and directors with their internal audit functions, including full outsourcing, co-sourcing, technology and tool implementation, and quality assessment and readiness reviews. We have been part of the Protiviti organization for the past several years. Our deep relationship with Protiviti allows us to be a major and successful player in the risk consulting industry in Venezuela. One positive experience was to win a three-year consulting project for one of the largest energy companies in our country and Latin America. Being part of the Protiviti global organization and teaming with other Protiviti professionals on this was key to winning the work. Gamal Perez, Managing Director, Intellity Consulting, C.A., Member Firm Venezuela Protiviti 1

Raul Silva, Managing Partner, ICTS Global, Member Firm Brazil Member Firm Program The Protiviti Member Firm Program was developed to improve client service through mutually beneficial relationships with established organizations in selected regions around the world. Through this program, we both service existing clients and develop new business relationships with member firms. The first step toward becoming involved with Protiviti is usually establishing a subcontracting relationship. Protiviti subcontractors enter into nonexclusive arrangements to provide service alongside Protiviti on existing projects in regions where we do not currently have a physical presence. These arrangements give both Protiviti and the subcontracting organization an opportunity to identify synergies and determine if a more formal business association would be beneficial. If a firm and Protiviti are interested in moving beyond the subcontractor level, the firm may become a Protiviti member firm. Member firms enjoy a variety of benefits, including: Use of Protiviti-branded collateral, thought leadership and promotional materials Territory exclusivity and first right of refusal on all projects in the defined territory Use of Protiviti marks A presence on the protiviti.com website Protiviti University, including access to our online training repository, itraining Access to ishare, our Internet repository of shared methodology, work programs, reports, etc. Protivitiglobal.com URL email name usage Access to the Governance Portal, which includes our Internal Audit Portal for use on internal audit outsourcing engagements.
