SURETY DIVISION OVERVIEW OF BID BONDS By Jacob Dines of Surety1 Bid Bonds Issued by surety on behalf of a contractor, as principal, as security for a bid to provide goods or services to the obligee. A bid bond is a type of surety bond that guarantees that the principal will enter into the contract that is being bid. Bid Bond Claims A claim on a bid bond will arise under two circumstances: 1. The principal refuses to enter into the contract after determining that the contract will not be profitable due to an error made in the bidding process. 2. After the principal is awarded the bid, the surety may decline the issuance of the performance bond due to underwriting criteria not being met. An honest mistake is usually a valid reason for a bidder to withdraw the bid without penalty. It is common for the surety company to raise a defense on behalf of the principal to avoid paying the claim on a bond. The surety market s rights and obligations are a derivate of its principal s and therefore will often raise its own policy defenses that are not available to the principal. One notable policy defense is waiver because of a delay in presenting the claim thus resulting in an expiration in either the bond or the bid. How a Valid Bid Bond Claim is Processed The amount paid by the surety is constituted by the difference between the principal s bid and the next highest bidder. Here is a good example of such a claim: 1. Principal submits a bid for $50,000 then later revokes the offer 2. The next highest bidder has submitted a bid for $60,000 3. Obligee makes a claim on the original bidder s surety bond for $10,000 $10,000 = $60,000 $50,000 Difference = Next highest bid Original bid There are some exceptions to the above rule depending on the terms of the bond. The maximum liability will be the penal limit stated in the language on the bond. John T. Capitol Connection Q&A for Contractors Week of 1/27/14 By Shauna Krause of Capitol Services, Inc. Rumor; what the other guy thinks he knows; and information on the web can all be suspect when it comes to the facts on contractor s law. The law and practices in forming LLC s in California is one example. Another inquiry illustrates why looking for a loophole isn t the answer in going to work as a licensed contractor Q: I spoke to you over a year ago about obtaining a contractor s license for a new Limited Liability Company (LLC). Due to all of the extra CSLB requirements I decided not to move forward with it. I am in a position now to satisfy those requirements so I started doing some research and according to some of the things I have read online, the process to obtain an LLC license can take many months. This is due to the fact that a Statement of Information must be filed with the Secretary of State, and from what I ve read it is taking months for the Secretary of State to process the Statements of Information. Is this what you have found in your experience with helping LLC s obtain their license? A: It s great to hear from you again. While the additional requirements for LLC s have not changed since we last spoke, what you have found online with regards to the Secretary of State s processing times is not entirely correct. It was the case for the first year and a half of the CSLB allowing LLC s to obtain licenses, that the Secretary of State was backlogged and taking up to four months to process a Statement of Information. However several months ago the Statement of Information unit caught up and currently they are taking only about a week to file the Statement. That being said, most of the time the CSLB is processing LLC license applications just as quickly as corporations, sole proprietorships, etc. Q: For many years I have been doing unlicensed construction, most of the work under $500. I have a corporation already set up. I have an opportunity to take a large home improvement contract but it would require me to get my license within two weeks which I know is next to impossible since I will need to take the exams and get fingerprinted. I have a buddy who has a Sole Owner license that he is not currently using. He said that I could use his license in order to take the job. Can I do that if I change the name on his license to reflect the name of my corporation? A: We frequently talk with contractors who come up with all sorts of different scenarios in order to use someone else s license. There is no loophole here. No matter how clever you are, there is no way for an unlicensed contractor to share a license and still be in compliance with the CSLB s regulations. First of all, changing a business from a Sole Owner to a corporation is not as simple as changing the business name on the license; you are required to re-apply for the license. Secondly, it is still his license and you cannot do any work with that license number unless you are a bona fide employee of his company, in which case the work is still done under his company and not your corporation. While knowledge is power, knowing where to go for the answers is half the battle. Asphalt Worker Safety Tailgate Topics Asphalt is used for paving and surfacing roads, roofing, concrete work, and paints. It is made from petroleum products and is usually heated between 150-200 degrees F. Asphalt is often mixed with solvents (diesel, kerosene, naphtha, toluene, and xylene), binders, hardening and bonding agents (resins), crushed rock, sand, and recycled rubber. Exposure to asphalt fumes can cause serious health effects, so get training and use safe work practices.when asphalt is heated, the fumes can cause coughing, a scratchy throat, or lung irritation. Long term exposure can lead to bronchitis or emphysema. Asphalt additives may create vapors that can cause damage to the liver, kidneys, and nervous system. Hot asphalt can release hydrogen sulfide gas (H2S) that can cause lung irritation, suffocation, or death. Skin contact with hot asphalt can cause burns while absorbing the chemicals can lead to allergies and rashes. Eyes can be irritated by asphalt fumes or if you touch them with dirty hands. Find out about the asphalt products you work with. Check the product label or material safety data sheet (MSDS) to get health and safety information about the specific asphalt mix and ingredients that you use. Where possible, choose asphalt products that are safer to use. Rapid cure asphalts contain solvents to help them evaporate faster, but this increases the risk of vapors and fire. Slower cure and lower temperature asphalt applications reduce the fumes and the fire hazard. The Cal OSHA permissible exposure level (PEL) for asphalt fumes is 5mg/M3. Asphalt additives may also have their own PEL limits, so check the MSDS. Wear personal protective equipment (PPE) when working with asphalt. Thermally insulated gloves prevent asphalt burns and stop solvents from soaking into your skin. Wear long sleeves and pants or coveralls. Safety glasses and a face shield protect your eyes and face. Safety boots protect your feet. If necessary, use respiratory protection to prevent overexposure to asphalt fumes. Avoid breathing asphalt fumes by staying upwind of application areas and enclosing kettles and mixing operations. Don t stick your head over an open tank or kettle and avoid open stirring to prevent burns and overexposure to fumes. Use your PPE to keep asphalt off of your skin and out of your eyes. Wash your hands frequently and before you eat, drink, smoke, or use the restroom. Heated asphalt is a fire and explosion hazard. Do not allow water to splash into hot asphalt because it can bubble up explosively. Some asphalt additives can be flammable. Do not smoke around flammable vapors. Avoid heat and sparks around your asphalt work. Do not weld an asphalt tank or kettle unless you are certain that it does not contain flammable vapors. Keep the correct type of fire extinguisher handy when using asphalt.
