Two options, one solution There are two options in contract management: The document-based and the fact-based contract management. The fact-based concept though, extracts, depending on the contract type, the essential, operation-relevant information from the agreements and summarizes them in a structured manner. With this information, the daily processes can be carried out completely, with-out the need to attend to the small print which is often incomprehensible for non-jurists. Since for this type of contract management the detail data to capture do not only depend from the contract type but also from customer requests, fact-based contract management tools in particular must be highly adaptable. Managed facts Spider Contract captures on request nearly any detail data for each contract, each attachment, each partner. Each information is saved in a structured manner, making it easy to evaluate. The Best Practice configuration cannot only be enhanced by other contract types. You can determine for each contract type, which data shall be entered additionally. The configurations do not depend from each other, so you can also map complex special cases. All data can be evaluated in reports, which can also be enhanced in any possible way. The pre-defined fields allow for the mapping of a clear and long-term consistent contract structure. Even complex cases can be captured properly. The created continuity in the contract design makes a safe handling of the contract partners possible. The Spider Contract customer determines, which data will be saved how. This often includes the following facts: Contracts Contracts are defined separately according to their contract type. Each type has its own contract categories, feature groups, typical repre-sentation and links to other data structures. Additionally, each contract type has its own rule book, which can also control the processes if required. Thus, you can add filters according to contract types or to special contract categories of a contract type or to special forms of contracts. Contracts can be linked to each other, even across different contract types, to map dependencies and facilitate the mutual processing. This makes sense in case of frame contracts or master agreements. Complete contract structures will be captured and mapped in a comfortable contract tree view. Additionally, a compare function allows for filtering the differences between two contracts. Objects / contract items Enhance the information for the contracts, suppliers and customers. Defined objects can be assigned to a superior contract. These objects include e.g. mobile phones, invoices, assessments or notes which may be assigned only to special (reasonable) contract types. These can be evaluated together with the superior contract to determine e.g. utilization degrees. Documents IT-based contract management can reasonably link the contract facts to the contract documents. In practice there are several options for the organization of the contract documents. If a digital archive system is already in use, the corresponding Spider Contract interface can be used in most cases. Spiders provides also its own, integrated document management system. Spider Documents is an integrated component of the Spider product family, organizes important documents and helps with its text search to find the documents and contents. Suppliers / creditors This includes the contract partners which deliver goods or services to a company. Additionally to the core data such as name, several ad-dresses, bank account number as many contacts as you wish and their function and communication data are available. Customers / debtors Debtors are the addressees of goods and services. Their features are similar to the suppliers. Comfortable management and utilization The advantages of an electronic storage of the manifold and complex contract data will be realized in daily use only if also the handling, the access and the management of these information is designed in a comfortable and user-friendly way. Reporting Analyses and overviews of the entire data basis, of selected contract types or risk categories, payment streams or deadlines due in the near future are as possible as compact summaries such as contract number and planned volumes per supplier. Report can even be sent by e-mail - an automatic service. By exact knowledge about the remaining period, decisions regarding extensions or terminations can be planned better. Use this report to filter the (archived) contracts by creditors or debtors. Shows all contracts without definite time limit. Here you can show an overview of contracts with special agreements. This report creates an overview of contracts with special warranties. This report gives you an overview of your risk contracts which enables you to improve your calculations. Overview of all open and already booked amounts; this report shows all payments together with the corresponding contracts. This report gives you an overview of all open payments of the coming 36 months, which facili-tates the planning of further investments. This payment overview gives you a list with contracts, where payments have already been scheduled. The total volume and the payments still to be planned are calculated for the con-tract. This report gives you the information about the business volume which you have with which contract partner resp. which volume he has with you. You can use these data to quickly identify and organize important contract partners into a hier-archy. The report shows you the volume of your contract partners, categorized by the contract status. This report shows the volume which each commercially responsible contact is in charge of. 10

Penalties Risk management Clearing Reports This report shows an overview of all contracts for which a penalty has been agreed. By showing all contracts with high or business-critical risk, you can consider possible losses at an early stage and thus prevent making mistakes. These reports identify possible tasks or unclear data records. For example, the report will look for contracts which a person in charge is assigned to, but where the e-mail address of this per-son is missing. In case of a termination warning, it would be impossible to send an e-mail to these contacts. In another report, all contracts with inactive contract partners are shown. Apart from the above mentioned reports there are enhanced reports. They are different from the normal reports in terms of an enhanced search function for the user. This user can enter various search criteria and add more filters within the segment determined by the report. Please find below three pre-defined enhanced reports: Contracts by contract partner Framework contract Open payment plans (enhanced) Enhanced report for filtering according to details of contracts and contract partners. Use this enhanced report to filter all contracts, which belong to a framework contract. Other filter criteria must be entered via the user search function. Similar to the normal open payment plans report, this enhanced report will show an overview of all open payments of the coming 36 months. However, by entering more information, the user is able to filter the data according to his wishes. Some reports are capable of a drill down, the meaning of which is that there is a direct reference from the summary to the detail data. This is especially practical to analyze outliers. 11

Commercial facts Usually, contracts will lead to payments. In this context, single, regular and irregular transactions are distinguished. A more detailed cap-turing of the planable, future payment streams and a purposeful documentation of paid or overdue amounts is important both for an effective business management as well as for the reporting e.g. according to Basel II. The commercial data include also, apart from the monitoring of outgoing payments, the checking and planning of incoming money. Spider Contract captures both the amounts of a frame agreement and an individual agreement as well as the prepared interim billings. Utilization degrees are calculated automatically on-screen, so that the user is able to purposefully evaluate a contract in seconds. In international trade the conversion of currencies is very important. Spider saves the amount, the agreed currency and converts the value automatically into the target currency (Euro). This unification is indispensable for a meaningful reporting. Cost centers and their charges are synchronized with the ERP system. The list of currently available cost centers as well as their exact iden-tification are always available. Also the charges may be transferred directly from the ERP system or booked into it. Easy integration of SAP data Many customers use SAP as ERP system. Especially for these customers, Spider offers an SAP-SPIDER-Connector based on standard Mi-crosoft and SAP technologies. This connector enables you to transfer SAP data such as cost center data, invoice data, supplier data by using a simple configuration and integrate them into the contract management. Also the transfer of information from Spider Contract to SAP is supported. This allows you to create contracts or repeating orders in SAP MM - this supports the contract management process. This also facilitates the integration of Spider Contract into an SAP landscape which helps to improve the usefulness. Spider supports both SAP MM and SAP FI/CO. Security and individuality The available scope of functions and the representation on the screen is defined for each user group. Everyone gets the data needed in the required form. No more, no less. The representation type, the grouping of individual data and the input possibilities are determined individually for each user group. Individuality does not have to be expensive. Read more about the flexibility of the representation under the key word Administration. The role-based security concepts assigns each user to one or more groups. For these groups, you can define rights and layouts. For example, only the purchasing department is entitled to create purchase contract, the service department will only see the technical data, without being able to change prices or procurement data. The role concept reduces the administrative efforts considerably, because several users are configured in a unified manner. Substitutes are activated and deactivated in minutes. Since it is possible to assign more than one role to an employee, power users with their complex, multiple roles including tasks are easy to map. The enclosed Best Practice configuration contains a role with full access and a role with read-only access. Based on these basic roles you can create and set up any possible mixing form of authorizations. One installation - hundreds of usages All Spider products are usable on each PC available in the company network without the need of installation. Because of the rich, HTML-based surface, the training effort is low. The acceptance is especially high due to the ergonomic and customizable surface. The server components need only one server with a Windows operating system. By the use of more than one server, all Spider products can be scaled to virtually any size. The lean protocol reduces the network load. Also work places with a low bandwidth connection are served quickly - only the data are transferred, which are required for the screen view. As for the internet, a dial-up connection can be sufficient for a secure and highperformance work. 13

Administration The tasks of the administrator include, apart from the technical maintenance of the hosting server, the configuration of each manageable system areas and authorizations. During the implementation phase you will determine which data are saved how. Wizards will support in this definition. There are standard configurations for all components so that the administrator can take advantage of the experiences of others which will reduce his effort considerably. Configuration The representation of each form can be customized individually for mapping the authorizations of each authorization role. A simple user interface supports you in the configuration. The configuration can be changed and enhanced during the operation. When the next user opens a form, the changed view will be dis-played. You can configure the search options and the detail degree of the search results as well as the detailed view of the information. The field layout in a form can include up to six tabs as well as an area for summaries and overviews of assigned components in table form in order to allow for a comprehensible and functional grouping. Apart from the core data, you can decide to only show the data of one function group (e.g. warranty information or procurement data). The screen is used optimally. All saved information can be combined and viewed. The following is available: Lists Filtered overviews, also with link to detail and editing forms for the quick checking or modification of data Reports can be defined by the user, also with freely definable search criteria, which can be multi-level. Links to detail and editing forms are possible. Already introduced reporting tools can be used alternatively to ensure a unified presentation of all company reports. Also spreadsheets such as Microsoft Excel can be integrated without any problems, without security problems or unauthorized data access. Enhancements Spider Contract is completely integrated in the Spider product family. For more complex requirements, a proven IT asset management system, a software license management and a workflow engine for the process control are available. Many tools of other manufacturers can be integrated additionally. Spider Asset The IT asset management system Spider Asset is an ITIL-conform configuration database which manages all work places, servers, commu-nication systems, etc. Further to the technical and organizational data, Spider Asset also manages process and organization data. Spider Asset works together with Spider Contract. The contracts belonging to a hardware or software or work place or employee are di-rectly linked. The facts required for a quick processing are comprehensively available. SLAs, purchase and leasing contracts are as available as the warranty information and commercial remaining values. The authorization system ensures that no information can get into unau-thorized hands. Spider Purchase Product catalogs, requests, orders and the related processes and authorization procedures are mapped in Spider Purchase. To be used as ideal enhancement for Spider Asset or as stand-alone module. Spider License This product provides an overview of purchased and used software licenses. Thus, the obligation of the company to only use licensed software can be met. A scanner captures which software is used on which computers. The Software Identification Service module determines from the col-lected data which product is used on this computer. Even bundles, which are sold under different licensing models, are distinguished and captured separately. By comparing the captured licenses, an over-licensing or under-licensing is visible at once. Upgrade and downsize possibilities are dis-played reliably. Together with Spider Asset the work place affected by a license violation is identified. Spider Contract in turn manages the detail data belonging to a license. 15
