COMPANY PROFILE Venezia Terminal Passeggeri S.p.A. was founded in 1997 by the Venice Port Authority in order to manage and improve cruise traffic in the Port of Venice. Venezia Terminal Passeggeri S.p.A. operates in Marittima, St. Basilio and Riva dei Sette Martiri areas stretching over a surface altogether of more than 260.000 sq. m. of which the Terminals occupy 55.948 sq. m. The maritime basin in the Marittima area measures about 123.700 sq.m. The Terminals are in a strategic position not only for the uniqueness of Venice, but also for the location context which allows an easy access to the city, and to all the attractions that surround Venice. The shareholders of Venezia Terminal Passeggeri S.p.A. are the following: APV Investimenti S.p.A., Finpax S.r.l., SAVE S.p.A. (Venice Marco Polo Airport), Veneto Sviluppo S.p.A. and the Venice Chamber of Commerce. The growing needs of cruise traffic and Venice s appeal as a cultural and tourist attraction have given rise to the radical transformation of the Port area starting from 1997 as a result of the joint effort of Venezia Terminal Passeggeri S.p.A. and the Venice Port Authority. Such transformation is exemplified by the renovation of ancient port buildings once dedicated to the commercial traffic, which have now become modern and multi-purpose facilities. Venezia Terminal Passeggeri S.p.A. s port facilities cater the needs of any ship berthing in Venice. Ferry Terminal 123 assists ferries for the Eastern Mediterranean area; St. Basilio Terminal accommodates medium-size cruise ships, mega-yachts and high speed hydrofoils; Cruise Terminals 103, 107/108, 117 and Terminal 1 Isonzo in Marittima area are multi-purpose facilities which, additionally to their main purpose, are utilised for hosting meetings, conventions and fairs; Terminal 2 Isonzo is in course of construction, while the refurbishment of the building 109/110, which will be transformed on a multi-purpose cruise facility, will start shortly. In addition Venezia Terminal Passeggeri S.p.A. is the majority shareholder of three specialized companies: Venice Yacht Pier S.r.l. (V.Y.P.) founded to increase yachting in Venice, Venice Yachts and Ship Assistance (V.Y.S.A.), dedicated to the promotion of services for the maxi-yachts market and VTP Events S.r.l., created with the purpose to organize fairs and events. Finally Venezia Terminal Passeggeri S.p.A. is a shareholder of Ravenna Terminal Passeggeri S.r.l., which manages the new Cruise Terminal Porto Corsini, and is a minority shareholder of the newco Venice New Port S.c.p.A. founded to develop the project for the building of the new terminal dedicated to the Sea Highways which will be implemented in Fusina area (Venice Marghera) and which will include also berths for mega cruise ships.

COMPANY STRUCTURE

INNOVATIVE SOLUTIONS FOR PASSENGER PORTS Since its foundation, Venezia Terminal Passeggeri S.p.A. (VTP) has reached and continues to fully exceed the objectives for which it was created, handling an impressive 2.075.175 total passengers in 2010, which represents a 193,08% increase since 1997. The Company has also expanded its operations beyond the Venice area, now also operating the Ravenna Cruise Ship Terminal as technical partner. The complexity associated with management of a Passenger Port with these numbers, in terms of ship traffic and passenger and operators handling, and with multiple operating sites has led the VTP to look into innovative solutions to improve how it manages passenger flows, to decrease the time ships must remain in the port, and to reduce energy consumption related to port operations. VTP Engineering was founded to meet this need and has developed into a division of VTP S.p.A., the result of a partnership with Abacoingegneria Treviso S.r.l., an engineering company highly respected in the area of industrial design, consulting for project management and technical engineering services. The objective of VTP Engineering is to design and implement innovative technological solutions and patents to apply to port-related areas.

MBT (MULTIPURPOSE BOARDING TOWER) A NEW ENVIRONMENTAL-FRIENDLY SOLUTION FOR PASSENGER LOGISTICS AT THE PORT The MBT is an innovative multi-purpose tower for boarding and disembarking passengers from cruise liners, recently been patented by V.T.P. Engineering. The MBT project originates from an analysis of the functional deficiencies of current boarding gangways in relation to the ever-greater dimensions and passenger capacity of the new cruise ships. The MBT facilitates the embarkment and disembarkment of passengers (especially those with reduced mobility) from cruise ships, using elevators to link the dock, terminal and vessel, regardless of the height of the boarding ramp, thereby giving a number of alternative and safer routes to passengers and dock operators and crew. The MBT has limited overall dimensions on the dock and leaves the ship side free for luggage delivery or other activities. Venezia Terminal Passeggeri has implemented the first prototype of MBT, operating in Piave Quay, with the following technical features: Direct connection between Dock - Terminal - Ship Boarding point: 4 m. to 14 m. high above the dock level, also for ships with outboard lifeboats. Functions: - movement of tower along the dock, - lifting of telescopic tunnel, - handling of boarding bridge 3 lifts holding 26 persons each, for a flow of 2,300 persons/hour or more (one of the lift can be reserved for port and ship personnel) Security check point on dock for the access to the ship directly from the quay (or vice versa) even without using the Terminal. User-friendly also for unaccompanied passengers with reduced mobility. Short walking paths and limited slopes. Independent electricity generator for total autonomy of the MBT even in case of loss of energy from the network (from the Terminal). Dimensions on dock: 9 m. x 15 m. Tower height of 18 m.

LOCATION

THE PORT OF VENICE: STRATEGICALLY LOCATED AND LINKED All terminals are easily connected with the main land, in fact the Venezia Terminal Passeggeri S.p.A s facilities are situated at the exit of the Ponte della Libertà (cause way connecting Venice to the main land), allowing to reach the Passenger Port by car, taxi-cab, water taxi, public waterway or bus. In addition all terminals are only 3 minutes far from the historical city centre thanks to the People Mover, a land funicular connecting the Passenger Port to Piazzale Roma, the point in which land traffic enters the city. This monumental work which has completely changed a side of the city and the town entrance, responding to local mobility and international visitor reception requirements, will be completed by the future construction of a new multi-story car park along with shops and hotels located at the Marittima area. Furthermore, less than 13 kilometers from the Venezia Terminal Passeggeri, the International Marco Polo Airport with its 200 daily flights completes the Port s claim to be one of the most easily accessible Cruise Terminals. Location of the Passenger Terminals is strategic not only for the city, but as well for its easy access to all the attractions that surround Venice and the Veneto Region. Among the main cultural attractions within 60 miles from the Port of Venice, you will find Treviso, Padua, Verona and Garda Lake. The wineries of the Soave grape, the Euganean Hills, famous golf courses like the Asolo Golf Club or the Lido of Venice, the Dolomites and Cortina d Ampezzo are an hour and a half away. TERMINAL 103 Terminal 103 is a state of the art facility, opened in 2003 and set on two levels with departures on the first floor and arrivals on the ground floor. The Terminal offers passenger reception services, conveyor belts for luggage and customs controls, while dedicated taxi ranks are located along the dockyard. TERMINAL 107/108 Terminal 107/108 is a two-story facility restored at the end of 90s. Equipped with a modern adjustable gangway and designed for easing the transit of in and outgoing passengers without compromising security and customs controls, it allows the simultaneous berthing of more than one large ship. Easy access to embarking and disembarking procedures is granted by the strategic location of the facility: the proximity with car depot areas 1 and 2, the availableness of dedicated taxi ranks and areas for cruise line transfer coaches immediately outside the Arrival Hall allow for a more rational and problemfree management of passenger flows. Signing on for year-long contracts at sea in order to support loved ones at home, mariners must deal with isolation, stress, dangerous conditions and increasing incidents of piracy in certain parts of the world. VENICE MARCO POLO AIRPORT SAVE S.p.A. has been managing the Venice Airport System, which includes the airport of Venice and Treviso, that has globally recorded 6,9 millions of passengers in the 2010. With over 200 daily flights, the Venice Airport represents a crucial junction for international exchanges. The strength of the Airport is the airline traffic which represents 95% of the total. With a surface of around 60.000 square metres, the new passenger terminal has been designed for 6,5 million passengers. Five hundred kilometres of electric wires, data transmission and optical fibres make it one of the most technologically advanced air terminal of Italy: 60 check-in points, an advanced Baggage Handling System, extending itself for a total length of 3000 metres, will enable the luggage automatic handing-out through optical scanner systems. Boardings will be done through six loading bridges which are directly connected with the aircraft and equipped with automatic optical scanner systems; otherwise, they can be done through passenger shuttles. More than 6 millions Euros have been invested for providing the terminal with video-surveillance devices, access control systems, x-ray devices for the luggage control, x-ray systems for the control of hand luggage, metal detectors. The security system planning features a high degree of innovation. Besides the different system control software with a surveillance function (fire-fighting, smoke control, intrusion control, gate control, etc.), a further global control system is scheduled. SECURITY & SAFETY PORT SECURITY The Venezia Terminal Passeggeri S.p.A. has systematically implemented all the measures envisaged in the Port Facility Security Plan by adopting technological instruments for an effective control and prevention system in compliance with International security regulations (ISPS Code / EC Regulation 725/2004). Among the measures undertaken are: passenger, baggage and vehicle screening procedures; security patrols; creation of restricted areas; personnel identification procedures; access control; installation of surveillance equipments. Nonetheless, the Venezia Terminal Passeggeri S.p.A. continues to undertake several initiatives to implement innovative security solutions that enhance and safeguard the movement of passengers. In its activity it benefits also from working in partnership with the port users and local and State authorities. SECURITY INFORMATION OUTLOOK ISPS compliant as of July 1, 2004. Fully staffed Security department. Night patrol 19.00-07.00 (Marittima, St. Basilio, St. Marta). 24-hour closed-circuit television (over 100 cameras) monitoring of Port roadways and cruise terminals. PERSONNEL The Venezia Terminal Passeggeri S.p.A. employs a fully staffed Security department and oversees contracted security providers that guarantee a 24-hour control on the port area. An average than 40 security guards are every day engaged in port access controls, quay gate access controls, passenger and baggage screening, video - surveillance and monitoring, patrol operations. BARRIERS AND SECURITY EQUIPMENT The Venezia Terminal Passeggeri S.p.A. has implemented barriers and security equipment on facilities, including perimeter fencing, optical intrusion detection devices and closed-circuit camera surveillance including a waterside surveillance capability. All terminals are equipped with X-ray stations for hand luggage and luggage control, MD arches for the screening of embarking passengers. The Venezia Terminal Passeggeri S.p.A. manages also 4 X-ray mobile vans equipped with MD Arches screening of transit passengers and their luggage. PORT CONTROLS Access controls performed by the Venezia Terminal Passeggeri S.p.A. ensure that only authorized vehicles and individual persons can access the Port areas. PASSENGER AND BAGGAGE SCREENING Passengers arriving at the cruise terminals proceed through security screening and must provide their cruise documents in order to board a cruise ship.

A First Aid Station is available within the port premises, providing medical assistance, an ambulance, defibrillator and other medical equipment during the operation hours. The Venezia Terminal Passeggeri S.p.A. steadily and considerably invests in infrastructure and technology to ensure that the port operations are carried out in the safest way and that all workplaces - quays, passenger terminals, covered and uncovered areas - are incident and injury free. The reorganization of the port road network has upgraded the quality of the internal traffic circulation both in terms of traffic measures and access controls, while the introduction of new pedestrian pathways, the division of the restricted operational areas from the open visitors areas and the increasing use of passenger boarding bridges has improved passengers safety and comfort when boarding and disembarking. The Venezia Terminal Passeggeri S.p.A. is aware that a safety culture can be established and maintained only thanks to the cooperation with the whole Port community involved in the supply-chain management and with the ships crews. STATISTICS A STATISTICAL OVERLOOK ON THE PORT OF VENICE In 2010 the Venezia Terminal Passeggeri S.p.A. has achieved the record of 2.075.175 global passengers with a growth of 193,08% in respect to 1997 and 1.426 calls in total. This result reasserts the quality of the services offered by the Passenger Port of Venice confirming it as one of the most strategically located and best organized passenger terminals of the Mediterranean Sea. The Port of Venice stretches over a surface altogether of more than 260.000 sq. m. of which the Terminals occupy 47.267 sq. m. The maritime basin in the Marittima area measures about 123.700 sq.m., the available terminals are 6 and the total quays length available is 3.277,48 m. (10752 11 ). CRUISES In the last ten years the Cruise Terminal of Venice has quintuplicated the number of cruise passengers rising from the tenth to the fourth position among the European cruise ports and, stands to the International analyst GP Wild, taking the 11th Worldwide position becoming first Homeport of the Mediterranean Sea, together with Barcellona. A dizzy growth that from 1997 to 2010 has registered a traffic increase of 439,99%. In 2010 the Venezia Terminal Passeggeri S.p.A. has achieved 1.617.011 cruise passengers increasing of 13,80% in respect to 2009. The success of the Cruise Port of Venice is due not only to the undoubted appeal of the lagoon city but above all to the extension works made on its facilities and to its capacity to offer efficient services. This positive trend fits in the context of a relevant growth of the cruise traffic at a Mediterranean level and specifically at an Italian level. FERRIES In 2010 the ferries activity in the Port of Venice has registered 357.813 passengers, 385 calls and 161.972 vehicles. These numbers confirms Venice as an ideal departure port to reach the East Mediterranean Sea, in fact daily departures and arrivals ensure the connection from/to the lagoon city and the Greek ports 12 months per year thanks to two important ferry lines. HIDROFOILS Venice represents an ideal departure port to visit the Croatian and Slovenian coasts, reachable in about three hours of navigation by fast hydrofoils and catamarans. The last season has registered 100.351 passengers and 412 calls. The facility dedicated to the fast connections to Croatia and Slovenia is the St.Basilio Terminal, easily reachable with public transportation from the Tronchetto area, the S.Lucia Railway station and the Piazzale Roma area. The hydrofoils and catamarans lines currently operating in the Port of Venice ensure, from April to October, daily departures and arrivals with the most popular destinations of the Istrian peninsula (Pula, Rovinj, Lošinj, Piran, Umag, Portorož, Rabac).
