AC T I V I T Y O F C O M PA N Y CONSTRUCTION With our share in the Czech building market, we are among the top contractors in the construction sector. We work as the general contractor and can prepare projects from the feasibility study to the design, provide building work, prepare documents for takeovers and represent investors in the final approval proceedings and work handover to investor. These are our major areas of business: RAIL STRUCTURES We supply all types of rail structures (railways, tram lines, cranes) from manufacture to reconstruction to maintenance. We modernise, optimise and upgrade high-speed corridors, regional tracks, railway stations and railway sidings. We build railway bridges, underpassages, culverts, drainage systems and anti-noise measures. ROAD CONSTRUCTION We build and reconstruct highways, roads, high-speed roads, city and single-purpose roads including cycling tracks. We build airport areas, parking and roundabouts. We can supply specific services, such as installation of channels and/or guard rails. BRIDGES AND BRIDGE STRUCTURES We build and reconstruct monolithic bridges and small to medium size structures including railway bridges. For new piping, repairs and overhauls of existing systems and structures, we use traditional and modern techniques.

REPORT OF THE BOARD OF DIRECTORS REPORT OF THE BOARD OF DIRECTORS Dear business friends, Last year we were successful in implementing the plans and achieving the objectives laid down the year before and strengthening our position on the market in railway, road, bridge and water construction. In railway construction we were involved in the modernisation of railway corridors and route optimisation, as well as in investment and repair works on railway infrastructure. For example, as the leader of a venture or on a separate basis we modernised the railway route Ostrava Hrušov Bohumín Vrbice and reconstructed the railway yard of the railway station Ptení. In road construction we developed our potential to handle large jobs on our own, as we for example built the project D1-0135 Kroměříž east Říkovice and I/19 Žďár nad Sázavou Nové Město na Moravě, successfully started the job of the I/60 bypass of Javorník and worked on other projects, as well. For regional investors we did, among other things, the overhaul of the area in front of the Olomouc railway station and built a new enclosure run for wolves and bears for the Zoological Garden Olomouc. We were also actively involved in repair works after the flood-related damage after June 2009 when we did repairs on the railway infrastructure, on categoryi,iiandiiiroads, in various municipalities and for Povodí Moravy, the administration body of the Morava river. In the railway transportation sector we successfully separated one section of the company and transferred this section to our subsidiary IDS CARGO, a.s. This process was completed in the first half of the 2009 fiscal year. These activities led to a major increase in the performance of the company already totaling 66 mil. EUR for the 2008 fiscal year (the first transitional period lasted from 1 Jan 2008 until 31 Aug 2009), without counting the turnover of IDS CARGO a.s. For the 2008 calendar year, total output was 43.3 mil. EUR, which is a big increase compared to 2007. Pre-tax profit for 2009 the fiscal year totaled 10 mil. EUR. This relatively dramatic growth was a challenge in terms of processes and human resources, as we had to ensure high technical quality. Our company also successfully introduced a new information and controlling system ensuring on-time and accurate information flow needed for analyses, planning, order management and company development as such. Our corporate HR policy supports company growth by means of controlled improvements of skills of all our staff. We are developing a core of our own, highly- qualified staff to which we are adding fresh graduates on a regular basis. We believe that this HR policy is a very beneficial way for our company to raise competitiveness in our market.

REPORT OF THE BOARD OF DIRECTORS The company introduced a Quality Management System according to ČSN EN ISO 9001:2009, Health, Safety and Environmental Protection System according to ČSN OHSAS 18001: 2008 and an Environmental Management System under ČSN EN ISO 14001: 2005. All systems were re-certified in 2008 and 2009. The certificates are valid until 2012 and supervisory audits are done by a certified body on an annual basis. In 2009 the company was awarded the Golden Certificate of Integrated Management Control for all activities indicated in the commercial register. We observe all principles of these systems and modify them continuously, as the company grows. For the upcoming periods, the company intends to reinforce and maintain the current development. Our aim is to be given more and more trust from investors in terms of work quality and compliance with provisions of contracts for work and, given the objective conditions of the ongoing economic recession, to continue with all business areas at least in the same scope as last year. Halfway through 2010, acquired a 100% share in the company Viamont a.s. We significantly raised our building capacities and building work volume mostly in national traffic infrastructure. This includes completed and pending projects for the Ministry of Transport of the and/or the organisations controlled by this ministry, specifically for the Railway Infrastructure Administration, state organizations, the Road and Motorway Directorate of the and for the Morava River Administration, state organizations, as well as for the Waterways Directorate. We dare to say that we have high-quality know-how for project management, human resources, material procurement, transportation and machinery and equipment in these areas. We collaborate with top Czech design companies, since we believe that overall work quality starts with quality design. The company management and other senior staff are constantly ensuring the high level of these activities and independent audits into H&S, production processes management and environmental policy are carried out annually. The building works, supplies and other tasks relating to public traffic infrastructure orders proceed in high quality and in full compliance with technical and quality conditions of transport departments and with European standards. Nowadays, in an era that may be called "the global merging of nations," trends bring, among other things, a high requirement on communication and transportation, and we would like to expand and work on construction projects outside the, too, mostly in transportation infrastructure. EUR Overhaul of bridge structures, demolition of existing structures, construction of bypass roads and temporary bridging, construction of new reinforced concrete bridges with flat or deep foundations, relocations of affected utilities, modifications to channels of bridged watercourses. Construction period: 2007 2009 Total price: 4.7 mil. EUR Construction of new or reconstruction of original reinforced concrete, steel, composite bridge structures including reconstruction of rail top, application of innovative solutions to reduce railway traffic shutdowns construction of reinforced concrete structures outside the route and subsequent shifting of the ready structure, and use of chemical jet grouting for innovative railway casing. EUR Construction of three new reinforced concrete highway bridges, construction of three road sections and related highway structures. "Reconstruction of bridges on Category I roads" "Reconstruction of bridges on railroad infrastructure" Railway Infrastructure Administration, state organization, with head office Prague 1, Nové Město, Dlážděná 1003/7, ZIP 110 00 "D1 0135 Kroměříž east Říkovice" "Road I/60 Javorník bypass" Road and Motorway Directorate of the, administration Olomouc, with head office in Prague 4, Čerčanská 12, ZIP 140 00 Construction period: 2009 2010 Total price: 14.2 mil. EUR New relocation of road I/60 with a total length of 5 km, connection to local roads, construction of 7 reinforced concrete bridges and relocations of utilities. The road lies in difficult mountain terrain with high precipitation. After removing the top soil and making cuts in the earth body, the entire route was drained using a drainage system and catch wells. Because of the high amount of unsuitable material, the embankment was reinforced by geo-grids. Special machinery was used for laying structural layers of mechanically compacted stoneware. Bituminous road layers are made of modified asphalt concrete.

SELECTED MAJOR PROJECTS Construction period: 2009 2010 Total price: 6.9 mil. EUR Repair of existing road I/19 by replacing bituminous structural layers in a total length of 10 km, repair of road drainage, modification and modernisation of the through-road in the municipality, including repair of a reinforced concrete three-pole bridge. The repair of this road involved a removal of the bituminous carpet, rehabilitating frost related cracks and reinforcing bigger defects using a geo-grid. Reinforced bituminous road layers of modified asphalt concrete were laid. Railway Infrastructure Administration, state organization, with head office Prague 1, Nové Město, Dlážděná 1003/7, ZIP 110 00 Construction period: 2007 2009 Total price: 26.6 mil. EUR Repair of the geometrical position of switches and rails, replacement of rails and points components and small rails. Replacement of ties on switches and of all rail types. Regeneration of switching components by electric arch. Welding of rails and switches into a contact-free rail. Reconstruction and construction of new platforms. Reconstruction and repairs of all types of bridge structures. Removal of self-sown plants and risky cutting of vegetation. Rehabilitation of rock cut-ins using retaining systems, anchoring of rock walls by chemical anchors. Reconstruction of rails, switches and railway crossings by using new and recycled material. Reconstruction of safety devices and control systems, illumination of stations, repair of local radio network, repair of feeding stations. "Road I/19 Žďár nad Sázavou Nové Město na Moravě, repair" Road and Motorway Directorate of the, administration Jihlava, with head office Prague 4, Čerčanská 12, ZIP 140 00 "Repair and maintenance on railway infrastructure administered by RIA" "Repair and maintenance on railroad section Liberec-Chrastava" Railway Infrastructure Administration, state organization, with head office Prague 1, Nové Město, Dlážděná 1003/7, ZIP 110 00 Construction period: 2008 Total price: 4.8 mil. EUR All works were done in order to raise the route speed. The biggest volume was a comprehensive repair of the substructure and top of the single line. Part of the works on the substructure was rehabilitation and drainage of substructure. Most important of the work on the railroad top was the supply and installation of a new railroad grid and machine cleaning of the gravel bed across the profile. A contact-free rail was set up and the geometrical position of the rail modified. Part of the repairs was the reconstruction of railway crossings. Furthermore, the safety system was upgraded and utilities relocated.

Railway Infrastructure Administration, state organization, with head office Prague 1, Nové Město, Dlážděná 1003/7, ZIP 110 00 Construction period: 2009 Total price: 2 mil. EUR Complete rebuilding and modernisation of railway yard in railway station Ptení. The substructure was restored and a new substructure drainage made. The core of the work on the railway top were supplies and installation of switch structures, setting up the contact-free rail and switches, including electric heating. Also, an island platform was built, including lighting, and a new information system delivered. Part of the construction was setting up a local radio network for remote control of rail traffic and reconstruction of the safety device for remote rail traffic control. EUR Comprehensive reconstruction of the substructure and top of a two-rail corridor track. Most reconstruction work was related to the substructure and top. Part of the works on the substructure was rehabilitation and drainage of substructure. The crucial part of the work on the railway top was the supply and installation of a new rail grid, setting up a contact-free rail and modifications to the geometrical position of the rail based on parameters laid down for this corridor track. As part of the reconstruction, a new railway power line throughout the reconstructed section was built and the safety system reconstructed. Also noise protection structures were built. "Reconstruction and construction of technological devices and buildings for České dráhy a.s." České dráhy a.s., Nábřeží L. Svobody 1222, ZIP 11015 Prague 1 Construction period: 2007 2009 Total price: 7.4 mil. EUR Reconstruction of the entire low-voltage wiring, data and telephone network in the clearing building where transportation service clearing is being done. Top floors of the administration building of the rail vehicle depot in Olomouc were reconstructed and a vertical extension made, including new utilities, wiring and fixtures. The hall where railway vehicles are maintained was reconstructed and an extension built. The project included design, supply and installation of technologies. Upgrades were also done to utilities, lighting and installation channels in the hall. A new technological water treatment plant, including oil separator, was delivered and installed. A device for testing and repairing heating in railway carriages was set up. Rail brakes were constructed in four marshalling yards rail brakes, including adjacent railway yards.
