Objectives of the project and its scope On 12 December 2008 the authorities of the City of Sopot and PKP S.A. concluded an AGREEMENT which is to lead to joint execution of a Project of revitalization of the train station and its adjoining grounds, with participation of a Private Investor. 3
Objectives of the project and its scope The Undertaking is to serve implementation of public tasks which belong to the scope of local authority s tasks as defined by the Local Government Act of 8 March 1990 (Journal of Laws of 2001, no. 142, item 1591, as amended), and the Municipal Services Act of 20 December 1996 (Journal of Laws of 1997, no. 10, item 22, as amended) and tasks of the PKP S.A., pursuant to the Act of Commercialization, Restructuring and Privatization of the State-Owned Company "Polskie Koleje Państwowe" (Journal Journal of Laws of 2000, no. 84, item 948, as amended) and company s bylaws. 4
Objectives of the undertaking and its scope These are tasks in following areas in particular: revitalization of urban areas; good spatial governance and management of the properties belonging to the Local Authorities and the PKP; local roads, streets and organisation of road traffic; local public transport; tourism, including recreation areas; local green areas; management of facilities belonging to local authorities and the railway company; management of public utilities; promotion of the district and the PKP; activity supporting land transport. 5
Location of the undertaking The investment project will be completed on a site of more than 17 000 sqm located in the centre of Sopot, in an area between Podjazd, Kościuszki and Kolejowa Streets, adjacent to Bohaterów Monte Casino Street, the best-known street in Sopot which leads straight to Europe s longest wooden pier. The site has good transport links, it has direct road access to the main artery which connects the three cities of Gdańsk, Sopot and Gdynia. It is 20 minutes away from the airport and 26 km to the A1 motorway. 6
Location of the undertaking Current owners of grounds of the Project: City of Sopot freehold title to the land; State Treasury grounds in perpetual usufruct by Polskie Koleje Państwowe. The project will be carried out on grounds which belongs to two entities, which significantly impacts the costs involved and advantages associated with the Undertaking. 7

Local Zoning Plan The mandatory zoning plan of Sopot allows in the area of the project town centre services, such as: shopping services; eating outlets; offices; hotels, and other light commercial services.

A model specification of functions and uses Preliminary plan for the scope of the Project: Complex of commercial, retail and service buildings of approx. 17 000 sqm total floor space, with about 300 500 sqm for railway station use; Two- or three-star hotel of total floor space of 5700 sqm; Two-level underground car parks, 338 parking spaces are preliminarily planned, and additionally an on-grade car park. A model specification of functions and uses As part of the project, it is additionally planned to upgrade the traffic arrangements to make up an integrated communication interchange for pedestrian, car and bus traffic as well as the SKM fast urban railway and longdistance trains; Source: BBS Design upgrading of the traffic system in Kościuszki Street, possible construction of two roundabouts; traffic in the vicinity of the railway station to be routed underground; construction of an exit road feeding the traffic from basement car parks. 13

Advantages arising from execution of the undertaking Results: thorough revitalization of grounds adjoining the train station in Sopot, together with solving traffic problems in that area; new architectural and functional landmark in Sopot; building of an impressive train station and its surroundings, well-suited to the specific character of Sopot; comprehensive solution of many traffic problems in the centre of Sopot (access to the train station, car parks); impressive effect increased touristic, commercial and cultural attractiveness; new jobs. 16
Advantages arising from execution of the undertaking The Town s benefits from the undertaking are as follows: payment from investor; new road layout; green areas; facility for tourist information services. In order to provide proper conditions for passengers, facilities to be included in the newly-built spaces will be at sole disposal of PKP S.A. These will be in particular: offices; ticket offices; information service; left luggage office. Additional benefit of PKP S.A. will be payment from the investor. 17
Advantages arising from execution of the undertaking Private investor s benefits from the Project: access to attractive and best-located grounds in Poland; modern retail and service spaces; financial benefit in form of return on the capital employed. 18
