5. BOOTH SIGN-UP PROCEDURE: A. PAYMENT POLICY: Contracts must be accompanied by full booth payment (where required). B. CANCELLATION OF AGREEMENT and CANCELLATION FEES: Exhibitor shall have the right to cancel this Agreement at any time by written notice to CAMEO. In the event of such cancellation received up to 15 days prior to event, CAMEO shall refund full exhibit space payments already made by Exhibitor (does not include pre-paid booths by Platinum and Gold). CAMEO shall refund 50% of booth space cost on cancellations received within 14 and 7 days prior to the Event (does not include pre-paid booths by Platinum or Gold). No refunds will be given to the Exhibitor, should Exhibitor cancel this agreement within 6 days or less prior to Event. Under any circumstances, CAMEO has the right to re-sell any Booth spaces cancelled by Exhibitor. RULES & REGULATIONS: It is understood that this document will become a binding contract upon acceptance by CAMEO, and incorporated into this contract are the terms, conditions, rules and regulations contained herein. Please retain a copy of this contract for your records. Please note: Your signature and initials are acceptance of the Rules & Regulations. The application will be returned to you if not properly signed and space will not be assigned until the contract is executed properly and / or the appropriate payment is received. AGREEMENT: Exhibitor hereby agrees to be bound by the terms of the Agreement which are the Official Rules of the Trade Show. Exhibitor further agrees to adhere to and be bound by (i) all applicable fire, utility, and building codes and regulations; (ii) any rules or regulations of the facility where the Trade Show is held; (iii) the terms of all agreements and leases between CAMEO and the managers or owners of said facility; and (iv) the terms of any and all leases and agreements between CAMEO and any other party relating to the Trade Show. Exhibitor shall not, nor shall Exhibitor permit others to do anything to the Booth or do anything in the facility which would cause a difference in conditions from those previously approved by the insurance carriers of CAMEO or the owners or managers of said facility, which will in any way increase premiums payable by any of said parties and/or any such increase resulting from a violation of this section. ASSIGNMENTS AND SUBLEASE: Exhibitor shall not sublet the Booth or any equipment provided by CAMEO, nor shall Exhibitor assign this Agreement in whole or in part without written notice to and approval from CAMEO. BOOTH CONFIGURATION AND DECORATION: Exhibitor is required to keep all materials, items, decorations, activities and all other personnel in the booth, within the confines of the Exhibit Space, as referenced in section Standard Booth Equipment of the Agreement. Any Exhibitor who exceeds or oversteps the Exhibit space will be required to immediately alter their Exhibit space to the satisfaction of CAMEO, at its sole discretion. Exhibitors are responsible for 100% of the tear-down, clean-up and removal of all items used as part of their exhibit or kept in their exhibit space. BUSINESS APPOINTMENTS AND NON-REGISTERED GUESTS: Exhibitors may not invite non-cameo guests into the Trade Show. Exhibitor may not schedule a business appointment during the Trade Show. CANCELLATION OR POSTPONEMENT OF TRADE SHOW: In the event that the Trade Show is postponed due to any occurrence not within the control of CAMEO, whether such occurrence be an Act of God or the common enemy or the result of war, riot, civil commotion, sovereign conduct, or the act or conduct of any person or persons not party or privy to this Agreement, then the performance of the parties under this Agreement shall be excused for such period of time as is reasonably necessary after such occurrence to remedy the effects thereof and in any event for the duration of such postponement. In the event that such occurrence results in the cancellation of the Trade Show, the obligations of the parties under this Agreement shall be automatically terminated and all rental payments made under this Agreement shall be refunded to Exhibitor (does not include pre-paid booths by Platinum and Gold), less a pro rata share of expenses actually incurred by CAMEO in connection with the Trade Show. Exhibitor agrees that its sole and only entitlement in the event of postponement or cancellation shall be a refund of rental payment, and by signing this Agreement forever waives, on behalf of itself, its officers, agents or employees, successors, heirs and assigns, any additional claim of actual or consequential damage as a result thereof. CHILDREN: The Trade Show is a professional event and educational venue. It is not an appropriate place for children. No one under the age of 21 is allowed in the Trade Show at any time.

CHOICE OF LAW: This Agreement shall be construed according to the laws of the State of Nevada. EQUIPMENT: Booth equipment provided by CAMEO or The Orleans shall be returned to CAMEO or The Orleans at the end of the term herein, complete and in good condition, normal wear and tear excepted. Exhibitor shall have no right, title or interest in such equipment, but only the right to use it under this Agreement. All other equipment shall be provided by Exhibitor at its own expense. All draping and decorative materials used by Exhibitor shall be flame proof. All booth equipment shall be in keeping with and consistent with all rules, codes, and regulations referred to under Agreement above. All demonstrations and displays shall be confined to Booth Space. EXCLUSION: CAMEO shall have the right to exclude or require modification of any display or demonstration which, in its sole discretion, it considers unsuitable to or not in keeping with the character of the Trade Show. CAMEO shall have the right to demand modification of the appearance of dress of persons or mannequins used in connection with displays or demonstrations hereunder. HANDLING AND STORAGE: CAMEO and the owners or management of the facility where the Trade Show is to be held shall not accept nor store display materials or empty crates, and exhibitor shall make its own arrangements for shipments, delivery, receipt and storage of such materials and empty crates. HEIGHT RESTRICTIONS AND USE OF EXHIBIT SPACE: Height for all booths, display equipment, or signs shall be EIGHT FEET, unless an exception is obtained in writing from Exhibit Management sixty (60) days prior to the day of the event. When granted an exception for an additional height, Exhibitor agrees that all exposed sides of such addition must be finished. If the Exhibitor uses a specially built display, such display must utilize the entire EIGHT FOOT height limit on rear walls and THREE FOOT height limit on side walls where they adjoin neighboring booths. If any portion of such walls are unfinished, the Exhibitor must arrange and pay for necessary draping to cover the unfinished walls facing his neighbors. Exhibits not conforming to these specifications or which, in design, operation or otherwise, are objectionable in the opinion of CAMEO, will be prohibited. Height restrictions shall include but are not limited to balloons, header signs, custom-built displays, etc. No signs of any kind or nature, may hang from the ceiling of the Exhibit Hall. In addition, the following activities are prohibited: live animals, open alcoholic beverages, and cooking of and/or distribution of food. PLEASE NOTE THIS SECTION: NO EXHIBITOR MAY DISMANTLE HIS DISPLAY OR REMOVE MATERIAL PRIOR TO THE OFFICIAL CLOSING OF THE TRADE SHOW. EXHIBITORS SHALL PROPERLY MAN THEIR BOOTHS DURING ALL EXHIBIT HOURS OF OPERATION. FAILURE TO COMPLY WILL BE CAUSE FOR CAMEO TO REFUSE FUTURE EXHIBITING PRIVILEGES. CAMEO reserves the right to deny future exhibiting privileges to anyone who, with the sole discretion of CAMEO, fails to comply with the Agreement. LIABILITY: This Agreement shall not constitute or be considered a partnership, employer-employee relationship, joint venture of agency between CAMEO and Exhibitor. Exhibitor hereby agrees to and does indemnify, hold harmless and defend CAMEO from and against any and all liability, responsibility, loss damage, cost or expense of any kind whatsoever (including but not limited to cost, interest and attorney's fees) which CAMEO may incur, suffer, be put to, pay or be required to pay, incident to or arising directly or indirectly from any intentional or negligent act or omission by Exhibitor or any of its employees, servants or agents. Exhibitor further agrees that CAMEO and their respective agents and employees, and the exhibit facility shall not be responsible in any way for (i) damage, loss or destruction of property of Exhibitor or (ii) injury to any Exhibitor or its representatives, agency, employees, licensees or invitee. MUSIC: Music that is played by the Exhibitor for entertainment purposes within the Exhibit booth space must be kept at a low and acceptable noise level to not disturb, disrupt, nor annoy other Exhibitors and those attending the Trade Show. Should CAMEO determine that the music is creating a disturbance, it shall, in its sole discretion, request the reduction of the level or elimination of noise. Should the Exhibitor not comply with this provision, the Exhibitor will be requested to eliminate the music for the duration of the Show. MUTUAL CONSTRUCTION: This Agreement shall be construed as mutually drafted. OCCUPATION OF BOOTH: Exhibitor and any employees, agents or representatives of Exhibitor

must occupy its Booth during official Trade Show hours. Failure to occupy the Exhibit Booth during official Trade Show hours will be cause for CAMEO to refuse future Exhibiting privileges. In the event an Exhibitor consists of only 1 representative; arrangements must be made by the exhibitor for the booth to be covered during show hours. OUTSIDE ACTIVITIES BY EXHIBITOR(S): No Exhibitor, agent of exhibitors, employee, sponsor, associate, successor, heir or assign, may schedule any non-cameo sponsored activity, including but not limited to a hospitality suite, party, activity, or any event during official CAMEO Trade Show activities. Violation of this provision will result in Exhibitor being banned from future attendance at any CAMEO Show, at the sole discretion of CAMEO. PROFESSIONAL COURTESY: Exhibitors are restricted from taking any supplies, marketing materials, and/or give-a-ways from other Exhibitors without their permission. Failure to comply may result in Exhibitor being banned from future CAMEO Shows. SECURITY: CAMEO, the Trade Show facility, or any officer or staff member thereof will not be responsible for the safety of the property of the Exhibitor, his agents, or employees, and theft, damage by fire, accident or any other cause. Exhibitor is required to provide all insurance and/or policy riders to cover all Booth contents. SOLICITATION FOR EMPLOYMENT: CAMEO has a zero tolerance policy of individuals and/or Exhibitors, and/or their representatives, who actively solicit conference attendees or other participants at the Trade Show for purposes of employment. Exhibitors are prohibited from this practice. CAMEO reserves the right, at it sole discretion, to prohibit any Exhibitor, its agent, employee, successor, heir, and assign from any future CAMEO Trade Show should this practice occur. SPACE ASSIGNMENTS: CAMEO shall use its best effort to locate the Booth in one of the locations designated by Exhibitor. Not withstanding the above, CAMEO reserves the right to change location(s) assignments at any time, as it may, in its sole discretion, deem necessary. STANDARD BOOTH EQUIPMENT: CAMEO and/or The Orleans Hotel, will furnish to all Exhibitor's) a booth, 8 deep and 10 wide, one draped six-foot table with 2 chairs (more upon request) and one (1) electrical outlet (upon request). SUIT CASING : CAMEO has a no tolerance policy regarding suit casing. The term suit casing describes the practice by individuals who do not buy a Booth, but bring their product into the Trade Show and solicit in the aisles, in the lobbies, and even in their competitor s Booths and/or represent their services or solicit conference participants for conflicting social activities. If you witness this unprofessional practice, please notify a CAMEO staff person immediately. Any conference attendee, registrant or guest, practicing suit casing will be ejected from the Trade Show and banned from future attendance at any CAMEO Show, at the sole discretion of CAMEO. The term suit casing also applies to any Exhibitor who shares its Exhibit space with individuals, firms, service providers, agents, employees, successors, assigns, heirs, etc., who are representing, marketing, displaying, soliciting, or providing information, brochures, or services, for a firm, company or any form of service other than that of the Exhibitor and/or for any non-cameo social activities. Exhibitors and/or individuals who engage in this practice will be prohibited from any future CAMEO Trade Show, at the sole discretion of CAMEO. USE OF SHOW BADGE: Exhibitor(s) must wear the official Exhibitor Badge at all times. VENUE: The Venue for any dispute involving this Agreement shall be Clark County, Nevada.
