TERMS OF PAYMENT: Full payment is due for each booth requested upon signing and submitting this application. Payments must be processed using Eventbrite.com. All vendors must be setup and ready for business by 9am on August 20, IF EXHIBITOR DOES NOT SHOW OR FAILS TO BE SETUP BY 8AM, BOOTH MAY BE FORFEITED AT VENDOR NATION DISCRETION. NOTE: All exhibitor cancellations must be made prior to June 30, 2016 to receive a full refund. Any exhibitor cancellations after June 30, 2016 will forfeit 100% of the total cost. I understand and accept the terms of this contract as final and binding I agree to follow all rules and regulations set forth by the Exhibit Venue and VENDOR NATION. The signed application constitutes a binding legal agreement. Retain a copy for your records. VENDOR NATION reserves the rights to assign booth locations and to accept or reject any application. 2 CONSUMER EXHIBITOR RULES AND REGULATIONS Exhibition Hours: Saturday, August 20, am-8pm Installation: Exhibitors may commence installation of their displays during the following dates and times: Saturday, August 20, 2016 at 6am-8am. Arrangements may be made to setup earlier at Vendor Nation dicretion. Every vendor must be set up by 8:00am or your booth may be forfeited at Vendor Nation discretion. Vendors will park in designated parking locations ONLY. All matters pertaining to installation will be strictly enforced by the vendor coordinator and VENDOR NATION security. Exhibitors Note of Extreme Importance (Regarding Counterfeit, Pirate or Bootleg Merchandise): No vendor will be allowed to sell or promote any tapes, CDS, record albums, apparel or any other goods unauthorized by the licensed distributors. Any unauthorized sale of said items will result in expulsion from the venue without refund in addition to possible prosecution. Prohibited Articles & Activities: Pornography or any sexually explicit materials, gasoline, kerosene, acetylene, propane gas, helium balloons or other amiable or explosive substance s or etc., are strictly prohibited. Profanity will not be tolerated. Failure to comply may result in expulsion from the venue. All promotional campaigns that have not been pre-approved by VENDOR NATION will be prohibited. Photography Rules: Your participation hereby gives permission to Vendor Nation to use and authorize others (media outlets) to use all or any part of (his/her) interview/photography/video in related media such as books, magazines, journals, pamphlets, electronic (Internet) and other written and video formats interview/photography/video, regardless of the medium by which it is recorded. I also hereby release Vendor Nation and its directors, its members, trustees, employees and agents, from any and all claims for invasion of privacy, defamation, breach of contract or other breach of duty arising out of or in the connection with the use of this interview, photography or video. Shipping of Exhibits: Do not ship materials directly to the Exhibit Venue or to VENDOR NATION as they will be refused. Electricity & Internet: Vendors requiring these services must check the appropriate box on the Vendor Application and pay the additional fees required at time of application submission. Aisles: All aisle space is under the control of VENDOR NATION and shall be used for exhibit purpose. Anyone using aisle space for demonstration, solicitation of business or distribution of cards or flyers may be evicted from the venue. Wheeled Vehicles: No motorized vehicles of any type are permitted within the venue. Exhibitors may bring their own hand trucks and/ or dollies for use to set up their booths. VENDOR NATION does not provide hand trucks. No roller- skating is permitted within the venue. Dismantling: Booth dismantling before stated time is a disruption to the exhibition and increases show liability. Please adhere to requested times. Exhibitors are to dismantle their exhibits between 8:00 pm and 9 PM. Exhibitors who dismantle their booth before 8:00pm may be assessed a $100 penalty. It is the responsibility of the Exhibitors to remove the exhibit and exhibit materials. Any booth not dismantled and removed prior to 9 PM may be dismantled and discarded at Vendor Nation s discretion. ALL vendors will be held responsible for discarding their trash in the large dumpster identified on the premise. Venue trash receptacles are for patrons only and should not be used for discarding vendor materials. Food vendors shall discard all containers, trays, cooking utensils, etc. in the large dumpster ONLY. Failure to comply with these rules will prevent future festival inclusion. Registration: Vendor Nation staff will coordinate vendor load in and striking. Wristbands will be distributed to vendors prior to the exhibition. Liability: Each exhibitor must take provisions for safeguarding of his goods, materials, equipment and display items. General overall security service will be provided by Vendor Nation for the exhibition period, but the security service will not be responsible for loss of material by theft or for any cause. The exhibitor must surrender space occupied by him in the same condition as it was at the time of occupation. The exhibitor is responsible for all damages to the venue and for any and all claims and demands on account of injury, death or damage to property occurring in or upon the exhibitor s booth space or because of the acts of the exhibitors, his employees, servants, agents, licensee or contractors. The exhibitor agrees to indemnify and hold harmless the managing entity (Vendor Nation) and/or the owner from and against any/ all liability, claims and demands that might arise from or asserted in connection with the forgoing undertaking and responsibility of exhibitor. Neither the managing entity, its service contractors, the management of the convention, nor the owners at the venue, their agents, servants, contractors or employees will be held liable for any claims except for claims for damages or injuries caused by or resulting from negligence of the managing entity and/or owner, the management of the convention and the owners and their respective agents, servants and employees. Exhibitor acknowledges that he is responsible for obtaining insurance in such amounts as deemed appropriate to comply with obligations herein and for his own protection. Exhibitor shall pay all cost and expenses (including reasonable attorney fees) arising from any and all liability for any rental or occupation for of exhibit booth space and expressly release the Vendor Nation, the Exhibit Venue and sponsors from all liability that might arise, including injury, damage or loss to any person or property. Exhibitor further releases and discharges the Vendor Nation,

3 Exhibit Venue and sponsor from any and all liability for any loss, injury or damage to persons on property that exhibitor might sustain while participating in Vendor Nation. Articles Subject to Search: Any article brought into or removed from the Venue is subject to search by security provided by the Venue and or Vendor Nation. Subletting: It is understood that no booth space is to be sublet. Any unauthorized subletting will result in expulsion from the venue without refund in addition to possible prosecution. Rules and regulations are subject to change.

4 Vendor Nation Food Vendor Guidelines It is your responsibility to insure that you serve high quality, wholesome food products within a sanitary environment. We recognize the nature of this event and are allowing food to be sold from third party vendors. We ask that you take food safety as seriously as we do and follow the below guidelines. Food vendors must provide a business license and a current copy (within 12 months) of your DHEC (The Department of Health and Environmental Services) score when submitting their application. A score of less than 90 will prevent a vendor from selling within the facility. Vendors must provide sample menus when submitting their application. Food service areas must be kept visibly organized, clean and sanitized at all times. Sanitizing solution, gloves, hats or hairnets must be used. Signage and equipment must be of a high presentation quality. There are special regulations regarding cooking within the exhibit hall. Gas cylinders used for frying or open flame cooking must be no more than 2 pounds in weight. Fryers must have a 12 inch splash guard (this can be made from foil). All cooking equipment must have a UL Certification with a visible tag. Please be aware that excess smoke or steam may set of fire alarms within the exhibit hall. Vendors are subject to fire marshal approval and local codes will apply. Vendors are subject to inspection to insure that health standards are followed. If proper sanitation standards and temperature guidelines are not followed, we will reserve the right to close the food outlet. Vendors must be able to hold hot ready to serve food above 140 degrees and store chilled foods below 40 degrees in a manner that is in compliance with DHEC. All vendors must be self contained and the Exhibit Venue cannot provide kitchen access, refrigeration or to any food service equipment. Exterior areas of the facility are not approved cooking locations unless the use of an enclosed cooking trailer specifically designed for food production is used. The sale of alcoholic beverages is strictly prohibited. The Exhibit Venue and Vendor Nation cannot accept responsibility in the case of illness or harm to patrons due to the actions or products provided by the vendors. 5 Utility Services Order Terms and Conditions 1) PREPAID ORDERS: To receive services, requests must be received and paid for in full at the time of Vendor Application submission. 2) CONDITIONS FOR PROCESSING SERVICE ORDER FORMS: a) Payment, in full, in U.S. funds must accompany service order form. b) Payment may be made by credit card.. c) All order form information must be completed in full in order to be processed. Incomplete order forms could result in processing delay resulting in slow service installation. d) No service will be installed until full payment is received. 3) Prices are based upon current rates and subject to change without notice. 4) All connections provided are subject to verification by Exhibit Venue technicians. Exhibitors utilizing service greater than connections paid for will be subject to charge. All such charges are due prior to close of show. 5) All payments must be made at time of application submission. 6) Credit will not be given for service installed and not used. 7) Obstructions blocking utility floor boxes are subject to relocation as necessary. 8) Exhibit Venue technicians are authorized to cut floor coverings to permit installation of service unless otherwise directed. 9) Electrical labor must be ordered in advance in order to have technicians available when needed (2- hour minimum charge is required). 10) All equipment, regardless of power source, must comply with all Federal, State, and Local Safety Codes. 11) Standard wall, column and permanent building electrical outlets are not a part of booth space and are not to be used by exhibitors unless specified otherwise. 12) All equipment must be properly tagged or marked with complete information as to type and/or amount of current, voltage, phase, frequency, horsepower, etc. required. 13) All materials and equipment furnished by Exhibit Venue for this service order shall remain the property of the Exhibit Venue and shall be removed only by the Exhibit Venue at the close of the show. Exhibitors removing such equipment will be charged at prevailing replacement rates. 14) All exhibitor 120-volt cords must be of the 3-wire grounded type. All exposed non-current carrying metal parts of fixed equipment which are liable to be energized must be grounded. 15) The Exhibit Venue reserves the right to refuse connection to any exhibitor whose equipment is deemed unsafe by Exhibit Venue s Technical Supervisors. 16) Exhibitors are not permitted to share electrical connections. All orders must be placed separately. 17) Prices for utilities are inclusive of all applicable taxes.
