1 The pricing model for the Canvas cloud service is based on a one-time, per-institution implementation fee and on subscription fees calculated by multiplying the number of full-time equivalents (FTE) by an annual per-fte subscription fee. For services provided under the contract resulting from the ITN, Instructure is offering discounted Canvas subscription fees based on the collective FTE count of all member institutions in the State University System of Florida or the Florida College System that opt-in to the ITN contract. FTE-based pricing for implementation and support services such as our Premium Support and Tier 1 Support packages will be based on the individual institution s FTE count. The pricing below for Canvas implementation services and for annual Canvas subscriptions is based on five-year agreements. 1.1 Annual Canvas Subscription Fees Table 1-1 lists the annual per-fte Canvas subscription fees by FTE count and year based on a fiveyear agreement. Annual per-fte subscription and subscription-based fees are subject to a 3% yearover-year escalation rate. Table 1-1. Annual per-fte subscription and subscription-based fees are subject to a 3% year-over-year escalation rate. To incentivize early opt-in, Instructure is offering a 10% discount off the first-year subscription fees to member institutions of the State University System of Florida and the Florida College System that are not current Canvas client institutions and that sign on for a new Canvas account in 2016 under a fiveyear agreement. Please note: current Canvas client institutions that are members of the State University System of Florida or the Florida College System will be eligible for the proposed ITN 5774-4 subscription pricing listed in Table 1-1 upon the start of the next term. All current Canvas customers that are currently paying more than $10.30 will receive the new pricing on their anniversary date, if their current annual subscription cost is more than 10.30. Current customers will not receive an additional 10% discount in year one. This only applies to new customers coming on with Canvas. However, current Canvas customers will be able to take advantage of the savings and cost reduction on their annual contract when paying a higher price than 10.30 currently. At the end of the contract, December 31, 2020, the increased cost of the annual Canvas subscriptions will not exceed 20%. 18 December 2015 6330 South 3000 East Salt Lake City Utah 84121 1

Per institution, tiered pricing for our Standard, Enhanced, and Premium Implementation Services packages through April 2020, based on five-year agreements is provided in Table 1-3. Table 1-3. Instructure provides additional implementation resources, increased training, and accepts ownership of identified tasks to accelerate the implementation. Instructure leads the project and comes onsite, leveraging proven best practices to ensure the project is driven effectively to a successful conclusion. Institutions with limited budgets and their own project management and technical resources to undertake the implementation with Instructure s assistance. Institutions that desire a more rapid implementation and that have identified complexities in their implementation requirements. Institutions that desire the fastest implementation based on Instructure s proven best practices and that want Instructure to drive the implementation project. Table 1-5 compares the included services and the typical durations of the Canvas Implementation Services packages. Table 1-5. Migration activities include the automated creation of course shells and the automated import of content that maps to similar Canvas course content types. Quality assurance and any necessary remedial cleanup of migrated courses and course content are the responsibility of the client. Any issues identified will be managed through the standard technical support process. Optionally, Instructure offers course migration, quality assurance, and remedial cleanup services through engagement with Professional Services as specified by an additional statement of work. 18 December 2015 Instructure, Inc. 4

1.3 Canvas Training Offerings Instructure s online Standard Training Package is included in the one-time implementation fee at no additional cost. The online Standard Training Package comprises the following webinars: 200. Canvas LMS Admin Training (2 hours) 201. Canvas Support Training (1 hour) 202. Canvas Fundamentals for Faculty (2 hours) Please refer to Appendix A Canvas Training Menu for a listing, descriptions, and costs of Instructure s Canvas training offerings. 1.4 Canvas Support Packages Instructure employs an industry-standard, traditional three-tier technical support methodology for incident reporting, escalation, and resolution. Under Instructure s Support Packages, First-Tier support is provided by the institution s LMS Administrator and Instructure s Support team provides Second- and Third-Tier Support. The Basic Support package is included in the Canvas subscription fee at no additional cost. Instructure also, however, offers optional Tier 1 Support that provides live 24x7x365 technical support for the institution s users. Table 1-6 provides a comparison of the services offered in the support packages offered by Instructure. Table 1-6. package and Tier 1 Support consistently and enthusiastically report to us that they are extremely satisfied with the value, level of service, and cost-effectiveness of these services. We would be happy to provide additional references of client institutions that subscribe to the 24x7 and Tier 1 Support packages. Tier 1 Support by Instructure s Support team provides first-line help desk support to address and resolve faculty user issues such as logging into Canvas, questions about Canvas features and functions, and resolving other operational problems. The institution s users can contact Instructure s Tier 1 Support staff 24x7 through online ticket submission, chat, e-mail, or phone. The institution s LMS administrator(s) have access to all user-submitted tickets and monthly usage reports. Instructure s Tier 1 Support can be made accessible through the institution s own branded support portal. Table 1-7 lists Tier 1 support service levels. Table 1-7. 1.6 Canvas Professional Services Instructure offers comprehensive management, engineering, training, and consulting Professional Services that can be engaged at additional cost. Professional Services include: Analysis, design, development, and implementation of additional or extended features and functionality Design, development, and implementation of custom integrations Custom migration tools for legacy or specialized content Analysis, design, development, and production of institution-specific reports Analysis, design, development, and production of institution-specific training materials. The hourly rates for Instructure s Professional Services are given in Table 1-9. Table 1-9. Instructure offers two levels of data services: Canvas Data and Managed Data Services. The Canvas Data service provides institutions with daily downloads of their data in flat file format. The Managed Data Services, currently in beta, provide online, anytime access to Canvas data in a hosted data environment with the data refreshed on a nightly basis. The Canvas Data service is available to all Canvas clients at no additional cost. The Managed Data Services are available at additional cost as listed in Table 1-10. Except for the minimum cost for each service for FTE counts of 200 to 4,999, all prices listed are per-fte prices. Table 1-10. Canvas Webinars 200. Canvas LMS Admin Training... Cost: $800 This training instructs LMS Admins how to configure the administrative settings in Canvas. Participants learn how to manage users, sub-accounts (domains), courses, and enrollments, as well as how to organize courses, manage users and permissions, and create shared content that can be used by instructors.! Cost: $300 This training introduces instructors to collaboration features in Canvas, including discussions, group assignments, the Collaborations tool, and web conferencing.
