It was a year of transition and consolidation for the Company as we introduced a number of strategic initiatives to refocus the business; to increase the proportion of sales in high-margin, recurring-income products; to invest in our technology platform; to extend our product offering and international presence; and to optimise our cost base. The Company s income profile is moving towards a more recurring, subscriptiontype income rather than large, one-off business transactions, and this transition will lead to stronger income growth rates and improved quality and visibility of earnings in the future. Landon IP, which was acquired at the start of the financial year, made an important contribution to our performance, and the integration of this business has progressed well. To further strengthen our position in the increasingly important area of strategic IP information provision, we explored other acquisition opportunities during the year, culminating in our purchase of the premier IP search and analytics software provider Innography post-year-end in November 2015. The combination of Landon IP and Innography will provide powerful synergies and sets our offering apart from competitors in this area. Geographically speaking, we focused our investment on our key Asia Pacific region with new offices and leadership in place in both Greater China and South Korea. www.cpaglobal.com 7
2015 BUSINESS & STRATEGY REVIEW, SIMON WEBSTER, CEO, CPA GLOBAL Laying the foundations for success Over the past 18 months or so, CPA Global has undertaken a wide-ranging business transformation programme, which is both a response to the changing IP market as well as to the insights we have gained from our customers. The IP industry is growing and evolving at a faster pace than ever before, and our customers are facing greater pressure and complexity in managing their IP assets. Research and development (R&D) is a key driver of IP activity. Spending in this area by the world s leading corporations reached a record US$680 billion in 2015, up 5.1% over 2014. New patent and trademark applications are also at record levels globally, with 2.68 million and 5.19 million, respectively, in 2014 (according to the latest figures from the World Intellectual Property Organization). The total numbers of patents in force globally (10.2 million as of 2014) and trademarks (33.1 million) are also at record highs. Confronted by such challenges as well as time and resource constraints, IP professionals are seeking further support across the IP lifecycle, and better and more efficient ways of doing things. As market leader with the widest range of service and technology solutions available today CPA Global is ideally placed to provide this broader and higher-level support. More than that, though: given the changing dynamics of the industry, we are uniquely positioned to define the IP management software and services sector going forward. Our business transformation has focused on four key areas: PEOPLE Strengthening the management team, enhancing our skill set across the business, and refining and realigning the organisation structure. The new management team is now bedded in and working well together to deliver our growth strategy. PRODUCTS Ensuring we have the right product set to support our customers in managing all their IP tasks. The acquisitions of search and analytics service provider Landon IP and search and analytics software specialist Innography have secured for us two of the premier players in information provision, an area where we had previously been under-represented. ASSETS Getting the right product architecture in place consolidating and integrating our assets on the technology side to be able to offer more leverageable, value-added technology solutions. FINANCIALS Optimising our cost base, while focusing on the top line and improving income quality as a priority. Under the leadership of Tim Griffiths, we made excellent progress during 2014/15 in all areas, laying strong foundations for innovation and growth. Tim felt he had fulfilled his remit in helping prepare the business for the opportunities ahead, and stepped down as Chief Executive Officer in October 2015. I am proud to succeed Tim as CEO and am excited to lead CPA Global as we move forward with our business transformation and growth strategy. www.cpaglobal.com 9

We are focusing on building business that has highervalue, recurring income. This includes subscription income from our expanding range of technology and technology-related solutions, as well as recurring transactional income from our core Renewals business. While this shift in our sales and business development focus contributed to the slower growth in turnover in 2014/15, the Software and Renewals businesses in particular are benefiting from the change and are seeing healthy volume increases coming through. This strategy will also have a greater incremental growth effect in the years ahead as we generate increasing volumes of recurring income. www.cpaglobal.com 10

Our strategy is to enable greater integration between these platforms and the other IP services and solutions we provide, so that customers can ultimately have all their IP management tools in one place, helping them achieve their IP objectives with less stress, time and effort. Many existing customers of our IP Management Systems (IPMS) are already benefiting from an integrated Renewals capability on their respective platforms. The aim is to allow them to use the same platform to access other services, such as IP Recordals, Trademark Watching, Landon IP searches, and Innography data services. Our capabilities and customer options will be further enhanced through the deployment of a unique and proprietary cloud-based services platform, which will add an important enabling and marketdifferentiating platform component to our technology offering. Work is well underway on developing our Cloud and Apps ecosystem, and we plan to make this option available to customers during the 2015/16 financial year. It is all part of our Start Anywhere strategy for customers, which means that customers on our platforms whatever services or technology they are currently using will be able to expand out quickly and effortlessly to access solutions that meet their needs right across the IP lifecycle. As they do so, we will bring more value to them in terms of cost and efficiency benefits. The benefit for CPA Global is that, as we increase platform capabilities, we are able to accelerate the cross-selling of other solutions to our existing customer base and, in particular, drive higher-value, recurring income from software and software-related subscription income. www.cpaglobal.com 11

None have both. Our client list includes many of the world s most successful brands and biggest law firms, which is testament to the confidence and trust we have earned from our customers. Our international network is second to none, and we continue to expand. During the year, we opened offices in Beijing and in the Taiwanese capital, Taipei, further strengthening our presence in Greater China. We also appointed new senior leaders in China and South Korea, underlining our ongoing commitment to the Asia Pacific region as a whole, which represents a huge future opportunity for us. With our heritage, scale and in-depth industry knowledge and expertise, we are in a position to lead change in the way that IP management services are delivered and how technology is used as an enabler. Indeed, that is a key element of our business strategy. Over the past 18 months, we have been through a period of consolidation and detailed preparation, laying the groundwork for further innovation and growth. As we move through 2015/16, we will be shifting gears and driving our strategy forward. An important part of this is being able to present a clear, coherent and consistent brand to the market that is aligned with the strategy and what we represent as a company. In the second half of the year, we will see the launch of our new brand as well as a whole new capability in terms of our technology ecosystem, bringing with it exciting new market opportunities. MAJOR MILESTONES AND ACHIEVEMENTS 1969 Computer Patent Annuities (CPA) founded in Jersey, Channel Islands, by UK patent attorneys to handle patent renewals. From the outset, CPA Global s story has been one of growth and international expansion as the Company has evolved from a start-up IP services business, focused on patent renewals, to the world s leading provider of IP management software and services, employing some 2,000 people in offices across Europe, North America and Asia Pacific. Opens new offices in Shenzhen the Company s first in Mainland China and Silicon Valley. 2014 Acquires leading Nordic IP services provider Patrafee, a business that includes patent renewals; Patrawin IP management software; and IP Forecaster, the IP budgeting software. The acquisition further strengthens CPA Global s presence in the Nordic region, particularly in the SME (small and medium-sized enterprises) patent renewals market. BOARD OF DIRECTORS & MANAGEMENT TEAM Lord Birt Chairman After a successful career in ITV, Lord Birt was the BBC s Director-General from 1992 until 2000. During his tenure, Lord Birt won plaudits for equipping the corporation for the digital age. Following his time at the BBC, Lord Birt held a number of high-profile positions, including Chairman of PayPal Europe. He became a crossbencher in the House of Lords in 2000, and was Strategy Adviser to the Prime Minister from 2000-2005. Lord Birt was appointed Chairman of CPA Global in August 2015. He is also Chairman of hosting and domain services provider HEG. Simon Webster Chief Executive Officer Simon Webster was appointed Chief Executive Officer in October 2015. Previously, he had served as Chief Business Development Officer, responsible for CPA Global s worldwide sales organisation; and, prior to that, as Chief Operations Officer. Simon has worked with CPA Global for 15 years and has a detailed knowledge and understanding of the business, its global capability and clients, as well as the IP market. Prior to joining CPA Global, Simon spent the majority of his career in financial services, managing programmes that delivered value to customers, staff and shareholders alike. Alasdair Marnoch Chief Financial Officer Alasdair Marnoch was appointed Chief Financial Officer in December 2013, bringing more than 20 years experience as a senior financial professional to the Company. Before joining CPA Global, he was Chief Financial Officer at Iris Software Group, one of the UK s leading accountancy and payroll software companies. Previously, he held senior roles at Equiniti, Xafinity Group, Jarvis plc, Dunlop Slazenger Group (DSG), and Thames Water plc. www.cpaglobal.com 20

He has been involved in a number of Cinven investments, with a focus on software, including CPA Global, Northgate Public Services, Visma and Ziggo. Prior to Cinven, Anthony worked as a strategy consultant for L.E.K. in London, where he advised corporate and private equity clients across various sectors. Anthony has an MA in History from Oxford University. Stuart McAlpine Managing Partner, Cinven Stuart McAlpine joined Cinven in 1996 and became Managing Partner in 2015. He is responsible for the execution of the firm s strategy and the day-to-day management of the firm. Stuart has been involved in a number of transactions, including Amadeus, AMCo, CPA Global, Fitness First, Foseco, Labco, Medpace, Phadia, Sebia and synlab. Before joining Cinven, Stuart worked at the Royal Bank of Scotland in its Leveraged Finance Group and, before that, at Ernst & Young in Boston and London. BOARD OF DIRECTORS & MANAGEMENT TEAM Geraldine O Rourke Director, Aztec Group Geraldine O Rourke is a director at Aztec Group, a Europeanbased fund and corporate services provider, where she is responsible for the delivery of corporate services in Jersey. Geraldine trained with Coopers & Lybrand in Ireland before moving to Jersey and specialising in the audit of financial services clients. She served as a director of Abacus Financial Services Group and, following the sale of the business to RBC, as a director of RBC Channel Islands. A Fellow of the Institute of Chartered Accountants in Ireland, Geraldine joined Aztec in 2015. Mark Wanless Director, Aztec Group Mark Wanless is a director at Aztec Group, a Europeanbased fund and corporate services provider, where he has responsibility for the delivery of services to private equity and real estate sponsors across the Group. Mark began his career at PricewaterhouseCoopers (PwC), Jersey, specialising in the audit of offshore funds, their managers and their administrators, and joined Aztec in 2007. He is a Fellow of the Institute of Chartered Accountants in England and Wales and a member of the Chartered Alternative Investment Analyst Association. www.cpaglobal.com 22

In addition to Simon Webster, Chief Executive Officer, and Alasdair Marnoch, Chief Financial Officer who both sit on the Board the ELT comprises the following individuals and roles: Toni Nijm Chief Innovation & Technology Officer As Chief Innovation & Technology Officer, Toni Nijm is responsible for CPA Global s IP software solutions business, playing a key role in driving further integration of the Company s software and services offerings. A qualified patent attorney, Toni has been involved in software development for many years. In 2004, he co-founded Ipendo, the Swedenbased IP management software and service provider that was acquired by CPA Global in 2011. John Martin Chief Revenue Officer As Chief Revenue Officer of CPA Global, John Martin is responsible for driving revenue growth for the company. Previously, as CEO of Innography, John tripled the company s growth rate and guided award-winning product advances and global expansion. At IQNavigator for 10 years, John helped drive 50-fold revenue growth as CTO, COO and CEO, International Markets. John was head of products at Saba Software and CSG Systems as they became segment leaders and went public. He was a management consultant at McKinsey & Co. and founded Oracle s consulting division. John earned an MBA from Stanford and two engineering degrees from MIT. Gordon Samson Chief Operating Officer Gordon Samson has operational responsibility for CPA Global s core Renewals business as well as central support services for the Company. Prior to joining CPA Global, Gordon worked for the Ormolu publishing group in Scotland and at international marketing services company Williams Lea, where he was responsible for operations and customer engagement in EMEA, the US and Asia Pacific, overseeing more than 3,000 people across 12 locations. www.cpaglobal.com 23
BOARD OF DIRECTORS & MANAGEMENT TEAM Executive Leadership Team CONTINUED Melanie Fitzpatrick Chief Marketing Officer Melanie Fitzpatrick is a highly experienced marketing professional and strategic business leader with a successful track record of working with international businesses. At CPA Global, she leads the marketing and communications teams to deliver a multi-channel marketing strategy worldwide. Melanie joined CPA Global in March 2015 from Allegis Group, where she was Managing Director, Strategic Operations, based in Sydney, and worldwide brand advisor to the Group. Mark Best Corporate Development Director Mark Best is responsible for all aspects of corporate development at CPA Global and has led the company s four acquisitions over the past two years. Prior to joining CPA Global in 2013, Mark led strategy consulting engagements for multinational clients at McKinsey & Co. He previously worked within The Carlyle Group s European private equity investment team and in J.P. Morgan Cazenove s corporate finance division. Julie Cormack Global Head of HR As Global Head of Human Resources, Julie Cormack leads an international team responsible for all HR matters and activities, including people development, training, recruitment, and compensation and benefits. Julie has extensive experience in managing HR functions within multinational corporations. Previously, she was Global HR Director at Maersk and has also worked at BP and international brewing company SABMiller on large transformation and change projects. Patrick Simpson Commercial & Pricing Director Patrick Simpson has responsibility for the Commercial function at CPA Global, driving commercial strategy and pricing execution for the Company. Patrick joined CPA Global in 2009 and over the last six years has worked in many of the Company s business units including Sales, Deal Management and Operations as well as across all regions: Asia Pacific, EMEA and USA. Most recently Patrick worked in the Corporate Development team and on the recent acquisition of Innography. www.cpaglobal.com 24

C O R P O R AT E S O C I A L R E S P O N S I B I L I T Y CPA Global s commitment to Corporate Social Responsibility (CSR) was further reinforced in 2014-15 through the introduction of a formalised, Group-wide CSR policy, as well as recognition of our CSR credentials by a leading international rating agency. At CPA Global, we have always prided ourselves on being a responsible member of the community, adhering to sound principles of corporate citizenship and governance, and understanding and acknowledging our obligations to our customers, employees, the communities in which we operate, and the environment. Our approach to CSR has been developed over a number of years, and was more formally defined in the latter part of 2014 in our new CSR policy, which also established a senior-level steering committee with responsibility for setting CSR goals and KPIs. Following on from this, in June 2015, we were awarded Silver Recognition by EcoVadis, an organisation that provides client companies with CSR ratings of suppliers. EcoVadis is a trusted partner for the procurement teams of more than 120 leading multinationals worldwide, including Nestlé, Johnson & Johnson, Heineken, Coca-Cola Enterprises, Nokia, L Oréal, Bayer, Alcatel-Lucent, ING Bank, Air France-KLM, Centrica/ British Gas, BASF, Merck, and Verizon. Silver Recognition places CPA Global in the top 30% of organisations that EcoVadis has evaluated for CSR compliance. CORPORATE SOCIAL RESPONSIBILITY Community Support CPA Global is involved in a number of community initiatives around the world from helping tackle one of the greatest global medical issues of our time, to providing humanitarian aid, to supporting local schools and charities. The Longitude Prize is a major global health challenge aimed at preventing the rise of resistance to antibiotics. The challenge is to find a fast, accurate, easy-to-use and costeffective test for microbial infections that will allow health professionals worldwide to administer the right antibiotics at the right time. CPA Global has supported the challenge by undertaking a detailed patent landscape study of current technology in antimicrobial point-of-care diagnostics tests through our specialist patent research subsidiary, Landon IP. The results of the study are helping provide a benchmark against which the judging panel can assess submissions for the Prize and its 10 million prize fund. We have also helped raise the profile of the Longitude Prize by issuing a follow-up report on the landscape study to media around the world. In our home base of Jersey, we have recently signed a three-year sponsorship with Autism Jersey, providing a combination of direct financial help and volunteering assistance across a range of children and family support services delivered by the charity. We also continue to work closely with the Jersey Employment Trust (JET), helping individuals with physical and mental disabilities prepare for employment through work-experience placements. Other sponsorships include Jersey s Battle of Flowers parade and the Jersey netball team, Team Jets; with employees also raising funds through dress-down days for Jersey Society for the Prevention of Cruelty to Animals (JSPCA), Mind Jersey (a mental health charity), and Jersey Heart Support Group. CPA Global employees across the world are encouraged to participate in community activities and fundraising events. Our US colleagues, for example, organise a number of community initiatives, working with organisations such as Together We Rise, a national charity that supports the foster care system; Habitat for Humanity, whose goal is to provide safe and affordable shelter; Make-A-Wish Foundation; Box Tops for Education; and Operation Backpack, which provides school supplies to children from underprivileged backgrounds. CORPORATE SOCIAL RESPONSIBILITY In April 2015, employees in our Alexandria and Minneapolis offices held Together We Rise Sweet Case events, in which duffle bags are individually decorated and filled with soft toys, colouring books and crayons, blankets, and personal hygiene items for local foster care organisations to present to children in their care. More than 100 Sweet Cases were produced in total. Colleagues in the First To File office in Boise, Idaho, took on a more physical task in August, participating in a local Habitat for Humanity project to build a two-storey house, which will eventually be purchased by a lower-income family in the area. On their day on the job, employees and family members completed the installation of the protective wrapping and helped reinforce the garage foundations. Our colleagues in India provide support for humanitarian aid projects in the region, rural communities, and local children s causes. In celebration of Daryadili (Kindness Week) in January, CPA Global India partnered with a local radio channel to collect woollens, blankets, coats, socks, gloves, footwear and other items for the poor and destitute to beat the extreme winters in Delhi. Following the devastating earthquake that struck Nepal in April 2015, CPA Global India, in collaboration with disaster relief NGO Goonj, organised a relief material collection drive, gathering items such as dry rations, clothes, ropes, torches and utensils. On Christmas Eve, CPA Global employees spent a day at Palna, a home for abandoned and homeless children in Delhi. Employees helped entertain the children and presented them with colouring books and colouring pencils. Working in conjunction with the Social and Development Research and Action Group (SADRAG) and NGOs Protsahan and RAYS Foundation, CPA Global India employees organise Diwali Dhamaka each year, where decorations made by women from rural India for Diwali (the Festival of Lights) are put on sale in the Noida office. The sale proceeds are used to support these rural communities. Meanwhile, our colleagues in Australia have been raising money for I-Manifest through a promotion on our exhibition stand at the ACLA (Australian Corporate Lawyers Association) National Conference in November. I-Manifest is a charity that provides pathways for young people to pursue sustainable careers in the creative industries. CORPORATE SOCIAL RESPONSIBILITY Environmental Responsibility CPA Global is committed to reducing our impact on the environment. The legal and IP sectors are still heavily paper based, but CPA Global is striving to substantially decrease the volume of paper used. We have introduced a series of initiatives to move customers towards electronic rather than hard-copy documents, saving tens of thousands of pieces of paper every month. CPA Global has taken several measures to facilitate electronic document management. With the increasing demand in the IP community to switch from paper to electronic document storage, our First To File electronic document management business continues to grow, helping its customers increase efficiencies, reduce costs, and support their own CSR objectives. Recycling is strongly encouraged at CPA Global, with recycling bins provided in office spaces and kitchen areas around the Group. In addition, we continue to control the re-use, and extended-life use, of our end user IT equipment as part of our overall Asset Lifecycle Management framework. This ensures that we minimise IT equipment disposal, as well as driving better value and reduced IT spend. We have seen great improvement in this area, with IT assets in use beyond end-of-life rising from 13% in April 2015 to just over 49% in November. While this level is unlikely to be sustainable in the longer term, it puts us well on track to meet our ongoing annual target of 15%-20%. We continue to monitor air miles and reduce air travel where we can, and are also investigating a more formal energy consumption reduction programme across the business. www.cpaglobal.com 30
CORPORATE SOCIAL RESPONSIBILITY Governance and Business Conduct We have a dedicated, independent compliance team, which comprises a Chief Compliance Officer and three Regulatory Compliance Officers (RCOs), covering operations in our primary regions of UK/ Europe, North America and Asia Pacific. In line with best practices in corporate governance, the compliance team is independent of business operations to ensure more effective checks and balances. The team oversees a Code of Business Ethics and Corporate Conduct that applies to all of the Company s directors, officers and employees, contractors, temporary staff, and consultants. The Code underlines our ongoing commitment to upholding the highest levels of ethics and personal integrity in all our global business dealings, and is actively promoted through a comprehensive training and certification programme for employees. Currently, 95% of employees obtain Business Ethics certification within 60 days of hire. The team also has oversight of our Regulatory Trade Compliance policy and programme, which is designed to ensure compliance with bribery and corruption laws, export control, economic sanctions, boycott laws/regulations, data privacy protection, and Company policy anywhere in the world. Proactive measures include restricted-party screening, expense monitoring, IP agent anti-bribery training, third-party due diligence activities, and a Whistleblowing Policy with established procedures to report actual or suspected incidents of corporate misconduct, including an independent hotline. Our UK-based RCO (a Certified Data Protection Practitioner) also serves in a global role of Data Privacy Officer, working closely with local management teams to help ensure we meet our data privacy obligations. In addition, to ensure risk management is effectively embedded within the organisation, we have a dedicated Risk Manager, as well as a number of regional Risk Champions, who lead our risk management activities across functions and geographies, including the implementation of training programmes for employees. www.cpaglobal.com 31
