USE OF SPACE AGREEMENT FOR MCL CHICAGO General Conditions: This document shall serve as a contract agreement between STUDIO BE, NFP d/b/a MCL Chicago (herein known as MCL Chicago ) and (ENSEMBLE) (herein known as ENSEMBLE ) for the use of the MCL Chicago performance space, located at 3110 N. Sheffield Avenue, in Chicago Illinois. The above named group/organization agrees to the following terms and conditions in the use of MCL Chicago: Length of Agreement: Performances under this contract shall be: (DAY) beginning no earlier than (TIME) and ending no later than (TIME) only. The contract shall begin (DATE) and end (DATE) or until a determined end date is decided between MCL Chicago and ENSEMBLE. For open runs an end notice of at least Six (6) weeks must be given by either MCL Chicago or ENSEMBLE. Rental Rate: MCL Chicago will retain the first (AMOUNT) cash of box office receipts as the guaranteed minimum rental rate for each performance. ENSEMBLE is responsible for guaranteeing the (AMOUNT) rental rate to MCL Chicago. Payment of the rental rate shall be for the following for the aforementioned performance dates/times: Use of MCL Chicago performance space, kitchen area, both bathrooms, the lobby, the lounge, the green room, light and sound equipment Box office service House Manager Additional Services: (optional) MCL Chicago can provide a Musical Director of MCL Chicago s choosing for a charge of $50.00 per performance. MCL Chicago can provide a Stage Manager of MCL Chicago s choosing for a charge of $20.00 per performance. Music Director and Stage Manager charges (if applicable) will be deducted from the performance profits first before any revenue sharing. Music Directors and Stage Managers are not a requirement. ENSEMBLES may provide their own, however there will be a $25 fee for training your Stage Manager in the MCL Chicago (1 of 5)
booth operations. Security Deposit: A security deposit of $100.00 will be required at the time of signing this contract. The deposit shall be returned at the end of ENSEMBLE s production provided the total Rental Rate for the production has been covered through box office receipts, and there is no damage to the physical space, its equipment, and/or MCL Chicago property either by the individual(s) connected with the performance or its audience. If no security deposit is required, any damage deemed to be caused by ENSEMBLE, its staff or audience shall be paid for through retention of box office receipts. Checks should be made payable to MCL Chicago. Box Office Receipts: Net box office profits (Box Office Sales less Rental Charge, Musical Director, Stage Manager charges and/or credit card fees) will be split between MCL Chicago and the participating ENSEMBLE. MCL Chicago shall retain 30% and ENSEMBLE 70%. For shared Bills, ENSEMBLES(s) 70% net revenue shall be split 50/50 between the participating ENSEMBLEs. ENSEMBLE box office proceeds shall be made available in the form of a check by the 15th day of the following month from the initial performance. The check shall cover all proceeds from performances in the previous month. Checks shall be made payable to (NAME). Any applicable taxes are the responsibility of the ENSEMBLE. Box Office: The MCL Chicago box office and online ticketing system shall be the only box office and/or online ticketing system used for ENSEMBLE s production. ENSEMBLE shall provide the MCL Chicago website www.mclchicago.com and phone number 773-610-5930 on all promotional materials. Ticket Pricing: ENSEMBLE will retain the right to set ticket prices. MCL Chicago retains the right to run any theater wide promotions. Promotional sales do not affect the final revenue share between MCL Chicago and ENSEMBLE. Any special offers run by ENSEMBLE (2-for-1s, discount codes, etc.) must be submitted to and approved by MCL Chicago no later than 4 hours before curtain. General ticket prices for ENSEMBLE s production (TITLE) shall be: (AMOUNT) Space Usage Conditions: ENSEMBLE agrees to complete the MCL Chicago opening and closing checklists each performance and submit both checklists to MCL Chicago prior to leaving the facility each performance night. ENSEMBLE agrees to use the space on an AS IS basis. This means there will not be additional amenities provided by MCL Chicago for the production. Should the space not be in proper condition prior to the usage by ENSEMBLE, it must be reported immediately to a MCL Chicago staff member. Failure to comply may cause ENSEMBLE to be assessed a $25 cleaning fee per incident. ENSEMBLE shall have access to the performance space, kitchen area, both bathrooms, the lobby, the lounge, and the green room at (TIME) on each performance date. ENSEMBLE's access to the space will terminate at (TIME) on each show date. Occupancy of the performance space after these times (2 of 5)
will result in the forfeiture of ENSEMBLE shall be provided one (1) hour of stage useage in a non-performance time slot to be agreed upon by ENSEMBLE and a MCL Chicago staff member for the designated use of a TECH rehearsal prior to show opening. ENSEMBLE may bring in any equipment or supplies needed for the performances provided they do not violate state or federal law or any municipal ordinance of the City of Chicago or Cook County, and provided they conform to any and all applicable building, fire, electrical or other codes of the City of Chicago. MCL Chicago shall not be held responsible for any lost or stolen items. Production Materials must be removed from the space following each performance unless permission is granted by MCL Chicago to store the materials in the space. Performance materials may be moved in to the space before formal access is granted at the discretion of MCL Chicago. Performance materials left in the space without permission will be removed by MCL Chicago staff with no notice. Leaving unauthorized performance materials in the space will result in the forfeiture of ENSEMBLE shall not be provided a key to the space, but MCL Chicago staff will provide access as deemed necessary by MCL Chicago on performance dates. Fire code must be strictly observed. Fire exits must remain open and accessible. Exit signs and fire extinguishers may not be moved, obstructed or dismantled. ENSEMBLE is responsible for setting up the performance space prior to each performance. This may include re-arranging the seating platforms, tech booth, and stage curtains and/or adding scenery and/or decorations, pending approval of such changes and/or additions by MCL Chicago. Unauthorized modifications to the performance space set-up will result in forfeiture of ENSEMBLE is responsible for returning the space to an agreed upon state at the conclusion of each performance. Failure to return the space to the agreed state by this time will result in forfeiture of ENSEMBLE shall not have access to any common areas or parking lot outside of the storefront for any other purpose than removing trash at the end of the night. Loitering or warming up in parking lot will result in a $50 fine for each occurrence at the discretion of MCL Chicago. ENSEMBLE agrees that no musical instruments will be used in rehearsals or performances unless authorized by MCL Chicago. Use of the MCL Chicago piano or acoustic guitars are the ONLY exceptions. All musical instruments intended to be played in rehearsal or performance must receive written approval from MCL Chicago prior to entering the facility. ENSEMBLE may sell merchandise at the event for no additional fee. Proceeds resulting from the sale of ENSEMBLE's merchandise are solely the property of the ENSEMBLE. ENSEMBLE may not sell food, beverages, cups, glasses or other drinking paraphernalia (concessions) without the expressed permission of MCL Chicago. Sale of unauthorized concessions will result in the forfeiture of MCL Chicago is a BYOB (Bring Your Own Beverage) venue, however, ENSEMBLE agrees to check identification of all patrons bringing in alcoholic beverages at the door to verify legal drinking age. UNDERAGE DRINKING IS STRICTLY PROHIBITED. Lighting and Sound and Video System: (3 of 5)
ENSEMBLE shall have use of MCL Chicago's house lighting and sound system for no additional fee. This does not include use of MCL Chicago moving lights. Changes to the lighting and sound system are not allowed without written approval of MCL Chicago. Use of MCL Chicago moving lights can be arranged on a case by case basis. Any changes made to the lighting and sound system will result in forfeiture of Insurance: ENSEMBLE shall be covered under MCL Chicago liability insurance policy only for the performance dates and times listed above and for any technical rehearsal(s). ENSEMBLE shall not be covered for any other times or in any other capacity. The coverage extends only to incidents occurring on MCL Chicago premises. MCL Chicago shall carry and pay for Worker s Compensation, Employer s Liability Insurance and Comprehensive General Liability Insurance for the entire building, including Premises and Operations, Contractual, Products and Completed Operations, providing limits of at least One Million Dollars ($1,000,000) per occurrence for bodily injuries and property damage. MCL Chicago s insurance will only cover damages done unto ENSEMBLE s property or ENSEMBLE s staff that are deemed to be the fault of the MCL Chicago and not the ENSEMBLE. Damages incurred by the production to the theater space, ENSEMBLE s property or staff shall be covered by ENSEMBLE s Rental Insurance. Damage: ENSEMBLE agrees to pay for all damage to the MCL Chicago facility incurred because of its performances or rehearsals. All damages must be paid in full within 5 days of occurrence or damages may be deducted from security deposit and/or box office proceeds. MCL Chicago Reserved Rights: MCL Chicago reserves the right to have staff member(s) present any time ENSEMBLE occupies the space. MCL Chicago reserves the right to photograph and or make video and or audio recordings of the event and to use such photographs and or recordings at its sole discretion for promotional purposes. MCL Chicago reserves the right to sell merchandise and or concessions during any performance. Revenue generated through the sale of MCL Chicago merchandise and or concessions is solely the property of MCL Chicago. MCL Chicago reserves the right to five (5) complimentary house tickets to each performance. ENSEMBLE may request complimentary tickets for the production specified in this contract at MCL Chicago s discretion. ENSEMBLE shall hereby be notified that, should MCL Chicago lose its lease and shall no longer have control of the space (whether permanently or temporary), this contract shall be deemed null and void and ENSEMBLE shall hold MCL Chicago harmless. Failure to comply with any of the above conditions shall give MCL Chicago authority to either assess a monetary penalty and/or terminate this contract.
