1 General terms of participation in exhibitions and fairs LLC "Bashkir Exhibition Company", LLC "BVK", LLC "BVK PLUS" These general terms of participation in exhibitions and fairs of LLC "Bashkir Exhibition Company", LLC "BVK", LLC "BVK Plus" (hereinafter - the "Terms of Participation") are mandatory for all exhibitors, organizers of collective expositions and organizers of exhibitions and fairs organized by LLC "Bashkir Exhibition Company", LLC "BVK", LLC "BVK Plus". KEY TERMS USED IN THE "TERMS OF PARTICIPATION": Organizer of the Exhibition - LLC "Bashkir Exhibition Company", LLC "BVK", LLC "BVK PLUS". Exhibitor (Participant of the Exhibition) is a legal entity, an unincorporated entrepreneur or natural person which concluded a contract with the Organizer for participation in the exhibition to display their exhibits (goods, works, services). Exhibits are goods, services which in accordance with the "Terms of Participation" and the Russian legislation can be demonstrated (advertised) at the exhibition. Exhibition area (exhibition space) is an area provided for temporary use by Exhibitor for placement of its exhibits (exposition) during the period of the exhibition. The exhibition booth (stand) as a technical construction can take the whole exhibition area or a part thereof. Exhibition booth is a technical structure (or a set of technical elements and objects) placed on the exhibition area of the Exhibitor to enable and ensure the best conditions for display of exhibits, communication (negotiations) with visitors and guests of the company and to achieve the company s goals of participation in the exhibition. Collective exposition (booth) - exposition (booth), where several companies, firms are exhibited. The applicant for Collective Exposition (booth) signs a contract for participation with the Organizer of the Exhibition in the prescribed manner and receives a status of Exhibitor. Registration fee - is a part of payment for participation in the exhibition of each Exhibitor to compensate for the organizational costs of the Organizer. Payment of the registration fee is mandatory for all exhibitors. Official Exhibition Catalog is a special print edition of the exhibition to summarize the information about the participants and the exhibits with possible further use of these data by consumers. Registration of participants - is a completion of registration of participation in the exhibition just before its start. The opening and closing time of the exhibition, list of required documents and place of registration of participants is defined in the memo sent out to participants prior to the exhibition. 1

2 1. REGISTRATION OF PARTICIPATION 1.1. To register at the Exhibition the Exhibitor shall send an application to the Organizer in a timely manner and in the form prescribed by the Organizer The application for participation shall be completed and signed by an authorized person. If the necessary data are not available in the application, or it is not signed by an authorized person, such application shall be deemed null and void Prior to the registration of the application the Organizer has the right: - to refuse in participation; - to reduce the requested area, change its location; - to refuse displaying the exhibits non-complying with the topic of the Exhibition; - to change the rental prices for exhibition space, as well as the costs of different types of services Application shall be deemed registered with the signing of the Contract by both parties The Organizer stops accepting applications for additional services and equipment seven (7) calendar days prior to assembly works. During the Exhibition, the acceptance of applications for additional services and equipment resumes (if the Organizers can provide these services), the cost of additional services and equipment is increased by 50%. 2. COLLECTIVE EXPOSITION 2.1. It is allowed to arrange collective expositions at the Exhibition. The Organizer of collective exposition bears full responsibility for compliance of exposition s participants with provisions of "Terms of Participation". Prior to the acceptance of the Application the Organizer reserves the right to exclude any organization from the list of collective exposition. The organizer of collective exposition shall provide the information in the Official Exhibition Catalog about all its exhibitors and about itself in case it has its own booth. 3. REGISTRATION FEE 3.1. The Exhibitor shall pay a registration fee set by the Organizer for each Exhibition. The registration fee is charged for general advertising and promotional expenses In case of refusal to participate in the Exhibition registration fee is not refundable The Organizer of collective exposition shall pay the registration fee for each participant in the exposition. 4. EXHIBITION SPACE 4.1. The exhibition space is divided into indoor (in the pavilion) and outdoor (on the site in front of the exhibition facilities). The Exhibition space is given to the Exhibitor for temporary use either equipped or unequipped The Organizer has the right, for organizational and technical reasons, to change the location and reference numbering of the exposition, having notified the Exhibitor about it The exhibition space not occupied by the Exhibitor by the opening of the Exhibition is considered as free and the Organizer has the right to dispose it at its own discretion The size and configuration of the exhibition space corresponds to the agreed plan of the exposition. Increase in exhibition space provided under the Contract, as well as changes in its configuration and/or location shall be approved by the Organizer The Exhibitor may use the exhibition space provided him for temporary use only in accordance with the objectives and theme of the Exhibition The Exhibitor should necessarily have a protective base (wooden, metal or other) with thickness of at least 10 cm for track-type vehicles, as well as machinery having attached implements (such as: scoops, cutters, hydraulic hammers, etc.), which can damage the asphalt surface of the site Participants should display all exhibits, including exhibits with implements strictly within the borders of their exhibition space. Violation of this provision entails liability provided under Item 9.6. of these "Terms of Participation" During the whole period of the Exhibition the representative of the Exhibitor should be present at the stand/exposition. 4. HANDLING WORKS, ASSEMBLING AND DISMANTLING OPERATIONS 5.1. Handling works and assembly and dismantling operations that employ heavy lifting equipment are executed by means of the Organizer. Involvement of the third-party mechanized means is possible with the permission of the Organizer. Cargo handling works during the whole period of the Exhibition are performed only in the areas of cargo handling The assembling and dismantling operations are carried out by the Organizer The assembling and dismantling operations and other engineering and decoration works executed by exhibitors on their own or with involvement of other organizations (developers) are only permitted in case of non-standard or exclusive exhibition booths. If the Exhibitor involves the third party (hereinafter - the "Developer") to arrange a booth, the parties sign an additional agreement to this Contract, and the "Developer" shall conclude with the Organizer a contract on accreditation as a developer to arrange individual booths (arrangement of exhibition area) Assembling and dismantling of the exhibition booth is made only within the area rented by the Exhibitor, and aisles should remain free from crates and construction waste It is not allowed to: - carry out paint and varnish operations without coordination with the Organizer; 2

3 - apply paint, varnish, glue, tape or other hard to remove coating on the panels, as well as floors, walls and pillars of any pavilion; - make different holes in panels, as well as floors, walls and pillars Electrical and plumbing works, namely the connection of exhibits to electrical sources, water supply and drainage are produced by specialists of the Organizer subject to the Exhibitor s compliance with the requirements established by the Organizer The Exhibitor and its developer can start dismantling of exhibits and decoration only after closing of the exhibition (removal of exhibits before the end of the exhibition is not allowed) and should finish it, including works on bringing the exhibition space in the original condition, as well as removal of exhibition items, within the established term In case of non-completion of dismantling by the Exhibitor or its authorized representative within the established term, the Organizer clears the exhibition space from the property belonging to the Exhibitor (including the sold exhibits) at the own expense of the Exhibitor, without being liable for any damage during transportation and charges him the costs specified by the Organizer On the last day of the Exhibition running the Exhibitor must return to the Organizer all equipment and occupied exhibition space in good condition Working hours of pavilions during assembling and dismantling operations are set by the Organizer. Assembling and dismantling operations during non-working hours are allowed only with the permission of the Organizer. 6. ACCESS CONTROL AND SECURITY 6.1. The Organizer provides round-the-clock protection of public order and general security of the exhibition area The Exhibitor bears personal responsibility for ensuring safety of its stands and exhibits during the Exhibition. The Exhibitor is entitled to be at its exhibition booth from h. to h., i.e. since deactivating security system of the exhibition booth until activating security system of the booth. The Exhibitor at the end of each exhibition day is obliged to hand over its booth to a representative of the security company under safe-keeping according to a checklist signed by both parties. The security ensures safety of property of the Exhibitor from to After if the booth is not accepted by the Exhibitor, the safety of the exhibition booth is under sole responsibility of the Exhibitor In the event of a conflict situation claims are accepted only if a checklist and an incident report, signed by representatives of the Exhibitor, Security Company and the Organizer are available Departure of the Exhibitor and (or) removal of the exhibits before the closing hours of the Exhibition are not allowed. A permission to leave the Exhibition is signed by the Exhibition Management and Technical Service of the Organizer in the security checklist of the booth. The Exhibitor is not allowed to leave the Exhibition without the permission. 7. SAFETY REGULATIONS 7.1. Exhibitors must comply with fire safety regulations and safety requirements and shall be responsible for any breach thereof, in accordance with the legislation of the Russian Federation. Exhibitors are required to appoint a person responsible for compliance with fire safety requirements at the provided exhibition space and notify the Organizer about it in writing prior to assembly. Otherwise, it is the head of the company Exhibitor who bears responsibility for compliance with fire safety requirements at the provided exhibition space Electrical equipment and electrical wiring used by the Exhibitor must comply with Russian safety standards The Exhibitor may exhibit flammable exhibits only with the written permission of the Organizer and in presence of the fire-fighting equipment (fire extinguishers) The Exhibitor shall not later than 10 days prior to installation to provide the layout of large-scale exhibits for their compliance with permissible load on the floor, to give information about heavy exhibits with insufficient stability or requiring special fixtures, to which increased safety requirements are applied The Exhibitor shall coordinate with the Organizer the installation and use potentially dangerous equipment at provided outdoor exhibition area in order to prevent harm to human health and occurrence of other negative consequences. 8. ADVERTISING. OFFICIAL CATALOGUE 8.1. The Exhibitor is allowed to carry out all kinds of promotional activities, but only within the rented booth and in respect of the Exhibitor itself, as well as goods and services produced or sold by the Exhibitor, in strict accordance with the theme of the Exhibition Locating all types of outdoor advertising outside the booth is possible only in certain places as agreed with the Organizer and upon payment of the appropriate sum, which is not included in the rental price of the booth Advertising with use of technical means (audio, video, and other opto-electronic systems) capable of providing an optical or acoustic effect outside the rented exhibition space, as well as organization of performances and shows are possible only with the written permission of the Organizer By the opening of the Exhibition the Organizer issues an Official Exhibition Catalog (printed and/or on CD-ROM), which shall contain the following information: company name, address, telephone, fax, , Internet address, as well as company brief description, provided according to the standard form. The Exhibitor has an option to place an enhanced advertising in the catalog at additional charge (at current prices of the Organizer). The organizer of collective participation of firms (companies) in the exhibitions is obliged to provide information about all its Exhibitors. 3

4 TV shooting is allowed only during the exhibition and after preliminary accreditation. 9. LIABILITY 9.1. The Exhibitor undertakes liability arising from participation in the Exhibition, including liability for failure to comply with safety regulations and fire safety, in accordance with the legislation of the Russian Federation The Exhibitor is liable for operation and safety of electrical equipment at the provided exhibition area In case of excess of power consumption by the Exhibitor or unauthorized connections to electricity the Organizer has the right to disconnect the power supply from the Exhibitor's booth until the elimination of violations by the Exhibitor In case of damage of natural objects within the area of the Exhibition location, adjacent territory (deterioration of pavement, curbs, etc.), harm to movable, immovable property of the Organizer or third parties caused by Exhibitor, the Exhibitor must fully compensate for it In case of damage or loss of exhibition equipment of the Organizer, the Exhibitor should pay a fine amounting to double cost of damaged equipment, according to the rates specified in the application form for additional services In case of revealing by the Organizer violation of the borders of ordered area and placement of exhibits and/or equipment beyond its borders, the Organizer in presence of representatives of the Exhibitor draws up a report of the breach and issues the Exhibitor an invoice for the unduly occupied area, which Exhibitor agrees to pay within one day from the date of invoice, or the Organizer issues a demand to clear the unduly occupied area In case of unauthorized alteration or dismantling of the booth, which was built by the Organizer according to the Appendices sent by the Exhibitor, the EXHIBITOR is obliged to pay a fine of 350 (Three hundred fifty) Euros The sound level generated by the equipment of the booth may not exceed 75 db. In case of complaints from other exhibitors about too high level of noise, the Organizer has the right to disable the noise source. The Exhibitor shall be liable for breach of acceptable noise standards and in case of damage is obliged to compensate it The Exhibitor shall be liable for violation of intellectual property rights, in accordance with the legislation of the Russian Federation The Organizer is not liable during installation, dismantling and during the Exhibition for damage or loss of exhibits and other property of the Exhibitor Parties are not liable for partial or complete failure to fulfill obligations hereunder if such failure was caused by circumstances of insuperable force, force majeure circumstances arising after the conclusion of the Contract as a result of extraordinary circumstances, which the parties could not foresee or prevent. 10. REFUSAL TO PARTICIPATE. REDUCTION OF EXHIBITION SPACE Refusal of the EXHIBITOR to participate in the Exhibition, or absence of the EXHIBITOR s representative at the Exhibition are deemed to be a refusal to participate in the Exhibition The Exhibitor shall notify the Organizer in writing in case of reduction of exhibition space or refusal to participate in the Exhibition. The date of notification shall be the date when the Organizer receives a written notice of the Exhibitor In case of refusal of the Exhibitor to participate in the Exhibition: - within the period of more than 45 calendar days prior to the opening of the Exhibition, the Organizer returns Exhibitor the received payment, with the exception of the registration fee; - within the period less than 45 calendar days before the opening of the Exhibition, the Exhibitor shall pay the Organiser a penalty in the amount of 30% of the contract price; - within the period less than 30 calendar days before opening of the Exhibition, the Exhibitor shall pay the Organiser a penalty in the amount of 100% of the contract price Refund is made within 30 days of receipt of the Exhibitor s written refusal to participate by the Organizer. The written refusal shall contain all the details necessary for transferring funds. Thus the Organizer undertakes to place information materials received from the Exhibitor in the Exhibition Catalog and send the Exhibitor one copy of the above In case of reduction by the Exhibitor of the declared exhibition space, the Exhibitor shall pay the Organiser a penalty in the following amount: - 30% of the rental cost of reduced exhibition space within less than 45 calendar days prior to the opening of the Exhibition; - 100% of the rental cost of reduced exhibition space within less than 30 calendar days prior to the opening of the Exhibition In case of reducing the exhibition space and standard structure declared by the Exhibitor, the Organiser has the right to change the location of the Exhibitor s booth. 4

5 11. PUBLIC LIABILITY INSURANCE Liability insurance and other insurance are undertaken by the Exhibitor. Insurance contracts which establish that the legal right to demand compensation from the Organiser is assigned to the insurer paid the insurance indemnity within the paid amount are unacceptable. 12. INTELLECTUAL PROPERTY The Exhibitor agrees to comply with all requirements of the legislation on protection of intellectual property The Organizer is not responsible for any infringement by the Exhibitor of the third party rights to intellectual property belonging to these persons In case of claims submission by the third parties to the Organizer in connection with violation of intellectual property rights of the third parties, the Exhibitor undertakes to provide a written explanation to the Organizer regarding the subject of such claims within three working days after the request of such information by the Organizer. 13. CANCELLATION OR POSTPONEMENT OF EXHIBITION In case of changes in the dates of the Exhibition or its cancelation, the Organizer shall notify the Exhibitors in writing. The Organizer shall not be liable for any loss of the Exhibitor associated with cancellation, postponement or reduction of the Exhibition period, if the above events have occurred for reasons beyond its control In case of cancelation of the Exhibition due to the circumstances that occurred through no fault of the Organizer, the Organizer's obligations arising from the contracts concluded are null and void. The Organizer returns the Exhibitor all funds transferred in accordance with the signed contract, excluding the registration fee. 14. DISPUTE SETTLEMENT All disputes shall be settled through negotiations. In case of failure to reach an agreement through negotiations, such disputes shall be submitted to the Arbitration Court of the Republic of Bashkortostan. 5
