The development sector in Mozambique is witnessing a positive transformation. Every Non-Governmental Organisation (NGO) and charitable organisation is committed to bringing about positive change in society. The past decade has witnessed increased attention from international funding agencies and has led to an increase in the number and size of projects undertaken. The development sector remains largely unorganised and plagued with issues streaming from a limited knowledge base, inadequate systems and funding. These factors are obstacles for the sector to achieve its desired objectives. Evaluating the effectiveness of utilisation of funds, analysing problems, developing solutions and implementing adequate systems are some of the concerns that NGOs need to address today. There is a need to assist the sector in addressing these issues to help promote overall development. KPMG has a committed approach to NGO services and has extensive international experience to assist organisations become more effective. We have a dedicated service line to address the strategic, administrative, finance and regulatory challenges faced by clients working in this field. Our NGO services focus on: Advisory Audit Accounting Tax NGO Services - Development Sector 3

Advisory Within Advisory, we place focus on three main areas: 1) developing and implementing NGO systems 2) evaluating NGO programmes 3) enhancing NGO capacities. 1) Developing and implementing NGO systems There are numerous issues to be evaluated on the organisational, financial and administrative front while setting up an NGO and implementing development programmes. Organisational design and restructuring: We help identify suitable organisations as well as review the existing structure in view of future projects/objectives. Financial management and administrative systems: Assistance is provided in financial planning, financial write out (MIS) reporting, budget variance analysis and cash-flow forecasting. We also develop mechanisms for fund distribution, reporting plans, templates and timelines to review financial progress and setting up internal policies and procedures such as operational accounting and staff manuals. Grantee activities: These include identifying grantees, reviewing grantee proposals, finalising grantees and developing grant agreements and budgets for grantees and sub-grantees. Set up human resource systems and tools: Assistance in finalising staff policy and drafting job descriptions, performance appraisal systems, compensation and benefit policies. Developing, monitoring and evaluating systems: We develop systems for monitoring and evaluating grants and programmes. From pre-grant evaluation to grant expenditure evaluation of potential and existing grant recipients, KPMG in Mozambique can help organisations develop an effective grant-making process, while ensuring tax and regulatory compliance. 2) Evaluating NGO programmes Grant evaluation: We help organisations assess potential grantees by undertaking pre-grant evaluations and preparing reports with supporting documentation. This process also includes evaluating the vision and mission of a potential grantee and its people, projects, processes, accountability and governance measures, project management and financial health. An evaluation of the actual grant expenditure vis-à-vis the grant agreement and budgets is also prepared. 4 NGO Services - Development Sector

Training needs assessment: A review of existing programmes and skill sets can help an organisation improve its efficiency. Programmatic review: By reviewing grant implementation plans, we can determine key programme successes and challenges. Siphoning of funds: We examine all records and documents as well as investigative field visits to corroborate physical evidence. This enables us to confirm if any funds have been siphoned off or have been diverted to unintended recipients. Socio-economic impact: We review the expenditure, the implementation and assess the socio-economic impact, involving stakeholders as required. This provides a level of comfort by capturing evidence and ensuring proper resource utilisation. 3) Enhancing NGO capacities We review existing programmes and conduct skill assessments of existing programmatic, financial and administrative procedures to help organisations enhance their performance and increase their capacity. Organisational development and strategic management: We advise on designing a strategic plan, developing management tools and implementing the plan. Financial and administrative management: We assist in enhancing the capacity of an organisation with regards to financial planning, analysis of financial statements, establishing accounting systems and internal control policies and procedures. NGO contracting and grant management: We help establish procurement, contracting and grant management procedures. We also review grantee reports and make recommendations on grant releases. Audit KPMG has the required skills and experience to provide the highest level of assurance services to our clients. Audit is an independent service that enhances the reliability of information used by investors and other stakeholders. In addition to the normal audits under the relevant reporting framework, audit services also offers a range of attestation reports allowed by the International Standards on Auditing issued by the International Federation of Accountants such as reviews, agreed upon procedures, compilations and other assurance engagements. Our main service offerings include: Year-end audits We carry out full year audits of the financial statements of the country/representative office of NGOs for the purpose of reporting to the head office/parent entity or simply for reporting to local management. We also carry out audits of financial statements/statement of receipts and payments of projects funded by national and international donors for reporting to these donors and local management. Reporting on such audits includes: a) The financial audit report including the project/country office financial statements with the independent auditor s report, findings report on our review and evaluation of internal controls, findings report on our review of compliance with project agreement terms and laws and controls. b) A management letter including all instances of findings to be reported to management. Interim audits To ease the burden on our clients and to facilitate reporting on strict early deadlines, we also conduct audits for interim periods. The reporting on such audits is the same as year-end audits. Review engagements We carry out reviews (usually half yearly and quarterly) of the financial statements of the country/representative office. We also conduct reviews of financial statements/statement of receipts and payments of projects funded by national and international donors for reporting purposes. Reporting is restricted to the review report of the country office or project s financial statements/statement of receipts and payments and management letter. Assurance engagements - These reviews usually require a limited or reasonable assurance on a specified subject matter. Reporting is in the form of an assurance report detailing the scope and method of evaluation, and conclusion which may be a limited or reasonable assurance, for example compliance audits. 6 NGO Services - Development Sector

Agreed upon procedures Performed under International Standards on Related Services, clients define the procedures to be carried out by the auditor. In such cases, the reporting is a findings report that details the scope of work, future steps and findings on current work. No assurance or opinion is expressed. For example, a procurement audit that evaluates whether specified procurement procedures have been carried out in a satisfactory manner for a specified period. Engagements to compile information - The firm is able to use accounting expertise to collect, classify and summarise financial or other information in a manageable and understandable form without testing the assertions underlying the information. For example, the preparation of financial statements or management information reports. NGO Services - Development Sector 7

Tax & Legal KPMG s Tax & Legal practice draws upon, and is able to provide, a broad range of multidisciplinary legal services and experience. This includes: Tax and legal audits for regulatory compliance for private companies, public and quasi-public entities such as bilateral donors and NGOs; License of NGO s and subsequent registrations; Land and real property acquisition and development Tax & Legal opinions regarding diverse transactions Tax planning and compliance Expatriates tax VAT review Tax health checks Professional tax training. KPMG also alerts clients to relevant changes in legislation, how to deal with bureaucratic procedures as well as compliance with various legal, tax and administrative requirements to carry out business activities in Mozambique. KPMG does not provide litigation services, except for identified litigation issues related to Administrative Law such as tax litigation. 8 NGO Services - Development Sector

Labour law The area of labour law in Mozambique is of critical importance to national and foreign businesses. KPMG offers a complete range of services to its clients, including: Registration of employees with the Ministry of Labour Registration of expatriate labour with the Ministry of Labour Assist on drafting of all labour documents including employment contracts, letters, disciplinary proceeding; Preparation and submission of documents for work and residence permits Advice on retrenchment and rationalization Advice on basic employment conditions and employment standards in Mozambique. Labour issues, including work and residence permits for expatriates and advice on employment. Company Secretarial services Mozambique has a particular structure vis-à-vis company records, resolutions and other relevant company documentation. KPMG makes available to clients a full range of services in this sector, including: The official opening of the books for an NGO or foundation Preparation of checklists for all procedures to be observed by the corporate bodies of the organisation Advice on the impact of any specific resolution governing the operation of the organisation Drafting of all necessary documentation, including, notices convening meetings and minutes of meetings in Portuguese and English Managing the process of registration for specific resolutions with the Commercial Registry Review and comment on other documents, which may be related to the activities of the corporate bodies, such as powers of attorney, shareholders agreements, management and lease agreements. Filipe Mandlate Senior Partner Felipe is a lawyer and the Senior Partner of KPMG in Mozambique. He specialises in civil and commercial law and has extensive experience with the Mozambican legal system and public administration. Felipe has advised leading businesses, national and international agencies on the negotiation and drafting of contracts, agreements and the design of projects and programmes. He has also participated in change and reform processes and the restructuring of private and public institutions. Julio Garrido-Mirapeix Advisory Services, Managing Partner Julio, who joined KPMG in March 2003, is the Managing Partner for KPMG Advisory Services in Mozambique and Development Advisory Services (DAS) of KPMG Africa. Julio has advised key government institutions, donors, civil society organisations and businesses in over 25 countries in Africa, Europe and Latin America. His areas of expertise includes programme and fund management, sector wide approaches and donor coordination, capacity building, economic development, energy and natural resources and rural and agriculture development. Julio speaks Portuguese, Spanish, English, Italian and French. Miguel Alvim Advisory, Partner Miguel has a Master of Business Administration (MBA) and an Honors Degree in Economics. He leads a team of 25 experienced national and international consultants. His area of expertise includes: internal audit services and internal control systems, financial management and accounting services, IT Advisory services, human resource services including capacity building, situational needs assessments. Miguel has knowledge of General Accepted Accounting Principles (GAAP), International Accounting Standards and International Standards on Auditing and Internal Auditing. Quintino Cotão Audit, Managing Partner Quintino is the Managing Partner of the Audit practice at KPMG in Mozambique and has more than 18 years of experience with the firm. He is responsible for leading a team of 50 experienced national and international auditors. He specialises in providing audit and accounting services to the financial sector and donor funded projects/programmes. His current portfolio of clients includes some of the major banks in Mozambique, transport, port and logistic companies, NGOs and donor funded projects. Before joining KPMG in Mozambique, he worked for KPMG in Portugal. Dhirendra Nath Audit, Partner Dhirendra Nath is a chartered accountant with nearly 20 years of experience and is Managing Partner of our Audit practice. He has wide-ranging international experience from southern Africa and India and specialises in auditing, accounting, working capital management, management information systems, accounting, finance and internal control systems, design and implementation, budgeting, cost control, direct tax and administration. Dhirendra has served major clients in government and industry. He has extensive knowledge of consumer and industrial markets and public financial management standards and procedures.
