NatureRich Compensation Plan U.S.A. A. How to Become a NatureRich Distributor & Earn Commissions DISTRIBUTOR KIT LEVEL = Commission Title Eligibility 1. Builder Distributor: Purchase a Builder Kit and you will be eligible for Weekly and Monthly Commissions at the Builder Level. 2. Member Distributor: Purchase a Member Kit and you will be eligible for Weekly and Monthly Commissions at the Member Level. (See the complete list of requirements needed to qualify for each Commission Title on pages 3 & 4) E-WALLET = ALL COMMISSION PAYMENTS All Commissions are paid using the E-Wallet located online in your Back Office. To access your commissions, please click on the tab Commission Tools and select E-Wallet Summary. Every time you earn commissions, you must access your E-Wallet and select one of the commission payment options. Please Note: There is an ACH PayQuicker Fee ($1.50) and a Manual Check Fee ($2.50). You may also leave the funds in your E-Wallet to pay for future orders, request a gift certificate, or transfer to another Distributor. B. How to Be a Qualified & Active Distributor Purchase a Builder or Member Kit and you are automatically qualified as a Distributor to receive Customer Commissions and Direct Sales Commissions (DSC). To qualify for Quick-Start Weekly Bonuses (QSW), Monthly Residual Commissions, Infinity Bonuses, Car Bonuses, Leadership Title Bonuses, and Home Bonuses, you must be an Active Distributor and meet the requirements described on pages 2 10. The Business Volume (BV) minimum to be considered an Active Distributor is 20 BV (Pays 5% Commissions on NatureRich Products only). If you generate less than 20 BV, you will not be Active to receive Weekly or Monthly Commissions. The BV minimum to receive commissions on both NatureRich and Xp3 products is 50 BV. Each product is assigned a BV value, subject to change without advanced notice. A Distributor may generate BV through personal orders on their account to remain qualified and Active. A Distributor may also generate BV from Customer product sales to qualify for commissions. C. Ten Ways Distributors Earn Commissions: Revised 9.23.15 1. Customer Commissions from product sales made to your Customers (paid immediately to E-Wallet). 2. Direct Sales Commissions from personally sponsoring and selling Member or Builder Kits (paid weekly to E-Wallet). 3. Quick-Start Weekly Bonuses on Member or Builder Kit sales generated in your organization based on your Distributor Kit Level and Commission Title (paid weekly to E-Wallet). 4. Monthly Residual Commissions on Business Volume (BV) of products sold in your organization based on your Distributor Kit Level, Placement, and Commission Title (paid bi-monthly to E-Wallet). 5. Distributor Title Rank Advancement Bonuses based on the advancement to a Commission Title Rank of Silver Eagle for the first time from their enrollment date or the advancement to their Current

Maintain Distributor Title Rank Bonuses based on maintaining their Current Commission Title Ranks of Gold, Ruby, Emerald, and Diamond Eagle for two or more consecutive calendar months (paid monthly to E-Wallet). 7. Infinity Bonuses to qualifying Builder Distributors at the Commission Titles of Ruby, Emerald, and Diamond Eagles (paid weekly & bi-monthly to E-Wallet). 8. Car Bonuses based on the total BV generated by NEW Customer and Distributor IDs in a Distributor s organization (7 Levels), total Monthly Residual Group BV (7 Levels), and the Commission Title of Silver Eagle or above in one calendar month (paid monthly to E-Wallet). 9. CUSTOMER COMMISSIONS PAID IMMEDIATELY TO E-WALLET: NatureRich Products: ALL Member or Builder Distributors receive the difference between the Distributor Price and Customer Price of NatureRich Products sold to Customers. Xp3 Products: ALL Member or Builder Distributors receive Customer Profits based on Xp3 Products sold to Customers. DIRECT SALES COMMISSION (DSC) PAID WEEKLY TO E-WALLET: Direct Sales Commission (DSC) is paid WEEKLY to a Member or Builder Distributor, who sells a Member or Builder Kit to a Personally Sponsored Distributor (Personally Sponsored Level 1): o The DSC is $50 on the sale of any Builder Kit o The DSC is $20 on the sale of any Member Kit 3. QUICK-START WEEKLY BONUS (QSW) PAID WEEKLY TO E-WALLET: Quick-Start Weekly Bonuses are paid WEEKLY to a Distributor based on Distributor Kit sales generated by that Distributor s Team from Weekly Commission Levels 2 7. A Distributor qualifies for QSW based on the Distributor Kit Level (page 1) and Commission Title (pages 3 & 4). To activate your qualification of QSW Bonuses, you must have TWO Personally Sponsored Distributor Kit sales. (See the Builder and Member Weekly Commissions Charts on page 5 & 6). Direct Sales Commissions (DSC) and QUICK-START Weekly (QSW) Bonuses are Paid Weekly (4 Times Each Month) to E-WALLET: Paid Date Pay Period 7th...Sales earned from the 22nd thru the end of the previous month 14th...Sales earned from the 1st thru the 7th 21st...Sales earned from the 8th thru the 14th 28th...for sales from the 15th thru the 21st (When a Paid Date occurs on a weekend or holiday, the Paid Date will be the following business day)

You have the option of changing the Placement of your Personally Sponsored Distributor within 72 hours from enrollment date. If the credit card you have saved on your account declines on the date you selected for your Autoship Backup Order, the system will try to process your card two more times on the day after your selected date and two days after your selected date. If your credit card declines three times when trying to process your Autoship Backup Order, then your Autoship Backup Order will be deactivated and will not process unless you go to your Back Office and press Activate under the Shop Now tab and the Autoship Manager link. 3. If you have purchased an order or one of your personally-sponsored customers has placed an order that totals 20 Business Volume prior to the date you have selected for your Autoship Backup Order, then your Autoship Backup Order will NOT ship that month.

MONTHLY RESIDUAL COMMISSIONS PAID BI-MONTHLY TO E-WALLET: Monthly Residual Commissions are the monthly commissions paid on the Business Volume (BV) of the products sold in your organization during that month. o The Monthly Residual Commissions are paid up to SEVEN Residual Levels. o The amount of Monthly Residual Levels you are paid is based on your current Monthly Residual Commission Title (See Monthly Residual Commission Chart on page 6). SPONSOR & PLACEMENT for Residual Commissions o Any Distributor or Customer you personally sponsor will automatically be placed on your 1st Level in the Monthly Residual Plan. o As an Active Distributor**, you receive Monthly Residual Commissions on Distributor product sales beginning with your 1st Level. You may qualify to earn residual commissions from Level 2 to Infinity based on your current Commission Title (See the Monthly Residual Commission Chart on page 6 and descriptions on how to qualify for each Monthly Commission Title on pages 3 & 4). o As a Distributor, who personally sponsors a Customer, you receive Customer Commissions on product sales immediately in your E-Wallet. You do not receive Monthly Residual Commissions on product sales from Customers that you personally sponsor. The Monthly Residual Commissions on Customer product sales are paid up to the SEVEN Residual Levels excluding the Customer s Sponsor. o You may change the sponsorship of your Personally Sponsored Distributor or Customer within 72 hours from the enrollment date by contacting Customer Service. How to Earn Monthly Residual Commissions: o Member and Builder Level Distributors receive 5% monthly residuals on NatureRich product sales by maintaining 20 BV minimum per calendar month.** o Builder Level Distributors receive 10% monthly residuals on NatureRich product sales by maintaining 30 BV minimum per calendar month.** o Member Level Distributors receive 5% monthly residuals on Xp3 product sales by maintaining 50 BV minimum per calendar month.** o Builder Level Distributors receive 10% monthly residuals on NatureRich AND Xp3 product sales by maintaining 50 BV minimum per calendar month.** o You generate BV for qualification on your account through Customer product sales within your organization (including sales made through your Customer and Replicated Websites) and generating personal sales on your account. Monthly Residual Commissions are Paid Bi-Monthly (2 Times Each Month) to E-Wallet: Paid Date Pay Period 7th...Sales earned from the 1st thru the 15th of the previous month 21st...Sales earned from the 16th thru end of the previous month (When a Paid Date occurs on a weekend or holiday, the Paid Date will be the following business day) **Please Note: 1. INFINITY BONUS PAID WEEKLY AND BI-MONTHLY TO E-WALLET: The Weekly & Monthly Infinity Bonuses are awarded weekly and bi-monthly to qualifying Ruby, Emerald, and Diamond Eagle Distributors based on their Commission Titles (See descriptions for how to qualify for each Commission Title on pages 3 & 4). o Ruby Infinity Bonus = Pays 1% 8th level to infinity o Emerald Infinity Bonus = Pays 2% 8th level to infinity on all Gold Eagles and lower and 1% to infinity on Ruby Eagles o Diamond Eagle Infinity Bonus = Pays 3% 8th level to infinity on all Gold Eagles and lower, pays 2% to infinity on all Ruby Eagles, and 1% to infinity on Emerald Eagles The Infinity Bonus will be paid every month thereafter as long as you remain qualified at the Ruby, Emerald, or Diamond Eagle Level with the same requirements each month. o For example: A Distributor, who qualifies as an Emerald Eagle in June, must qualify again in July as an Emerald Eagle to continue to receive the Emerald Eagle Infinity Bonus. 8. NEW BUSINESS ID CAR BONUS PAID MONTHLY TO E-WALLET: The New Business ID Car Bonus allows qualifying Distributors to earn up to $1,000 per month if the following 3 requirements are achieved in the same calendar month:* 1. Total BV generated by NEW Distributors IDs and their NEW Customer IDs & NEW Distributor IDs (7 Levels) of 1,500 or above 2. Qualifying Total Monthly Residual Group BV (7 Levels) of 4,000 or above** 3. Commission Title of Silver Eagle or above NEW Distributor ID & Total Monthly Commission Car Bonus Their Customer ID & New Residual Group BV Title Distributor ID Total BV (7 Levels)** (7 Levels) $250 1,500 4,000 Silver Eagle $500 3,000 8,000 Gold Eagle $750 4,500 12,000 Ruby Eagle $1,000 6,000 16,000 Emerald Eagle o For Example: If the new business in your organization (7 Levels) generates a total BV of 3,150 in August, your Total Monthly Residual Group BV is 8,000** in August, and you achieved the Gold Eagle Commission Title, then you would receive your $500 New Business ID Car Bonus in addition to your other monthly commission paid out on September 21st. *Please Note: A calendar month starts on the first of every month (12:00 a.m. Central) and ends on the last day of every month (11:59 p.m. Central). All three qualifications must be achieved in the same calendar month. **Please Note: No more than 60% of the total Monthly Residual BV generated can come from a single Monthly Residual Leg. o For Example: To meet the Total Monthly Residual Group BV requirement for the $250 New Business ID Car Bonus, you generate a total of 4,500 Total Monthly Residual Group BV within your first 7 levels. The 60/40 rule applies so the most Total Monthly Residual Group BV you can use from any one Monthly Residual Leg is 2,700 points towards this bonus. The remaining 1,800 or more Total Monthly Residual Group BV can come from all other Monthly Residual Legs combined.

LEADERSHIP TITLE BONUS PAID MONTHLY TO E-WALLET: The Leadership Title Bonus allows qualifying Distributors at the Monthly Commission Title of Diamond or Emerald Eagles to earn up to $900 per month. o $300 Leadership Title Bonus = For one calendar month, you must achieve the Emerald Eagle Level and generate 30,000 BV in your organization (7 Levels). o $600 Leadership Title Bonus = For one calendar month, you must achieve the Diamond Eagle Level and generate 60,000 BV in your organization (7 Levels). o $900 Leadership Title Bonus = For one calendar month, you must achieve the Diamond Eagle Level, have an additional Emerald Eagle in a third residual leg for, and generate 90,000 BV in your organization (7 Levels). The Leadership Title Bonus will be paid with the Monthly Residual Commissions on the 21st of the month for qualifying sales through the last day of the previous month. o For Example: An Emerald Eagle, who generates 30,000 organizational BV in July, will be paid a $300 Leadership Title Bonus on August 21st. The Leadership Title Bonus will be paid every month thereafter as long as you remain qualified for each bonus with the same requirements each month. o For Example: An Emerald Eagle, who generates 30,000 organizational BV in July, must be an Emerald Eagle again in August generating 30,000 organizational BV to receive the $300 Leadership Title Bonus. You may also receive a lower Leadership Title Bonus based on qualifications. o For Example: A Distributor qualifies for the $900 Leadership Title Bonus for six months. In the seventh month, one of the three Emerald Eagles in the organization does not qualify. As a result, the Distributor would receive the $600 Leadership Title Bonus for the seventh month. 10.
