The Information and Communication Technology Division, Ministry of Post, Telecommunication and Information Technology and Investment Corporation of Bangladesh (ICB) along with the State owned Commercial Banks and financial institutions of Bangladesh have agreed in principle for joint collaboration to build a data Center (DC)/Disaster Recovery Site (DRS) at Jessore Software Technology Park (JSTP), Jessore. The main objectives of the study shall be to carry out an overall feasibility study on market (including demand and supply gap), technical, organizational and financial aspects; indentify the risk factors and recommend the strategy to overcome those factors. The Leveraging ICT for Growth, Employment and Governance Project now invites eligible international consulting firms ( Consultants ) to indicate their interest in providing the Services. The short listing criteria are as follows: The Consulting firm must provide documentary evidence of legal entity and financial stability. The Consulting firm must demonstrate that it has experience and capacity to conduct feasibility study for the development of Data Center Recovery Site. The consulting firm must show evidence of experience in undertaking similar work for a variety of clients such as Governments, and Private sector players in large scale investments. The consulting must show evidence of designing Disaster Recovery/Data Center Recovery sites in compliance with TIER 3/4 data center standard defined by Uptime Institute. Date: 3 July 2014 The consulting firm must show evidence of its human resources experience, capability and skills pertinent to the assignment. The duration of the consultancy service is estimated to be about 6 (six) months commencing from October 2014. The attention of interested Consultants is drawn to paragraph 1.9 of the World Bank s latest Guidelines: Selection and Employment of Consultants under IBRD Loans and IDA Credits & Grants by World Bank Borrowers ( Consultant Guidelines ), setting forth the World Bank s policy on conflict of interest. Consultants may associate with other firms in the form of a joint venture or a sub-consultancy to enhance their qualifications. A Consultant will be selected in accordance with the QCBS method set out in the Consultant Guidelines. Terms of Reference (TOR) of Consultancy Services for Feasibility Study for Building Data Center Recovery Site (DRS) at Jessore Software Technology Park (JSTP) (International) ======================================================================= 1. Background The Information and Communication Technology Division, Ministry of Post, Telecommunication and Information Technology and Investment Corporation of Bangladesh (ICB) along with the State owned Commercial Banks and financial institutions of Bangladesh have agreed in principle for joint collaboration to build a data Center (DC)/Disaster Recovery Site (DRS) at jessore Software Technology Park (JSTP), Jessore. The primary objective of the project is to build a state-of the art Data Center (DC)/disaster Recovery Site (DRS) in Bangladesh to facilitate business continuity and disaster recovery to ICB, Commercial banks, financial institutions and other government/private institutions at home and abroad, In addition, this data center will provide collocation and hosting facility to other firms. Secondly, to establish a viable independent commercial company to be registered with the Registrar of Joint Stock Companies and Firms which will be responsible to operate the DC/DRS. The Company is expected to be a viable one both from technical and financial view point, and shall be sustainable in both Local and Global perspectives. The main objectives of the study shall be to: Carry out an overall feasibility study on market (including demand and supply gap), technical, organizational and financial aspects; indntify the risk factors and recommend the strategy to overcome those factors; 2. Technical Feasibility: a) The consultants/consulting firm (consultants) shall assess the potential viability of the proposed sites for building Data Center (DC)/Disaster Recovery Site (DRS). b) The consultants shall assess the natural disaster risks, manmade disaster risks and adequacy of infrastructure facilities of the location (communication, power, utilities, network connectivity, telecommunication facility etc.) and shall suggest mitigation plan for the identified risks. c) Identify the constraints and strategic advantages of the site, adequacy of space for the project's present and future needs. d) Identify the critical issues to be addressed and propose a detailed plan to develop the site to make it suitable for the project. e) The consultants shall determine capacity requirement and submit a detailed design for a Tier-4 certified data center. Specify the critical components for the system. Data center facility shall have flexibility and scalability. f) Generate detailed specifications of machineries and equipments, cost estimation, and method of budget allocation etc. g) The consultants shall develop a comprehensive design of the building structure, size, floor layout, electrical system design, mechanical design, power supply alternatives, etc.
h) The consultants shall submit estimated real cost of the project component wise and also recommend the schedule of time frame and detailed implementation plan including procurement plan for the project. 3. Financial Feasibility: (a) (b) (c) The consultant shall submit a report on detailed financial feasibility analysis determined the amount of money required element wise as fixed cost and working capital (gross and net) to complete and renning the project with the indication of different sources and costs of financing both long term and short term. The report shall contain the projected financial performance of the company; profitability and viability of the company, including projected financial statements for five years. The financial analysis should also include payback period, Return on Investment (ROI), Net Present Value (NPV), Internal Rate of Return (IRR), Sensitivity Analysis, economic and social cost benefit analysis etc. Suggest low cost/efficient capital structure including initial and long term Authorized and Paid-up capital and suggest strategies for mobilization of funds, local and foreign, having less risks and low cost. 4. In-depth Feasibility: The consultants shall be required to undertake a comprehensive and in-depth study to assess the feasibility of the proposed company for the purpose of operating Data Center (DC)/Disaster Recovery Site (DRS). Based on the above study, the consultant shall suggest: (a) (b) (c) (d) The mission, vision, objectives, guiding principles, functions, management structure, financial, economic and social cost/benefit viability as mention above in accordance with the internationally acceptable parameters followed in such companies; Develop ICT based operational modalities of the company including procedures, workflow for operation of the company; Prepare working manuals for operation of the company; Prepare business plan, including business model and revenue model; Conduct market assessment and segmentation analysis, Determine the thrust and quantum of business, Formulate business plan for the first five years of the company's operations and prospective revenue model, (e) (f) Suggest organization structure and manpower requirement at the different level of the organization; Documentation activities: Formulate business plan for the first five years of the company's operations and prospective revenue model,
Prepare Memorandum & Articles of Association of the company including Board and Committee structure, with due respect to corporate governance guidelines of Bangladesh Securities Exchange Commission (BSEC); Work out a document containing delegation of power/authority at different levels of management of the company; Prepare a draft of the Service Regulations of the company; Prepare drafts of Required Manuals and Systems Work Flow charts of the company; Suggest guideline for Risk Management, Internal Control and Compliance structure and auditing system, including ICT system audit and operational audit of the company; Suggest steps and actions for facilitation of registration & incorporation of the company. Suggest any other actions necessary for smooth operation and management of the company and its future expansion/diversification. (g) Manpower Development/Training Plan for the company; 5. Miscellaneous Work: Formulate organizational structure and manpower requirement for first 5 years; Design a chart of 10 top executives, including CEO and DCEOs, indicating requirement of their candidatures, job descriptions, role and responsibilities; Conduct training needs assessment and design training activities, preferably with suggested plans and modules for in-house training, training to be imparted in local institutions and foreign institutions; Suggest possible arrangement of fund and technical assistance for conducting the training under the combination of different arrangements. Additional works as may be required and decided by the authority in consultation with consultants during the tenure of the proposed consultancy work. However, no such work should involve any significant amount of time or intellectual exercise calling for any additional fee/honoraria. 6. Special Note: The consultants should give maximum importance to energy efficiency propositions all the way of giving recommendations in the study. The consultant may, at the time of submission of the EOI, suggest any imoprovement of the above TOR for more efficient and effictive feasibility study.they are also allowed to propose different approaches and methodologies, if found more apporpriate, for efficient carrying out of the study for setting up proposed DC/DRS at Jessore. 7. Duration of Works:
The entire consultancy work including submission of reports, documents etc. shall be completed within 6 (six) months from the date of awarding Work Order.
