1 NORTHWEST IOWA POWER COOPERATIVE Le Mars, Iowa Renewable Energy Purchase Rate This Power Purchase Rate is available to Members that meet the following Eligibility Criteria. The objective of this rate is to specify the qualification criteria and define the rate NIPCO will pay the Members or member-consumers for delivery of renewable energy, which is energy from Member or member-consumer owned generation facilities. For the purpose of this Rate, renewable energy shall include only that energy produced from wind, solar (including onsite solar battery storage), hydro, or biomass, which would normally qualify under Federal renewable portfolio standards (if adopted). Biomass may include animal waste, agricultural crops and byproducts and byproducts of timber processing. This rate schedule does not modify the all-requirement purchase obligation of the Member as outlined in the all-requirement contract between NIPCO and the Member. Eligibility Criteria 1. The requesting Member must have an all-requirements contract with NIPCO. For those Members with multiple power supply arrangements, this rate applies only to that portion of their system receiving all-requirements power supply from NIPCO. 2. The renewable energy generation must be located on the Member distribution system. 3. The total generator nameplate capacity of the renewable energy generator(s) qualifying for this rate may not exceed a total of 150 kw for a single site or load at this site, whichever is less. Exception to the load restriction is a Member project. In addition, any type of net billing/metering agreements shall be limited to a size of 50 kw at a single site. 4. Renewable energy purchased under this rate may not receive payment pursuant to NIPCO s policy for administering the Public Utility Regulatory Policies Act of 1978 (PURPA). 5. The consumer-owned or Member-owned renewable generation purchased by NIPCO under this rate shall be considered a Basin Electric point of delivery. The demand and energy shall be assumed equal to zero for determining NIPCO billing quantities under Rate Schedule A. 6. The Member shall be responsible for any and all costs of accepting and distributing the generation output for resale to their Member load and NIPCO shall not be responsible for any incremental transmission expenses as result of this power purchase. 7. The Member and/or the member-consumer shall hold NIPCO harmless from any liability to itself or third parties arising out of the operation of the renewable energy facility and resulting energy and the M e m b e r a n d / o r member-consumer shall be responsible for all costs in ensuring the renewable energy can be connected to, or isolated from the electrical grid.

Except as permitted per Section 9 of this Rate, all renewable energy purchased under this rate shall include any environmental attributes (renewable energy credits) associated with the environmental character of the generation. NIPCO shall receive ownership of those renewable energy credits and shall have the right to remarket the renewable energy credits. For the purpose of this rate, environmental attributes and/or renewable energy credits shall not include Federal income tax credits for renewable energy that are accruable to the owner of the renewable energy facility. 9. The member-consumer shall be allowed a onetime election at the time of rate application to retain all environmental attributes (renewable energy credits) associated with environmental character of generation. If the member-consumer chooses to retain these environmental attributes the rate shall be reduced by 5 Mills/kWh. 10. The attached Small Renewable Energy Purchase Rate Application (Exhibit 1) must be completed and a corresponding Power Purchase Agreement must be executed by the Member and member-consumer requesting NIPCO to purchase renewable energy pursuant to this rate. 11. NIPCO will purchase and pay for only that renewable energy delivered to the distribution system. Renewable energy generated by a Member facility and contractually owned by specific member-consumer(s) shall be excluded from this rate. 12. NIPCO shall review and approve or disapprove the use of this rate and qualification term for each renewable energy purchase. 13. This rate will be made available only to the extent the quantity of renewable energy to be purchased under this rate does not cause Basin Electric to exceed its maximum threshold under this rate classification. Once a facility has been qualified and accepted, it shall continue to receive the rate for Commitment Term defined in the Renewable Energy Purchase Rate Application. 14. Commitment Term shall be for a two (2) year initial term with a one (1) year automatic renewal unless terminated by either NIPCO or Member giving the other not less than three (3) months' written notice of its desire to terminate and the maximum number of automatic renewals shall be as mutually agreed. 15. The application of this rate and purchase of renewable energy must be allowed by state law, without subjecting NIPCO, the Member or the member-consumer to additional regulation and/or obligation. In the event state law results in the additional regulation or obligations to any party, qualification under this rate is null and void and all parties are released from the obligations of this rate irrespective of the Commitment Term. Payment Rate 1. Renewable Energy Payment Rate. 50 Mills/kWh for the Commitment Term 2. Billing. Payment for Renewable Energy purchase shall be in the form of a payment by NIPCO. 8/1/14
4 Metering and Remote Control Requirements: 1. The member-consumer shall be responsible for all metering costs. The meter shall be electronically read by the Member. 2. Metering for the consumer-owned renewable energy facility shall be such that all power delivered to the grid (net of the member-consumer s use) from the consumer-owned generation shall be metered separately from power delivered from the Member to the member-consumer. The meter measuring power delivered to the member-consumer shall not permit reduction of measured power already delivered to the member-consumer during periods when the renewable energy generation exceeds the member-consumer s demand (the meter may not run backwards). 3. Energy metering shall be required for all facilities. All meters shall be tested and calibrated by the Member 4. Failure of the member-consumer to provide the foregoing metering requirements will result in forfeiture of the Renewable Energy Payment. 5. In the event of a metering equipment malfunction, NIPCO will assume no consumer-owned renewable energy was provided to the electrical grid during the period of equipment malfunction or failure. 8/1/14
