2 TD AMERITRADE Executive Management Team Joe Moglia Chief Executive Officer Joe Moglia has been CEO since March 2001, and his leadership has strengthened the Company by focusing on clients, shareholders and associates. Moglia s team has capitalized on eight merger and acquisition opportunities, including the two largest in the industry, TD Waterhouse in January 2006 and the merger with Datek in September He joined the Company after having spent 17 years at Merrill Lynch, where he was a member of the executive committees for both the institutional business and the private client business. Moglia is a member of the board of directors of TD AMERITRADE, AXA Financial, Inc., Creighton University and the National Italian American Foundation, and a member of the STRATCOM Consultation Committee. Prior to entering the financial services industry, Moglia was the defensive coordinator for Dartmouth College s football team, capping a 16-year coaching career. In 2005, Moglia authored the book titled, Coach Yourself to Success: Winning the Investment Game, explaining the essential principles of investing. He holds a master s degree in secondary education from the University of Delaware and a bachelor s in economics from Fordham University. Chris Armstrong Executive Vice President, Client Group Chris Armstrong is responsible for the retail, institutional, sales, investment specialist and client experience functions at TD AMERITRADE, as well as marketing, mergers and acquisitions, strategy processes and business planning. He previously served as acting president and chief executive officer of TD Waterhouse USA and chairman, president and chief executive officer of TD Waterhouse Bank. Before this, Armstrong served as executive vice president and chief marketing officer for TD Bank Financial Group (TDBFG). He joined the bank in 2000 from Canada Trust where he was executive vice president of marketing. Previously, Armstrong held a number of executive positions, including executive vice president of marketing for First Interstate Bank, executive vice president of marketing for MNC Financial Inc. and vice president at Citibank. Before entering the financial services arena, Armstrong was staff vice president of strategic planning for The Hertz Corporation, a general manager for PepsiCo, Inc. and a financial analyst for Ford Motor Company. Armstrong received his bachelor's degree from the University of Virginia and earned an M.B.A. with honors from American University. Tom Bradley President, TD AMERITRADE Institutional Tom Bradley oversees TD AMERITRADE s institutional business and has over 20 years of experience in the financial services industry. He joined the Company from TD Waterhouse, where he was responsible for TD Waterhouse s U.S. independent advisor services, correspondent clearing and capital markets businesses. Prior to joining TD Waterhouse, Bradley was a financial advisor with Northwestern Mutual Life and RW Baird & Co. He received his B.S. in business administration, with a concentration in finance, from the University of Richmond, E. Claiborne Robins School of Business. He has earned the Certified Fund Specialist (CFS) designation and holds Series 4, 7, 8, 24, 53, 63 and 65 securities licenses.

3 John Bunch President, Retail Distribution John Bunch is responsible for retail sales, which includes the branch office network, the New Account Sales Team and the Guidance Solutions Team at TD AMERITRADE. Previously, he served as the executive vice president of branch distribution for TD Waterhouse, where he oversaw the nationwide retail branch network. Prior to joining TD Waterhouse, Bunch held numerous management positions in a 14-year career with Charles Schwab & Co., including divisional senior vice president, senior vice president for advice marketing and product development, and senior vice president of development and training. Bunch holds his Series 7, 8, 24 and 63 securities licenses. Michael Chochon Managing Director of Finance, Treasurer Michael Chochon directs all finance operations at TD AMERITRADE and is also responsible for the capital structure, liquidity, balance sheet management, risk reporting and external banking and rating agency relations for the Company. Before joining the Company in 2003, Chochon served in several management roles with E*Trade Group, including interim CFO of a business acquired by E*Trade, treasurer and director of tax and treasury. He also served in corporate tax and treasury positions at Ernst & Young, Oracle Corporation and Iomega. He serves on TD AMERITRADE s Disclosure, Regulatory Reporting, Brokerage Risk, Securities Lending Credit and 401(k) committees, as well as the Securities Industry and Financial Markets Association s (SIFMA) Treasury Steering Committee and holds a Series 27 license. Chochon received his B.B.A. in accounting from the University of Nebraska-Lincoln. Bryce Engel Senior Vice President, Chief Brokerage Operations Officer Bryce Engel oversees retail client service and support, institutional operations and clearing operations at TD AMERITRADE. Previously, he served as vice president and managing director of Ameritrade Clearing where he oversaw all clearing operations, including order routing, processing and settlement. Engel has held a variety of roles in his 10-year tenure with the Company, including the leadership of call center operations and Ameritrade Clearing. He also played a lead role in the integrations of Datek and National Discount Brokers and was chosen to serve on the Options Clearing Corporation board of directors in February Bryce graduated with a B.A. in finance from the University of Nebraska-Lincoln. Wayne Ferbert Vice President, Business Development Wayne Ferbert oversees business development and new market expansion at TD AMERITRADE. Upon joining the Company in 1999, Ferbert led the client solutions group and managed the discretionary development project pipeline and enterprise project management for all strategic initiatives. He was a leader in the IT integration for the merger with Datek in 2002, in addition to directing the Company s discretionary development budget, business planning, product development and business development. Previously, he was a project manager at TenFold, an enterprise software development firm. Ferbert also led program management teams at KPMG and the St. Paul s Company. He holds an M.B.A. from Loyola College in Maryland and a B.S.B.A. from Bucknell University.

4 Karen Ganzlin Chief Human Resources Officer Karen Ganzlin is responsible for the overall management of human resources functions at TD AMERITRADE, including associate relations, compensation and benefits, organizational development, recruiting and training. Prior to joining the Company in 2005, Ganzlin was the senior vice president of human resources in wealth management with TD Bank Financial Group (TDBFG). She held numerous senior management positions at TDBFG, including vice president of group human resources, vice president of group operations and director of branch services operations, as well as administrative management positions within the commercial branch network in Alberta. She received her B.A. in economics from the University of Calgary and completed the Executive Development Program from Kellogg Graduate School of Management, Northwestern University. Laurine Garrity Senior Vice President, Chief Marketing Officer Laurine Garrity leads marketing strategy, as well as advertising, brand and database management and client marketing, at TD AMERITRADE and previously led the Company s marketing program development group and direct mail and efforts. Prior to joining the Company in January 2005, Garrity held a number of executive and management positions at the Dreyfus Corporation in New York, Founders Asset Management, LLC, in Denver and INVESCO Funds Group in Denver. She has also held media planning and account management positions at advertising agencies in Denver and New York. Garrity is a graduate of Barnard College, Columbia University in New York and holds her Series 7 and 24 licenses. Bill Gerber Senior Vice President, Chief Financial Officer Bill Gerber oversees investor relations, finance and treasury operations, including accounting, business planning and forecasting, external and internal reporting, tax, procurement and risk management. He previously served as the Company s managing director of finance, playing a major role in evaluating merger and acquisition (M&A) opportunities for the Company, including TD Waterhouse, Datek Online Holdings and National Discount Brokers. He joined the Company in 1999 from Acceptance Insurance Companies Inc., where he was responsible for all aspects of M&A, investment banking activity, banking relationships, investor communications and portfolio management. Prior to joining Acceptance Insurance, Gerber spent eight years with Coopers & Lybrand, now known as PricewaterhouseCoopers, serving as an audit manager, primarily focusing on public company clients. He holds a B.B.A. in accounting from the University of Michigan. Dave Kelley Senior Vice President, Investor Group Dave Kelley is responsible for the development and growth of TD AMERITRADE s investor business, overseeing the development and delivery of products, tools and services that help self-directed investors achieve their financial goals. Prior to joining TD AMERITRADE in 2006, Kelley spent 19 years at Merrill Lynch where he held a number of senior management positions including: controller for the National Sales Division; director of finance, administration, technology and operations for the Investment Strategy and Product Group; director of technology and strategy for the Global Private Client group; chief technology officer for data centers; and corporate chief technology officer. Kelley received a B.S. degree in commerce, as well as his M.B.A., from Rider University. He is also a CPA in the state of New Jersey.

5 Ellen Koplow Executive Vice President, General Counsel, Secretary Ellen Koplow is responsible for the overall management of the legal and compliance function of the Company and its subsidiaries, and has administrative oversight of internal audit functions. She also serves as secretary of the corporation. In May 1999, Koplow joined Ameritrade as deputy general counsel. In November 2000, she was named acting general counsel and in June 2001 accepted the position of general counsel. Prior to joining the Company, Koplow was managing principal of the Columbia, Maryland, office of Miles & Stockbridge P.C. Koplow graduated cum laude from the University of Baltimore School of Law and has a B.A. from the University of Maryland. Katrina Becker Managing Director, Communications & Public Affairs Katrina Becker oversees the communications strategy, as well as brand and reputation management programs at TD AMERITRADE. In addition to building public relations, financial and internal communications initiatives, Becker has created and implemented effective communication programs for eight merger and acquisition (M&A) transactions for the Company. Becker joined the firm in 2000 as the partnerships and alliances manager in Ameritrade Marketing. Prior to joining the Company, she managed all trade support operations, including client services, for Trade Group Inc., a multi-commodity trading division of ConAgra Foods. Becker holds a bachelor of science degree in Agriculture Business from Kansas State University. John Langwith Managing Director, Office of Strategy Management John Langwith works with the Office of the Chief Executive at TD AMERITRADE on processes that drive strategy development, execution and measurement. He previously served as vice president of finance for the Company s client-facing divisions and the private client, marketing and product development groups. Langwith joined the Company in 1999 from Fidelity Investments, where he spent seven years serving in various roles, including director of electronic channels and director of finance. He also spent 11 years with First City Bancorporation, where he was a senior vice president with responsibilities for finance, human resources and various operational departments. He received his B.A. in economics from The George Washington University and attended the Graduate School of Business at The University of Texas at Austin. He is also a certified public accountant. Bill Murray Managing Director, Investor Relations and Communications & Public Affairs BBill Murray oversees investor relations, as well as the Company s internal and external communications efforts, and is responsible for managing relationships with institutional and retail investors at TD AMERITRADE. Murray s primary focus is to communicate the firm s strategy, financial performance and outlook, and competitive differentiators to the investor community. Prior to joining the Company, Murray spent 18 years at Merrill Lynch as senior managing director, first vice president in the Private Client Group, focusing primarily on finance and administration. Prior to Merrill Lynch, he spent 12 years serving as the CFO for the Consumer Services Group worldwide and the firm s Swiss operations. He also spent time at PricewaterhouseCoopers New York, where he was a senior accountant and a certified public accountant. Murray received a B.A. degree in accounting from Bloomsburg University.

6 Jay Pestrichelli Senior Vice President, Active Trader Group Jay Pestrichelli oversees the deployment of initiatives affecting the Active Trader segment at TD AMERITRADE, including business planning, internal metrics and management reporting, as well as the integration and management of client experience standards and service levels throughout the Company. Under his direction, the Company has become an industry leader in the execution of daily online retail trades and delivered innovative tools that help traders spot and act on market trends. Prior to joining the Company, Pestrichelli served as vice president of general customer support for Datek Online Holdings until Ameritrade merged with that Company in Following the merger, Jay became the Director of Client Services and Technical Support for Ameritrade. He holds a B.A. degree in behavioral science from Concordia College, as well as his Series 7, 63, 24 and 4 licenses. Fred Tomczyk Executive Vice President, Chief Operating Officer Fred Tomczyk is responsible for all operations, technology and retail sales functions at TD AMERITRADE. Prior to joining the Company, he was the vice chairman of corporate operations of TD Bank Financial Group (TDBFG) and had responsibility for several business units, including human resources, legal, internal audit and technology. In previous roles, he led the bank's retail branch network and wealth management operations. Prior to joining TD, Tomczyk was the president and chief executive officer of London Life. Tomczyk is a member of Cornell University's Undergraduate Business Program Advisory Council and is a member of the board of directors of Robarts Research Institute, Meloche Monnex, Inc. and Symcor, Inc. He also serves on the executive committee of the Canadian Bankers Association. Tomczyk holds a bachelor's degree in Science, Applied Economics and Business Management from Cornell University.
