9 Terms & Conditions Northern Law Awards 2015 Sponsorship Terms and Conditions In these terms and conditions the term 'Sponsor' means any company, firm or person who has agreed to sponsorship, or any agent, representative or employee of the sponsor. 1. INFORMATION SUPPLIED Information supplied by the organisers in relation to any event is accurate to the best of their knowledge and belief but shall not constitute any warranty or representation by the organisers and any inaccuracy or mistake therein or omission there from shall not entitle the sponsor to cancel his sponsorship. 2. APPLICATION FOR SPONSORSHIP All sponsorships will be awarded on a first-come, first-served basis. The organisers retain the right to reject any sponsor that it deems inappropriate. Sponsors are allowed to offer pledges for single or multiple items. 3. CANCELLATION The organisers shall have the right to refuse cancellation of any sponsorship by the sponsoring company. Tables bookings are non refundable although tickets are fully transferable. 4. REQUEST FOR MATERIAL After written acceptance by the organisers the sponsor must provide the sponsorship funds, logo image (in the format required by the organisers) and other details required (such as correct use of the sponsor's name, trademarks etc) to the organisers within 30 days of receipt of acceptance. 5. PAYMENT All payments due are in UK Pounds Sterling, by cheque or BACS. Payment must be made in full within 30 days of date of invoice. 6. BRANDING No signs or other materials may be pasted, nailed, or otherwise affixed to walls, doors or other surfaces in a way that mars or defaces the premises or equipment and furnishings. Damage from failure to observe this notice is payable by the sponsor. 7. SIGNAGE For sponsorship opportunities that include signage please note - Signage space may be limited. The event organisers will inform each sponsor of the maximum size, number of signs etc.. 8. LOGO REPRESENTATION In order to limit costs the organisers may in some cases limit the number of colours used for the printing of sponsor logos. 9. COPYRIGHT The sponsor warrants that the sponsor owns the copyright of any materials provided to the organisers in relation to the sponsorship and will indemnify the organisers against any claim arising from the publication thereof. The sponsor also grants the organisers the license to reproduce, display and transmit the material in electronic form on the website and to use screen shots of the sponsorship to market and advertise itself.

10 Terms & Conditions 10. NO WARRANTY The organisers do not warrant that delivery of the organiser's services or sponsorships hereunder will be error-free, uninterrupted or continuous. In no event shall the organisers be liable under this agreement for any consequential, special, indirect, exemplary, punitive, or other damages, including but not limited to, damages for loss of data, lost profits, loss of business. 11. LIMITATION OF LIABILITY The organisers will not be liable for damage or loss to a sponsor's property through fire, theft, accident, or any other cause, whether the result of negligence or otherwise. The organisers may require any artwork, materials or information to be amended and may shorten the information provided. The organisers will not be held liable for any loss of photographs, copy, artwork or any other materials provided. The organisers shall not be liable for any errors in content or omissions. Should an error appear in an advertisement, the organiser's liability will be limited to the cost of the advertisement. The organiser shall not be liable for its failure to perform hereunder due to any contingency beyond its reasonable control, including accidents, labour disputes or shortages, acts of God, fires, floods, wars, sabotage, government laws, ordinances, rules and regulations, inability to obtain material and any other similar or different contingency. The organiser makes no warranty that the service will meet the objective, needs or requirements of the sponsor and or advertiser or its agent, nor that the service will be uninterrupted, timely, secure, or error free. The organiser does not make any warranty or representation as to the use or the results that may be obtained from the use of the service. 12. NO ASSIGNMENT OR RESALE The sponsor and or advertiser or agent may not resell, assign or transfer any of its rights hereunder, and any attempt to resell, assign or transfer such rights will entitle the organisers to terminate the sponsorship and advertising contract immediately, without liability on the part of the organiser. 13. MISCELLANEOUS The organiser reserves the right to make changes to this agreement at any time. The organiser also reserves the right to modify or discontinue the Service, temporarily or permanently, without notice to you. You agree that the organiser shall not be liable to you or any third party for any modification to or interruption, suspension or termination of the Service. Nothing under these Terms and Conditions limits the organiser's liability for any fraudulent statement or for personal injury or death caused by the organiser's negligence. If any provision of the Terms and Conditions is held by any competent authority to be invalid or unenforceable in whole or in part the validity of the other provisions of the Terms and Conditions and the remainder of the provision in question shall not be affected. 14. JURISDICTION These terms and conditions shall be construed & governed by English law
