1 Effective Date of this Endorsement: Endorsement No. Company: Chubb Insurance Company of Europe SE To Be Attached To & Form Part of Policy No. Issued To: It is agreed that, in order to assist the Policyholder in reducing its exposure to Loss, the Company will co-invest in the cost of the following ForeSight from Chubb services, which the Policyholder may obtain during the Policy Period: (a) (b) (c) (d) (e) (f) Free periodicals and updates on employment law matters from the Employment Department of law firm, Lewis Silkin; 15 minutes of free consultation per matter on up to 4 separate employment-related matters during the Policy Period via a trouble-shooting hotline administered by the Employment Department of law firm, Lewis Silkin; Occasional invitations to attend free seminars and presentations conducted by the Employment Department of law firm, Lewis Silkin, covering topics related to cover under this Policy; Legal compliance audits by the Employment Department of law firm, Lewis Silkin, of the Policyholder s human resources policies and practices, including but not limited to the development or review of employee handbooks, harassment policies and complaint procedures, equal opportunity initiatives, and policies on performance, redundancies and discipline; Training programmes and workshops with the Employment Department of law firm, Lewis Silkin, on employment law matters, including but not limited to such topics as avoiding discrimination claims, handling dismissals and compliance with current and future European Union and UK employment laws, all with a focus on loss prevention; Advice and counselling by the Employment Department of law firm, Lewis Silkin, on matters which have the potential to become a claim under the cover afforded by this Policy; provided, however, that: (i) (ii) (iii) fees shall be charged to the Policyholder by Lewis Silkin for the services described at (d), (e) and (f) above at rates to be agreed between the Policyholder and Lewis Silkin; and the co-investment by the Company shall take the form of a reduction in the Policyholder s subsequent renewal premium by an amount equal to 50% of the fees paid by the Policyholder for the services described at (d), (e) and (f) above (which fees must be evidenced by production to the Company of Lewis Silkin s invoices), and such co-investment in respect of any one or all of the above ForeSight from Chubb services shall always be subject to a maximum amount equal to 10% of the current Policy Period premium. The Policyholder accepts that the Company shall have no responsibility for, or liability arising out of, advice or services provided by Lewis Silkin. ALL OTHER TERMS AND CONDITIONS REMAIN UNCHANGED. 2 Dear Policyholder EMPLOYMENT ADVICE HELPLINE Chubb is pleased to inform you, as a policyholder with Employment Practices Liability cover, of the Employment Advice Helpline and other benefits as part of our ForeSight from Chubb loss minimisation services. We have arranged for Lewis Silkin, one of the UK s leading employment law firms, to provide these services, which include: Employment advice helpline up to 15 minutes free employment legal advice on four separate matters from one of Lewis Silkin s employment specialists. Publications regular, free publications on employment legislation Your Chubb policy may entitle you to a contribution of up to 50% towards the following: Advice and counselling Legal compliance audits Strategy meetings Training programmes Workshops To confirm that you would like us to pass your details to Lewis Silkin so that you have access to the above services, please return the attached form to Richard Eveleigh or else reveleigh@chubb.com The attached pages describe the ForeSight from Chubb loss minimisation services provided by Lewis Silkin in more detail. 4 ForeSight from Chubb loss minimisation services provided by Lewis Silkin your consultant on Employment Practices Liability Lewis Silkin is one of the leaders in the field of employment law in the UK. Their clients include a wide range of businesses, from multinational companies and other household names to established family companies. They range, for example, through public sector organisations, housing associations, telecommunication and computing companies, major retailers, leading media and advertising companies to public utilities. At the prestigious Lawyer Magazine Awards 2000, Lewis Silkin s Employment Department, which comprises around 30 specialist lawyers, won the Employment Team of the Year Award. The Lawyer commented Lewis Silkin appears to be carving out a niche as the lawyers employment lawyers working for highly discerning clientele who are able to recognise high quality work. The team s expertise and reputation is confirmed in other leading independent guides to the legal profession, such as The Chambers Guide and the Legal 500, which consistently rate Lewis Silkin among the leaders in the field. What does Lewis Silkin offer Chubb policyholders with EPL cover? Helpline free legal advice Chubb policyholders with Employment Practices Liability cover will be entitled to up to fifteen minutes free employment advice on each of four separate matters from one of Lewis Silkin s specialist employment lawyers. You can telephone the dedicated Lewis Silkin/Chubb helpline number between 9.30 a.m. and 5.30 p.m. on normal working days. Your call will be answered by one of the Employment Department secretaries who will ask you some questions to confirm your identity and eligibility. Please have your policy details to hand. You will then be put through to one of the lawyers in the Department. Please note that if your query concerns a special sub-area (e.g. health and safety) arrangements may be made for your call to be returned by a lawyer with special knowledge of that subject. The lawyer will advise you when the first fifteen minutes is about to expire. You may continue to be advised after the expiry of the first fifteen minutes, but you will then be responsible for the fees in respect of that additional advice, which will depend on the time taken and charge-out rate of the relevant lawyer. However, if that additional advice is on a matter that has the potential to become a claim under your EPL cover with Chubb, you may be able to obtain a reimbursement of up to 50% of those additional fees under the terms of the policy. If you believe the lawyer will need to consider any documents to advise you, you should arrange with the Lewis Silkin secretary with whom you first speak for these to be sent through to the lawyer. You should then arrange a time to discuss your issue. Any time taken by the lawyer to consider the documents counts towards the total time involved in providing the advice and so may use up some or all of the first fifteen minutes. You should consider the terms of your policy and speak to your broker for more details. Any questions about the helpline service should be addressed to your broker.

5 You will receive, free of charge, Lewis Silkin s quarterly, award-winning publication, Employment Newsnotes, and regular updates on employment law developments. Your Chubb EPL policy may entitle you to a contribution of up to 50% towards the cost of the following services from Lewis Silkin: Advice and counselling on matters which have the potential to become a claim covered by your EPL cover Legal compliance audits of your human resources policies and practices Strategy meetings to discuss forthcoming developments in employment law and how your organisation might prepare and respond proactively Key manager training programmes, which are bespoke in-house training sessions designed for the needs of managers who are on the personnel front-line, including sessions on avoiding discrimination claims, handling redundancies and dealing with disciplinary and performance issues such as the conduct of disciplinary hearings Law and policy workshops where a lawyer will come to your place of business for an informal workshop discussion of employment problems you wish to raise. Again, you should consider the terms of your policy and speak to your broker to check on your entitlement. To claim from Chubb any reimbursement to which you are entitled, you will need to show Lewis Silkin s bills when you seek renewal of your policy. If a bill contains details you do not wish Chubb to see, Lewis Silkin will issue an amended version, but which will have to give sufficient information for Chubb to judge that the service billed qualifies for reimbursement. It is a condition of use of the services described here that, by using the services, a policyholder confirms Chubb has no responsibility for any of the advice or services provided by Lewis Silkin.
