5 Chairman of the NISC Board of Directors Mr. Campbell is President and Founder of DC Capital Partners, LLC, a private equity firm with offices in Washington D.C. and Alexandria, VA, which focuses on investing in the defense and federal sectors. He has over 20 years of private equity, investment banking and merchant banking experience. Before founding DC Capital Partners, he was a partner of Veritas Capital from 1992 through 2006 having been Co-Founder of The Veritas Capital Fund LP and one of the two Managing Members of the successor fund, The Veritas Capital Fund II. Prior to that time he was a senior and founding member of the Merchant Banking Group of Wasserstein & Perella Co., Inc. Before joining of Wasserstein & Perella Co., Inc. at its inception in 1988, Mr. Campbell was an officer of Manufactures Hanover Trust Co., where he was a member of the Acquisition Finance Group which was responsible for originating, structuring, and syndicating leveraged loans for such notable sponsors as KKR, among others. He began his business career in 1980 as a staff accountant at Coopers and Lybrand where he advanced to the position of tax manager, CPA, before his departure. Mr. Campbell has been responsible for the sourcing, negotiating, structuring, closing and monitoring of numerous investments and has served as a member of the Board of Directors for these companies including, but not limited to, Pneumo Abex Corporation, HITCO Technologies, Inc., Integrated Defense Technologies, Inc., TRAX Microwave, Inc., Vertex Aerospace Corporation (formerly "Raytheon Aerospace"), DynCorp International Inc., Continental Electronics Inc., Enterprise Electronics Inc., Athena Innovative Solutions Inc., McNeil Technologies Inc., and Trawick Associates Inc. He previously served as Chairman of the Board of Trustees of Fordham Preparatory School. Kara L. Bue Kara L. Bue is one of five founding partners of Armitage International, LLC. Ms. Bue also is the President of Key Bridge, Inc. a woman-owned corporation focused on consulting and government services. Previously, Ms. Bue served as Deputy Assistant Secretary of State for Regional Stability within the Bureau of Political-Military Affairs (PM). Prior to her position within PM, she served for nearly two years as Special Assistant to former Deputy Secretary of State Richard L. Armitage. During that time, Ms. Bue advised the Deputy Secretary on international security, counter terrorism, and South Asia matters. Before her federal service, Ms. Bue was a corporate and securities lawyer, with a specialty in financial services law. As an adjunct to her law practice, she participated, on a pro bono basis, in studies sponsored by the Center for Strategic and International Studies on the legal aspects of homeland defense. Ms. Bue is a graduate of Brown University (A.B., 1986) and Loyola Law School, Los Angeles (J.D., 1993). She is admitted to practice law in California and the District of Columbia. Ms. Bue also serves as the Military Outreach Fellow for the Center for U.S. Global Engagement. James J. Cava, Jr. James J. Cava, Jr., CPA, is a strong and innovative finance professional who is skilled in finance, tax, audit, and transaction structuring. Mr. Cava served as Chief Financial Officer of Information Manufacturing Corporation (IMC) from 1999 through 2007, when he moved to IMC's parent company, NISC. Prior to joining IMC, Jim was a partner at Smith, Cochran, and Hicks, managing their Bridgeport WV office. Other positions he held include Senior Tax Accountant at Friedman and Fuller (now American Express) and Staff Accountant at Kaufman, Rosenblum, Shapiro, and Mostow. Jim is a member of the West Virginia Board of Banking and Financial Institutions, and a board member of the West Virginia Capital Corporation. He is a founding member of the West Virginia University's Institute of Technology Research and Development Corporation. Jim also serves on the boards of several corporations. Mr. Cava earned a B.S. in Business from Fairmont State College, and a M. S. in Taxation from The American University. Ambassador Henry A. Crumpton Ambassador Henry A. Crumpton is the President of Crumpton Group, LLC, a consulting firm advising companies on global risk and opportunity, a director of Argan, Inc., and a Distinguished Fellow at the EastWest Institute. With the rank of Ambassador-at-Large, he served as the Coordinator for Counterterrorism at the US Department of State from August 2005 until February Working directly for the Secretary of State, he developed, coordinated, and implemented US counterterrorism policy in Washington DC and abroad. Ambassador Crumpton joined the Central Intelligence Agency in 1981 as a Clandestine Service operations officer. For most of his 24 year career he operated in the foreign field, including assignments as Chief of Station.
8 Ambassador Crumpton is the recipient of numerous awards, and is a contributing author to Transforming U.S. Intelligence (2005). Ambassador Crumpton received a B.A. in Political Science from the University of New Mexico and a Masters in International Public Policy, with honors, from Johns Hopkins University's School of Advanced International Studies. Gail Dady Ms. Dady is a Partner at DC Capital Partners. Previously she served as a Principal at Veritas Capital. Ms. Dady managed the Washington D.C. office of Veritas Capital where, in addition to making and monitoring investments, she acted as liaison to government and industry, and assisted in the creation and execution of business development initiatives for portfolio companies. Prior to joining Veritas Capital, Ms. Dady worked as a consultant with The SPECTRUM Group, a leading defense industry consultancy, advising clients engaged in the defense and aerospace sectors on strategic and business development issues. Ahead of that, she served as a Managing Director of Quarterdeck Investment Partners, Inc. ("Quarterdeck"), a leading boutique investment banking firm specializing in the aerospace, defense and technology sectors. Ms. Dady was responsible for managing such firm's M&A advisory practice and also for establishing its Washington, D.C. office. Prior to Quarterdeck, Ms. Dady served for 20 years in the United States Navy ( ), attaining the rank of Commander. During the latter part of her naval career, she enjoyed notable assignments with the Chairman of the Joint Chiefs of Staff and the Commander of Allied Forces Southern Europe. Ms. Dady is a member of the Council on Foreign Relations and serves on the Board of Directors of the National Guard Youth Foundation, overseeing the Foundation's National Awareness Campaign and chairing the Scholarship Committee and the Grant Committee. She is a member of the Board of Directors of the Institute for World Affairs and currently serves on the Board of Directors of the National Interest Security Company, LLC, Elite Training & Security, LLC, and The SPECTRUM
9 Group. Ms. Dady holds a B.A. in Political Science from East Tennessee State University and an M.A. in International Relations from the Fletcher School of Law and Diplomacy at Tufts University. Ms. Dady served as a Federal Executive Fellow at the Center for International Affairs at Harvard University. General Michael W. Hagee, USMC (Ret.) General Michael W. Hagee, a native son of Fredericksburg, Texas, joined the U.S. Navy in Graduating with distinction from the United States Naval Academy in 1968, he received a commission in the U.S. Marine Corps as an infantry officer. He retired as Commandant of the Marine Corps in During almost 39 years of service he held numerous command assignments as well as executive assistant to the Deputy Secretary of Defense and executive assistant to the Director of the Central Intelligence Agency. He currently serves a director on several boards of directors of major U.S. companies and non-profit organizations. General Hagee holds a bachelor's degree in electrical engineering from the U.S. Naval Academy, a masters degree in electrical engineering from the U.S. Naval Postgraduate School and a masters degree in national security studies from the U.S. Naval War College. Chuck Hagel Former U.S. Senator Chuck Hagel is a seasoned leader with a history of great success in the government, military, and private sector. His many years of extensive experience give him a broad perspective that makes him an outstanding addition to our company's Board. Since retiring from the Senate, Hagel was elected Chairman of the Atlantic Council of the United States, serves on the Advisory Board of Corsair Capital, is a Director of Wolfensohn & Company, is a Senior Advisor to McCarthy Capital Corporation, and is a member of Pfizer s Emerging Markets Advisory Board. He has also recently joined
10 Georgetown University and the University of Nebraska at Omaha as a Distinguished Professor. Chuck Hagel served two terms in the United States Senate ( ) representing the state of Nebraska. He was a senior member of the Senate Foreign Relations; Banking, Housing and Urban Affairs; and Intelligence Committees. Hagel chaired the Foreign Relations International Economic Policy, Export and Trade Promotion Subcommittee; the Banking Committees International Trade and Finance; and Securities Subcommittees. He served in the U.S. Army infantry and is a highly decorated Vietnam War veteran, receiving the Vietnamese Cross of Gallantry, two Purple Hearts, the Army Commendation Medal, and the Combat Infantryman Badge. General Michael Hayden, USAF (Ret.) General Michael Hayden has a long and distinguished career in the US Air Force and in the intelligence community. Prior to becoming Director of the Central Intelligence Agency, General Hayden was the Principal Deputy Director of National Intelligence, the first person to serve in that position. General Hayden also served as Director, National Security Agency, and Chief, Central Security Service. General Hayden has served as Commander of the Air Intelligence Agency and as Director of the Joint Command and Control Warfare Center. He has also served in senior staff positions at the Pentagon, Headquarters U.S. European Command, National Security Council and the U.S. Embassy in the People's Republic of Bulgaria. The general has also served as Deputy Chief of Staff, United Nations Command and U.S. Forces Korea. Robert F. Hytner Robert F. Hytner was the founder and CEO of Information Manufacturing Corporation (IMC) from 1998 until its sale to NISC in Rob is a 25+ year veteran of the Washington, D.C. metropolitan area consulting industry. Before founding IMC he was the COO at ADI Technology Corporation. Dr. Donald Kerr Dr. Donald Kerr has 40-plus years of experience and leadership in the Intelligence Community, Federal law enforcement, and the Department of Energy. In 2007, he was confirmed by the Senate as Principal Deputy Director of National Intelligence. Prior to his position at ODNI, Kerr was the Director of the National Reconnaissance Office (NRO). In 2005, he was appointed Assistant to the Secretary of the Air Force, Intelligence Space Technology. Before that, he was Deputy Director of Science and Technology at the Central Intelligence Agency (CIA), where he received the CIA Distinguished Intelligence Medal in September Dr. Kerr has also held prominent positions in Federal law enforcement and the Energy sector, including Assistant Director of the Federal Bureau of Investigation, where he was responsible for the Laboratory Division; and service with the Department of Energy, where he received the DOE Outstanding Service Award in Dr. Kerr was Director of the Los Alamos National Laboratory from 1979 to In addition to serving on the Board, Dr. Kerr will be assisting NISC with the development of technology solutions and strategies for its clients. Douglas T. Lake, Jr. Mr. Lake is a Partner at DC Capital Partners. Most recently he has been involved with the acquisitions of Multi-Threaded, Inc., Kaseman, LLC, Edge Consulting, Inc., Information Manufacturing Corporation, Athenyx, Inc., Omen, Inc., the intelligence services division of Global Analytic IT Services, Inc., and Technology and Management Services, Inc. He currently serves on the Board of Directors of the National Interest Security Company, LLC and Elite Training & Security, LLC. Prior to joining DC Capital Partners, Mr. Lake previously worked at Veritas Capital. At Veritas, Mr. Lake was directly involved in the
12 evaluation, structuring, negotiation, financing, and execution of private equity transactions. In addition, Mr. Lake worked closely with portfolio companies in developing strategic and financial plans, assessing add-on acquisition opportunities, and executing the financing for such acquisitions. Mr. Lake began his professional career working in corporate finance at J.P. Morgan Securities. Mr. Lake holds a B.A. in Economics from Trinity College and an M.B.A. from Columbia Business School. Admiral Stephen Loftus, USN (Ret.) Admiral Stephen Loftus is the Chairman and Chief Executive Officer of The SPECTRUM Group. From 2000 until 2003, Loftus took a leave of absence from The SPECTRUM Group and joined The Carlyle Management Group to help turn around The Aerostructures Corporation, a Carlyle Group company in severe financial difficulty. As the Chief Financial Officer, he assisted in creating significant shareholder value and effecting a successful merger with Vought Aircraft Industries. Prior to joining The Carlyle Management Group, Loftus headed the SPECTRUM team that assisted one of the principals in the acquisition of Southwest Marine Shipyard. He subsequently chaired the strategy group that initiated the creation of United States Marine Repair, the largest non nuclear ship repair company in the United States. Loftus culminated a thirty eight year Navy career as Deputy Chief of Naval Operations with responsibility for the readiness of the U.S. Navy during the first Gulf war. As a Naval aviator, he flew in several different air warfare groups including carrier based early warning, heavy attack, and maritime patrol and reconnaissance squadrons. His senior operational commands included Commander, Fleet Air Forces, Mediterranean, and its NATO counterpart, Commander, Maritime Air Forces Mediterranean. Significant shore duty assignments included Director of the Department of the Navy Budget, and Director of the Secretary of the Navy, Office of Program Appraisal. Admiral Loftus received the highest peacetime award for the Navy, the Distinguished Service Medal, as well as the Distinguished Flying Cross and eight other combat related awards.
13 Admiral T. Joseph Lopez, USN (Ret.) Admiral Lopez is one of only two flag officers in the history of the U.S. Navy who have achieved four-star rank after direct commission from enlisted service. His principal assignments during his Naval career included tours as both Commander in Chief of U.S. Naval Forces, Europe and Commander in Chief Allied Forces, Southern Europe. He commanded all U.S. and Allied Bosnia Peace Forces from his headquarters in Sarajevo, Bosnia. During his career, Admiral Lopez won numerous medals and honors, including four Distinguished Service Medals and various other medals, ribbons and devices. He received numerous honors from his home state including selection as the West Virginian of the year in 1998 and the Interstate Highway 64 Bridge near the State Capital of Charleston was named in his honor by the West Virginia State Legislature. Admiral Lopez joins the NISC board after serving as President of Information Manufacturing, LLC. Before that, Admiral Lopez was Chief Operating Officer for Brown and Root Services and later directed all U.S., British and Australian Government Projects Worldwide for Kellogg, Brown and Root. In addition to serving as a Trustee for two corporations, he is a member of the Boards of the National Youth Science Foundation, U. S. Naval Postgraduate School, National Defense University, Imagine West Virginia and the Armed Forces Benefit Association. General Anthony C. Zinni, USMC (Ret.) General Anthony "Tony" C. Zinni, former Commander-in-Chief, US Central Command, is one of our Nation s most respected military leaders. His distinguished career has taken him to over 70 countries, including two tours in Vietnam. His numerous assignments have included Commanding General, 1st Marine Expeditionary Force, Deputy Director of Operations at the U.S. European Command and several Joint Task Force commands. In addition to his military assignments, General Zinni has served in a number of diplomatic positions, including
14 appointments by the President as Special Envoy for the United States to Israel and the Palestinian Authority, as well as presidential diplomatic missions to Somalia, Pakistan, Ethiopia and State Department missions involving conflicts in Indonesia and the Philippines. In addition to his government service, General Zinni has a wealth of business experience. Most recently, he served as Executive Vice President of DynCorp International, prior to which time he served as President of International Operations for M.I.C. Industries, Inc. He has also served on several boards of directors and advisory boards in areas that include government services, manufacturing, electronics and communications, including but not limited to Raytheon Aerospace (Vertex Aerospace), Integrated Defense Technologies, DynCorp International, McNeil Technologies, and Continental Electronics. He remains active in public service and foreign policy debates and has been one of the leading proponents of "Smart Power", regularly testifying before Congress and providing advice to Presidents, Senators, and Congressmen on both sides of the aisle.
