PRODUCTS AND SERVICES BIOVIA Foundation The BIOVIA Foundation (previously Accelrys Enterprise Platform) is the basis of our software and services offerings and is central to our strategy to develop and deliver scientific product lifecycle management software. BIOVIA Workbook: BIOVIA Workbook is a multi-disciplinary electronic lab notebook (ELN) for documenting and managing the flow of information, tasks and materials within and between labs. BIOVIA Workbook includes strong integration capabilities and workflow support in addition to authoring, collaboration and IP protection capabilities. The notebook offers scientists across multiple disciplines the opportunity to streamline experiment planning, design, execution, analysis and reporting, particularly in regulated environments. BIOVIA Notebook: BIOVIA Notebook is an easy-to-deploy, easy-to-use ELN for organizations focused on intellectual property capture and information sharing, process documentation and overall lower total cost of ownership. BIOVIA Laboratory Execution System (LES): An electronic environment for procedure execution in the laboratory, removing paper processes and automating the interaction with methods, instruments and supplies that scientists and analysts use every day in regulated environments. BIOVIA Electronic Batch Records (EBR): An out-of-thebox system that automates the execution and review of batch records. This EH&S compliance software helps companies adhere to federal, state and regional regulatory and safety requirements, supporting the sustainability initiatives of customers in almost every industry. Process Production Operations Process Production Operations software from BIOVIA drives improved quality and process robustness through product and process monitoring and continued process verification (CPV) to improve quality and lower compliance costs. BIOVIA Discoverant: This solution provides process development, quality, and manufacturing specialists with self-service, on-demand access to process and quality data from disparate databases and paper records. The software automatically aggregates and contextualizes the data, enabling ad hoc statistical investigations with automated validation-ready workflows for teams across different organizations. Improved visibility into process data improves overall process understanding. Quality and Regulatory Management Available as SaaS, private Cloud or on-premises deployments, BIOVIA s comprehensive document and process management capabilities scale to thousands of users and millions of documents, while supporting externalized collaboration with third parties and partner communities. BIOVIA QUMAS EDMS: Electronic Document Management (EDM) applications with related R&D submission and QA documentation packages deliver proven regulatory compliance practices for document control and related training across the business. Based on customer and industry requirements and best practices, these BIOVIA QUMAS EDM applications eliminate the cost and complexity of managing paper-based as well as disparate or legacy process management applications. BIOVIA QUMAS Process Management: By centralizing the management of all regulatory content and the associated change control processes, companies can consistently enforce standards across multiple locations. BIOVIA QUMAS s Process Management suite manages a wide variety of processes including: audits, IT change control, event tracking and resolution, license and registrations tracking, CAPAs (corrective actions/preventive actions), quality checks, customer complaints and many others.

4 DELIVERING SCIENTIFIC INNOVATION IN THE AGE OF EXPERIENCE Dassault Systèmes signed a definitive merger agreement to acquire Accelrys on January 30, 2014 with an all-cash tender offer for all of the outstanding shares of Accelrys common stock. The tender offer process was completed on April 29, 2014 with Accelrys filing the Certification and Notice of Termination of Registration with the SEC on May 9, meaning Accelrys is no longer a publicly traded company. Dassault Systèmes announced the creation of BIOVIA on May 21, 2014, describing the new company as a combination of Dassault Systèmes own activities in BioIntelligence, its collaborative 3DEXPERIENCE technologies and the leading life sciences and material sciences applications resulting from the acquisition of Accelrys. COMPANY BACKGROUND AND HISTORY Accelrys was founded in 2001 from the combination of five companies: Molecular Simulations Inc. (MSI, itself a result of the combination of Biodesign, Cambridge Molecular Design, Polygen and, later, Biocad and Biosym Technologies), Synopsys Scientific Systems, Oxford Molecular, the Genetics Computer Group (GCG), and Synomics Ltd. In 2004, Accelrys acquired SciTegic, the developer of Pipeline Pilot data pipelining and scientific workflow authoring software. In July 2010, Accelrys merged with Symyx Technologies, Inc. This merger combined the Accelrys portfolio of scientific informatics solutions with the market-leading Symyx electronic laboratory notebook (ELN), now BIOVIA Workbook. The Symyx ELN had developed from Symyx s acquisition of two ELN companies, IntelliChem, Inc. and Synthematix, Inc., in The Accelrys-Symyx merger also extended Accelrys product offerings with certain software and content products from MDL Information Systems, Inc., which Symyx had acquired from Elsevier, Inc. in This acquisition included software products such as MDL Notebook, ISIS and its successor Isentris data access, analysis and decision support system, as well as the Direct data cartridge, Draw chemical drawing tool and comprehensive bioactivity and chemical sourcing databases including the well-known Available Chemicals Directory (ACD). MDL had been a premier scientific software vendor for over 25 years with critical software solutions deployed across approximately 750 organizations. Subsequently, Accelrys extended its ELN capabilities through the acquisition of Contur Software AB in May The Contur ELN, now BIOVIA Notebook, improves information sharing and reuse, data protection, process documentation and overall productivity in paperless environments with rapidly deployable on-premises and Cloud deployment options. Accelrys broadened its process management and compliance capabilities through the acquisition of VelQuest Corporation in January VelQuest s industry-leading data capture and laboratory execution software extends notebook usability into the critical QA/QC phase of product development in Good Manufacturing Practices (GMP) environments. Accelrys further expanded its capabilities in new product development and commercial manufacturing and quality operations through the acquisition of Colorado-based Aegis Analytical Corporation in October 2012 with its industryleading Discoverant operations intelligence solution for compliance-intensive industries. In January of 2013 Accelrys solidified its market leadership in the laboratory informatics space with the acquisition of Vialis AG, a leading informatics system integrator based in Liestal, Switzerland serving the pharmaceutical, biotechnology, chemicals and agro-science industries. This team offers professional consulting services in business analysis, laboratory process excellence, multi-moment analysis, business case justification, vendor solution selection, integration consulting and solution support across the entire value and knowledge creation chain from research to production. In September 2013, Accelrys acquired ChemSW, Inc., a leading Environmental Health & Safety (EH&S) compliance solutions provider. This acquisition enabled Accelrys to provide CISPro solutions for managing and tracking the source, use and disposal of chemicals along the entire lab-to-plant value chain. The ability to manage chemicals across the full product lifecycle helps organizations across industries enhance compliance with increasingly complex global, national and local environmental health and safety regulations, and is critical to advancing sustainability strategies. In December 2013 Accelrys acquired QUMAS, a Cork Ireland-based company that focuses on controlled document management. This acquisition added targeted governance, risk management and compliance solutions to Accelrys portfolio, positioning Accelrys to deliver comprehensive enterprise quality management offerings. QUMAS customers include approximately 250 life sciences companies including manufacturers and clinical contract research organizations. Accelrys deliberate merger and acquisition strategy made the company one of the largest, most comprehensive scientific informatics companies in the world with a clear focus on creating, driving and delivering comprehensive scientific product lifecycle management solutions across the research, development, QA/QC and manufacturing phases of product development.
