Company background Eye-Tracker Inc. is a Canadian corporation founded by Glenn Chong, the creator and developer of Visual-Eyes, one of Canada's premiere optometry practice management software packages. The team, whose headquarters is located in the Central Alberta area, has been developing software for the Canadian eye care industry since Visual-Eyes has earned a solid reputation in the Canadian eye care industry through years of commitment to taking care of clients technological needs. EYE-TRACKER MISSION STATEMENT To improve communication between Suppliers and Eye Care Providers in the Canadian Eye Care Industry by the development and support of an innovative data exchange solution September 30, 2011 PAGE 2
5 3. What is Eye-Tracker? Given advances in technology, we believe that the process of ordering frames, lenses and contact lenses can be greatly improved. Eye-Tracker is the solution that will provide the technological bridge to improve the ordering, processing and tracking of ophthalmic supplies for the Canadian eye care industry. At its core, Eye-Tracker is a Business-to-Business (B2B) Electronic Data Interchange (EDI) interface linking eye care providers with suppliers. Building on this core need, Eye-Tracker s goals for future innovation has us streamlining the ordering process wherever possible by coordinating all transactions through an advanced single-point interface accessible by all members of the Canadian eye care community. Eye-Tracker is built on top of our 15+ years of experience developing practice management software for Canadian Optometrists. Eye-Tracker will be funded by a percentage-based transaction charge, paid by suppliers. It has been designed so that when properly implemented, cost savings generated on the supplier side will more than offset the cost of using Eye-Tracker. Eye-Tracker will be provided at no-cost to eye care providers, leading to greater adoption and efficiencies for all key stakeholders. Suppliers 1 benefit by having orders received electronically and by reducing the cost of support and development of their own solutions. Eye Care Providers 2 benefit from a direct single-point ordering solution integrated with their practice management software. Software Vendors 3 benefit by receiving funding from each transaction passed through their software, and by eliminating the need to support different interfaces for each supplier. Buying Groups benefit by having access to the Eye-Tracker data to produce their statements and invoices for their members. Patients benefit from online tracking and updating of their order progress. What Are The Benefits? 4.1 Key benefits to suppliers Eye-Tracker will provide suppliers a simple yet powerful solution that will receive orders electronically from multiple eye care providers and other suppliers through a single interface. Supplier-to-supplier (e.g. frame supplier to lens supplier) communication and extensive order tracking will further streamline the process. Suppliers will have a 'scan and go' solution whereby they can scan packages via bar code or RFID (Radio Frequency Identification) tags, ship to eye care providers, and track receipt of packages. Eye-Tracker can run as an end user application, printing orders as they arrive, or interface directly with the supplier's existing systems. Suppliers will be able to receive all orders electronically removing the costly and error prone manual inputting of orders. In future stages of Eye-Tracker, additional benefits will be generated as catalogs and inventories are implemented on-line. With the addition of parameter checking and immediate notification of discontinued or out of stock frames, further cost savings will be realized. Additional supplier benefits: No longer have to receive and organize faxes, s and phone calls from eye care providers A single, open-format solution will lead to greater adoption by software vendors resulting in larger numbers of orders transferred electronically Suppliers can track orders at any point in the shipping and receiving process Automatic status updates will reduce inquiries from eye care providers Ability to transfer complex information, such as frame traces Suppliers without computerized systems will be provided with an application to allow them to communicate with Eye-Tracker, print bar-coded labels and run reports of pending orders Data Security via encrypted transmissions System wide unique identifiers (bar-codes and/or RFID tags) will result in more efficient receiving/shipping of orders Strict sequencing of transactions will prevent missed/misplaced orders September 30, 2011 PAGE 4
7 4.2 Key benefits to eye care providers Eye care providers will be able to interface with all of their frame, lens and contact lens suppliers from a single-interface. Access to Eye-Tracker is via a documented open-format through which any software vendor may interface. For those eye care providers that are not computerized (or whose practice management software has not been interfaced with Eye-Tracker), a simple ordering application will be provided. Eye-Tracker will include an advanced two-way communication to our centralized servers, allowing suppliers to offer order tracking, bulk ordering, updated pricing, and costing. Another key element to Eye-Tracker is the step by step tracking and reporting for each order. From the receipt of the order by the frame or lens supplier; to the initial processing of the lens; through to the final shipping of the order. Each step will be reported back to the eye care provider and optionally the patient. Due to the design of Eye-Tracker, collecting this information requires minimal extra effort from a data entry perspective and is essentially free. Additional eye care provider benefits:reduced errors and costs by streamlining the ordering process The ability to process bulk orders Customizable reporting capabilities Requires no cost for eye care providers to incorporate into their existing environment Support from their software vendor (funded by Eye-Tracker) or directly from Eye-Tracker itself Data security via encrypted transmissions System wide unique identifiers (bar-codes and/or RFID tags) will result in more efficient receiving of orders from suppliers Strict sequencing of transactions will prevent missed/misplaced orders 4.3 Key benefits to buying groups Ability to mine Eye-Tracker to create invoicing and billing data 4.4 Key benefits to software vendors Direct support options for setup and development Cost sharing incentives to fund development and support Input / Development into a fully integrated solution is encouraged but not necessary Only one interface to develop and maintain to interface with multiple suppliers 4.5 Key benefits to patients: Online tracking ability Shorter order delivery times September 30, 2011 PAGE 5
8 5. Implementation Due to its sheer scope and the number of stakeholders involved, Eye-Tracker will be implemented in phases. Note that the phases and associated dates as presented are an approximation only. The Eye-Tracker development team will utilize user feedback from ALL Eye-Tracker stakeholders to determine its ultimate scope and functionality. Phase 0 - research and development Phase I beta testing Phase II - production/roll-out Phase III advanced features Phase IV future development Phase 0 Research and development (completed) Develop an electronic format forming the basis of communication between suppliers and eye care providers. This format must be able to handle complex data such as frame traces. Create ability for suppliers to log into the Eye-Tracker web site and download orders via a variety of methods (xms, csv, txt, pdf, etc.) Setup and configure a secure server Secure encrypted data transfer Secure Socket Layer for additional security to and from the Eye-Tracker server Batch validation on server Batch sequence checking System-wide unique identifier (EyeTrackerID), allocation and maintenance Setup standards for bar-coding orders Create a Visual-Eyes to Eye-Tracker interface Interface for suppliers to input basic catalog and SKU's Create a mapping system for each client/supplier combination Develop a simplified Eye-Tracker interface which will allow for the review/editing of batches and control the uploading/downloading of batches Create procedure to upload batch files of lens and frame orders to the Eye-Tracker Server utilizing the Eye-Tracker software which resides locally on the clinic s workstation Develop basic reports allowing supplier to receive submitted orders September 30, 2011 PAGE 6

10 6. Support Our call center is open weekdays from 8 AM to 6 PM Mountain Standard Time. We also offer 24x7 EMERGENCY ONLY technical support for after hours. We will provide support where the eye care provider's software vendor is not available. 7. Security When handling confidential patient information for the medical community, data security is always a primary concern. The two main areas are; access to the centralized database and the transfer of data, which are detailed below. Access to the centralized database Each eye care provider, supplier, or associated groups must register with Eye-Tracker. Once registered, they may customize access for each person using Eye-Tracker to various areas as required. Access will be strictly configured so that sensitive information, such as patient information or demographics, are appropriately restricted. Transfer of data All data transactions within Eye-Tracker will be performed utilizing Secure Sockets Layer (SSL 4 ) encryption. Connections to our Web server will require an Eye-Tracker distinct secondary password to verify that only Eye-Tracker clients have access. Medical and personal data will be limited to pertinent information only. Transactional data will be stored on a server physically located within Canada and will comply with Canadian privacy laws. 4 SSL is the current industry standard for dealing with secure data transmissions on the internet. 11 8. Funding A transaction based fee of 1% of the suppliers list price (net of returns) will be invoiced to suppliers on a monthly basis. As critical elements of this proposal are end user support and integration with practice management software providers, 10% of the net transactional fees collected, will be re-distributed to the practice management software providers to cover their costs of developing and maintaining an Eye-Tracker interface 5. An additional 15% of collected fees are available to practice management software providers who provide full support 6 to their clients. As a further source of funding, Eye-Tracker will make available reports containing aggregate 7 data to the eye care industry. Eye-Tracker Inc. will provide, at no charge, a reasonable amount of implementation consultation to each supplier or eye care professional. We will also allow for a reasonable amount of consultation for on-going monthly maintenance. Additional time or consultation required will be made available on an hourly or project basis. 5 Must agree to implement any modifications to the Eye-Tracker format within 90 days of release. 6 full-support being defined as availability for a minimum of 6 hours per day 5 days per week. 7 By aggregate, we mean summary data for which identifiable practice/patient information has been removed. We hope that suppliers and eye care providers will consider us as a long-term partner and allow us to enter into a mutually beneficial relationship. Once we have gone through testing and an updated needs evaluation, we will be looking to roll out Eye-Tracker to the entire Canadian eye care industry.
