6 2002: Founding of the HDMI Consortium Mid-2002, 7 companies joined to create a specification and test specification that would be licensed to industry. Key Milestones: 2002: Silicon Image was identified as the Founder who would act as Agent. Silicon Image created HDMI Licensing, LLC, a wholly-owned subsidiary of Silicon Image, to perform Agent activities. 2003: The HDMI Specification was announced at the Consumer Electronics Show in January, In 2006, version 1.3 of the Specification (doubling the bandwidth) was announced 2009: More than 1 billion HDMI-enabled devices had shipped to date. 16 Licensing Structure Adopter pays an annual fee of either US$10,000 or US$5,000 annually and a per product royalty Royalty is 15 cents (per end user product) Reduced by 10 cents if trademark is used Reduced by another 1 cent if HDCP (content protection) is implemented Adopter Agreement grants a license: From Founders for essential patents From Founders for use of the specification From Agent for use of the trademark (Agent owns trademark) All of the above are granted solely for use in compliant HDMI products Adopter agrees to a non-assert of any Adopter necessary claims that read on the HDMI specification Adopters have the right to petition for a share of the royalties if a patent is deemed to be essential by a 3 rd -party independent evaluator. 23 Launch of the HDMI Forum In the past, HDMI specifications have been developed by the seven founding members of the HDMI consortium The last HDMI specification update was in June 2009, version 1.4b After the launch of the 1.4b, the Founders recognized the need for broader industry participation in the development of the HDMI specification In October, 2011, the HDMI Founders announced the launch of the HDMI Forum, Inc. On September 4, 2013, the HDMI Forum announced the publication of the HDMI 2.0 HDMI 2.0 is backwards compatible with HDMI 1.4b 23

24 What is the HDMI Forum? HDMI Forum is a nonprofit, mutual benefit corporation that was formed to create future versions of the HDMI Specification HDMI Forum is governed by an 11-member board of directors elected by the membership Open to participation by any entity Member company does not have to be an existing HDMI Adopter Membership fee is $15,000 per year Forum Membership Fee is different and separate from the Adopter License Fee 24

28 The Rise of NDRC The National Development and Reform Commission (NDRC) is a macroeconomic management agency under the Chinese State Council, which has broad administrative and planning control over the Chinese economy. The NDRC's functions are to: study and formulate policies for economic and social development maintain the balance of economic development guide restructuring of China's economic system. The NDRC has twenty-six functional departments/ bureaus/offices. The NDRC is actively investigating the practices and business models of foreign companies/organizations for any violations of China s new Anti-monopoly laws. 28

29 Anti-Monopoly Law: Chapter III Abuse of Market Dominance Article 17 A business operator with a dominant market position shall not abuse its dominant market position to conduct following acts: (1) selling commodities at unfairly high prices or buying commodities at unfairly low prices; (2) selling products at prices below cost without any justifiable cause; (3) refusing to trade with a trading party without any justifiable cause; (4) requiring a trading party to trade exclusively with itself or trade exclusively with a designated business operator(s) without any justifiable cause; (5) tying products or imposing unreasonable trading conditions at the time of trading without any justifiable cause; (6) applying dissimilar prices or other transaction terms to counterparties with equal standing; (7) other conducts determined as abuse of a dominant position by the Anti-monopoly Authority under the State Council For the purposes of this Law, "dominant market position" refers to a market position held by a business operator having the capacity to control the price, quantity or other trading conditions of commodities in relevant market, or to hinder or affect any other business operator to enter the relevant market. 29

30 Anti-Monopoly Law Article 18 The dominant market status shall be determined according to the following factors: (1) the market share of a business operator in relevant market, and the competition situation of the relevant market; (2) the capacity of a business operator to control the sales markets or the raw material procurement market; (3) the financial and technical conditions of the business operator; (4) the degree of dependence of other business operators upon of the business operator in transactions; (5) the degree of difficulty for other business operators to enter the relevant market; and (6) other factors related to determine a dominant market position of the said business operator. 30

31 Anti-Monopoly Law Article 19 Where a business operator is under any of the following circumstances, it may be assumed to be have a dominant market position: (1) the relevant market share of a business operator accounts for1/2 or above in the relevant market; (2) the joint relevant market share of two business operators accounts for 2/3 or above; or (3) the joint relevant market share of three business operators accounts for 3/4 or above. A business operator with a market share of less than 1/10 shall not be presumed as having a dominant market position even if they fall within the scope of second or third item. Where a business operator who has been presumed to have a dominant market position can otherwise prove that they do not have a dominant market, it shall not be determined as having a dominant market position. 31
