13 TERMS and CONDITIONS 1) All sealed responses shall be mailed or delivered to: Mr. Ron Spicer, Technology Coordinator, Affton School District, 8701 Mackenzie Road, Saint Louis, MO a. The envelope should be clearly marked with the RFP number and description on the address side. b. Proposals must be received by 11:00 a.m. local time, Wednesday, February 27, c. Vendors mailing proposals should allow sufficient mail delivery time to ensure timely receipt of their proposals. d. Responses received after this deadline will be deemed non-responsive and will be returned unopened. 2) To be considered a complete response, all RFP Reply Forms must be submitted in addition to any vendor-submitted items. 3) All prices and notations must be in ink or typewritten. No erasures are permitted. Any mistakes should be crossed out and the person signing the proposal must initial corrections in ink. 4) Proposals shall adhere to any and all specifications contained in this proposal. a. If you would like to propose alternative item(s), submit them in addition to the specified items. b. If proposing an item as an equivalent substitution, documentation must be submitted illustrating that the item meets or exceeds the technical specifications of the original item. 5) All submitted proposals shall be working solutions, complete in every detail. a. All components (hardware and software) shall be compatible and standards compliant, including any District-owned and provided items. b. Proposals shall include any and all items necessary to provide/ensure as such, regardless of whether specifically mentioned in this RFP. 6) The District reserves the right to cancel any or all parts of a proposal or contract should the District deem the goods or services to be of inferior, defective, or non-oem quality. 7) The District advises that all proposals submitted under this RFP will become the property of the District and will not be returned. a. However, if any portion of the proposal is marked "PROPRIETARY" and is highlighted, this portion can be returned after award of contract, if requested. 8) Proposals that are not substantive may be considered non-responsive. a. It is not sufficient for the vendor to address the proposal in general terms or in terms other than those outlined in the RFP. b. The format of the proposal must be as outlined. c. Proposal should be prepared simply and economically, providing a straightforward, concise description of the vendor's ability to meet the requirements of the RFP. 9) Vendor agrees to offer any/all items (contained in their proposal response) to employees of the Affton School District at the same price. a. Sales to District employees shall be conducted directly between the vendor and the employee; the Affton School District shall not be party to nor benefit from such transactions. b. Sales to District employees shall be subject to any/all local, State and/or Federal taxes. 10) The District reserves the right to increase and/or decrease the quantity of any item(s) without any price increase or other penalty.

14 11) By submitting their proposal(s), all vendors certify that a. their bids/proposals are made without collusion or fraud b. they have not offered or received any kickbacks or inducements from any other bidder/vendor, supplier, manufacturer or subcontractor in connection with their bid/proposal c. they have not conferred upon any District employee having official responsibility for this procurement transaction any payment, loan, subscription, advance, deposit on money, services and anything of more than nominal value, present or promised unless consideration of substantially equal or greater value was exchanged. 12) By submitting their bids/proposals, all vendors certify that they are not a. currently debarred from submitting bids/proposals by any agency of the State of Missouri b. an agent of any person or entity that is currently debarred from submitting bids/proposals by any agency of the State of Missouri. 13) If you do not wish to reply to this proposal, return the quote sheet with the designation No Bid. a. The District reserves the right to remove from its bidder lists any vendor(s) who do not respond. 14) Samples of items, when required or provided, must be furnished free of expense to the District. a) If said samples are not called for, in writing, within fifteen calendar days from the date of the RFP opening, same will be disposed of to the best interest of the District. 13) By submitting a signed proposal, the vendor agrees to honor any and all prices listed within the proposal until June 30, a. Vendor shall clearly indicate any quoted item(s) which shall reach End-of-Life (EOF) or will be discontinued prior to the date specified above. a) Should a vendor discontinue or EOL a quotes item or system, vendor agrees to substitute or replace it with an item or system whose specifications meet or exceed those of the original at the same or lower price. 14) Any promotion(s) or rebate(s), from any manufacturer, distributor, or vendor, currently available or effective on any item(s) listed in this RFP must be disclosed with all proposals. a) Any manufacturer or distributor price decrease(s) that occur before any awarded item(s) arrive in the District or are invoiced by the vendor (whichever occurs last), or any vendor-reimbursable price decreases that occur on any awarded item(s) must be passed on to the District. 15) All items and services shall be priced as net. a) All items and services delivered under any contract(s) associated with this RFP shall be free of freight, drayage, express or other excess charges. b) A tax-exempt certificate and I.D. number will be provided to the successful bidder upon request. 16) Delivery of all items must occur within thirty days from issuance of a purchase order. a) A one-tenth of one percent (0.1 %) of the total contract amount or $25 (whichever is greater) penalty may be assessed for every business day beyond this deadline unless an extension is granted, in writing, from the Coordinator of Technology. 17) The District reserves the right to accept or reject any or all responses, whether in whole or in part, and to accept the proposal(s) that appears to be in the best interest of the District. 18) The quality of goods, products, materials, equipment and/or services shall be as described and must be to the satisfaction of the District and its representative(s). a) The District shall have full power and authority to reject any good(s), product(s), material(s), equipment, workmanship and/or service(s) that, in their opinion, is not in strict conformity with the specifications and/or equal in every respect to the exact item described in the submitted proposal. b) All goods, products, materials and/or equipment shall be factory new, and any deviation from this condition without the expressed written consent of the District shall constitute just cause for rejection of consideration or termination of any contract(s).

15 19) In case of failure to deliver goods or services in accordance with the contract terms and conditions, the Affton School District, after due written notice, may procure them from other sources and hold the vendor responsible for any resulting additional purchase and administrative costs. This remedy shall be in addition to any other remedies, which the District may have at its disposal. 20) Any payment terms requiring payment in less than thirty (30) days will be regarded as requiring payment thirty (30) days after invoice or delivery, whichever occurs last. a) This shall not affect offers of discounts for payment in less than thirty (30) days. Such discounted payment terms shall be clearly stated on vendor s RFP response. 21) Vendor agrees to indemnify, defend and hold harmless the Affton School District, its officers, and employees from any claims, damages, and actions of any kind or nature, whether at law or in equity, arising from or caused by the use of any materials, goods, or equipment of any kind or nature furnished by the vendor. a) Such indemnification is in force provided that such liability is not attributable by the sole negligence of the District in using the materials, goods, or equipment in the manner permanently described by the vendor on the materials, goods, or equipment delivered. 22) Proposals must be signed with the firm name and by a responsible officer or employee who holds the authority to execute the submitted proposal. 23) The District reserves the right to waive any informalities, and/or technicalities. 24) This contract shall be governed in all respects by the laws of the State of Missouri and any litigation with respect thereto shall be brought in the courts of the State. a) The vendor shall comply with applicable federal, state, and local laws and/or regulations. 25) By entering into a contract, the vendor conveys, sells, assigns, and transfers to the Affton School District all rights, title and interest in and to all causes of the action it may now or hereafter acquire under the antitrust laws of the United States and the State of Missouri, relating to the particular goods or services purchased or acquired by the District under said contract. 26) A contract shall not be assignable or sub-contracted by the vendor in whole or in part without the advance written consent of the Affton School District. 27) In the event of revocation or termination of any contract or other agreement related to this RFP, all documents and other materials related to the performance of this agreement shall become the property of the Affton School District. 28) Notwithstanding anything to the contrary, the District reserves the right to cancel and terminate any resulting contract, in part or in whole, without penalty, upon thirty (30) days written notice to the vendor. a) Any contract cancellation notice shall not relieve the vendor of the obligation to deliver all required equipment or services issued prior to the effective date of cancellation. 29) It is understood and agreed that, in the event a contract is awarded for the supplies and/or equipment included in this proposal, that no indications of such sales to the Affton School District will be used in any way in product literature or advertising unless approved, in writing, by the District. 30) It is understood and agreed that the District will be bound hereunder only to the extent of the funds available or which may hereafter become available for the purpose of this agreement.
