1 LINDT YOU COULD WIN A TRIP TO SWITZERLAND NATIONAL ONLINE CONTEST June 2, 2014 July 20, 2014 Official Contest Rules (the Rules ) This Lindt You Could Win a Trip to Switzerland Contest (the Contest ) is sponsored by Lindt & Sprüngli (Canada), Inc. ( Lindt or the Sponsor ). ELIGIBILITY: This Contest is open to residents of Canada who have reached the age of majority in their province/territory of residence at the time of entry. Employees, representatives and agents of the Sponsor, and each of its affiliates, subsidiaries, franchisees, advertising and promotional agencies, fulfillment houses, the Contest judges and members of their respective immediate families or those with whom they are domiciled, are not permitted to enter the Contest. In these Rules, immediate family means mother, father, brothers, sisters, sons, daughters, and legal or common-law spouse, regardless of where they reside. Groups, clubs, organizations, businesses and commercial and non-commercial entities cannot participate. HOW TO ENTER: The Contest starts on June 2, 2014 at 12:00:01 a.m. Eastern Time ( ET ) and ends on July 20, 2014 at 11:59:59 p.m. ET (the Contest Period ). NO PURCHASE NECESSARY. To enter the Contest, visit on your desktop or mobile device during the Contest Period. Facebook account required, except for Grand Prize Entries (defined below) via mobile device. If you do not have a Facebook account, you can obtain one for free at 1. Grand Prize Entry To submit an entry for the grand prize draw, complete the Grand Prize entry form on the Contest landing page. If you are entering via desktop, you will need to sign in to your Facebook account to enter. Follow the on-screen instructions to submit your completed entry form (each a Grand Prize Entry or Entry ). Limit one (1) Grand Prize Entry per person per day during the Contest Period, regardless of method of entry (via desktop or mobile device). 2. Secondary Prize Entry To submit an entry into a secondary prize challenge, click on the link to Lindt Canada s Facebook page on the Contest landing page. You will need to sign in to your Facebook account to enter all secondary prize challenges, whether you are entering on your desktop or on your mobile device. Follow the in-post instructions to submit your completed entry in response to a challenge, as further described under the Secondary Prize Challenge section

2 below (each a Secondary Prize Entry or Entry ). Limit one (1) Secondary Prize Entry per person per challenge. The Sponsor will not be responsible for late, lost, misdirected, stolen, ineligible, destroyed or delayed Entries. Proof of submitting an Entry is not proof of receipt. DESCRIPTION OF PRIZES: GRAND PRIZE: There is one (1) Grand Prize consisting of a TRIP FOR TWO TO SWITZERLAND (the Grand Prize ). The Grand Prize of a TRIP FOR TWO TO SWITZERLAND includes return economy airfare for two people from the major commercial airport in Canada closest to the winner s residence to Zurich, Switzerland and standard hotel accommodations for 3 nights (based on double occupancy). Trip is currently scheduled for October 2014 but date is subject to change at Lindt s sole discretion. Winner and his/her guest will be able to participate in a chocolate making class at the Lindt Chocolateria in Kilchberg, Switzerland. Grand Prize winner will also receive a $200 chocolate gift basket or gift card to use at a Lindt Outlet Boutique in Canada. The total approximate value of the Grand Prize is $7,000 CDN based on departure from Toronto. A random electronic drawing will take place on July 22, 2014 at 10:00 a.m. ET at the Lindt central office, 181 University Avenue, Suite 900, in Toronto, Ontario. One (1) Entry will be randomly selected from among all eligible entries received during the Contest Period for the Grand Prize. SECONDARY PRIZES: There are a total of fourteen (14) secondary prizes available to be won (each a Secondary Prize ): Seven (7) $100 Lindt gift cards (ARV $100 each); Two (2) sets of an autographed Roger Federer baseball cap with a $50 Lindt gift card (ARV $360 each); Three (3) autographed Roger Federer gym bags (ARV $625 each); Two (2) sets of tickets for two (2) to a 2014 Rogers Cup, Presented by National Bank match, only available for entrants in Toronto and Montreal (ARV $250 each pair). The specific tennis match that tickets will be provided for will be determined by Lindt and prize must be accepted as awarded. Lindt is not responsible for the cost of any transportation to and from a match and/or any accommodations. Limit one (1) Secondary Prize per person. All Lindt gift card prizes can be used at any Lindt retail store in Canada. If an entrant is eligible for a Lindt gift card prize, he/she will be given the option of receiving his/her prize in the form of a Lindt gift card or as the equivalent value in the form of a Lindt gift basket. The specific types of Lindt chocolate products included in the gift basket are at Lindt s sole discretion.

3 SECONDARY PRIZE CHALLENGES: Starting the week of June 9 th, 2014, Lindt will post two (2) challenges each week on the Lindt Canada Facebook page until the end of the Contest Period, for a total of twelve (12) challenges. Challenges will be posted on Mondays and Wednesdays. Each challenge will consist of a task which must be completed and submitted via a Secondary Prize Entry on Lindt Canada s Facebook Page within twenty-four (24) hours of the challenge being posted. The Prize(s) available for each challenge will be posted at the same time as the challenge instructions. Tasks may include posting a photo in response to a challenge headline, or posting your best answer to a question posed. Only Entries that comply with the instructions and requirements for a challenge and otherwise comply with these Rules (as determined by Lindt in its sole discretion) will be eligible for a Secondary Prize for that challenge. For eleven (11) of the twelve (12) challenges, Lindt will select one (1) potential Secondary Prize winner for each challenge. The Secondary Prizes for these challenges are as follows: Six (6) $100 Lindt gift cards Two (2) autographed Roger Federer baseball caps with $50 Lindt gift cards Three (3) autographed Roger Federer gym bags For one (1) challenge, Lindt will select three (3) potential winners, one from each of the following regions: Toronto, Montreal, and the rest of Canada. An entrant s region will be determined based on their Facebook status. The Secondary Prizes for this challenge are as follows: Toronto entrants One (1) set of tickets for two (2) to a 2014 Rogers Cup game at the Rexall Centre in Toronto Montreal entrants One (1) set of tickets for two (2) to a 2014 Rogers Cup game at the Uniprix stadium in Montreal Entrants from rest of Canada One (1) $100 Lindt gift card Lindt will select the potential winner(s) for each challenge at the end of the twenty-four (24) hour period for each challenge. The selection will take place at Lindt central office, 181 University Avenue, Suite 900, in Toronto, Ontario. The Contest judges, who are employees of Lindt or its promotional agency or agent (the Contest Judges ) will, in their sole discretion, select the fourteen (14) entrant(s) with the best Entries for each challenge, based on the following criteria, weighted equally: creativity, originality and uniqueness of response. In the event of a tie, the entry submitted first will be chosen.

4 ODDS OF WINNING: The odds of winning the Grand Prize depend on the total number of entries received during the Contest Period. The odds of winning a Secondary Prize depend on calibre of entries received per challenge and your location. The number of Secondary Prizes available will be reduced as they are won during the Contest Period. CONTENT OF SECONDARY PRIZE ENTRIES All Secondary Prize Entries must be original, must not have been made with the assistance of a professional and cannot have been submitted in association with another Contest or promotion of any kind or exhibited or displayed publicly through any means. Any content submitted as part of a Secondary Prize Entry must not be defamatory, trade libelous, pornographic or obscene and must not contain, depict, include or involve, without limitation, any of the following: explicit or graphic sexual activity or sexual innuendo; crude, vulgar or offensive language and/or symbols; derogatory characterizations of any ethnic, racial, sexual or religious or other groups, content that endorses, condones and/or discusses any illegal, inappropriate or risky behaviours or conduct; personal information of individuals, including, without limitation, names, telephone numbers and addresses (physical or electronic); commercial messages, comparisons or solicitations for products or services other than products of Sponsor; conduct or other activities in violation of these Rules; and/or any other content that is or could be considered inappropriate, unsuitable or offensive, all as determined by Sponsor in its sole and absolute discretion. Sponsor reserves the right, in its sole discretion, to blur out any identifiable third party products, trade-mark, brands and/or logos that may appear in a photo as part of a Secondary Prize Entry. Any Entries that do not conform to the requirements of these Rules, all determined in the Sponsor s sole and absolute discretion, will not be eligible and are subject to disqualification at the sole and absolute discretion of Sponsor. Any Entries that the Sponsor deems, in its sole and absolute discretion, to violate the terms and conditions set forth in these Rules will not be posted, or even if posted, may be removed and/or ineligible. Sponsor reserves the right, in its sole and absolute discretion and at any time, to modify, edit or remove any Entries, or to request an entrant to modify or edit his or her Entry, if a complaint is received with respect to any Entry, or for any other reason. Representations and Warranties: By submitting a Secondary Prize Entry, entrants represent and warrant that: (i) they have the exclusive, worldwide, perpetual right to all intellectual property associated with and/or included within and/or shown in any Entry (including a photo), and that Sponsor s use of the Entry will not infringe upon the intellectual property or other rights of any person; (ii) the Entry is an original work, was made without the assistance of a professional and has not been submitted in association with another Contest or promotion or exhibited or displayed publicly through any means; (ii) all applicable permissions were obtained including permission from any individual (or his/her parent/guardian, if the individual is a minor) who appears in any photo; and

5 (iv) neither they nor anyone else has engaged or taken part in (or induced or encouraged anyone else to engage or take part in) any activity or conduct in connection with the Contest that: (a) may or is likely to harm or create a risk of harm, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to any person, other living things, or any property; (b) is or may constitute a crime, unlawful or non-consensual conduct or the violation or infringement of the rights of any other party; or (c) violates any other terms and conditions of these Rules. Grant of License: By submitting a Secondary Prize Entry, each entrant: (i) grants the Sponsor a royalty-free, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display his/her Entry, in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes; (ii) waives all moral rights in and to his/her Entry in favour of the Sponsor; and (iii) agrees to release and hold harmless the Contest Group (defined below) from and against any and all claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trademark infringement or any other intellectual property related cause of action that relates in any way to the Entry. If requested, entrant must be able to provide to Sponsor (in a form acceptable to Sponsor), evidence of compliance with these Rules, including required permissions and/or intellectual property agreements, in order to be eligible for the Contest. If requested, entrant will sign any necessary documentation that may be required for Sponsor or its designees to make use of the non-exclusive rights entrant is granting with respect to his/her Entry. GENERAL PRIZE INFORMATION: The winners and guests shall assume full responsibility for any expense not specifically mentioned in these Rules as being included in a prize, including (as applicable, depending on the prize) the following: travel to and from airports, ground transportation, personal expenses incurred at the hotel, gratuities, meals and beverages, taxes, insurance (including for medical fees, accidents or lost luggage) and any other personal expenses. Trips are subject to space/flight availability. For the Grand Prize, the winner and guest must have the identical travel itinerary and the winner s guest must be the same person for the duration of the trip. All travel arrangements must be made through Lindt and the travel arrangements are at Lindt s sole discretion. Once the tickets are issued, the name of the traveler cannot be changed. The winner and guest are solely responsible for obtaining any required travel documents. The right to a prize will be forfeited if, as applicable, (a) for any reason, travel documentation cannot be obtained within the time limit set by the Contest organizers; (b) the winner cannot or does not wish to travel during the specified period; (c) the winner does not have the right, at the time he/she is selected or at the time of the trip, to return to Canada upon departing; or (d) any immigration problem whatsoever arises preventing the winner or guest from entering Switzerland. In such case, the winner or guest barred from destination will be held solely responsible for arranging and paying for any required

6 return transportation. Upon the sole discretion of Lindt, forfeited prizes may be allocated to another eligible entrant. All prizes must be accepted as awarded and cannot be transferred or exchanged for cash. The Sponsor reserves the right to substitute all or any part of a prize for a prize or prizes of equal or greater value, at its sole discretion. Should a prize (or any part of a prize), including the Rogers Cup, Presented by National Bank match, or any other aspect of the prize be postponed or unavailable for any reason, the balance of the prize will be awarded in full satisfaction of that prize, and the Sponsor shall not be required to replace the unavailable or postponed component. Any unused portion of a prize is forfeited and has no cash value. To be declared a winner and claim a prize, a participant selected must be eligible according to these Rules. In addition, the potential winner must: a. Be reached (by telephone, Facebook message or by ) by the Sponsor or its representatives within forty-eight (48) hours following the selection or draw date. b. If applicable, correctly answer a mathematical skill-testing question, without assistance, to be administered by the Sponsor or its representatives at a mutually convenient time; and c. Complete and sign a Declaration of Compliance and Release Form ( Release ) confirming compliance with these Rules and releasing the Sponsor and its affiliates, agencies, contest prize suppliers and their respective officers, directors, employees and agents (collectively, the Contest Group ) from all liability with respect to the potential winner s participation in the Contest and the awarding or use of the prize, and return it to address indicated by the deadline indicated in the letter accompanying the Release. A Release must also be signed by the Grand Prize winner s guest. In the event a guest is a minor, the parent and/or legal guardian of the minor must also sign a Release. All Releases and any other documents relating to a prize must be returned and received by the Sponsor within the time specified on the covering letter accompanying the Release. All prize claims are subject to verification of entrant eligibility and compliance with these Rules. All selected entrants whose eligibility cannot be confirmed under these Rules shall be disqualified. If a selected entrant cannot be reached within the three (3) day period, fails, if required, to correctly answer the mathematical skill-testing question in the manner prescribed, fails to return the Release within the required timeframe or otherwise is not in compliance with these Rules, he/she will be disqualified and will forfeit the prize; and the Sponsor can, at its sole and absolute discretion, select another eligible entrant and attempt to reach this entrant, who will also be subject to the same qualification rules. Each selected entrant may be required to show proof of identification as part of the confirmation process. In case of a dispute concerning the identity of the individual who submitted an entry, the authorized account holder of the address or Facebook account submitted at the time of Entry will be deemed to be the participant. For the purposes of these Rules, authorized account holder of an address is defined as

7 the natural person who is assigned to an address by an Internet access provider, online service provider, or other organization responsible for assigning addresses for the domain associated with the submitted address. Refusal by a selected entrant to accept the prize as described and according to the conditions of these Rules will release the Sponsor of all obligations relating to this prize for this entrant and Sponsor may, in its sole discretion, select an alternate entrant to receive the prize. Confirmed winners will be notified of how to claim their prize and prizes will be delivered. For Secondary Prize winners who elected to receive their prize as a Lindt gift basket, time of delivery will depend based on weather. The Sponsor will not be responsible for failed attempts at contacting a selected entrant. Aside from this Contest, Lindt may also sponsor other You Could Win a Trip to Switzerland Contests in 2014, each of which may also include Grand Prize trip(s) to Switzerland and other Prize(s). A winner of any prize in any of these You Could Win a Trip to Switzerland Contests is ineligible to win another prize in any other You Could Win a Trip to Switzerland Contest this year, unless the Rules explicitly state otherwise. GENERAL RULES: Subject to the jurisdiction of the Régie des alcools, des courses et des jeux in Quebec, the Sponsor reserves the right, at its sole discretion and at any time without prior notice, to rescind, amend or suspend all or part of this Contest (or to amend these Rules) for any reason including in the event of an incident, virus, bugs or any human intervention that could corrupt or affect the administration, security, impartiality or normal flow of this Contest. Sponsor is not responsible for technical, hardware, software or telephone failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or deleted computer or network transmissions which may limit the ability to participate in the Contest. In no event will Sponsor be required to award more prizes than the number stipulated in these Rules or award prizes other than those described in these Rules. By participating in this Contest, each entrant accepts and agrees to abide by these Rules and all decisions of the Contest judges (who may be employees, agents or independent contractors of the Sponsor), which shall be final and legally binding on the entrant in all matters relating to this Contest, including without limitation eligibility and/or rejection of an entry. All entries become the property of the Sponsor and will not be returned. All entries are subject to verification by the Sponsor and the Sponsor reserves the right to cancel and revoke any entries if they are found to be improper, fraudulent, forged, incomplete or tampered with or if the entrant is subsequently found to be ineligible pursuant to the Rules. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Contest is a violation of criminal and civil laws, and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.

8 By entering this Contest, each entrant acknowledges and agrees that the Contest Group: (i) shall have no liability of any kind whatsoever with respect to this Contest, the entrant s participation therein, and/or the awarding, use, misuse, or participation in a prize; (ii) makes no guarantee or representation of any kind concerning any prize; (iii) disclaims any implied warranty or condition concerning any prize; and (iv) is not liable for injury, loss or damage of any kind resulting from the entrant s acceptance, use, misuse, or participation in a prize or otherwise from such entrant s participation in this Contest, including any injury or damage which may be caused directly or indirectly, in whole or in part, from downloading. The Contest Group is not responsible for typographical or other errors in the offer or administration of this Contest, including but not limited to errors in advertising, the Rules, the selection and announcement of winners or the distribution of the prizes. For residents of Quebec, any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. For residents of Quebec, any litigation regarding the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement. This Contest is subject to all applicable federal, provincial/territorial, and municipal laws. Except for Quebec residents, all questions relating to the development, validity, interpretation and binding nature of these Rules, and the rights and obligations of entrants and the Sponsor relating to this Contest shall be governed and interpreted in compliance with the substantive laws in the province of Ontario and Canadian laws effective in that province. Except for Quebec residents, all entrants consent to the jurisdiction and venue of the Province of Ontario. Personal information collected from entrants will be used by the Sponsor to administer the Contest and otherwise in accordance with Sponsor s privacy policy available online at If entrants consent, personal information may also be used to send entrant information and special offers from Lindt. By accepting a prize, each winner consents to the use of his/her name, city and province/territory of residence, voice, photograph, statements and/or other likeness in any publicity or advertisement carried out by the Sponsor and publication of same on the list of winners without further compensation.
