1 February 2, 2015 Dear Business Partner: I am excited to announce that on February 2, 2015, Genesis HealthCare combined with Skilled Healthcare, Inc. to create one of the country s largest post-acute care companies. The combined company will be traded on the New York Stock Exchange and will operate under the Genesis HealthCare name. Likewise, Skilled Healthcare s rehab division, Hallmark Rehabilitation, will operate under the Genesis Rehab Services name. Headquarters for the combined company will remain in Kennett Square, PA. For Genesis Rehab Services, this means that we will integrate the nine states that Hallmark Rehabilitation serves into our Midwest and Western locations. Combining our footprint with Hallmark s allows us to increase market density in the seven states that we already provide services: Arizona, California, Kansas, Missouri, Nebraska, New Mexico, and Nevada. We are also delighted that we ll be able to expand our footprint into two new markets: Texas and Iowa. With the expanded geographies, we have promoted many staff members at the area, regional, and corporate levels. If you re in Hallmark s footprint, this means that you may meet some new area-level team members. Please be assured that any changes made at this level will be communicated to you personally. If you re not in one of the nine states in Hallmark s footprint, your staffing will continue much like it is today. We look forward to continuing to provide you with the highest quality clinical and operational services you ve come to expect from Genesis Rehab Services. We are honored to partner with you to focus on serving your patients and residents, and to meet and hopefully exceed your needs and expectations. This is an exciting time for Genesis. As a combined company, Hallmark Rehabilitation and Genesis Rehab Services will be well-positioned to meet the changing needs of the older adult population. In this volatile industry, you can count on us to collaborate with you to provide evidenced-based therapy services that result in clinical outcomes that exceed national averages. We are proud to remain true to our 30-year legacy and our mission to improve the lives we touch through the delivery of high-quality healthcare and everyday compassion. To learn more about this transaction, please reference the enclosed materials or visit If you have questions or need additional information, feel free to contact me at or We appreciate your ongoing partnership. Regards, Lou Ann Soika Senior Vice Customer Relations and Strategic Development
