2 Introduction 1.1. Confidentiality This Request For Proposal (RFP) is both confidential and proprietary to Repro India Limited (RIL) and RIL reserves the right to recall this RFP in its entirety or in part. Vendors cannot, and agree that they will not, duplicate, distribute or otherwise disseminate or make available this document or the information contained in it without the express written consent of RIL. Even if your company does not intend to respond to this RFP, you are bound to maintain confidentiality on all matters related to this RFP, including the fact that this RFP was issued. Notwithstanding the foregoing, the vendor may make this document available to those employees who have a need to know its contents in order to participate in the preparation of this proposal. All vendors pricing information submitted in response to this RFP will be considered confidential. Any additional materials that are to be considered and treated as confidential must be clearly marked Confidential prior to submission.

Repro s core activities are supported by a state of the art infrastructure which includes the most contemporary Information Technology and two modern book printing plants on India s west coast. We have strategic partnerships with global logistics providers. We are certified for ISO , ISO , FSC, PEFC, FOGRA PSO and SEDEX for our quality, environment & social compliance practices. We have been awarded the CAPEXIL Export Award for being India s leading books exporter, for 5 years now. We are listed on the Bombay Stock Exchange and the National Stock Exchange. In the financial year ended March 31, 2012 we clocked over INR 350CR in revenue, with over 50% coming from overseas markets. The company is profitable, with profits in every quarter since going public in See financial results. Repro was established in 1984 as a provider of integrated print solutions to publishers and corporations the world over. Today, Repro offers significant backward and forward integration which involves managing customer s content, printing and delivering in different formats.

5 1. Introduction 1.4 Disposal of Old Machines: At RIL we always upgrade our machines / manufacturing facilities with latest technologies available in market across the globe. RIL is always been a trend setter for Indian Print Industry in terms of new technology & work practices. As a resultant of this many machines / equipments becomes redundant in our process line. All these machines / equipments are at present lying in our Navi Mumbai Plant as well as at our warehouse which is located on Mumbai Nashik highway near Bhiwandi. All these machines were running In our production line before removing from plant on account of technological redundancy. Repro wants to sell these machines / equipments on as is where is basis.

6 2. Evaluation Criteria Potential buyer will be reviewed based on all elements of the RFP response plus intangible factors such as RIL s assessment of each buyer s ability to meet its commitments. RIL reserves the right to accept or reject any and all responses at its complete discretion and to negotiate the terms of any subsequent agreements.

7 3. RFP Administration 3.1 RIL Contact All questions with regard to this RFP must be made through the designated RIL representative. Discussions with other parties within or associated with RIL may result in disqualification from this process. On or before Wednesday, 23 rd Jan 13 Wednesday, 23 rd Jan 13 Friday,25 th Jan 13 to Thursday, 31 st Jan 13 Saturday, 2 nd Feb 13 Friday, 8 th Feb 13 Friday, 8 th Feb 13 Tuesday, 12 th Feb 13 Friday, 15 th Feb 13 Deadline for Confirmation of intent to bid. Submission of EMD by demand draft. Physical inspection of machines. Submission of Quotations. Negotiation meetings and Buyer selection. Return of EMD s to rejected parties. Payment of agreed disposal amount by DD to Repro. Final lifting of Machines kept for disposal.

9 3. RFP Administration 3.3 Submission Instructions Please follow the instructions below for completing the RFP to ensure completeness and timeliness of your response. Complete the Intent to Bid form (Appendix 1) and send via or courier to the key contact on or before Tuesday, 15 th Jan 13 Your Proposal has to cover your Company s profile & should accompany Demand Draft of INR One Lacs as a Refundable EMD amount. Kindly note that no bids will be accepted after the last date mentioned in the submission schedule earlier.
