WORKING AS AN INTERIM PROFESSIONAL An important characteristic of working on interim basis is that the candidate, with the support of Michael Page Interim, works as an entrepreneur and is accountable for his/her personal risk and success. This means a lot of freedom and diversity, but also brings a number of insecurities. Other characteristics are: The candidate works in many different organisations and becomes acquainted with different working methods and cultures. An interim candidate can book results in a short period of time by clearly formulated objectives and the support that has been created by the client to recruit an interim professional. Of course this depends on the nature of the assignment. Clients have high expectations with regard to the performance and output of Interim Professionals. This is reflected in higher levels of specialist skills, flexibility and extra effort to resolve difficult problems. The candidate carries out positions on different levels and of divers nature: some assignment might be somewhat beneath the candidate s level, but sometimes the candidate has the opportunity to temporarily gain experience in a higher or more qualified position. It is often uncertain if after the end of the project there will be a next project and therefore income. The relationship with a reliable organisation as Michael Page Interim can be of importance in this by using its network and acquisition power. With a thorough planning of chargeable hours the revenue earned can be high. The candidate is however (largely) responsible him/herself for the build-up of the own secondary payments (refer to chapter 3). 2. Working as an Interim Professional 4
5 2.1 Positions level, duration of the assignments, Part time/full time The levels of the assignment for which we recruit vary greatly. Our candidates often have relevant working experience of between three and twenty years or even more. Most assignments are full time; some assignments can however be fulfilled on a part time basis. The duration of the assignment varies mostly from three to nine months. There are of course exceptions, where assignments last for more than 18 months or even result in a permanent employment. 2.2 Procedure Step 1 Registration Michael Page Interim receives through the website the Curriculum Vitae and additional information from the candidate, as a reaction to an advertised position or as an open application. On basis of these documents the suitability with regard to (expected) assignments is determined. The applicants CV will then be coded to ensure we can retrieve their file for suitable assignments. After contacting candidates regarding availability, hourly/daily tariff and possible reference check and if there is a fit between the candidate s background and our portfolio of assignments, we will invite the candidate for an introductory interview. Step 2 General introductory interview In this interview both parties can form a picture of each other, prior to possible interim assignments. Especially education, experience, background, preferences and specific technical and personal characteristics of the candidate will be looked at. Then the types of assignments suitable for the candidates will be determined in close consultation. We file all relevant issues as discussed in the interview in our state of the art systems by using a nationwide database of candidates. This way all colleagues within several offices and divisions within Michael Page have insight into these data and they can approach a candidate. 2. Working as an Interim Professional 5
6 Step 3 Assignment - candidate selection When a client gives Michael Page Interim an assignment, the most suitable and available candidates are searched for within our network based on several criteria. We then approach these candidates to discuss the assignment and to gain more insight in the candidate s definite suitability. If the candidate is suitable and the conditions are agreed upon, the Curriculum Vitae, including explanatory remarks and motivation, is presented to the client. In consultation with the responsible consultant of Michael Page Interim the client indicates which candidates are to be invited for a second interview between client and candidate. Michael Page Interim is usually not present at these interviews. In the end the client determines who is the most suitable candidate to carry out the assignment. As soon as the client and the candidate agree, step 4 can be taken: drafting and signing the contacts, the realisation of the assignment and the evaluations. Step 4 Assignment drafting and agreeing contracts, realisation and evaluation At the start of an assignment all conditions are clearly defined in a contract. Michael Page Interim enters into two contracts: one as contractor with the client and the other as an employer with the serviceprovider. Before, during and after the assignment we fulfil an intermediary role. One or more interim evaluations are done and at the end of the assignment the responsible consultant visits the client for a final evaluation. We also function as a soundboard, safeguard the progress of the assignment and assist at solving any possible conflict situations. 2. Working as an Interim Professional 6
7 3. THE LEGAL CONSTRUCTIONS Michael Page Interim works with independent interim candidates rather that hiring contractors permanently onto our books. We search per assignment from a completely independent position for the best possible available candidate. This way we are not required to forward candidates who are simply sitting on the bench waiting for a new role. In most cases our candidates work as a self-employed sub consultants (ref: 3.1), established as an independent legal person in a private limited company (normaly known as an AB in Sweden) or a one-man business (known as an enskild fi rma in Sweden). Before a candidate can start with an assignment through Michael Page Interim as an interim professional, we need to be in the possession of the following: Recent Curriculum Vitae in Swedish and/or English Copy of ID Copy of most recent educational qualifi cation Bank account number Name and telephone number of 2 recent references/credentials from previous assignments/appointments If a candidate as a self-employed person starts to work through Michael Page Interim, we also need to have: Copy of the F-tax (F-skattsedel) Copy of the cover note for professional and company liability insurance Full contact data for the legal person and ORG.nr. The F-tax (F-skatt) is a permit issued by the Tax Offi ce which authorizes you to work as an interim professional in Sweden. The F-tax is valid for a maximum of one year, and the term of validity starts at the beginning of the calendar year. Applying for a F-tax is done via the Tax Offi ce/skatteverket, which can be downloaded via hyperlink or ordered via the Tax Offi ce/skatteverket, Telephone: The processing time is eight weeks maximum. 3. 8 3.1 Self-employed (via your own business) To work as a Self-employed person, the candidate has to register as such at the Bolagsverket of the city where they reside. Interim professionals mostly choose an AB (private limited company) or an Enskild Firma (one-man business). The difference between the two possibilities lies mainly in liability and tax burden. It is important to note that Michael Page is a recruitment company and therefore unable to provide advice on the best structure for our Interim managers. We strongly advise you to contact your legal / accounting advisor for professional advise on setting up your own business. Private Limited Company (Plc.) (Aktie Bolag (AB) In an AB the personal liability is covered to a maximum of the private capital ( SEK) which has to be deposited at the start of the AB. In case of bankruptcy any creditors can only hold the AB liable. The private capital of the self-employed remains unaffected (in principle), unless there is report of mismanagement. The establishment of an AB has to be arranged via a notary and costs approximately 2.000SEK. In this form the self-employed person is employed by the own AB and pays her/himself a salary, on which wage tax is due. Over the remainder of the profi t, Corporation tax has to be paid. For more information on the specifi cs of a AB we advise you to obtain professional advise. The cost of registration can be found on One-man business ( Enskild Firma ) When establishing a one-man business registration at the Bolagsverket is suffi cient. In this form the self-employed person is personally liable for what happens in the business. The business and the entrepreneur are in fact one as regards rights and obligations. An advantage is that the tax burden is lower because there are some extra facilities for this form of self-employment, for instance the self-employed deductions and in the fi rst three years the starter s deduction. 9 The income which can be invoiced via the time units worked (fee per hour, day, month etc.) is the gross turnover. The table underneath shows an example of how the gross turnover realised results in the net profi t (via A up to and including G and H results in I) Gross turnover per hour for Interim Professional + / + X SEK= / hour From this paid-out amount the self-employed professional is advised to make reservations or arrangements for the following matters: Employment tax - / - A* Health insurance - / - B* Income Protection - / - C* Pension insurance - / - D* The following costs also have to be paid from the turnover: Wages / a day off, public holidays, short leave and holiday pay - / - E* Indirect / operational costs (e.g. offi ce space, sales, marketing, IT) - / - F* Gross profi t from enterprise = 100 (A+B+C+D+E+F): = G Corporate tax (AB) or income tax (one-man business) - / - H Net profi t = G H: = I * The height of the amounts A up to and including F and what A up to and including F consists of, strongly depends on the situation. Does the Interim Professional work from an own offi ce and does (s)he invest in acquisition and marketing? Does (s)he work via a oneman business or a AB? This has consequences for the height of the tax burden and the height of several social premiums. Also the exploitation costs will vary per entrepreneur. The above serves only as an indication of what an independent interim professional should take into account. We do advise you to also consult a specialist for this. 3. The legal constructions 9
10 4. PAYMENTS / TIMESHEETS Michael Page Interim owes the contracted interim professional compensation, as agreed upon in the contract between these parties. Travel, accommodation and other expenses with regard to the performed tasks are not included in the compensation, unless it has been agreed upon differently in writing. The compensation can be adjusted by Michael Page Interim when the agreement and/or the agreed upon Project to be executed is changed. These changes will be announced to the candidate in advance. During the assignment the candidate keeps a record of their hours worked using a timesheet handed by Michael Page. This timesheet serves as the basis of the calculation of the compensation for the performed tasks within the assignment. It is the responsibility of the candidate to make the timesheet available within the fi rst three days of each month. The timesheet should be agreed upon with the client and forwarded to Michael Page Interim. In the future the timesheet will be made available online. In the situations in which the candidate in some period, for whatever reason, does not perform any tasks for Michael Page Interim s client, no claim can be laid to the compensation, nor to any other payment or (damage) compensation. In the compensation in principle all allowances, gratuities and compensations are included, to which the candidate is entitle towards Michael Page Interim according to law or otherwise. Payment of the performed tasks by the candidate will be made by Michael Page Interim. The interim professional is obliged to send to Michael Page Interim an invoice on basis of the number of actually worked days/hours every month. We aspire to have a term of payment in 30 days after receipt of the invoice if: The closed contract with Michael Page Interim is complied to Within three working days after the end of the month a time sheet signed by the client or otherwise completely agreed to is in the possession of Michael Page Interim The invoice within two weeks after the end of the month is in possession of Michael Page Interim, including the original of the time sheet authorised by the client On the invoice and the time sheet the projectnumber of Michael Page Interim and possibly the required authorisation codes of the end-client are mentioned The Michael Page Interim consultant agrees with the invoice 4. Payments/ timesheets 10
11 The interim candidate has to submit within three months from the start of the assignment a business permit from the tax department/skatteverket to Michael Page. If changes occur in the self-employment of the candidate, Michael Page Interim has to be notifi ed immediately. Through signing the agreement, the candidate commits him/herself to Michael Page Interim to take care of regularly and correctly pay wage tax and social security premiums to the tax authorities and the industrial insurance board. The candidate is liable for all claims that are submitted to Michael Page Interim for a possible withholding obligation for the wage tax and/or the premiums employee insurances, with regard to payments from Michael Page Interim to the candidate. This includes - but is not limited to wage tax, premiums, fi nes, increases and interests. Michael Page Interim is authorized to recover all payments with regard to above-mentioned claims from the candidate, or to deduct these from outstanding compensations. Lastly, the candidate is not allowed in whatever way to seek or to receive other compensations from the client than mentioned in this article except for written consent from Michael Page Interim. 4.
