BA in Accounting and Masters Degree in Finance and Business Administration. Two years experience as Principle Owner of a tax agent, accounting and business consulting office. Ten years experience as owner and operator of a four star hotel in the United States which included 115 hotel rooms, formal dining room, banquet rooms, coffee shop and night club. Five years experience as Assistant Vice-President and Treasurer of a major United States life company. Two years experience as Senior Auditor for a large C.P.A. Firm and five years experience as a Bank Loan Officer. Tony Parletta Tony has over 19 years experience in management and operation of Montezuma s restaurants. He has owned restaurants in Queensland and South Australia. He currently owns three Montezuma s restaurants in South Australia. Tony s Restaurants are recognized as the flag ship operations of the group both for operational standards as well as their financial performance. Tony is also chairman of the group purchasing committee. He has 5 years experience in the Sales and management of a leading computer manufacturer and systems integrator as well as 5 years experience in public administration with the Commonwealth Government. Tony is the Managing Director and in charge of Restaurant Operations of Montezuma s Mesa Australia Pty Ltd. Paul Stevens Paul has a degree in Commerce from Rhodes University (1990). Paul s retail career began in 1991 working for Edgars Store Ltd as a Graduate trainee in South Africa. He held a number of different roles including Credit Manager, Regional Manager and Sales Manager. In 1994 he went into business for himself as a Wimpy franchisee. He opened two new franchises as well as a Café Rossini Franchised restaurant. Since then he has owned 10 different franchises across 5 different brands in both Australia and South Africa. In 2004, Paul took up the role of NSW State Manager for 7-Eleven Stores Pty Ltd. Here he had full P&L accountability for over 200 stores with sales in excess of $600m. November 2013 Pages 3 of 6

4 After a successful secondment into a marketing role in 2010 he was appointed National Franchise Manager with oversight of all legal and sales functions associated with managing a franchise network of over 600 stores. He currently is a director of The Original Montezuma s Crows Nest in Sydney. He also owns a 7-Eleven franchise in NSW and is a director of Montezuma s Mesa Australia Pty Ltd. F A C T S & F I G U R E S MARKETING OR OTHER CO-OPERATIVE FUNDS PAYMENTS There is a marketing fund controlled and administered by the Franchisor on behalf of the Franchisees. Franchisees are not required to contribute to the fund. All funds generated through supplier rebates are placed in the marketing fund. Pre-payments The Franchisor does require a payment deposit, 50% of Franchise Fee. This money will be held by the Franchisor. This money will be applied to the Franchise Fee. A pre-payment will be refunded when the Franchisee terminates the Franchise Agreement within the cooling off period. Establishment costs The estimated costs to start operating the Franchised Outlets depend on the size of the restaurant to be operated by the Franchisee. The Set Up costs listed below are based on an average sized Montezuma s restaurant. November 2013 Pages 4 of 6

5 The following are details of the range of costs to start operating the Franchise Business based on current practice. Furniture & Fixtures, Kitchen Equipment & Crockery, Bar Counter, F1 Station, K1 Servery, Architect Drawings and Fees, Signage and Artwork, Decor and Paintings, Printing Menu s and Leaflets, Franchise Fee s, Legal Fees, Insurance, POS, Music System, Float and Working Capital. Up to approximately $320,000 Some of the proposed restaurant sites could cost more if they don t already have either or Toilets, Grease Trap, Exhaust Fan and proper Plumbing & Electrical and Floor Coverings or Tiles. Cold Room, Stainless Steel Fan, Grease Trap, Electrical, Tiling, Toilets. Up to approximately $175,000 These costs are subject to site specific considerations that will have a significant effect on the final outcome. Payments made for the design, set-up and equipment purchase are made directly to the respective suppliers. Montezuma s negotiates and recommends the appointment of service providers and suppliers based on over 30 years experience in setting up and operating franchised Mexican Restaurants. Montezuma s does not receive any rebates, commissions or otherwise from suppliers for the establishment of new restaurants. Other Payments The following are details of each recurring or isolated payment payable by the franchisee to the franchisor or an associate of the franchisor or to be collected by the franchisor or an associate of the franchisor for another person: (a) Royalty fee of 6% of the gross sales turnover of the business for each accounting week payable by the 5th day following the end of each and every accounting week. The royalty payment is not refundable. (b) A performance bond is required. This amount is payable to the franchisor and is refundable (without interest) to the franchisee at the end of the franchise term subject to the franchisor's rights to deduct from it expenses of any kind incurred as a direct or indirect result of a breach of the franchise agreement by the franchisee. FINANCING (a) The franchisor, its agent or an associate of the franchisor does not offer to the franchisee any financing arrangements for the establishment or operation of the franchised business. (b) The franchisor may use its good offices and experience to assist the franchisee in obtaining bank finance if the franchisee can provide adequate security and the amount of finance sought is less than 50% of the capital required for the establishment of the franchise business. 6 assistance shall be provided at the election of the franchisor and is not a commitment by the franchisor to arrange finance for the franchisee. (c) Montezuma s Australia Pty Ltd is an accredited Franchise business with Westpac Bank Ltd. C O M P A N Y H I S T O R Y Montezuma's Mesa Mexican Restaurants have been in existence for more than 35 years. The first Montezuma's Restaurant opened at Burleigh Heads on the Gold Coast in 1978 and enjoyed great success. In 1991 Montezuma's Mesa Australia Pty Ltd established the franchise Company to franchise Montezuma's Restaurants in Australia. Since then 24 new Restaurants have been opened. 3 in Adelaide, one in Melbourne, one in Sydney, and 18 in Queensland.
