The Exhibitor Contract is now available and is included in this Exhibitor Prospectus (see page 2). Submit your contract now, as this Exhibitor Prospectus was sent to all active CACM Affiliate Members meaning this event will sell out quickly! HOW TO RESERVE YOUR BOOTH: Review the Exhibit Hall Map (page 7), to determine your top booth location choices. Then, complete and return the Exhibitor Contract with payment. TIPS FOR CHOOSING YOUR BOOTH: We recommend your requested booth spaces be in different areas of the Exhibit Hall. If you can't decide on a specific booth number, you can also make your booth selections in general terms. For example: any corner booth, any booth in the middle of a row, or any booth on a side wall. Double Booths are available for purchase; see page 5 (under Purchase of Booth Space) for more information. CACM makes every attempt to assign you a booth space of your choosing, but if your top choices have already been reserved, we will assign you the next closest space available. Due to the large number of contracts submitted, we are unable to discuss and/or advise on available spaces prior to assignment. Booth assignments will be based solely on your selections and will not take into account the service category of surrounding exhibitors. REASONS TO ACT ASAP: Since exhibitor booths and their locations are assigned on a first come, first served basis, it's important to submit your contract as soon as possible. Also, keep in mind that this event sells out quickly year after year.

CACM reserves the right to deny future exhibiting privileges to anyone who, in the sole discretion of CACM, fails to comply with this Agreement. Please retain a copy of this contract for your records. Note: Your signature is acceptance of the Exhibitor Terms & Conditions, as noted on pages 3-5 of this this document. 3 TERMS & CONDITIONS: AGREEMENT Exhibitor hereby agrees to be bound by the terms of the Agreement which are the Official Rules of the Exposition. Exhibitor further agrees to adhere to and be bound by (i) all applicable fire, utility, and building codes and regulations; (ii) any rules or regulations of the facility where the Exposition is held; (iii) the terms of all agreements and leases between CACM and the managers or owners of said facility; and (iv) the terms of any and all leases and agreements between CACM and any other party relating to the exposition. Exhibitor shall not, nor shall Exhibitor permit others to do anything to the Booth or do anything in the facility which would cause a difference in conditions from those previously approved by the insurance carriers of CACM or the owners or managers of said facility, which will in any way increase premiums payable by any of said parties and/or any such increase resulting from a violation of this section. ASSIGNMENTS AND SUBLEASE Exhibitor shall not sublet the Booth or any equipment provided by CACM, nor shall Exhibitor assign this Agreement in whole or in part at any time. BOOTH CONFIGURATION AND USE OF EXHIBIT SPACE Exhibitor is required to keep all materials, items, decorations, activities, activities of guest(s), and all other personnel, within the confines of the Exhibit Space, as referenced in section Standard Booth Equipment of the Agreement. Any Exhibitor who exceeds or oversteps the Exhibit space will be required to immediately alter their Exhibit space to the satisfaction of CACM, Inc., at its sole discretion. Height for all booths, display equipment or signs shall not exceed EIGHT FEET on rear walls and THREE FEET on side walls. Approval for any variance must be obtained in writing from CACM 90 days prior to the start of the event. The variance request must include a detailed design of proposed booth, including theme of decoration, height, materials utilized and activities that will take place within the confines of the exhibit space. Any Exhibitor, whose variance has not been approved in advance of the show, will be required to alter their set-up or will be prohibited from exhibiting by CACM, at its sole discretion. Once a variance has been approved by CACM, no changes may be made to the design unless approved in writing by CACM. If variance is approved by CACM, Exhibitor agrees that all exposed sides of their booth must be finished in black paint or draping to match show draping. Exhibits not conforming to these specifications or which, in design, operation or otherwise, are objectionable in the opinion of CACM, Inc., will be prohibited. Height restrictions shall include but are not limited to balloons, header signs, custom-built displays, etc. No signs of any kind or nature, may hang from the ceiling of the Exhibit Hall. 3 BADGES Exhibitor Badges are to be used by official booth personnel only, which are restricted to employees of exhibiting firms and/or entertainers. CACM events are geared to community managers and related service providers. Nonexhibiting service providers, HOA Board members and homeowners may NOT be invited. Badge orders, changes, and/or cancellations must be submitted to CACM in writing by or fax by February 8, Badge orders, changes, and/or cancellations received after this date, will be processed at the Show and will result in a late processing fee of $50.00 per badge. Additional badge registrations are non-refundable once event begins. Exhibitor(s) must wear the official Exhibitor Badge with Exhibitor Ribbon at all times. During educational session(s), the Exhibit Hall will be officially closed and only Exhibitors will be allowed in the Exhibit Hall. Badges created by Exhibitor are prohibited. BUSINESS APPOINTMENTS AND NON-REGISTERED GUESTS Exhibitors may not invite non-registered guests into the Show. Business appointments must be held outside the Exhibit Hall. CANCELLATION OF AGREEMENT AND CANCELLATION FEES Exhibitor shall have the right to cancel this Agreement at any time by written notice to CACM. If cancellation is received up to 60 days prior to Exposition, CACM shall refund 50% of Booth space cost. No refunds will be given to Exhibitor should Exhibitor cancel this Agreement 60 days prior to the event. Under all circumstances, CACM retains the right to re-sell any Booth spaces canceled by Exhibitor. CANCELLATION OR POSTPONEMENT OF EXPOSITION In the event that the Exposition is postponed due to any occurrence not within the control of CACM, whether such occurrence be an Act of God or the common enemy or the result of war, riot, civil commotion, sovereign conduct, or the act or conduct of any person or persons not party or privy to this Agreement, then the performance of the parties under this Agreement shall be excused for such period of time as is reasonably necessary after such occurrence to remedy the effects thereof, and in any event for the duration of such postponement. In the event that such occurrence results in the cancellation of the Exposition, the obligations of the parties under this Agreement shall be automatically terminated and all rental payments made under this Agreement shall be refunded to Exhibitor, less a pro rata share of expenses actually incurred by CACM in connection with the Exposition. Exhibitor agrees that its sole and only entitlement in the event of postponement or cancellation shall be a refund of rental payment, and by signing this Agreement forever waives, on behalf of itself, its officers, agents or employees, successors, heirs and assigns, any additional claim of actual or consequential damage as a result thereof.
4 CHILDREN The Expo is a professional event and educational venue. It is not an appropriate place for children. No one under the age of 18 is allowed in the Exhibit Hall at any time, including day of set-up and tear-down. CHOICE OF LAW This Agreement shall be construed according to the laws of the State of California. EXHIBITOR PRIZES Exhibitors are responsible for their prizes at all times. Exhibitors may only distribute promotional items or prizes at booth. Note: Raffles are not permitted; prize drawings only. EQUIPMENT Booth equipment provided by CACM or its Official Show Decorator shall be returned to CACM or its Official Show Decorator at the end of the term herein, complete and in good condition, normal wear and tear excepted. Exhibitor shall have no right, title or interest in such equipment, but only the right to use it under this Agreement. All other equipment shall be provided by Exhibitor at its own expense. All draping and decorative materials used by Exhibitor shall be flame proof. All booth equipment shall be in keeping with and consistent with all rules, codes, and regulations referred to under Agreement above. All demonstrations and displays shall be confined to Booth Space. EXCLUSION CACM shall have the right to exclude or require modification of any display or demonstration which, in its sole discretion, it considers unsuitable to or not in keeping with the character of the Exposition. CACM shall have the right to demand modification of the appearance of dress of persons or mannequins used in connection with displays or demonstrations. HANDLING AND STORAGE CACM and the owners or management of the facility where the exposition is to be held shall not accept nor store display materials or empty crates, and exhibitor shall make its own arrangements for shipments, delivery, receipt and storage of such materials and empty crates. Such arrangements may be made through the Official Show Decorator if desired, and Exhibitor shall in any event provide the Official Show Decorator with copies of all bills of lading. All shipments and deliveries to the Exposition shall be prepaid. Exhibitor shall not incur any obligation to the Official Show Decorator merely by reason of providing copies of any bills of lading hereunder. LIABILITY This Agreement shall not constitute or be considered a partnership, employer-employee relationship, joint venture of agency between CACM and Exhibitor. Exhibitor hereby agrees to and does indemnify, hold harmless and defend CACM from and against any and all liability, responsibility, loss, damage, cost or expense of any kind whatsoever (including but not limited to cost, interest and attorney's fees) which CACM may incur, suffer, be put to, pay or be required to pay, incident to or arising directly or indirectly from any intentional or negligent act or omission by Exhibitor or any of its employees, servants or agents. Exhibitor further agrees that CACM and their respective agents and employees, and the exhibit facility shall not be responsible in any way for (i) damage, loss or destruction of property of Exhibitor or (ii) injury to any Exhibitor or its representatives, agency, employees, licensees, invitee, or guests MUSIC Music that is played by the Exhibitor for entertainment purposes within the Exhibit booth space must be kept at a low and acceptable noise level to not disturb, disrupt, nor annoy other Exhibitors and those attending the Expo. Should CACM determine that the music is creating a disturbance, it shall, in its sole discretion, request the reduction of the level or elimination of noise. Should the Exhibitor not comply with this provision, the Exhibitor will be requested to eliminate the music for the duration of the Show. MUTUAL CONSTRUCTION This Agreement shall be construed as mutually drafted. UNATTTENDED BOOTH POLICY Exhibitor and any employees, agents or representatives of Exhibitor must occupy its Booth during official Show/Exhibit Hall Hours. Failure to occupy the Exhibit Booth during official Show/Exhibit Hours will be cause for CACM to refuse future Exhibiting privileges. In the event an Exhibitor consists of only one representative, arrangements must be made by the exhibitor for the booth to be covered during show hours. OUTSIDE ACTIVITIES BY EXHIBITOR(S) No Exhibitor, agent of exhibitors, employee, sponsor, associate, successor, heir or assign, may schedule any non- CACM sponsored activity, including but not limited to a hospitality suite, party, activity, or any event during official CACM Law Seminar & Expo activities. Violation of this provision will result in Exhibitor being banned from future attendance at any CACM Show, at the sole discretion of CACM. PAYMENT POLICY Contracts must be accompanied by full booth payment or non-refundable deposit. Contracts submitted without payment will not be processed until payment is received. 4
5 Exhibitors who choose to sign up with a deposit must pay the balance of booth cost no later than November 30, Payment Terms for Exhibitors who obtain a Booth registration after November 30, 2015 will be determined by CACM at its sole discretion. PROFESSIONAL COURTESY Exhibitors are restricted from taking any supplies, marketing materials, and/or giveaways from other Exhibitors without their permission. Failure to comply may result in Exhibitor being banned from future CACM Shows. PURCHASE OF BOOTH SPACE Should an Exhibitor wish to purchase more than one booth, all booths must be located side-by-side, unless approved by CACM. Side-by-side is deemed to mean booths beside each other that face in the same direction as shown on the Official CACM Exhibit Hall Floor Plan. REGISTRATION OF ENTERTAINMENT GUEST(S) Any guest(s) of Exhibitor must be officially registered with CACM, Inc., and pay the appropriate conference or badge fee. Guest(s) must wear an official Show badge. Guest(s) may include, but not be limited to, celebrity impersonators, caricature artists, massage therapists, and others who provide entertainment within the confines of the Exhibitor booth. All individuals must be 18 years of age. For more details see BADGES on page 3. SECURITY CACM, the show facility, or any officer or staff member thereof will not be responsible for the safety of the property of the Exhibitor, his agents, or employees, and theft, damage by fire, accident or any other cause. Exhibitor is required to provide all insurance and/or policy riders to cover all Booth contents. SOLICITATION FOR EMPLOYMENT CACM has a zero tolerance policy of individuals and/or Exhibitors, and/or their representatives, who actively solicit conference attendees or other participants at the Show for purposes of employment. Exhibitors are prohibited from this practice. CACM reserves the right, at its sole discretion, to prohibit any Exhibitor, its agent, employee, successor, heir, and assign from any future CACM Law Seminar & Expo should this practice occur. SPACE ASSIGNMENTS CACM shall use its best effort to place the Booth in one of the locations designated by Exhibitor. Notwithstanding the above, CACM reserves the right to change location(s) assignments at any time, as it may, in its sole discretion, deem necessary. SPACE RESTRICTIONS The following activities are prohibited: live animals, distribution of alcoholic beverages, and cooking of and/or distribution of food, with the exception of prepackaged snack foods (i.e., candy, nuts, popcorn, etc.). STANDARD BOOTH EQUIPMENT CACM Exhibit Management and/or its Official Show Decorator, will furnish to all Exhibitor(s) a booth, 8 deep and 10 wide, with a background consisting of a draped back to a height of 8 and draped divider side rails to a height of 3 above the floor, a standard identification sign with the Exhibitor's firm name and booth number, one six foot table with two chairs, and one 500 watt electrical outlet. SUITCASING CACM has a no tolerance policy regarding suitcasing. The term suitcasing describes the practice by individuals who do not buy a Booth, but bring their product into the Exhibit Hall and solicit in the aisles, in the lobbies, and even in their competitor s Booths and/or represent their services or solicit conference participants for conflicting social activities. If you witness this unprofessional practice, please notify a CACM staff person or a security guard immediately. Any conference attendee, registrant or guest, practicing suitcasing will be ejected from the Show and banned from future attendance at any CACM Show, at the sole discretion of CACM. The term suitcasing also applies to any Exhibitor who shares its Exhibit space with individuals, firms, service providers, agents, employees, successors, assigns, heirs, etc., who are representing, marketing, displaying, soliciting, or providing information, brochures, or services, for a firm, company or any form of service other than that of the Exhibitor and/or for any non-cacm social activities. Exhibitors and/or individuals who engage in this practice will be prohibited from any future CACM Law Seminar & Expo, at the sole discretion of CACM, Inc. TEARDOWN NO EXHIBITOR MAY DISMANTLE THEIR DISPLAY OR REMOVE MATERIALS PRIOR TO THE OFFICIAL CLOSING TIME OF THE SHOW. VENUE The Venue for any dispute involving this Agreement shall be Orange County, California. VIDEO All videos shown in Exhibitor booth space must be approved by CACM, 90 days prior to the Law Seminar & Expo date(s). 5
6 EXHIBITOR GUIDELINES REGISTRATION Registration for Exhibitors will take place at the CACM Official Registration area, adjacent to the Exhibit Hall on the following days: Wednesday, March 16: 12:00-5:00 pm Thursday, March 17: 7:30 am - 4:00 pm Friday, March 18: 8:00 am - 2:00 pm It is strongly recommended that exhibitors register on Wednesday, March 16 during their allotted set-up time. All Exhibitors must wear badges at all CACM events during the Show. Badge orders must be finalized by February 8, Badge changes and/or additions after that time will result in a $50.00 processing fee. EXHIBITOR DRAWINGS Official Exhibitors may provide an opportunity for managers and management staff attending the EXPO to participate in prize drawings to be awarded during the final show sessions on Friday. Exhibitors will draw names during the closing exhibit hall session. Prizes should be easily transportable. EXHIBIT SPACE INFORMATION BOOTH SET UP All pipe and drape, tables and chairs will be set up on Wednesday, March 16, between the hours of 8:00 am - 1:00 pm. Exhibitors will be allowed to set up at 1:00 pm on this day, subject to completion of the pipe and drape set up. ELECTRICAL Each booth will be wired with one 500-watt outlet at no extra charge. Determine how much electricity you will need and act accordingly. Overloading your outlet will cause disruption not only to you, but to several booths around you. Additional outlets, outlets with a higher wattage, extension cords, etc. must be arranged between the individual exhibitor and Western Event Service. CACM assumes no responsibility for these types of arrangements or additional services ordered by individual exhibitors. EXTRAS Additional services, such as floral arrangements, props, storage and transportation, may be arranged with Western Event Service the official CACM trade show services company. Such services are contracted separately. CACM assumes no responsibility for extra charges incurred by the Exhibitor. HELPFUL HINTS Please wear your Exhibitor Badge at all times. It is your ticket to all events, including the education sessions. Remember, it is against the law to sell trade show badges. Exhibitor booths must be manned at all times during official Show hours. Vendors who are not official CACM exhibitors are not permitted to distribute written materials or solicit in the Exhibit Hall. Please advise the CACM staff or hotel security of any unauthorized solicitation you witness. Guests, such as celebrity impersonators, photographers, etc., must be registered with CACM, as any other booth staff personnel. Applicable badge fees will apply. Early teardown will not be permitted under any circumstances.
