4 Overview Turkish Electricity Market-Growth Potential Turkey s importance in world energy markets is growing both as a regional transit hub and as a growing consumer. Turkey s energy demand has increased rapidily over the past few years and likely will contininue to grow in the future. 6th biggest elecricity market in Europe and fastest growing market after China. According to the International Energy Agency (IEA), energy use will continue to grow at annual growth rate of around 4.5% from 2015 to 2030, approximately doubling over the next decade.the IEA expects electricity demand growth to increase at even faster pace.

5 International Landscape Meeting this level of growth will require significant investment in the energy sector, much will come from the private sector. The government seeks to reduce the country dependence on imported natural gas by diversifying its energy mix. Energy Sector takes the lead in the M&A Market M&A Deal value in 2013 was $6.1 billion with 29 deals; in 2014, 40 deals valued at $ 5.6 billion; tenders for state thermal power plants accounted for most of the total deal value; deals in the renewable energy companies signal good market conditions; deals expected in solar after the tender process; and Other Liquids Over the past decade Turkey s economy expanded and its petroleum and other liquids has increased. With limited docmestic reserves Turkey imports nearly all of its oil supplies.

6 On Going Liberalization Starting from 1990 s, BOT, TOR and BOO models were adopted and electricity was sold to the government entity through long term contracts. Since 2001, these models are no longer used. Private investors can sell generated electricity in market-terms A streamlined process with the Electricity Market Law Electricity market has been opened to competition and to private sector companies; Establisment of an energy stock exchange EPIAS to create a more competative market (2016); Pre-license procedure for production license applicants; Privatization of electricity distribution and production authorities has been regulated;

8 Turkish Electricty Market- Overview Energy Resources Petroleum and Other Liquids Over the past decade Turkey s economy expanded its petroleum and other liquids has increased. With limited domestic reserves Turkey imports nearly all of its supplies. Natural Gas Turkey holds a strategic role in natural gas transit through its position between the world s second-largest natural gas market, continental Europe, and the substantial natural gas reserves of the Caspian Basin and the Middle East. As of January 1, 2014 the Oil and Gas Journal estimates Turkish natural gas reserves at 241 billion cubic feet (Bcf). Turkey produced 22 Bcf of natural gas in 2012 relying almost exclusively on imports to meet domestic demand; Natural gas accounts for an increasing share of the energy mix in Turkey and it has overtaken oil to become the most important fuel in terms of volume consumed.

9 Turkish Electricty Market- Overview Coal Coal s importance for electricity generation increases. Coaled power station remain an important energy source for Turkey and there is renewed interest in exploiting Turkey s domestic coal resources; Domestically produced lignite in particular makes an important contribution to Turkey s energy sector and power mix and accounts for approximately 75% of the country s coal supply. EIA projects rising coal importance in Turkey because of the increase in electricity demand. Fossil fuels Fossil fuel sources have historically been Turkey s largest power source. Natutal gas-fired power plants have increased substantially in the past decade and now comprise more than half of the country s fossil fuel generation (43% of total generation in 2012). There are plans to build additional gas-fired generators however recent announcements by government officials indicated that the country is planning to decrease its share of natural gas fired generation and to replace that with other sources.

10 Turkish Electricty Market- Overview Nuclear Turkey signed an agreement with Russia in 2010 to build Turkey s first nuclear plant in Akkuyu on the Mediterranean coast. The plant will have four units with a total capacity of 4.2 gigawatts and begin operation around Electricity Market Targets Decreasing the share of electricity generation based on natural gas down to 30%, as of 2020, so as to reduce the risks arising from dependency on gas imports; Utilizing all known domestic lignite and gas coal resources and hydroelectric potential by 2023; Continuing to benefit from imported coal by considering security of supply; Ensuring that 5% of generation portfolio is based on nuclear power; Increasing the share of renewable resources up to 30% as of 2023.

11 Renewable Energy Renewable Energy Turkey has enacted important pieces of legislation to encourage the use of different renewable energy resources in order to increase the energy production from domestic energy resources to decrease the use of fossil fuels and reduce of green house gas emissions in Turkey. Legislation-What does it regulate? Elecricity Market Law Renewable resources have been included to unlicensed power manufacturing under certain condition; Council of Ministers may increase the unlicensed power generation limits from renewable resources fivefold; Purchase guarantee for surplus generated power in tariffs determined by laws.

12 Renewable Energy Renewable Resource Law No.5346 The feed-in tariffs have been regulated for power manufacturing license owners; Incentives for use of local equipment in power manufacturing have been set forth; Purchase guarantee of surplus generated power for 10 years; Incentives for investments which have been stated by the Law. Unlicensed Power Generation Regulation Unlicensed power generation limit has been increased from 500kW to 1MW in 2013; Purchase guarantee for surplus generated power for 10 years.

13 Renewable Incentives Feed-in-Tariff Scheme (FTI scheme) Differentiated FIT scheme based on Renewable Energy Resource type; Extra premiums for domestic components; Connection priorities Lower license fees Only 1% of licensing fee; Exemption to pay annual license fee for 8 years in operation. License exemptions in exceptional circumstances and Various practical conveniences in project preparation and land acquisition.

14 Regional Investment Incentive Scheme VAT Exemption (for the imported and domestically provided Machinery and Equipment); Customs Duty Exemption (for the imported Machinery and Equipment); Reduced Corporate Income Tax (CIT between 2%-10%); Social Security Premium Support (Employer s and Employee s Share, for 2-12 years); Land Allocation; Interest Support; Income Tax Witholding Allowance; and VAT Refund for Construction Expenses/

15 Tariffs Incentives for the Renewable Energy USD$ 7.3 cent for the hydroelectricity; USD$ 7.3 cent for the wind; USD$ 10.5 cent for the geo-thermal; USD$ 13.3 cent for the biomass and USD$ 13.3 cent for the solar energy production; For the holders of the renewable energy license facilities which had obtained their licenses before December 31, 2015 the aforementioned tariffs will be in place for 10 years.

16 Non-Tariffs Incentives for the Renewable Energy Turkish authorities provided non-tariff incentives as well. If the production of the equipments that will be utilized in the renewable energy facilities are produced in Turkey subsidies will be granted to the producers; The hydroelectricity facilities will be granted USD$ 1.3 cent/kwh if the turbines are locally produced and USD$ 1.0 cent/kwh if the generator and the power electronics are locally produced; The wind energy generation facilities will be granted USD$ 0.8 cent/kwh for the local wind production, USD$ 1.0 cent/kwh for the locally produced generator and the power electronics;

17 Non -Tariffs Incentives for the Renewable Energy USD$ 0.6 cent/kwh for the local turbine tower and USD$ 1.3 cent/kwh for the locally produced mechanical parts for the rotor and nacelle groups; The photovoltaic based solar energy facilities will be granted USD$ 0.8 cent/kwh for the domestic PV panel integration and solar structural mechanical manufacturing; USD$ 1.3 cent/kwh for the locally produced PV modules, USD$ 3.5 cent/kwh for the locally produced PV module forming cells, USD$ 0.6 cent/kwh for the domestically produced inverter and USD$ 0.5 cent/kwh for the equipment that focuses sun rays on PV modules. And finally the geo-thermal production facilities will be granted USD$ 1.3 cent/kwh for the locally produced steam and gas turbines and USD$ 0.7 cent/kwh for the domestic generator and power electronics.

19 Solar Power The licensing process for solar power projects is finally moving forward in Turkey. Solar energy is the most important alternative clean energy resource which is still untapped in Turkey. Cumulative installed PV power in Turkey is about 55MW and still quite low when compared with its high potential; 380 billion kwh/y potential;3 GW utility-scale target; Large-scale PV power projects of 13 MW received their preliminary licenses in 2014 and the rest of 600 MW (230 MW of this amount in the short term) is expected to receive the licenses following the competition process driven by Turkish Electricity Transmission Company (TEİAŞ) in 2015 which will be given by Energy Market Regulatory Authority (EPDK). It is expected that the other tenders and license procedures will be concluded in The ministry of council will determine the new capacity for licensed projects after 2015.

20 Solar Power Licensed solar power projects Solar power projects have some special requirements during the licensing process. While applying for a pre-license, they have to submit the results of the required technical surveys- the solar radiation measurements of at least one year which are taken over the preceding three years; After the pre-license application is accepted by Turkey s Energy Market Regulatory Authority (EMRA) for evaluation it is forwarded to TEİAŞ and/or relevant distribution company for a connection opinion. Solar power pre-license applications also need to receive a positive technical evaluation from the Renewable Energy General Administration under the Ministry of Energy and Natural Resources. In the event that there are several solar power pre-license applications for the same connection capacity and/or piece of land, TEİAŞ shall organize tenders to determine which power plant will be granted a pre-license. The applicant, who bids the highest contribution fee per MW, wins the tender. This fee shall be paid to TEİAŞ in three annual installments following the preliminary acceptance of the facilities.

21 Solar Power License-exempt solar power projects Power Market Law No specifies some power plants as exempt from the licensing and company establishment requirement. Two types of facilities are relevant for our purposes: Renewable energy facilities with an established capacity not exceeding 1 MW. Renewable energy facilities with 100% self-consumption, i.e. no supply to the transmission or distribution grid. The Regulation on License-Exempt Power Generation, published in the Official Gazette on 2 October 2013, introduces the concept of a consumption facility. According to the regulation, the capacity of the license-exempt generation facility or facilities established for each consumption facility may not exceed 1 MW. The developers of the projects fulfilling the requirements to be license-exempt file an application directly to the system operator (TEİAŞ or distribution company) for system connection.

22 Solar Power The application should include the title deeds or lease or easement agreement for the land. At this point, please note that the legal status of the roof and whether the roof can be leased to a thirdparty is unclear. The system operator may recommend an alternative connection point for applications, in case the suggested connection point is deemed unavailable. Those applicants granted with a positive connection opinion from the system operator further need to obtain a project approval from the Turkish Electricity Distribution Company (TEDAS). The technical acceptance procedures of the project are also carried out by TEDAS. Additional permits are required from the local authorities, such as those certifying the structural safety of the facility.

23 Tenders What s next? Going over the applications made by prospective investors, EMRA will launch the tender for two provinces in May. Aiming to build a capacity of 600 megawatts utilizing solar power, the strong investor interest in Turkey s solar potential necessitates a tender process to grant investors a license to build and operate photovoltaic power plants in certain locations. Having completed site surveys and feasilibility studies in designated areas, nearly 500 companies have applied for solar energy generation licenses of up to 7.8 gigawatts since last year, reaching a total project value of EUR 15 billion.

24 Tenders Recent Tender German system integrator Belectric s Turkish joint venture has secured its first tenders in the country after gaining approval for two large-scale ground-mounted solar projects from TEİAŞ. Belectric Kuloğlu has successfully tendered for projects which will have a combined AC connection capacity of 32.4MW 14% of the total capacity tendered in the bidding round and the company said it intends to compete for further tender requests from TEIAŞ in the coming months. The JV has partnered with domestic groups Gün Güneş Enerjisi Elektrik Üretim San. Ve Tic. A.Ş. and Ra Güneş Enerjisi Elektrik Üretim San. Ve Tic. A.Ş for the tenders.
