In 2003 he sold his business and started two innovative projects, the Groasis Waterboxx ( and Flowersonline. In 2010 he was awarded the Popular Science Best of 2010 innovation, beating famous Fortune 500 companies like Apple (who became second with the ipad), Porsche and Philips. Wilfred de Wit, Founding Partner, Flowersonline Wilfred is leading our innovation and implementation department and has nearly 25 years experience in the cut flower industry. He grew up in Holland where his father had a nursery (growing gladiolus, iris and lilies). After he finished his studies in Economics he left Holland and spent several years working for cut flower companies in the USA, Ecuador and the Netherlands, where he had a multitude of operational, commercial and managerial roles. In 1998 he started his own business, growing and selling bulbs and cut flowers, which he sold in Wilfred firmly believes that the internet can transform the sales and marketing of cut flowers, and help growers and wholesalers grow their business and survive in the fast-changing environment.

4 For growers there is a set-up fee of USD 2,500, but growers who are invited by our wholesalers are exempt. Flower growers and wholesalers only pay a small fee when a transaction has been done. This small transaction fee is invoiced over the value of each sold box according to this schedule: Transaction value Flowersonline's charge regular order 1.5% standing order 1% wholesale cooler inventory 0.5% At the end of each month you will receive a detailed statement with all the transactions per day/ customer. On the 3 rd of the month you will receive your invoice through PayPal.

5 Private Market Place Private Market Place is a 100% neutral flower trading platform between flower growers and their wholesaler clients working in the cloud. It organizes and exchanges information about pricing and availability, executes orders and much more. The flower grower can invite unlimited number of wholesalers to purchase from his inventory, in every country worldwide. The system is time-zone proof and available in 9 languages. The wholesaler can invite unlimited flower growers to offer in his Private Market Place, from every country worldwide. The Private Market Place is not public. It is only open for invited participants. Florist Retail Direct Florist Retail Direct is a 100% neutral flower trading shopping cart between wholesalers and their retailers, wedding and/ or event planners or other clients working in the cloud. It organizes and exchanges information on pricing and availability, executes orders and much more. The wholesaler can invite unlimited number of customers to buy from his inventory, in every country worldwide. The system is time-zone proof. The shopping cart is not public; it is only open for the customers that the wholesaler invites. Buying can be done online or thru an easy smart phone app. Two software programs combined A wholesaler can buy (automatically) via Private Market Place for his own cooler and can also connect Private Market Place to his shopping carts and have his customers buying, through him, from his suppliers. This model avoids the risk of unsold stock and leads to flower supplies that are 48 hours fresher. The reason is that the flowers travel directly from the farm to the final customer. For the flower supplier, it means that there will be fewer claims as flowers are always fresh when delivered to the final user. How Private Market Place works As a flower grower you invite all your wholesalers in your own Private Market Place. You can put your estimated inventory for a year ahead. So the system is capable of executing future sales. Each day/week you adjust the offer based on the crop that you have harvested. You can offer individualized prices per client and different cutting stages per market. The remarkable capacity of the Private Market Place is its calculation principle for the travelling time of the flowers. The wholesaler and his final clients do not buy on a Leaving Farm Date, but on the Arrival Date principle. This creates huge advantages for the wholesaler and his final clients, as they can source from, for instance; Ecuador, Thailand, Holland and South Africa based on arrival date of the flowers. At the same time the system is also capable of calculating the final C.I.F. arrival costs per stem/ bunch, to one tenth of a cent precisely, up to the door of the wholesaler and final customer.

6 Practice The flower grower invites unlimited wholesale clients to purchase from his inventory in Private Market Place. You can sell to your wholesalers in a fully automated process. The 9+ different languages allow you to sell worldwide and the fully automated administrative processes help your clients who have their businesses in other time zones or on the weekend. For instance, clients in Arabic countries who have their weekend on Thursday and Friday and are open on Saturday and Sunday again, can buy when your office is closed. Or all your Russian and European clients can buy when you are asleep and vice-versa. Your sales department can now focus on acquiring wholesale clients in each country of the world, instead of losing time adjusting administrative processes while selling flowers. The wholesaler can invite unlimited flower growers in his Private Market Place from each country of the world while seeing the arrival date of the flowers. This way you have all your offer combined in one inventory and can buy from there. The market place has 11 filters to sort the offer and accelerate the selection process. You can, for instance; select on variety, length, maximum price, country of production, etc. The market place is so handy that you can now do a buying process that used to take a full day for 2 purchases within an hour with one person. All kinds of handy tools make the work more efficient, like Autoalert or Autobuy when a favorite product is offered, Requests for More, Counter Bid instruments, etc. After the buying process, the transport process is automated also. With a small investment both the supplier and the wholesaler can automate the process of data exchange into their own administration. How Florist Retail Direct works This shopping cart system will run at the own domain name of the wholesaler. So as a wholesaler you don t lose your identity using it, as it is pointed to a sub domain (you can define the sub domain like shop yourself shop.yourcompanyname.com) with a fully integrated API. We can even customize the login screen to your own look and feel of your company. With the system, you can sell online to your retailers, wedding- & event planners and even to the mass markets. You can offer two kinds of stocks with it. You can show farm direct through your linked growers and you can include your own cooler inventory directly to your retailers. As an administrator you can add an individualized gross margin level for each retailer, set delays, additional freight cost and disable shipping days etc. etc. The shopping cart system has two payment gateways options (PayPal and Authorize.net) you can choose from. For wholesale direct shipping to retail clients we have integrated with UPS and FedEx (additional setup cost will apply). For the flower grower, the system offers fantastic opportunities. Your flowers are offered through your wholesale client directly to his clients. So the retailer, wedding or event planner gets the freshest quality which will lead to fewer claims caused by unsold stocks. Your wholesale client also has less risk of unsold stock, leading to fewer unsold flowers that have to be thrown away once they are too old to sell. Company branded app: For our wholesalers we have built a unique smartphone & tablet app (ios & Android versions) with the same functionality as the online version. This app will be branded with your own logo and company name. We charge a yearly service fee after 12 months of USD 149 per appstore. Multiple locations are entitled for a special rate.

7 Cutting edge We continuously develop and upgrade functions and modules in the Private Market Place and our shopping cart in order to stay on the cutting edge of technology. As our software is 100% in the cloud, you will have direct access to upgrades, without the need of either hardware or software change on your side. Interface: For the generalist: Flowersonline s software is able to communicate with each software system no matter how many suppliers of clients are connected and which software they work with. For the specialist: Flowersonline s API (Application Programming Interface) goes via SOAP 2.1 (Simple Object Access Protocol) or JSON (JavaScript Object Notation) which is WDSL (Web Services Description Language) based for full integration with each type of administration and software. 8 Some of Flowersonline s capacities Online inventory: Flower growers can upload three different inventory categories based upon cutting point, e.g. open cut roses to Russia and half open to USA, closed cut to Europe. It works online and in real-time until future sales up to one year in advance. You are able to select which inventory (based upon cutting point) each wholesaler has access to. Wholesalers can view all inventories of their flower growers online and in real-time. Different price levels: Flower growers can set different price levels for each of their individual wholesalers. Wholesalers can set different price levels for each of their individual retailers. Standing Orders: Both flower grower and wholesaler can add, edit, delete and put on hold Standing Orders in the system. Favorite Products: In Favorite Products wholesalers can add products that they need on a periodical basis. They can even request this as an Autobuy. Knowing their client needs. Flower growers can manage their inventory in such a way, that it matches the Autoalert or Autobuy from their wholesaler and hence sell more efficiently. Mixed boxes: A flower grower can specify the mix in the box by a % in colors or varieties. Combo boxes: A flower grower can combine popular products to less popular ones, and allow discounts for bought products. This will avoid cherry picking Claims: Complete claim process available in the system to handle claims including pictures of the product. Order Request (Autobuy): In Order Request the wholesaler can add products that have been asked for, but that are not offered by his suppliers. This way you can put your request worldwide within a second. Export price list: You can export the inventory and price lists to spreadsheets, individualize them per client and send them with individualized different price levels via . So via the FOL system, you can also send product and price offers to non FOL clients. Inventory upload in the warehouse: The flower grower can organize a separated uploading of inventory in the packing house as soon as a stock is packed. From that moment, the product is visible to all the wholesalers that you invited in the system worldwide. Logs: You can follow all actions done in your system: per user, per action. per time stamp. User role-based system: You are able to assign various levels of user rights per user, and filter confidential information that you do not want to share.

9 C.I.F. price calculation: Both flower grower and wholesaler are able to let the system calculate all transport costs and monitor logistics from the Point of Dispatch to the customer s door per stem. This way all parties can see two prices per stem: the F.O.B. costs when leaving and the C.I.F. costs of the stem when arriving. In combination with the shopping cart system, retail clients will view the prices landed to their door step. Eleven filters to select during the purchase process: The wholesaler can select on box type (with options like most efficient packaging/smallest pack/all possible packs offered by your flower growers)/ on Point of Dispatch / on flower grower / on country / on product / on variety / on length / on quality remarks / on stems / on unit price and on a free search field (to search for instance by color). Automatic currency exchange: The wholesaler can see the prices in his own requested currency. This means that if you are a flower grower and you have clients in 17 countries, then, each client can buy in his own time zone and in his own currency. Multilingual: Select English, Spanish, Russian and 6 other languages. PO number: Wholesalers are able to add a PO number to their purchases. The PO number will be displayed on the packing list, sales- & purchase orders and in change- & confirm orders. API: Application Programming Interface via JSON available for full integration with your own administration and software. Invoicing: The system can generate invoices automatically. Message board: All changes, updates and confirmations are sent online to the message board. Specials: Offer additional product for a lower price. This product will be posted on top of the buying page in the wholesale page as well in the shopping carts. Cooler Autosell: A tool what will automatically replenish your cooler inventory through pre-defined price limits and specific product specifications, after your customer have bought online from the cooler inventory. Labels: The system is able to generate labels for all sales orders including FloralGTIN code if activated

10 Implementation We have developed a week by week implementation guideline. One of our sales representatives will guide you and your Flowersonline manager through this complete process. The complete process from the moment you commit till you have your own clients buying online will take between 6 to 8 weeks.
