6 TERMS AND CONDITIONS 1. This agreement between yo (Cstomer) and Company (Harris Comfort) lasts 1 year from date of Company acceptance. It is atomatically renewed each year Cstomer meets its reqirements, nless either party gives the other written notice of the intention not to renew at least 0 days before expiration of the then-crrent term. No refnd or credit is allowed for early termination. 2. Eqipment is sbject to inspection and written approval before Company is bond to the Agreement. Any work Company determines is needed, to pt eqipment in condition for Company to initially be bond to this Agreement, is exclded from coverage nder this plan; and mst be contracted and paid in advance.. If the real estate containing eqipment applicable to this agreement is sold dring any term of the Agreement, Cstomer s rights are transferable if desired by prchaser; bt only with pre-closing reqest for and prior written consent of Company (not to be nreasonably withheld). In no other case can Cstomer assign or transfer this Agreement or any rights in it withot the prior written consent of Company; any attempt to do so withot sch consent voids or limits the coverage at Company s option. 4. This Agreement applies to major eqipment, in place as installed by Company, bt not anything else sch as: fixtres in which they are contained; hardware; trays; defrosting pans; block tin; dcts; plmbing; electrical wiring, casings; pans; defrost heaters; fel or lbricants; deterioration of hosing, castings, frames, or other items, de to corrosion. 5. This Agreement does not cover work needed in whole or in part becase of: Cstomer or third party abse or misse; fire, lightning, flood or other casalty; freezing; precipitation or moistre; other abnormal conditions; falty design, specifications, or installation; lack of maintenance; non-operation or malfnction of eqipment; delays, failres to service, navailability of parts, labor difficlties and other conditions beyond the control of Company; complying with any instrctions, directions, operating gidelines or warranties contained in any materials from any third party sch as a manfactrer, distribtor, vendor, or dealer; if the Cstomer or anyone acting for the Cstomer ses any heat sorce at the property in addition to that which is covered by the Service Plan; if the thermostat does not reflect actal conditions becase of vent or door closre or similar condct by or on behalf of the Cstomer. 6. Company alone decides how to correct a covered problem nder this agreement; it need not stock or obtain obsolete parts or those navailable throgh its ordinary sorces of spply. All material and labor costs becase a covered problem reqires obsolete parts or those navailable throgh its ordinary sorces of spply are payable, in advance, by Cstomer. Conditions making work nsafe for services by 1 worker reqire Cstomer paying for additional personnel at prevailing rates. 7. alified contractors, at Company s discretion, may be sed to do work for Company. 8. Cstomer mst promptly notify Company of any nsal operating conditions, inclding possible malfnction or failre, affecting any covered eqipment or any eqipment or system to which it connects. Company has a 24 hor/7 day a week answering service for any Cstomer notice not reqired in writing. 9. Cstomer shall not move, relocate, repair, replace or modify covered eqipment or any eqipment or system to which it connects, withot the prior written consent of Company. Unless Company nreasonably withholds sch consent, any sch condct voids or limits the coverage at Company s option. 10. Company need not frnish any eqipment, labor, or other services (inclding bt not limited to performing tests or pgrades) that are or may be recommended or reqired by any insrance company, governmental agency or athority, statte, reglation or other laws. 11. The standard of workmanship herender shall be that which is reasonable and cstomary in Company s indstry and service area. 12. Service Hors: This Agreement makes yo a Priority Cstomer, eligible for year-rond 24-hor coverage every day inclding holidays for emergency service. Normal working hors are Monday throgh Friday, 8:00 a.m. to 5:00 p.m. 1. The express warranty contained in this Agreement applies only to repair or replacement of covered eqipment, sbject to limitations and exclsions specified. COMPANY HEREBY DISCLAIMS ANY AND ALL OTHER WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, IN CONNECTION WITH ANY GOODS AND/ OR SERVICES TO BE PROVIDED TO CUSTOMER UNDER THIS AGREEMENT INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR COMFORMITY TO ANY REPRESENTATION OR DESCRIPTION. 14. Company shall not be responsible at all for incidental or conseqential damage or harm, interest, pnitive damages, attorney fees or cort costs, stattory damages (nless nwaivable) involving persons or property, whether to a Cstomer or third party, and whether based on negligence, breach of contract, reliance, estoppel, express or implied warranty, or any other legal theory. Company shall never be responsible for compensatory damages in excess of the amont actally paid to the Company for coverage nder this Agreement for the then-crrent term; and is responsible only p to the amont actally paid to the Company for coverage nder this Agreement for the then-crrent term when de solely to the prior negligence or breach of this Agreement by Company. 15. Payment Terms: All payments nder this Agreement shall be de when billed. Terms are net 0 days from the invoice date. In the event Company charges are not so paid when de, Cstomer mst pay a service charge of 1.5% monthly (an 18% Annal Percentage Rate), applied to Cstomer s average daily balance commencing from the beginning of the invoice date on any accont past de over 0 days. Company shall be entitled to recover from Cstomer any attorney fees or cort costs (whether or not taxable nder a Bill of Costs) that Company incrs in enforcing any of its rights nder this Agreement. If sch legal expenses are reqired for collection of money de Company, it is presmed a reasonable attorney fee shall be 1/ of the claim. Any payment noted or sbmitted as payment in fll or in release of claims shall constitte a payment on accont and not payment in fll or the release of any claims, nless Company shall consent thereto in writing. Cstomer mst pay a handling charge of $0 for any payment check dishonored. 16. This Agreement, if signed for Cstomer otside of Bcks Conty, Pennsylvania, shall not be binding nless approved at Company s headqarters in Bcks Conty, Pennsylvania. Both parties waive any right to a jry trial. Every dispte pertaining to this Agreement, if not involving a consmer, shall vest exclsively in the Bcks Conty, Pennsylvania corts. 17. By filling ot and signing the attached registration card and retrning it to Company, Cstomer agrees to all terms and conditions listed in this Agreement. Cstomer agrees that if there are any changes in coverage for renewals, the renewal terms shall govern. 18. No modifications, additions, changes or waivers apply to this Agreement except in writing, signed by all parties.
