The purpose of the Pla is to provide iterested ivestors with a simple, coveiet, ad affordable way to ivest fuds ad reivest divideds i shares of Best Buy Commo Stock at prevailig market prices with relatively low trasactioal costs. You will be asked to complete a olie Pla Erollmet Form, ad accept the Terms ad Coditios of Accout Access (a olie tool for maagig your accout over the Iteret); or You ca joi by completig ad sigig a Pla Erollmet Form, ad returig it to Computershare. Shares held i Street Name or Beeficial Owers If you are a beeficial ower of Best Buy Commo Stock havig your shares registered i the ame of a bak, broker or other omiee, you may joi the Pla by followig the istructios oted above for New Ivestors. Alteratively, you may begi by makig arragemets with the orgaizatio i whose ame your shares are registered to have the shares trasferred ito your ow ame. Oce the shares are registered i your ame, you may the joi the Pla by followig the istructios oted above for Registered Shareholders. 5. Whe ca I joi the Pla? Ay eligible ivestor ca joi the Pla at ay time. Purchases of shares with fuds from your iitial ivestmet ad ay additioal optioal cash ivestmets are usually made at least twice a week. If you choose to reivest divideds through the Pla, Computershare will begi to reivest your divideds automatically o the ext divided payable date after Computershare receives your authorizatio, so log as it is received o or before the record date for that divided. If your Iteret, telephoe, or writte authorizatio arrives after the record date, automatic divided reivestmet may ot begi util the ext divided paymet date. (a) Full Divided Reivestmet: If you select Full Divided Reivestmet, Computershare will apply all cash divideds paid o all shares of Best Buy Commo Stock credited to your Pla accout ad those registered i your ame i certificate ad/or book-etry form toward the purchase of additioal shares of Best Buy Commo Stock. The shares purchased with your reivested divideds will the be credited to your Pla accout. I additio, at ay time, you ca sed optioal cash ivestmets to Computershare to purchase additioal shares of Best Buy Commo Stock for your Pla accout. (b) Partial Divided Reivestmet: If you select Partial Divided Reivestmet, you will receive cash divideds o the umber of shares that you desigate from those credited to your Pla accout ad those registered i your ame i certificate ad/or book-etry form. Computershare eeds to receive your request o or before the record date for ay give divided paymet date i order for the requested chage to be effective for that divided. As a Pla participat, you ca deposit your Best Buy Commo Stock certificate(s) ito your Pla accout. To deposit your shares, you should sed the certificate(s) to Computershare, at the address provided i the Cotact Iformatio sectio, by registered or certified mail, with retur receipt requested, or some other form of traceable mail, ad properly isured. You should ot sig the certificate(s) or complete the assigmet sectio. 10 Purchases 10. How may shares of Best Buy Commo Stock will Computershare purchase for my Pla accout? If you become a participat i the Pla, the umber of shares Computershare will purchase for you depeds o the purchase price of Best Buy Commo Stock (see Item 12 of this Questios ad Aswers sectio), ad the total amout of your divideds (if applicable) ad/or optioal cash ivestmets (i ay form) that you submit, less applicable service fees ad processig fees. Your Pla accout will be credited with the actual umber of shares purchased, icludig fractios. 11. How does Computershare acquire Best Buy Commo Stock uder the Pla? Computershare uses your divideds ad/or optioal cash ivestmets, less applicable service fees ad processig fees, to purchase shares of Best Buy Commo Stock i the ope market through participatig brokers who act as the trade executio agets for the Pla. Your ivestmet fuds (divideds ad/or optioal cash ivestmets) will be combied with fuds of other purchasig participats. I additio, i the moths i which Best Buy pays a divided, divided fuds to be reivested may be combied with pedig optioal cash ivestmets ad a combied purchase order may be executed. I rare istaces, purchases may be delayed to meet temporary curtailmet or suspesio of tradig based o the actios of regulators ad market admiistrators or emergecy circumstaces affectig receipt ad executio of orders by brokers or market facilities. 12. At what price will Computershare purchase or sell shares of Best Buy Commo Stock uder the Pla? The purchase price per share for your ivestmet will be the weighted average price per share of all shares purchased i the ope market to fill the combied purchase order for the Pla ivestmets. The sale price per share for your shares sold will be the weighted average price per share of all shares sold i the ope market to fill the combied sale order for the Pla. I some istaces, fillig a purchase or sale order may require executio of multiple trades i the market ad may take more tha oe tradig day to complete. 7

11 You should be aware that the weighted average price per share of Best Buy Commo Stock purchased or sold by Computershare may be more or less tha the price per share of Best Buy Commo Stock at the time you request a purchase or sale. You should also be aware that you may ot be able to rescid istructios you submit to Computershare to purchase or sell your shares after you submit such istructios. Ay decisio cocerig a request for rescidmet will be made at the sole discretio of Computershare. Cash Ivestmets ad Automatic Deductios 13. What limitatios apply to the amout of my optioal cash ivestmets? If you are ot a registered shareholder of Best Buy Commo Stock, your iitial optioal cash ivestmet uder the Pla must be at least $ Whe joiig the Pla via the Iteret, you may fud your iitial cash ivestmet with a oe-time olie bak debit from your U.S. bak accout. Please refer to the olie cofirmatio for your accout debit date ad ivestmet date. All subsequet optioal cash ivestmets eed to be at least $50.00, subject to a aual maximum of $250, per accout. The aual maximum amout per accout is the aggregate of all your cash ivestmets except divided reivestmet. You may make subsequet optioal cash ivestmets via the Iteret by authorizig oe-time olie bak debits from your U.S. bak accout, though you may ot exceed the aual maximum of $250, per accout. Whe ivestig by check or by oe-time olie bak debit, you do ot eed to ivest the same amout each time ad you are uder o obligatio to make optioal cash ivestmets i ay moth or at ay particular time. Checks should be made payable to Computershare. Computershare will ot accept cash, traveler s checks, moey orders, or third party checks for optioal cash ivestmets. If you sed a check draw agaist a bak outside the Uited States, you eed to cotact the bak to cofirm that it ca give you a check payable i U.S. dollars that ca be cleared through a U.S. bak. 12 If you choose to make automatic deductios from your bak accout, you eed to authorize Computershare to deduct at least $50.00 from your U.S. bak accout each moth. It takes approximately 4 to 6 weeks from the time Computershare receives your authorizatio util your first deductio occurs. You may authorize automatic deductios by goig to ad completig the Authorizatio Form for Automatic Deductios. For ew ivestors makig their iitial purchase by automatic deductios, such periodic deductios eed to cotiue at least util the $ miimum iitial ivestmet is reached. Automatic deductios will cotiue at the level you set util you chage your istructio by otifyig Computershare. Frequecy 14. How ofte ca I sed optioal cash ivestmets, ad whe will Computershare purchase my shares? You may sed i optioal cash ivestmets as ofte as you wat. Computershare will ivest fuds at least twice a week as described below. Your ivestmet fuds must be received by Computershare at least two busiess days before the ivestmet date. If you choose to participate i automatic deductios from your bak accout, Computershare will hold your fuds for three bakig busiess days ad will make the ivestmet o the first ivestmet date thereafter. If Computershare is uable to process your ivestmet(s) withi thirty (30) days, Computershare will retur the fuds to you by check. No iterest will be paid o fuds held by Computershare pedig ivestmet. 9

Twice per moth: 1st ad/or 15th of the moth If the 1st or the 15th of the moth is ot a bakig busiess day, the the debit date will be the ext busiess day that is also a bakig day. Automatic ivestmet fuds will be held by Computershare for three bakig busiess days before they are ivested o the first ivestmet date thereafter. Divided Paymet Date If the divided paymet date does ot fall o a tradig day, the ivestmet date will be the ext tradig day. Purchases may cotiue o succeedig tradig days ecessary to complete the order. 10

14 Type of Trasactio Sales Typical Schedule Daily Your sale request will be delivered to the executig broker o the day it is received, assumig that day is a tradig day ad Computershare receives your request by 1:00 p.m. Easter Time o that tradig day. If ot received i time, your sale request will be delivered for executio o the ext tradig day. Writte sale requests are typically executed withi two busiess days after receipt. All sale requests havig a aticipated market value of $100, or more are expected to be submitted i writte form. I additio, all sale requests withi thirty (30) days of a address chage are expected to be submitted i writte form. Admiistratio 16. Who admiisters the Pla? Computershare Trust Compay, N.A. is the pla admiistrator. Computershare maitais participats records, seds statemets of Pla accouts to participats ad performs other duties relatig to the Pla. Computershare Shareholder Services, Ic. acts as service aget to Computershare Trust Compay, N.A. for some of these services. Best Buy does ot admiister ay part of the Pla. 11

15 Reports to Participats 17. What kid of reports will I receive regardig my participatio i the Pla? You will receive a statemet wheever there is activity affectig your Pla accout. The statemet will cofirm each trasactio, such as ay purchase, sale, trasfer, certificate deposit, certificate issuace, or divided reivestmet. Statemets will be set promptly followig each trasactio. These statemets are a record of your Pla accout activity showig your cumulative share positio ad the prices for your purchases ad sales of shares uder the Pla. The statemets will also show the amout of divideds reivested (if applicable) ad ay applicable fees charged for your respective trasactios durig the period. These statemets should be retaied for tax purposes. You may be charged a fee for duplicate statemets. As a registered shareholder, you will also receive copies of Best Buy Aual Reports, proxy statemets, otices of aual ad special meetigs, proxy cards, ad if applicable, divided icome ad other otices for tax reportig purposes. If you prefer, ad if the Best Buy materials are available olie, you may coset to receive such materials electroically over the Iteret. Istead of receivig materials through the mail, you will receive a electroic otice to your address of record otifyig you of the availability of Best Buy materials olie ad istructig you how to view ad act o them. Certificates for Shares 18. Will I be issued certificates for shares of Best Buy Commo Stock purchased uder the Pla? Shares of Best Buy Commo Stock purchased uder the Pla will be recorded i book-etry form i the ame of the respective participat. Each participat s share owership iterest will be recorded i a booketry Pla accout o Best Buy s shareholder records. 12

16 Uless you request them, Computershare will ot issue certificates for shares of Best Buy Commo Stock purchased uder the Pla. The umber of shares purchased for your Pla accout, as well as the umber of shares you deposit, will be show o your Pla accout statemet. Keepig shares i book-etry form rather tha i certificated form protects agaist loss, theft ad destructio of stock certificates. May shareholders retai their shares i book-etry form. You may request that Computershare issue physical certificates to you at ay time via the Iteret at or by callig the telephoe umber listed i the Cotact Iformatio sectio. After receipt of your request, the appropriate umber of shares will be issued i certificate form ad mailed to your address of record. If you withdraw all of your whole ad fractioal Pla shares, your participatio i the Pla will be termiated ad ay future divideds will be paid by check. At its discretio, Computershare also may close ay Pla accout that cotais less tha oe share of Best Buy Commo Stock. Ay fractioal share i your Pla accout will be sold subject to the fees as described i the Fee Schedule. A check for the sale proceeds less applicable fees will be mailed to your address of record. Computershare will sed the sale proceeds to you by check after your sale trasactio has settled. If your Pla accout icludes a fractioal share ad you request Computershare to sell all your Pla shares, Computershare will issue a check for the sale proceeds of each whole ad fractioal share sold less applicable fees as described i the Fee Schedule. Computershare will mail a check to your address of record for the et proceeds of the sale of your whole ad fractioal shares. 22. How do I chage the ame o my Pla accout, trasfer shares, or give as a gift shares i my Pla accout? You may chage the ame o your Pla accout, trasfer shares, or give as a gift shares i your Pla accout at ay time by completig a Trasfer of Owership Form. Trasfers may be made i book-etry or certificated form. Simply cotact Computershare to submit your request. To obtai istructios for trasferrig your shares, please follow the steps described below: k Dowload trasfer istructios from the Computershare website or call the telephoe umber listed i the Cotact Iformatio sectio ad request Computershare to sed you trasfer istructios ad the Trasfer of Owership Form. How will my Pla shares be voted at a meetig of shareholders? All shares of Best Buy Commo Stock credited to your Pla accout will be voted as you direct. If you have shares credited to your Pla accout o the record date for a meetig of shareholders, you will be set the proxy material for that meetig, either electroically or by mail, based o your preferece. Whe you submit your executed proxy, either electroically or by mail, all of your shares will be voted as directed by you. Participats will be otified of ay such suspesio, termiatio or modificatio i accordace with the Terms ad Coditios. Computershare also reserves the right to ed your participatio i the Pla at ay time. 27. How are the Pla materials ad the Terms ad Coditios to be iterpreted? The Tax Equity ad Fiscal Resposibility Act of 1982 imposes certai reportig obligatios o brokers ad other itermediaries. As a result, Computershare is required to report to the Iteral Reveue Service ad me ay sale of shares made o my behalf. 19. Computershare may, at its sole discretio, use a brokerdealer affiliated with Computershare to execute purchase or sale trasactios.
