The Program is available to all registered shareholders ad allows you to acquire additioal Johso & Johso shares i a systematic maer. The costs of brokerage commissios ad most admiistrative fees icurred i stock purchases are paid by Johso & Johso while you are a participat i the Program. The Program provides you with a coveiet ad iexpesive way to icrease your ivestmet. You eed oly be a registered holder of oe commo share to participate i this Program. Key features of the Program iclude the followig: k Registered shareholders are automatically eligible to participate i the Program. k You ca reivest divideds o your Johso & Johso commo stock i full or i part, or receive cash divided paymets by check or by direct deposit. k You ca build your ivestmet over time by makig additioal purchases periodically. The ivestmet amout ca be automatically deducted from your bak accout or you ca sed it by mail (the miimum ivestmet is $25 per trasactio). HOW THE PROGRAM WORKS The Program provides you with a additioal alterative to traditioal methods of buyig, holdig ad sellig Johso & Johso commo stock. The Program is govered by the terms ad coditios cotaied i this brochure. You ca purchase ad sell shares directly through the Program rather tha dealig with a broker. However, you ca sell your shares through a broker if you wish, subject to commissios ad fees you egotiate with your broker. Whe sellig through a broker, you must arrage for delivery of your shares. Eligibility Shareholders of Johso & Johso commo stock holdig stock certificates or shares i direct registratio book-etry form are automatically eligible to participate i the Program. If you hold your shares with a broker, you ca participate by istructig your broker to trasfer the shares ito your ame. Program services are available to ay shareholder of record, eve if you ow oly oe share. Statemets Wheever you purchase, sell or deposit shares through the Program, you will promptly receive a statemet with the details of the trasactio. All shares you hold or purchase through the Program are recorded i the same accout. After each divided reivestmet, you will receive a detailed statemet showig the amout of the latest divided reivested, the purchase price per share, the umber of shares purchased ad your total Program book-etry shares. 2

You Cotrol Your Shares Your Program shares are recorded i electroic registratio (also kow as ucertificated or booketry ) form. Just like ay certificated shares registered i your ame, your electroic registratio shares are your shares. You are the ower ad ejoy the same shareholder beefits as whe you hold certificates, without the risk of certificate theft, loss or misplacemet. You ca cotact Computershare to request a certificate, trasfer shares to aother perso or sell shares directly through the Program. ACCOUNT FEATURES Additioal Purchases If you wat to make a additioal share purchase, sed a check (miimum of $25) payable to Computershare Johso & Johso ad the trasactio form (supplied with each statemet) i the evelope provided. You may also make a additioal purchase i ay moth through the Iteret by goig to ad authorizig a oe-time olie bak debit (miimum of $25) from your U.S. bak accout. Please refer to the olie cofirmatio for your accout debit date ad ivestmet date. Cash paymets will be ivested oce a moth begiig o the 7th day of each moth i which o divided is payable. I the moths i which divideds are ordiarily paid, additioal cash paymets ad divideds will be ivested cocurretly begiig o the divided paymet date. Divideds are customarily paid o or about the first or secod Tuesday of March, Jue, September ad December. 3

6 Upo settlemet, Computershare will record your purchase ad credit your accout o Johso & Johso s stock trasfer books with the appropriate umber of full ad fractioal shares. All of your moey will be ivested, less ay applicable fees ad commissios. Computershare will ot accept cash, traveler s checks, moey orders, or third party checks for additioal cash ivestmets. If you sed a check draw agaist a bak outside the U.S., you eed to cotact the bak to cofirm that it ca give you a check payable i U.S. dollars that ca be cleared through a U.S. bak. I such istaces, the amout that is ivested will be the check amout less ay clearig fees ad Computershare fees. Computershare will accept oly checks that clear through a U.S. bak. Automatic Ivestmet Automatic ivestmet eables you to purchase additioal shares o a regular basis by pre-authorizig Computershare to electroically debit your checkig or savigs accout each moth (miimum of $25 per trasactio). This process permits you to make regular ivestmets, if you choose, i a amout ad o a schedule comfortable for you, without the icoveiece of writig or mailig checks. All of your moey will be ivested, less a ACH trasactio processig fee of $1. To iitiate automatic ivestmets, you must complete ad sig a Authorizatio Form for Automatic Deductios ad retur it to Computershare. Authorizatio forms will become effective as promptly as practicable; however, you should allow four to six weeks for your first ivestmet to be iitiated. Oce automatic deductios begi, fuds will be withdraw from your bak accout o the first busiess day of each moth ad ivested o the ext followig ivestmet date. Stock Certificate Deposit ad Withdrawal As a Program participat, you ca deposit your Johso & Johso commo stock certificate(s) ito your Program accout. To deposit your shares, you should sed the certificate(s) to Computershare, at the address appearig o page 17, by registered or certified mail, with retur receipt requested, or some other form of traceable mail, ad properly isured. You should ot sig the certificate(s) or complete the assigmet sectio. 4

Shares that you deposit will be credited i book-etry form to your Program accout. The advatages of holdig shares i book-etry form i the Program are protectio agaist certificate loss, theft, ad damage. Certificate withdrawal ca be made through the Iteret or by callig or writig Computershare. A certificate for the umber of full shares you specify will be mailed promptly. There is o cost to you for certificate deposit or withdrawal services. Sellig Shares You ca sell shares held through the Program i most cases by callig Computershare at or by accessig your accout at If you prefer, mail your request together with oe of the trasactio forms provided with each accout statemet. Certificated shares that are coverted to ucertificated shares ad credited to your accout ca be sold through the Program. Computershare will make every effort to process your sale order o the day it is received, provided that istructios are received before 1:00 p.m. U.S. Easter time o a busiess day durig which Computershare ad the relevat securities market are ope. The proceeds of the sale, less applicable fees ad commissios, will be set to you. All sale requests havig a aticipated market value of $100,000 or more are expected to be submitted i writte form. Full Divided Reivestmet Reivest the divideds o all of your shares of Johso & Johso commo stock. You may also purchase additioal shares of Johso & Johso commo stock through ay additioal cash paymets you choose to make, i varyig amouts from $25 per trasactio to a maximum of $50,000 per caledar year. 5

8 2. Partial Divided Reivestmet Receive divideds i cash o part of your shares of Johso & Johso commo stock ad reivest the divideds o the balace of your shares. Also, you may ivest additioal cash paymets i ay amout from $25 per trasactio up to a maximum of $50,000 per caledar year. 3. Cash Paymets Oly (No Divided Reivestmet) Ivest ay amout from $25 per trasactio up to a maximum of $50,000 per caledar year. Cash divideds will be paid to you by check or, at your electio, by direct deposit to your checkig or savigs accout at a U.S. bak or fiacial istitutio. To do this, you must first complete ad retur a Direct Deposit Authorizatio Form to Computershare alog with a copy of a voided blak check or savigs accout deposit slip. This form ca be specifically requested from Computershare by callig or obtaied olie at Gift Trasfers You ca give shares to others directly without requirig the issuace of stock certificates. After the trasfer is complete, the recipiet will receive a accout statemet showig the trasfer of those shares. Curret shareholders of record are automatically eligible to participate i the Program ad may start to use Program services immediately. The Program is desiged for idividuals who make their ow ivestmet decisios ad have a particular iterest i Johso & Johso commo stock. Participatio eables you to use the automatic divided reivestmet feature to acquire additioal shares of Johso & Johso commo stock. This Program offers a alterative to purchasig, holdig or sellig shares through brokers, allowig you to coduct these trasactios directly through the Program. Program trasactio fees, whe applicable, are geerally less tha traditioal brokerage fees ad commissios. 3. How do I get started i the Program? Gettig started is simple. Carefully read this brochure. As a shareholder, you ca participate i several ways. You ca: k sed your stock certificates to Computershare for coversio to ucertificated form ad credit to your accout, k sed a check to purchase additioal shares ($25 miimum), or sig up for automatic withdrawals, k reivest the divideds from some or all of your shares, eve shares you hold i certificate form, or k trasfer shares from your brokerage accout to your Program accout at Computershare. 7

There is o charge for covertig certificates to ucertificated shares or for withdrawig certificates. 5. What if I wat to buy additioal shares or sell shares I already ow? Cotact Computershare. You are resposible for ay icome taxes payable o your divideds, regardless of whether your divideds are paid i cash or reivested, or both. I additio, the Iteral Reveue Service has ruled that ay brokerage commissios paid by Johso & Johso o your behalf are to be treated as divided icome to you ad that such amouts paid for brokerage commissios ca be icluded i your cost basis of shares purchased. 12 TERMS AND CONDITIONS 1. The Program Admiistrator ad Trasfer Aget, Computershare Trust Compay, N.A. ( Computershare ), as aget for each holder ( Service User ) of Johso & Johso ( Johso & Johso ) commo stock participatig i the Ivestor Service ad Automatic Divided Reivestmet Program ( Program ), will i accordace with each Service User s authorizatio, icludig ay istructio ecessary to Computershare Ic., Service Aget: (a) accept certificates for coversio ito ucertificated shares ad credit to the registered ower s accout o the records of Johso & Johso; (b) apply all cash cotributios received from a eligible Service User, less ay applicable fees ad commissios, to the purchase of full ad fractioal shares (to three decimal places) of Johso & Johso commo stock for the Service User s accout; (c) either: (i) pay the Service User ay cash divideds payable o all or part of the shares Johso & Johso commo stock ow or hereafter registered i the Service User s ame i stock certificate form ad/or credited i ucertificated form to the Service User s accout, or (ii) apply all or part of ay cash divideds payable to the Service User to the purchase of additioal full ad fractioal shares; ad (d) accept orders to sell shares i accordace with the Program. 2. For the purpose of makig purchases, Computershare ca combie each Service User s fuds (divideds ad cash cotributios) with those of all other Service Users. Additioal cash paymets must be received oe busiess day prior to the 7th day of ay moth (or the ext busiess day if the 7th is ot a busiess day). Computershare will deposit such fuds promptly followig receipt i a accout maitaied at a bak chose by Computershare, which may be a affiliate of Computershare. For the purpose of makig purchases, Computershare will commigle each Service 10

13 User s fuds with those of all other holders of Johso & Johso who are Service Users i the Program. Computershare will make every effort to ivest cash cotributios it receives promptly, but i o evet later tha thirty (30) days after the 7th day of each moth (except where deferral is ecessary uder applicable federal or state laws or regulatios). Divideds will be reivested promptly followig receipt by Computershare, but i o evet later tha (30) days after receipt (except where deferral is ecessary uder applicable federal or state laws or regulatios). The price per share of stock purchased for each accout, whether purchased with cash cotributios or divideds, or both, shall be the weighted average price of all shares purchased by Computershare s broker for each aggregate order placed by Computershare. Computershare will record i ucertificated form i Service Users accouts all shares of stock purchased for Service Users, ad will establish ad maitai the Program accout records that reflect activity i each Service User s accout. 3. A Service User ca sell (or ca obtai a certificate or certificates for) all or part of the full shares of stock credited to his or her accout at ay time, upo request. Requests ca be made by telephoe, through the Iteret or i writig. For security reasos, telephoe trasactios will be recorded. All sales istructios received by Computershare will be processed promptly thereafter ad i o evet later tha five busiess days after the date o which the order is received (except where deferral is ecessary uder applicable federal or state laws or regulatios). Computershare will sed the Service User a check for the proceeds of the sale less applicable service fee ad brokerage commissio. If a Service User requests a certificate for all shares credited to his or her accout, a certificate will be issued for the full shares ad a cash paymet will be made for ay fractioal share based upo the the curret market price less ay service fee ad brokerage commissio. I every case, the price to each sellig Service User shall be the weighted average sale price obtaied by Computershare s broker for each aggregate order placed by Computershare. To maximize cost savigs, Computershare will make every effort to sell shares i roud lot trasactios. For this purpose, it ca combie each sellig Service User s shares with those of other 11

14 Service Users. All sale requests havig a aticipated market value of $100,000 or more are expected to be submitted i writig. All sale requests withi thirty (30) days of a address chage to a Service User s accout are expected to be submitted i writig. 4. Computershare will cause its broker to effect purchases ad sales o ay securities exchage where such shares are traded, i the over-the-couter market, or by egotiated trasactios, subject to such terms with respect to price, delivery, etc., as Computershare may agree. No iterest will be paid o ay cash received by Computershare ad held for Computershare at its bak pedig ivestmet. No Service User shall have ay authority or power to direct the time or price at which shares ca be purchased (or sold), or to select the broker or dealer through or from whom purchases (or sales) are to be made. Computershare will retur ay cash cotributio o request of the Service User, provided Computershare receives the Service User s telephoe or writte cacellatio of its purchase istructio ot less tha two busiess days before the purchase trasactio is to take place. The Service User will be charged a fee for retured checks ad failed automatic deductios due to isufficiet fuds. For processig certai purchase ad sale istructios submitted by a Service User, Computershare will receive compesatio accordig to the fee schedule quoted i this Shareholder Iformatio Brochure or i subsequet otices of fee chages. Fees are subject to chage at ay time, i accordace with Paragraph 12 of these Terms ad Coditios, upo writte otificatio to Service Users. 5. I the evet a Service User chooses to sed stock certificates to Computershare for deposit ito his or her Program accout, the Service User uderstads that he or she should sed the certificate(s) by certified or registered mail or private carrier, properly isured, with retur receipt requested. A Service User will sed the stock certificates to Computershare at the address listed o page 17 of this brochure. I additio, the Service User uderstads that he or she should ot edorse the certificate(s) or complete the assigmet sectio. 6. If a Service User has requested Computershare to reivest divideds, the Service User ca istruct 12

15 Computershare through the Iteret, by telephoe or i writig to discotiue reivestmet at ay time. To be effective for a give divided paymet, Computershare must receive otice before the record date for that divided. I additio, at ay time, Computershare may, for ay reaso i its sole discretio, discotiue a Service User s participatio i the Program with respect to the purchase of shares through reivestmet of divideds ad cash cotributios immediately upo mailig a otice to the Service User at the Service User s address of record o Johso & Johso s stock trasfer books as maitaied by Computershare. Upo issuig such otice, Computershare will promptly refud ay cash cotributios held pedig ivestmet. Computershare will cotiue to hold the Service User s shares i ucertificated form uless the Service User requests a certificate for ay full share(s) ad a check for ay fractioal share. The Service User ca also request the sale of all or part of ay such shares upo request to Computershare. Computershare will sed the Service User a check for the proceeds of the sale less applicable service fee ad brokerage commissio. 7. At ay time, Computershare may, for ay reaso i its sole discretio, refuse to execute ay Service User s trasactio requested via telephoe, Iteret or facsimile ad i its place require writte cofirmatio of such a trasactio request. 8. I the evet a otice to discotiue reivestmet of divideds is received or issued pursuat to Paragraph 6 o or after a divided record date for a accout whose divideds are to be reivested, Computershare i its sole discretio may either pay such divided i cash or reivest it i shares o behalf of the Service User. I the evet reivestmet is made, Computershare may sell the shares purchased ad remit the proceeds to the Service User less ay fee ad ay brokerage commissio. 9. Although Computershare will reivest divideds upo the Service User s request, the Service User remais resposible for ay icome taxes payable o such divideds. Divideds paid to Computershare o behalf of a Service User, ad ay brokerage commissios paid o each Service User s behalf by Johso & Johso, will be reported o Form DIV to the Iteral Reveue Service, a copy of which will be set to each such Service User. 13

16 10. A Service User will have the sole right to vote full shares credited to his or her accout by Computershare through the Program. 11. Ay stock divided or split shares of stock distributed o shares held by a Service User i stock certificate ad/or ucertificated form will be credited to the Service User s accout, provided that such stock is of the same type, class ad series as the stock held uder the Program. I the evet that rights are made available to subscribe to additioal shares, debetures or other securities, the full shares credited to a Service User s accout may be combied with other shares of the same class of stock registered i the ame of the Service User for purposes of calculatig the umber of rights to be issued to such Service User. 12. Neither Computershare or Johso & Johso shall be liable i coectio with the operatio of the Program for ay act doe i good faith or for ay good faith omissio to act icludig, without limitatio, ay claims for liability (1) arisig out of failure to cease reivestmet of divideds for a Service User s accout uder the Program upo the Service User s death prior to receipt of writte otice of death from a appropriate fiduciary, ad (2) with respect to the prices or times at which shares are purchased or sold for ay Service User s accout. Neither Computershare or Johso & Johso will have ay resposibility for the market value of shares maitaied o behalf of a Service User. Computershare ad Johso & Johso may to agree to amed or modify the provisios of this agreemet at ay time by mailig a copy of such amedmet or modificatio (that ca be icluded with periodic Johso & Johso mailigs to shareholders) to the Service User. Such amedmets or modificatios become effective thirty (30) days after the mailig, uless a differet time period is required by law. 13. The Tax Equity ad Fiscal Resposibility Act of 1982 imposes certai reportig obligatios upo brokers ad other middlema. As a result, Computershare is required to report to the Iteral Reveue Service ad the Service User ay sale of shares effected o behalf of a Service User. 14. Computershare may, i its sole discretio, use a broker-dealer affiliated with Computershare to execute purchase or sale trasactios. I that evet, the Service 14

17 User should recogize that brokerage commissios assessed i coectio with those trasactios will be paid to Computershare s affiliate. 15. Neither Computershare or Johso & Johso provides advice or makes recommedatios with respect to Johso & Johso commo stock or ay purchase or sale trasactio iitiated by a Service User. Ay decisio to purchase or sell Johso & Johso commo stock must be made by the idividual Service User based upo his or her ow research ad idepedet judgmet. 16. Computershare is a atioal limited purpose trust compay chartered uder the Natioal Bakig Act ad is a trasfer aget registered with the Comptroller of the Currecy of the Uited States pursuat to Sectio 17A of the Securities Exchage Act of The Program accouts ad securities are ot isured by the Federal Deposit Isurace Corporatio, the Securities Ivestor Protectio Corporatio, or similar agecy. 17. The Program ad the agecy agreemet betwee Computershare ad each Service User, icludig these Terms ad Coditios, shall be govered by the laws of the Commowealth of Massachusetts. The sigig ad mailig of the Erollmet Authorizatio Form or the iitiatio of a trasactio, icludig a certificate deposit, through the Program shall costitute a offer by a shareholder to establish a pricipal-agecy relatioship with Computershare. Acceptace shall occur i the offices of Computershare upo receipt by Computershare of such form or requests. 18. The Program is ot desiged for use by istitutioal ivestors or fiacial itermediaries. 15

18 The Ivestor Service ad Automatic Divided Reivestmet Program for Shareholders of Johso & Johso Miimum/Maximum Ivestmets, Fees ad Commissios Miimum ad Maximum Ivestmets k The miimum for additioal ivestmets by check or through the automatic ivestmet feature is $25 per trasactio. k Additioal ivestmets, icludig automatic ivestmets, are subject to a maximum aual amout of $50,000 per caledar year. Admiistrative Services Paid by Johso & Johso k Purchases with reivested divideds k Additioal purchases by check or oe-time olie bak debit k Certificate coversio/safekeepig k Issuace of stock certificates k Share trasfers ad gifts, by stock certificates or Program book-etry shares k Paymet of divideds by check ad direct deposit Fees ad Commissios Additioal Ivestmets by check or oe-time olie bak debit No charge to you. Johso & Johso pays ay applicable brokerage commissio ad trasactio processig fee. Automatic Ivestmets Each automatic ivestmet will etail a ACH trasactio processig fee of $1 which will be deducted from the purchase amout. Johso & Johso pays ay applicable brokerage commissio. Reivestmet of Divideds No charge to you. Johso & Johso pays ay applicable brokerage commissio ad trasactio processig fee whe you reivest all or part of your divided. Sale of Shares Each sale of shares will etail a trasactio processig fee of $15, plus a brokerage commissio, curretly 12 cets per share sold. The fee ad brokerage commissio will be deducted from the sale proceeds. 16
