ADVERTISING: (a) PURCHASER agrees to secure a produced radio spot from Bill Young Productions (tel: ) and this spot will be the official and exclusive radio ad for the show. Any exceptions to this provision must be approved by Ken Shepherd Management (tel: ). Send via facsimile to ( ) or via to ks@ksmgt.com. (b) PURCHASER agrees to use ARTIST's print ad mat as the official and exclusive ad mat for all print ads for this engagement. The ad mat may be obtained from Ken Shepherd Management (tel: ). Any exceptions to this provision must be approved by Management. (c) PURCHASER agrees that all marketing plans including radio and print ad schedules must be approved prior to on sale by Ken Shepherd Management (Tel: / Fax: ). (d) PURCHASER agrees that there will be no presenting radio station, corporate/business presenter or other advertised promotional partner without the written approval of Ken Shepherd Management. This applies to all engagement promotions and advertising, including radio ads or promotional mentions, print ads, flyers, posters, venue advertising or any other activity relating to this engagement. II. TICKETS: (a) PURCHASER agrees to use a licensed, bonded ticket company for the production of consecutively numbered engagement tickets, including complimentary tickets, and will provide a manifest to ARTIST Tour Manager at the time of load in on the day of show. (b) Any ticket giveaways or other complimentary ticket promotions must be approved at least fourteen (14) days in advance by Ken Shepherd Management. (c.) In the event of complimentary ticket giveaways being approved by Management, all hard complimentary tickets issued must be numbered and printed with the word "comp" or "complimentary" on each ticket. Complimentary tickets must be accounted for on the manifest. 1/15
2 (d) Any unauthorized ticket giveaways, i.e., not approved in advance by Ken Shepherd Management, will be the sole financial responsibility of the PURCHASER. (e) ARTIST reserves the right to secure up to fifty (50) complimentary tickets for the exclusive use of the ARTIST for this engagement. III. SETTLEMENT: (a) PURCHASER agrees to notify ARTIST Tour Manager, at the time of show advance, which will be responsible for conducting the PURCHASER's day of show settlement. If PURCHASER assigns an agent to be responsible for settlement, that agent must be present at the venue at the time of load in and be prepared at that time with specific information on advance ticket sales. (b) PURCHASER agrees that settlement with ARTIST Tour Manager, or other person as designated by Tour Manager, will be conducted prior to ARTIST going on stage. (c.) At settlement, PURCHASER, or PURCHASER's designated agent, will be expected to provide full and complete documentation and expense receipts for all engagement activities and expenses. This includes, but is not limited to, engagement deposit receipts, advertising schedules, receipts, and all day of show expenses. (d.) Balance of guarantee to be paid at least thirty (30) minutes before show time in the form of a cashiers check made payable to KWS On Tour, Inc. Federal Tax ID # (e.) Purchaser shall provide Producer with a written box-office statement (certified and signed by Purchaser) within one (1) hour following the Engagement. IV. STAGE REQUIREMENTS: (a) PURCHASER agrees to provide a safe, level and solid stage with minimum dimensions of forty (40) feet wide, twenty-four (24) feet deep and four (4) feet high, with a drum riser that is a minimum of eight (8) feet wide by eight (8) feet deep and one (1) foot high. Drum riser must be carpeted, skirted. Rolling risers must have locking wheels. Riser must be a Professional style riser. No Milk Crates or Blocks. 2/15
3 (b) Purchaser agrees to provide a way to hang Artist s back-drop (dimensions are12 x 20). (c) For outdoor performances, PURCHASER agrees to provide a self supporting, waterproof stage cover that has a clearance of eighteen (18) feet from the top of the stage. Tarps or plastic sheets with tie down material are required to cover equipment in case of rain. (c) Purchaser agrees to provide a fourteen (14) by fourteen (14) tent on immediate stage left. This tent will be used exclusively for the KWS tech crew. The area must be clean, secured, and available at designated load-in time. V. LOADERS AND STAGEHANDS: (a) At the designated load in time, PURCHASER agrees to ensure that a minimum of six (6) loaders and stagehands be present and available to unload and move ARTIST's equipment at the exclusive direction of ARTIST Tour Manager and/or ARTIST Production Manager. These stagehands will also need to be available for set change(s). (b) Six (6) loaders and stagehands must be present to strike and load ARTIST's equipment at the completion of engagement. (c.) Loaders and stagehands may not also double as show security personnel, bar tenders or other serving staff. (d) It is imperative that all members of the working crew remain sober and with a clear mind. Purchaser agrees to replace any worker deemed impaired by Artist production manager without any additional show cost incurred. VI. SOUND CHECK (a) At the time designated by ARTIST Tour Manager, ARTIST will sound check and will have sole and exclusive control of the stage, backstage, and all sound / light production for as long as is reasonably necessary to ensure the highest quality performance. (b) ARTIST reserves the right to clear the hall and/or remove any persons it deems necessary during ARTIST sound check. (c) Upon setting the stage and completion of ARTIST sound check, ARTIST backline will not move. Support acts may set up in front of 3/15
4 ARTIST backline at the direction of ARTIST Tour Manager and/or Production Manager. VII. RUNNER/GROUND TRANPORTATION (a) PURCHASER agrees to provide a runner for the primary use of the ARTIST from load in until load out, or as otherwise directed by ARTIST Tour Manager. (b) The runner must be driving a clean, well-maintained van, SUV or other large multi-passenger vehicle and have a good general knowledge of the area (restaurants, hotels, shopping, gyms, etc.). Two door cars and pickup trucks are unacceptable. (c.) The runner must possess a valid driver's license and proof of automobile insurance. VIII. SOUND SYSTEM 1. PURCHASER AGREES to provide the ARTIST with a complete high quality sound system provided by a professional sound company. The PURCHASER should specifically address this system with ARTIST Production Manager and/or Tour Manager three (3) weeks prior to the engagement date. In the event that ARTIST provides its own monitor console for its sole and exclusive use, PURCHASER will still provide a complete monitor system for the ARTIST and any opening act(s). The sound system for this engagement must meet the following specifications: (a) At least a four (4) or five (5) way system capable of sustaining a minimum one hundred fifteen (115) db window of 20/20,000 hertz at seventy five (75) feet from the performance area down stage edge. This system must be distortion- free. (b) All necessary amps, speaker enclosures, snakes, consoles and processing. Please No Turbo Sound, JBL HLA, Peavey, Apogee or homemade speaker enclosures. (c) All necessary microphones, stands, cables and audio interface. (d) All necessary power distribution for the entire system. A minimum of eight (8) quad boxes will be required for the ARTIST performance area. (e) For outdoor venues and amphitheatrers ample delay stacks are required. 4/15
5 2. One (1) Forty Eight (48) Channel Front of House Console. Must meet the following specification. (MIDAS, YAMAHA, GAMBLE, or Soundcraft 5000 only!) (a) At least Eight (8) VCA Groups (b) 100 hertz high pass filter on every channel (c) 20 to 30 db pad on every channel (d) At least six (6) pre/post switchable auxiliaries on each channel (e) At least a four (4) band EQ with sweepable cue on each channel (f) Phantom power on each channel At least three (3) working console little lites EVERYTHING ON THIS CONSOLE MUST WORK! Absolutely NO MACKIE, PEAVEY, or any other consumer line consoles. 3. Front of house outboard effects must meet the following specifications: (a) One (1) Professional Stereo EQ (KT, BSS) (b) Eight (8) channels of gates (DRAWNER, BSS) (c) Ten (10) channels of insertable compression (dbx, BSS, Drawmer) (d) Three (3) reverb units (Yamaha, TC, Lexicon) (e) One (1) digital delay (Roland, TC) Must do 800 Mil (f) One (1) Professional C.D. Player (g) One (1) Professional DAT Player/Recorder (Set up to Record) (h) One (1) Eventide H-3000 or Compatible 4. Onstage Monitor console must meet the following specifications (a) One (1) forty eight (48) channel monitor console with at least ten (10) Group outputs. (MIDAS, RAMSA, YAMAHA) (b) Twelve (12) patchable EQs (KT, BSS, etc.) (c) One (1) Professional reverb unit (d) Ten (10) bi-amped 15 x 2 or double 15 x 2 floor wedges. (EAW, MEYER, CLAIR BROTHERS) (e) One (1) tri-amped Full Range DrumFill. 20/20,000 hertz capability. (EAW, MEYER, CLAIR BROTHERS) 5/15
6 (g) Two (2) Tri-amped Full Range SideFills. 20/20,000 hertz capability (EAW, MEYER, CLAIR BROTHERS) (h) All necessary amps, cabling and hardware 5. Two Shure PSM-600 or PSM-700 with paddles and a Shure UHF (or better) wireless mic with a Beta 58 capsule 6. Two Shure PSM Personal Monitor Systems (two receivers, two packs) 7. In the event of an Outdoor or Open Sided Performance Area The PURCHASER will provide at no cost to the ARTIST the following. (a) Two (2) 14 x 14 covered Tech areas One off stage left and the other off stage right. (b) Eight (8) 12 x 12 water resistant tarps with tie down material. IX. BACKLINE: BACKLINE IS REQUIRED FOR EVERY ENGAGEMENT UNLESS OTHERWISE ADVANCED WITH ARTIST MANAGEMENT. The provided backline must be unloaded and ready for use at the time of ARTIST load in. The provided backline shall be for the sole use of Artist. 1. Two (2) blackface Vibroverb (1964 reissue) One (1) Fender Twin Reverb Guitar Amps Pre-CBS models or reissues only (contact Management if unavailable) Electro-Voice (EV) 12-L speakers are preferred Amps must be in very good working condition and have new tubes. 8 Note: This equipment Must be Onsite and accessible at the designated K.W.S load in time. This Equipment package should contain all necessary cables and Hardware. X. FOH & MONITOR ENGINEER: PURCHASER agrees to provide a front of house and monitor engineer at no cost to the ARTIST for each show in its entirety. XI. LIGHTING REQUIREMENTS: 1. PURCHASER agrees to provide a complete concert system consisting of the following: (a) Minimum of one hundred twenty (120) one thousand (1,000) watt color cans with Crowd lights/molephase (b) Two (2) follow spotlights. (c.) A competent lighting engineer. (d) Two (2) competent spotlight operators. (f) Seventy Two (72) channel programmable DMX console (AVOLITES, LP 2000) (g) One (1) Complete CLEAR-COM system with Four (4) double muff Headsets and Belt Packs and one (1) single muff Headset for Lighting Director. 2. ARTIST Lighting Designer will provide direction on gel colors and overall light production. XII. STAGE FANS:. PURCHASER agrees to provide at least three (3) large electric fans for use on the stage during ARTIST performance. XIII. POWER: 1. Purchaser agrees to provide adequate power for the sound and lighting system. Two separate power services are required. 2. If venue power is inadequate, as determined by ARTIST Tour Manager, PURCHASER is solely responsible for providing adequate generators. 8/15
9 3. Stage power required is five (5) x twenty (20) amp / one hundred twenty (120) volt AC quad boxes. XIV. PARKING: PURCHASER agrees to provide parking and shore power for one (1) forty-five (45) foot tour bus and fourteen (16) foot trailer, plus two additional vehicles in close proximity to the stage entrance. XV. INSURANCE: PURCHASER agrees to provide insurance covering the damage to or loss of musical and or/electronic equipment, road cases, and/or personal property of the band and crew. XVI. SECURITY: 1. PURCHASER agrees to provide adequate security for the engagement, including load in and load out. 2. A barricade will be provided. 3. Security personnel are to be at all backstage entrances and ARTIST dressing room from load in until load out. 4. During ARTIST's performance, security personnel are to be placed at both sides of the stage and the middle, all backstage entrances, at the front of house and lighting console, the ARTIST merchandising location, the ARTIST tour bus and/or any location deemed necessary by ARTIST Tour Manager. XVII. DRESSING ROOM:. PURCHASER agrees to provide one (1) large, clean dressing room for the exclusive use of the ARTIST with a full-length mirror, electrical outlets and clean bathrooms. XVIII. CATERING: I. The following items are to be in the ARTIST S dressing room by 2:00 PM (for an evening show) or as otherwise directed by ARTIST Tour Manager. All items to remain in original container or package. A. Twenty-four (24) bath size towels B. Sixty (60) bottles of spring water (12-16 ounces). No Evian Please C. Fresh vegetables (baby carrots, cucumbers, celery, etc.) D. One (1) container of Vegetable dip 9/15
10 E. Six (6) cans of SPRITE F. Six (6) cans of DIET COKE G. Six (6) cans of DIET SPRITE (Sprite Zero) H. Two (2) cans of Red Bull I. Two (2) large bags of ice and a large cooler to hold ice and drinks. J. One (1) roll of paper towels. K. Six (6) Vitamin Water (Fruit Punch and Grape Flavors preferred) L. One-half (1/2) gallon of 2% milk. M. Three (3) pizza s for after show. One (1) thin crust with double pepperoni, One (1) cheese pizza and One (1) Veggie Pizza. These Pizzas are to be delivered Fifteen (15) minutes before the end of KWS Set N. Ceasar salad (no croutons) for after show O. Buffalo wings for after show P. Large pitcher of Lipton (Regular) Iced Tea II. If your show takes place on a Monday, Wednesday, Friday, please provide the following. A. Eight (8) apples and eight (8) oranges one (1) bundle of bananas B. Thirty-six (36) Solo plastic cups (12 or 16 ounce) C. Twenty-four (24) paper plates D. One (1) small jar of Jiff creamy peanut butter and One (1) jar of jelly (grape or strawberry) E. One (1) can of Pringles regular potato chips F. One (1) pound of sliced turkey G. One (1) package of Kraft American cheese H. One (1) loaf of whole wheat bread I. One (1) package of Pita bread J. One (1) container of Hummus K. One (1) small jar of mayonnaise L. One (1) box of microwave popcorn M. One (1) gallon of Tropicana premium orange juice N. Two(2) bags of Thomas Plain Bagels O. One (1) Plastic Tub of Philadelphia Cream Cheese P. One(1) small tub of Butter Q. One (1) large vanilla yogurt (preferably with cream on top) III. If your show takes place on an Tuesday, Thursday, Saturday or Sunday, please provide the following A. One (1) bundle of bananas and one (1) bundle of grapes B. Twenty-four (24) sets of plastic utensils C. Twenty-four (24) hot cups D. Twenty-four (24) Plastic Bowls. E. One (1) bag of Tostitos chips F. One (1) jar of medium salsa 10/15
11 G. One (1) pound of sliced ham H. One (1) package of sliced Swiss cheese I. One (1) loaf of whole wheat bread J. One (1) small jar of mustard K. One (1) box of Nutri-Grain fat free granola bars L. One (1) bag of cashews (raw preferred) IV. A supply of hot coffee and tea, along with half and half, honey, Sweet & Low and Splenda and sugar should be made available at all times while the band is at the venue, including during the performance. V. PURCHASER will provide lunch for KWS crew. KWS Production Manager will provide an order from provided Local Sandwich shop Menus during the load in process. Buy out are not acceptable for lunch. VI. VII. Hot meals for up to thirteen (13) persons should be made available to the band and crew immediately following sound check. One (1) vegetarian meal must also be provided. A $20.00 (Twenty Dollars) per person meal buy out is also acceptable. PURCHASER agrees that no complimentary alcoholic beverages are to be provided by the PURCHASER and/or venue to the ARTIST (including band members and crew) or to any support act(s), including support act(s) crew. Alcoholic beverages are prohibited from all backstage areas, including dressing rooms, for this entire engagement. VIII. MERCHANDISE: PURCHASER will provide the KWS Merchandise Manager with a secure well lit area with appropriate tables and power in a high visibility, high traffic area. KWS Merchandise Manager will have the final say in deciding merch area. Coat rooms or booths are unacceptable. By signature below I affirm that I have read, understand and agree to the foregoing.
