2 I. Subject of the offer I./1. Purpose of the call for offer The Investor is a legal person who deals with producing alcohol and bioethanol. The Investor intends to take part in tender procedures financed from the budget of the Hungarian Republic and the European Union in order to build and develop a plant suitable for manufacturing bioethanol by using the support obtained. With present call for offer - in correspondence with the conditions hereof - the Investor is waiting for an offer with the purpose to establish a steam boiler (equipment producing steam), in order to - build the offer partly or in whole into his own bid, submit it to the organization inviting tenders, to bid in this way for the mentioned supports, and furthermore to - enter into a contract with the Offeror with the purpose of establishing a steam boiler (equipment producing steam) in case of obtaining the support. The Investor expressly declares that this call for offer shall not qualify as an offer, furthermore it shall not establish any validity period in any form and shall not oblige the Investor to use or accept Offeror s offer. I./2. The use of the offer The Investor undertakes to use the offer as a part of its bid without changes made to it and to use it solely for the purpose of participating successfully in the tender proceedings. The Investor is entitled to use the offer in accordance with the above-mentioned conditions, as a result of which the Offeror is obliged to give its unconditional expressed consent in the offer to the use of his offer by the Investor and to the submittal of its offer to third parties without any further consent of the Offeror. During the use of the offer, the Investor is not obliged to indicate the Offeror in his own tender documentation. After the arrival of its offer, the Offeror is not entitled to withdraw his unconditional consent to the use of its offer by the Investor. I./3. Validity period The Offeror is not entitled to withdraw its offer after arrival, it shall be bound by the offer for a period of 12 months. The Offeror is obliged to indicate the validity period specified above in its offer. The legal relationship aiming the establishment of a steam boiler (equipment producing steam) between the Investor and the Offeror establishes with the written acceptance of the Offeror s offer by the Investor, and with the mutual acceptance (signing) of the written contract aiming the above mentioned that will be put at the Offeror s disposal by the Investor. 2
3 II. Technical requirements and conditions of the offer II./1. General characteristics Steam boiler (equipment producing steam): - It makes 10,5 bar overpressurized saturated steam, and it uses vinasse and residue of grain (marc), the by-products of the ethanol production, as fuel material; - The boiler shall be able to burn the fuel materials stated above in alternative way and it shall be able to burn all kinds of ratio - The boiler steam capacity shall fit to the steam capacity based on the vinasse and residue of grain (marc) from the material yielding per hour [steam ton/hour] (accordingly the data in II./2.); - The boiler emission shall fulfil of the environmental protection requirements on the site. II./2. The composition and the yielding amount of the fuel material a) Vinasse Vinasse is the by-product of the ethanol production from molasses. It is a consistent brownish fluid material with changeable dry content. The Investor provides representative sample to the offer. Amount of the yielded vinasse: 8 ton/h with 50 % dry content, or rather with higher dry content less ton/h amount. 5 II./3. Scope of the offer Steam producing plant. Building works (Clearing, foundation, building construction) required for the erection. Transporting the fuel material from the points to be set out by the investor and loading it into the boiler. Feed water supply to the boiler through preheater from the limit of delivery. Removal of cinder and dust and transport to a discharge place. Dust filter. Chimney. Staff and qualification. Provision of pressurized air (if necessary) and electricity from the feed-in points to be given by the investor. Construction of a pump-station by the vinasse-tank for delivering the vinasse to the boiler. Construction of a transport line for delivering the marc to the boiler. Erection and commissioning the plant. Providing the establishment licence. Maintenance and handling instruction for the equipment. Training of the staff. Providing of the hand-over documentation. Hand-over procedure with the authorities and environmental inspectorate. II./4. The offer shall not contain the followings Providing uninterruptible power source (feed-in pump in case of outage, etc.). II./5. Limits The place of the construction shall be a place of the required size to be designated by the Investor, preferably part of the boiler building (see annex No.1: ground plan of the boiler house). Feed water: the flange of the main feed water pipe in the Investor s boiler house. Produced steam: the joining flange of the steam bar to be designated by the Investor. Electric energy: power supply connecting point to be provided by the Investor. Vinasse feeding point: suction flange of the pressurizing pump station beside of the m 3 vinassetank No.1. The feeding system shall be built from the two grain storage buffer tanks, which are on the first floor of the grain plant. 5

Parameters of feed water provided by the Investor The temperature of feed water: 105 o C Thermally degassed ph (25 o C): 8,5-9,5 Clean, free of soluted materials Total hardness: max. 0,05 nk degree O 2 concentration: max. 0,02 0,05 mg/l Fe concentration: max. 0,05 mg/l Bonded CO 2 : max. 20 mg/l Conductivity: max. 50 mikros/cm Permanganate number: max mg/l p-number: min. 0,1 mmol/l II./7. The parameters of the pressurized air provided by the Investor 6 bar overpressure air by preliminary agreement, with required capacity. II./8. Electricity provided by the Investor 0,4 kv, 50 Hz by preliminary agreement, with required capacity. II./9. Environmental regulations Emission standards of flue gas are the following: Solid material (dust) maximum 150 mg/m 3 CO maximum 250 mg/m 3 NO x maximum 650 mg/m 3, in case of burning of fluid maximum: 200 mg/m 3 SO 2 maximum 1000 mg/m 3 Non-burned organic matter, expressed in carbon maximum 50 mg/m 3 The reference O 2 content of the flue gas is 11%. II./10. Location Location: The boiler-house of Győr Distillery Co. Ltd., H-9027 Győr, Budai u. 7. 6
7 III. Other information regarding the offer: III./1. Pricing 1. The investment is to be realised within the frame of a lump sum contract, so the Offeror is not allowed to make an offer containing changing price, the Investor does not examine such offer. The net price is to be determined in a way that it shall contain all additional costs of the investment constituting the subject of the offer. III./2. Form of the offer, place and deadline for submission 1. The place for submission: Győr Distillery Co. Ltd., H-9027 Győr, Budai u. 7., CEO s secretariat. 2. The deadline for submission: The offer shall be submitted in printed or typed form, in size of A/4 with continuous numbering and be bind in one volume, without post-corrections. It shall have a table of contents. All the pages are to be signed, and the offer shall be duly signed by the authorised person signing on behalf of the company. III./3. Offer with alternative versions and partial offer 1. The Offeror shall submit its offer in the given subject and in correspondence to the requirements determined in this call for offer. 2. The Offeror is not entitled to make a partial offer or offer with alternative versions, the Investor does not examine such offers. 7
