The Total Rewards Program at Autodesk consists of the following: A highly competitive, market-driven, compensation program that includes base salary, variable pay, stock, and 401(k) Plan. A high-quality, comprehensive flexible benefits program that allows you to design your own benefits package to meet your specific health care and insurance needs, as well as gives you access to flexible spending accounts. Our compensation program which includes base salary, variable pay, stock, and 401(k) programs is designed to help us attract, retain, and motivate the best employees. Base Salary As an aggressive contender for talented employees around the world, Autodesk understands the importance of highly competitive base pay programs. Pay studies are conducted annually to make sure our base pay programs stay on the leading edge. In all locations, our intent is to pay our employees on par with companies identified as pay leaders. Variable Pay Programs Autodesk Incentive Program: Autodesk s annual incentive program is designed to reward achievement of individual and business unit objectives. As with any incentive plan, participation is not automatic, and all incentive payments are contingent on individual job performance and on Autodesk meeting its overall business and financial objectives. Autobucks: Autobucks are cash and non-cash bonuses awarded to individuals or teams. They are a way for managers to thank employees for notable results or a special effort. Non-cash awards are items of value given to employees which may include dinners, theater tickets, gift certificates, or trips. Stock Plans Stock Options: A stock option is the right to purchase Autodesk common stock at a set price on or after a certain date. Through our stock option programs, Autodesk may grant options to employees upon hire and periodically award stock options to select employees to recognize exceptional performance. Employee Stock Purchase Plan (ESPP): Our Employee Stock Purchase Plan provides eligible employees an opportunity to purchase Autodesk common stock at a discount, through payroll deductions. You can elect to contribute up to 15 percent of your eligible compensation toward the purchase of stock. You enroll in the plan on an offering date and purchase stock every six months as long as you remain in the plan. 401(k) Plan The Autodesk 401(k) Plan encourages you to accumulate savings for retirement through convenient pretax payroll deductions and generous company contributions. You are eligible to participate in Autodesk s 401(k) Plan on your date of hire. The 401(k) Plan offers a wide array of investment funds from which to choose, including cash reserves, mutual funds, and a brokerage option. Company Quarterly Contributions: Whether or not you contribute your own money to the plan, Autodesk contributes $125 to each eligible employee s 401(k) account every quarter. These company contributions vest immediately. Employee Pretax Contributions: Eligible employees may contribute up to 50 percent of compensation on a pretax basis, subject to the annual IRS limit. Your pretax contributions vest immediately. Company Matching Contributions: Autodesk matches 75 percent of the first $2,000 you contribute, and 50 percent of the next $3,000 you contribute. To receive the maximum annual company matching contribution of $3,000, you must contribute at least $5,000 during the plan year. Company matching contributions vest over a three-year period from the date of hire (onethird per year). We ll help with the healthy and wealthy. The wise is up to you. Who Is Eligible? You are eligible for Autodesk s flexible benefits program if you are a regular, active Autodesk employee on the U.S. payroll scheduled to work at least 20 hours a week. Other Autodesk programs may have different eligibility requirements. You may cover your eligible dependents, including your legal spouse or qualified domestic partner, and your eligible children on many of the benefit programs. The program does not cover independent contractors, consultants, interns, or temporary employees. A rewarding career and personal life depend in part on your continuing good health, future financial security, and peace of mind. That s why Autodesk offers a wide variety of high-quality health insurance plans, flexible spending accounts, and survivor and income protection plans as part of our flexible benefits program. This program allows you to choose the benefits and coverage levels that best meet your needs and those of your family. Using Your Credits Through the flexible benefits program, Autodesk provides credits to assist you with purchasing a comprehensive benefits package. Your amount of credits is based on your work status (full time or part time), age, salary, and enrolled dependents. If you design a benefits package that costs more than your credits, you pay the difference through payroll deductions. If your benefit elections cost less than your credits, you receive the difference as taxable income in your paycheck. Medical Options All of our medical plans cover visits to the doctor s office, hospitalization, emergencies, mental health care, and prescription drugs. The types of plans differ in their costs, coverage levels, and specific plan provisions. Depending on your geographic location, your choices may include the following: Preferred Provider Organization (PPO): A PPO Plan allows you to use any licensed provider but pays higher benefits when you stay in the PPO network. Health Maintenance Organization (HMO) or Exclusive Provider Organization (EPO): An HMO or EPO Plan provides a high level of benefits but requires you to use only HMO or EPO providers except in emergencies. Point of Service (POS): A POS Plan combines the best features of a PPO Plan and an HMO Plan by requiring you to select a primary care physician but allowing you the flexibility to see any provider. Vision Options Vision care benefits are automatically included with you and your dependents medical plan enrollment. Depending on which medical plan you select, you may have a choice of up to two vision plans. Dental Options Both of our dental options cover preventive, basic, and major care as well as orthodontia. The two options differ in their coverage levels and specific plan provisions. Your dental options include the following: Preferred Provider Organization (PPO): A dental PPO allows you to use any licensed dentist. However, dentists in the PPO network provide dental services according to a reduced fee schedule, thereby lowering your out-ofpocket costs. Dental Maintenance Organization (DMO): The DMO option provides a high level of benefits but requires you to use only DMO dentists. When you enroll, you select a dentist from the DMO network. Flexible Spending Accounts (FSAs) The FSA Plan allows you to pay for certain healthcare and dependent-care expenses on a tax-free basis. Employees must re-enroll in the FSA Plan during Open Enrollment to participate in the following plan year (January 1 December 31). You may enroll in one or both of the following: FSA Health Care: You may set aside pretax dollars to pay for eligible medical, dental, and vision expenses not covered by health insurance for you and your eligible dependents, up to a maximum amount per calendar year.
FSA Dependent Care: You may also set aside pretax dollars to pay for work-related dependent care expenses, such as licensed day care, up to a maximum of $5,000 per calendar year. Autodesk subsidizes 30 percent of your FSA Dependent Care election if your household income is less than the designated maximum for the plan year. Note: The IRS requires that any money you contribute to FSAs be used for expenses incurred during the plan year, plus any grace period if applicable, and that any remaining balance be forfeited. So estimate your expenses carefully if you enroll in the FSA Plan. Survivor Income Plans You can choose from a variety of life insurance and accidental death and dismemberment (AD&D) coverage amounts for yourself and your eligible dependents. Employee Life/AD&D Insurance: You are given enough credits to purchase the equivalent of your annual salary for both life insurance and AD&D coverage. You may choose from the following levels of coverage: $25,000, $50,000, or one to six times your annual salary up to a maximum of $1,250,000 each for life and AD&D coverage. You may elect different coverage amounts for life and AD&D insurance. Dependent Life/AD&D Insurance: You may elect Spouse/Partner Life, Children Life, and Spouse/Partner AD&D insurance coverage, which are offered in various amounts. If you elect Employee AD&D or Spouse/Partner AD&D and you have eligible children, you are automatically enrolled for $10,000 of Children AD&D coverage at no cost to you. Business Travel Accident Insurance: Autodesk automatically provides you with business travel accident insurance in the amount of two and one-half times your annual salary. There is an individual maximum death benefit of $500,000 (or $1,000,000 for Officers and VPs), an aggregate limit of $5,000,000, and also a prorated dismemberment benefit. Other travel benefits while traveling on company business include emergency medical evacuation, 24-hour worldwide assistance in legal or medical emergencies, and help with lost passports, tickets, and luggage. Income Protection Plans Sick Leave: It s important to take the time to get well when you re sick or injured. Autodesk does not strictly limit the number of sick days used because we trust you to use your sick leave responsibly. You receive normal pay and benefits while on sick leave, which we hope will contribute to your speedy recovery. If you are hospitalized or sick for eight or more continuous calendar days, you may be eligible to receive income protection while on medical leave. A medical leave, which must be certified by a doctor, consists of short-term disability (up to 90 calendar days) and long-term disability (longer than 90 calendar days). Medical Leave Short-Term Disability (STD): Autodesk supplements state disability benefits (if applicable), allowing you to continue to receive a total of 100 percent of your regular salary for up to 30 calendar days if you ve been employed at Autodesk for less than one year, or 90 calendar days if you ve been employed at Autodesk for one year or more. Medical Leave Long-Term Disability (LTD): If you are disabled for more than 90 calendar days, you may be eligible for LTD benefits. LTD benefits, along with any other disability benefits that you may receive, are coordinated to provide a total monthly benefit of 50 percent of your monthly predisability earnings (up to a maximum benefit of $11,250 per month) in the LTD Basic option, or 66 2/3 percent of your monthly predisability earnings (up to a maximum benefit of $15,000 per month) in the LTD Plus option. You are given enough credits to purchase the LTD Plus option. The LTD benefit may be nontaxable income if this option is elected. Open Enrollment Each year during Open Enrollment, you have the opportunity to reassess your needs and change your benefit choices. These benefits remain in effect for the next full year unless you have a qualifying change in status, like a marriage or birth. You then can make certain changes within 31 calendar days of your event.

That s why we offer several programs that can provide help when you need it, as well as services that just make life more convenient. That s why we offer the Autodesk Work/Life Options that have made us a leader in workplace innovation and employee satisfaction. Taking Time Off When you work as hard as we do at Autodesk, you need time to play, relax, and renew. Autodesk provides regular employees with paid time off to help you find that work/life balance. Sabbatical: Autodesk employees get a six-week paid sabbatical every four continuous years of full-time U.S. Autodesk employment. This is an opportunity to travel or spend quality time with your family and friends while getting welldeserved rest and relaxation. Holidays: In addition to observing the major holidays, we also get paid time off for the annual week of rest from Christmas Eve through New Year s Day. (Some departments may work during this week, but have alternate time off.) Vacation: Full-time employees accrue one day of vacation per month, up to a maximum balance of twenty-four days. Flexibility at Work At Autodesk, we provide you the flexibility and tools you need to be the most effective at getting your job done. Depending on your circumstances, you may be able to use some of the options under our Telework alternative officing program, including: Variable core work hours for when you start and end your workday Telecommuting Hoteling, which allows you to reserve a temporary workstation on an as-needed basis at an Autodesk facility Shared office space to supplement your telecommuting or traveling Employee Assistance Program (EAP) The EAP provides confidential personal assessment, counseling, and referral services to you and your eligible dependents at no cost to you. You and your eligible dependents may each receive up to five free counseling sessions per incident per calendar year. Counseling and referral services can assist with marital and family problems, alcohol/drug abuse, some legal issues, financial/credit concerns, stress and emotional problems, childand elder-care advice, as well as other issues. Under the personal assistance program, you can also get referrals to a comprehensive array of services and products such as household services, entertainment, shopping, and pet care. You can request educational care kits covering infancy and early childhood, nursing mothers, and elder care. Referral services and educational materials are available for help with prenatal planning, adoption preparation, childcare, school profiling, college and financial aid planning, elder care, managing work/life, financial planning, and health/wellness.
Adoption Assistance To help offset the costs of adopting a child, Autodesk reimburses up to $5,000 per child for eligible expenses not covered by other resources if you re an employee when the child is placed in your custody and when your child s adoption has been finalized. Other Optional Benefits Autodesk also offers several optional benefit programs to enable you to meet your specific personal needs. These programs are available nationwide and include: Group legal services Group long-term care insurance Group auto and home insurance Group pet insurance Transportation program Paid Volunteer Time Because Autodesk is committed to education and supporting the communities in which we live and work, with manager approval, full-time employees can take up to four hours per month of paid time to volunteer in schools or eligible nonprofit organizations. Charitable Contribution Matching Program You may request matching funds for charitable contributions to qualified educational and nonprofit institutions. Autodesk matches your contribution dollar for dollar from a minimum of $50 to a maximum of $500 per fiscal year, contingent on budget constraints. Eligible contributions include money, as well as Autodesk product donations. Supporting Community Involvement Autodesk applauds the time and resources our employees give back to their communities. We d like to help you maximize the value of your gifts by paying a portion of your volunteer time and matching your charitable contributions. Amenities Each Autodesk location has its own unique conveniences. At the company s San Rafael headquarters, employees have access to a full-service cafeteria, on-site dry-cleaning/laundry pick-up and delivery, ATMs from Patelco Credit Union, and a Club One fitness center. Employees based in other locations are eligible for a fitness center membership subsidy.
