Speaker Biographies Brian Blackwood, Towers Watson Brian Blackwood is a director and leader for the Executive Compensation practice of Towers Watson s Minneapolis office, and also covers related consulting activities for St. Louis and Kansas City. Brian has worked with a wide variety of leading public and private companies on executive and director compensation matters. He is the Central Division leader of Towers Watson s Executive Compensation Retail Industry Network. As such, he has a particular focus on the retail industry, consulting to both compensation committees and executive management teams on topics including effectively navigating governance issues, integrating business strategy in executive compensation arrangements and meeting shareholder alignment objectives. Brian s experience includes advising boards and management on executive compensation strategies and philosophies, short- and long-term incentive plan design, stock ownership strategies, incentive design and payout schedules, stock grant guidelines, corporate change in control, executive pay-level testing, financial analysis of incentive pay arrangements, long-term incentive valuation, executive perquisite programs, governance matters, shareholder relations specific to executive compensation and board of director compensation. He is a frequent speaker at HR and compensation associations in the Twin Cities. David F. Dyer, Chief Executive Officer, Chico s FAS David F. Dyer has been a director since 2007, and has been president and CEO since January 8, 2009. He is the former president and CEO of Tommy Hilfiger Corporation, where he served from August 2003 until his retirement in May 2006. David was retired from May 2006 until January 2009. Prior to joining Tommy Hilfiger Corporation, he served as president and CEO of Lands End from 1998 through 2002. From June 2002 until August 2003, he also served as executive vice president of Sears and a member of its management executive committee. In addition to his position as president and CEO of Lands End, his responsibilities included the Sears Direct businesses, both Internet and catalog, 1 towerswatson.com

and the Great Indoors Home division of Sears. David also previously served in various other roles at Lands End from 1989 to 1994, including as vice chairman and director from 1991 to 1994. He began his career with Burdines, a division of Federated Department Stores, and held various merchandising and marketing posts during his 17 years there. He later served as president and CEO of Home Shopping Network and was acting president of J. Crew Catalog from 1997 to 1998. David also currently serves on the board of directors for Zale Corporation. Previously, he served on the boards of directors of Advo, Inc. from 1997 to 2007 and Tommy Hilfiger Corporation from 2003 to 2006. Dana Furrow, Towers Watson Dana Furrow is a senior consultant in Towers Watson s compensation consulting practice with nearly 15 years of experience. She leads the Talent and Reward segment s Retail Industry Consulting Group for Towers Watson s East Division. Dana works with some of the company s largest retail clients, focusing on executive and broad-based populations. She works with her clients to review pay levels and mix of pay, the alignment of pay and performance, total compensation opportunity as well as short- and long-term incentive plan design. She also cohosts Towers Watson s Retail Affinity Group in New York that covers industryspecific issues regarding compensation and broad HR issues, and has been deeply involved in developing Towers Watson s Retail/Wholesale Compensation Survey. Eric Henken, Towers Watson Eric Henken is a consultant in Towers Watson s Atlanta Executive Compensation practice. He has seven years of compensation consulting experience on topics including competitive pay benchmarking, international compensation pay practices, annual and long-term incentive plan design, review of compensation trends and regulatory issues, creation of salary structures, merger and acquisition compensation integration, outside director remuneration review, pay-for-performance analysis, employment contracts and severance termination provisions. Eric serves on Towers Watson s national retail industry team, which develops intellectual capital and studies compensation trends in the retail industry. In addition to his work in the retail industry, he works with companies from a diverse mix of industries, company sizes and life-cycle stages. Eric has a dual bachelor of arts in economics and history from Emory University, and is a member of World@Work and the Atlanta Area Compensation Association. Eivind J. Kolemainen, Vice President, Compensation, Benefits and HRIS, Chico s FAS Eivind J. Kolemainen has over 25 years of multi-industry HR management experience in international and domestic compensation, benefits, employee and labor relations. He is vice president, compensation, benefits and HRIS for Chico s FAS, Inc. in Ft. Myers, FL, with responsibility for the design and administration of all corporate-wide compensation and benefit programs. Chico s FAS is a $2.6 billion specialty store retailer with four brands and over 1,400 stores. Prior to joining Chico s, in 2011, Mr. Kolemainen was the senior director, compensation, benefits and payroll for Shopko Stores Operating Co., LLC. in Green Bay, WI. Shopko is a $2 billion general merchandise, pharmacy and optical services retailer. Prior to Shopko, Mr. Kolemainen was the director, global rewards at St. Louis, MO-based Belden Inc. for 11 years. Belden is a $2 billion global manufacturer of signal transmission products for network infrastructures in industrial, enterprise and broadcast markets. Mr. Kolemainen is married with three children. Todd Lippincott, Towers Watson Todd Lippincott is a managing director based in New York and serves as Towers Watson s Executive Compensation (EC) leader for the U.S., Canada and Latin America. Through early 2011, he was based in Asia (Hong Kong) and was the leader of the company s EC business for Asia Pacific as well as its broader Talent and Rewards segment for North Asia (Greater China, Korea and Japan). Prior to his time in Asia, Todd was an EC and broader rewards consultant working for Towers Watson in Europe (based in Brussels) and the U.S. (based in Philadelphia). Todd advises boards and senior management teams on EC matters for clients in the U.S. and Asia. His clients range from major global to high-growth private organizations across a range of industries. While an expert in the area of EC, Todd often advises organizations across a wider range of strategic and HR issues, including: international expansion and globalization; M&A and other transactions, executing high-growth or turnaround strategies, and building performance-driven cultures. Todd earned a master s degree in government administration from the University of Pennsylvania. He also received a B.S. in economics with honors and a B.A. in international politics with honors from Penn State University. He is a member of Phi Beta Kappa. Todd is a regular contributor to conferences and publications on the topic of EC, and is quoted regularly on EC, governance and HR issues. Todd Manas, Towers Watson Todd Manas is a director in Towers Watson s Executive Compensation consulting practice and leader of the Talent and Reward segment s Retail Industry Consulting Group in the Americas; he has over 30 years of combined compensation consulting, HR practitioner and line management experience. Todd s career has focused on the design and administration of executive and broad-based compensation plans; he currently serves as the board advisor to many of our company s largest retail clients. Jason Martinek, Senior Director of Compensation, Best Buy Jason Martinek is currently the senior director of compensation for Best Buy. Best Buy Co., Inc. (NYSE: BBY) is the world s largest multichannel consumer electronics retailer, with stores in the U.S., Canada, China and Mexico, and 140,000 employees. Jason is responsible for the strategy and design of all compensation (base, incentive and equity) programs from line-level employees to the CEO. He has been with Best Buy Co., Inc. since 2004. Prior to Best Buy, Jason spent his early career engaged in academic and policy research at Washington University in St. Louis and the Federal Reserve Bank of Kansas City. Jason has an A.M. degree from Washington University in St. Louis and an M.B.A. from the Kelley School of Business at Indiana University. 5 towerswatson.com

Charles Montreuil, Vice President, Rewards, Best Buy Charlie Montreuil joined Best Buy in 2008 as vice president, human resources enterprise rewards. In his current role, he oversees the monetary and nonmonetary components of the company s total rewards programs. The portfolio includes compensation, benefits, work/life and recognition. Prior to joining Best Buy, Montreuil was the vice president of corporate human resources and total rewards for Carlson Companies. His leadership in helping Carlson achieve its vision of being a great place for great people to do great work earned him a Chairman s Special Achievement award, Carlson s highest career-recognition honor. In 2003, Montreuil attained certification as a senior professional in HR from the Human Resources Certification Institute and his master s degree in human resources and industrial relations from the Carlson School of Management. Montreuil also holds an undergraduate degree in criminal justice studies, summa cum laude, from St. Cloud State University and a law degree from William Mitchell College of Law. Shankar Raman, Towers Watson Shankar Raman is a consulting director with Towers Watson s Talent and Rewards segment. He has close to 20 years of experience helping organizations around the world improve performance and accelerate growth through more effective strategy execution and capability development. An expert at navigating the intersection of strategy, organization, HR and leadership, he is passionate about helping organizations deal with the challenges associated with performance, growth and transformation, and the complex change associated with them. Examples of his work include leading a global HR transformation project for one of the world s leading electronics retailers; helping a global specialty retailer improve the effectiveness and efficiency of its organization design, and improve SGA performance; helping a leading telecom services provider develop a human capital plan to improve productivity by 20%; and helping a Fortune 50 energy company transform its operating and safety performance. 6 towerswatson.com

Shankar is also involved in research, speaking and writing. He contributed as a researcher and reviewer to a well-received book, Higher Ambition: How Great Leaders Create Economic and Social Value by Beer, Eisenstat, Foote, Norrgren and Fredberg, published by Harvard Business Review Press in 2011. Shankar has a master s degree in management from Stanford University s Graduate School of Business and multiple degrees in economics from top colleges in India. Josh Steinfeld, Towers Watson Josh Steinfeld is a senior consultant in Executive Compensation. He is based in Towers Watson s Chicago office. His areas of expertise include compensation strategy, short- and long-term incentives (traditional and alternative delivery vehicles), executive contracts and severance arrangements. Josh also assists clients in the development of executive compensation strategies for management and the board that create alignment with corporate goals. Josh is the Central Division leader of the practice s North American Governance team and has also served as an issue leader for Towers Watson s Proxy Disclosure Services. He works with a number of different companies across of variety of industries, including financial services, defense, manufacturing and health care. Josh graduated cum laude from Washington University in St. Louis with a B.A. in economics. Sara K. Stensrud, Chief Human Resources Officer, Chico s FAS Sara K. Stensrud joined the company in July 2010 and leads talent acquisition, learning and development, associate engagement and relations along with compensation, benefits and HRIS for the women s specialty retail family of brands. She is a native of California and currently lives in Fort Myers with her husband and 12-year-old daughter. Sara is an advocate for adventure and wellness. She loves to run every morning with her Springer Spaniel, Coco, and bike on the weekends with her daughter, Samantha, exploring the beautiful land and seascapes of Southwest Florida. Beth Wright, Towers Watson Beth Wright is a senior consultant in Towers Watson s Executive Compensation practice in the Seattle office. She has over 20 years of corporate HR and consulting experience and has worked with clients in a variety of industries in both private and publicly traded organizations. Before returning to Towers Watson, Beth led the compensation, benefits and HR operations functions at Recreational Equipment, Inc., one of the leading U.S. retailers and 100 best employers. Her work focuses on helping clients design pay and benefit programs that support a company s business strategy and drive employee engagement. She has helped clients design, administer and measure the effectiveness of companywide HR programs. Her areas of focus include development of total rewards strategies, executive market analyses and organizational leveling, short- and long-term incentive plan design and implementation, special retention programs, salary administration (including base salary structures), merit pay and step rate increases.
