Crestron Fusion Version 9.3 Enterprise Management Platform Enterprise Management Platform: Crestron Fusion Version 9.3 Introduction This document is provided as an aid to the installation of Crestron Fusion Version 9.3 Enterprise Management Platform software. Refer to the Crestron website for release notes on the features and fixes added to the latest software release of Fusion RV and Fusion EM. For information regarding best practices for using Crestron Fusion 9.3, refer to the Crestron Fusion Remote Asset Management Software Best Practices Guide (Doc. 7517) at www.crestron.com/manuals. Prerequisites The software or software components described in this section must be installed and available to the system where Crestron Fusion services are to be installed. Crestron Fusion, or parts of Crestron Fusion, must have access to these applications or components either directly or over a network. Be sure that all of the latest updates for these applications are also installed. Prerequisites for a successful Crestron Fusion installation are discussed in this section. NOTE: This guide assumes that the installer possesses a thorough knowledge of Microsoft Windows Server 2008 or Microsoft Windows Server 2008 R2 and that the chosen Windows Server is correctly installed. Operating System Requirements Crestron Fusion supports the following operating systems: Microsoft Windows Server 2008 (32 or 64-bit version) Microsoft Windows Server 2008 R2 (64-bit version) Installation Guide DOC. 7462B Enterprise Management Platform: Crestron Fusion Version 9.3 1

Enterprise Management Platform Crestron Fusion Version 9.3 Operating System Component Requirements Both Windows Server 2008 and Windows Server 2008 R2 require the following applications be present on the server on which Crestron Fusion components are installed: Application Server Role including the following Application Server Role Services: Web Server (IIS) support COM+ Network Access Windows Process Activation Service Support, including HTTP Activation, Message Queuing Activation, TCP Activation, and Named Pipes Activation.NET Framework 4.0 or greater, including WCF Activation, HTTP Activation, and Non-HTTP Activation Active Directory Lightweight Services (required for Lookup Room Alias feature) The Web Server (IIS) Role with the Web Server Role Service must include the following: Common HTTP features, including Static Content, Default Document, Directory Browsing, HTTP Errors, and HTTP Redirection Application Development including ASP.NET,.NET Extensibility, ISAPI Extensions, and ISAPI Filters Health and Diagnostics including HTTP Logging, Logging Tools, Request Monitor, and Tracing Security with Basic Authentication, Windows Authentication, Digest Authentication, Client Certificate Mapping Authentication, IIS Certificate Mapping Authentication, URL Authorization, Request Filtering, and IP and Domain Restrictions Performance with Static and Dynamic Content Compression Management Tools including Management Console, Management Scripts and Tools, Management Service, Management Compatibility, Metabase Compatibility, WMI Compatibility, Scripting Tools, and Management Console The following features must be installed: Remote Server Administration Tools including Role Administration Tools with Active Directory Domain Services, Active Directory Lightweight Directory Services (AD LDS), AD LDS Snap-ins, Command-Line Tools, Active Directory module for Windows PowerShell, and Web Server Tools RPC over HTTP Proxy Message Queuing including Message Queuing Service, Message Queuing Server with HTTP Support Feature Administration Tools including SMTP Server Tools SMTP Server Windows Process Activation Service including Process Model,.NET Environment, and Configuration APIs 2 Enterprise Management Platform: Crestron Fusion Version 9.3 Installation Guide DOC. 7462B

Crestron Fusion Version 9.3 Enterprise Management Platform Microsoft.NET Runtime Environment 4.0 or later for Server 2008, or.net Runtime Environment 4.0 for Server 2008 R2 Microsoft ASP.NET 4.0 or later with AJAX Extensions (AJAX Extensions are installed as part of ASP.NET 4.0) Additional Requirements Microsoft SQL Server 2008 (Standard or Enterprise versions only), available to Crestron Fusion over the network Crestron Toolbox TM or Toolbox SE version 2.28.062 or higher, available at www.crestron.com/software, is required to support symbol auto-discovery and direct device assets Appropriate virtual directories must be set up for the RSS feeds used for publishing Capture data One of these web browsers must be installed on workstations where the web client is used: Microsoft Internet Explorer 8.0 or later Firefox 10.0 or later Safari 2.0.3 or later Domain Service Account Requirements By default, Crestron Fusion is installed with local system accounts. However, it is recommended that Crestron Fusion s application services be run from a Domain Service Account. If Crestron Fusion is to be installed with a Domain Service Account, the following procedure must be performed in addition to the prerequisites described in Operating System Component Requirements on page 2. 1. Determine the Domain Service Account to be used. 2. Configure the Crestron Fusion services to run using this account. 3. Add the account to SQL Server with db_owner and public permissions mapped to the Crestron Fusion catalog. 4. Register the account from the command line by using the following commands: a. cd C:\WINDOWS\Microsoft.NET\Framework\v2.0.50727 b. aspnet_regiis -ga DomainName\AccountName 5. Using IIS, configure the identity of the Crestron Fusion Application Pool to use the Domain Service Account. Windows Active Directory Integration (Windows Authentication) Requirements For installations using Windows Authentication, the following Active Directory domain groups and domain user accounts should be set up in addition to the prerequisites described in Operating System Component Requirements on page 2: There are three Active Directory Groups, DOMAIN\RoomViewAdmins, DOMAIN\RoomViewManagers, and DOMAIN\RoomViewUsers. Add Admins domain user accounts to the RoomViewAdmins group, Users domain user accounts to the RoomViewUsers group, and Managers domain user accounts to the RoomViewManagers group. Enterprise Management Platform Crestron Fusion Version 9.3 NOTE: It may be possible to use existing groups already containing user accounts. NOTE: When entered into Crestron Fusion, group names used for Windows Authentication are case sensitive. E-mail Alert Requirements For installations using e-mail alerts, the SMTP Mail Server must be available in addition to the prerequisites described in Operating System Component Requirements on page 2. Microsoft Exchange Requirements For Microsoft Exchange environments, the following must be available in addition to the prerequisites described in Operating System Component Requirements on page 2. Microsoft Exchange Server 2003, Exchange 2007 with Exchange Web Services, or Exchange 2010 Access to Exchange mailboxes using domain credentials Lotus Notes Domino Requirements For installations integrating Lotus Notes Domino (versions 7.0, 8.0, or 8.5) as the scheduling calendar type, the following must be present in addition to the prerequisites for Operating System Component Requirements on page 2. User information must be entered in the Domino Settings tab in the Schedule Service settings of the Crestron Fusion Configuration Web Client. The Lotus Notes Client must be installed on the Crestron Fusion server. Rights The account installing Crestron Fusion must have the following rights: Local Administrator s Rights on any server where Crestron Fusion components are installed. SQL Login with container creation rights and Database Owner Rights SMTP Send Rights If Lotus Notes is being used for scheduling, a Domino User Account with read access to the Domino Directory and Read/Write access to the Resource Reservations databases NOTE: By default, the Lotus Notes Domino Resource Reservations database is named Resource.nsf and the Domino Directory is named names.nsf; however, in some installations these names may be changed and they may be composed of multiple databases spanning multiple Domino servers and/or Domino domains. Therefore, the Crestron Fusion user that has access to Domino should have access to all necessary resource reservations databases and the main Domino Directory Server. 4 Enterprise Management Platform: Crestron Fusion Version 9.3 Installation Guide DOC. 7462B

Crestron Fusion Version 9.3 Enterprise Management Platform Server Side Installation Procedure Crestron Fusion installation is performed using a setup wizard. NOTE: A demo program for Crestron Fusion is copied to the server at the time of installation. Contact a local administrator for more information. NOTE: After completing the installation procedure, changes to Crestron Fusion components can be made in Configuration Manager. Refer to Appendix A: Configuration Manager Setup and Configuring Crestron Fusion on page 23. 1. Download the Crestron Fusion installer from the Crestron website to the desktop. The file is named following the convention: Fusion_9_3_(build number).exe and is a zipped folder. Crestron Fusion Installer Icon On A Desktop 2. Right-click the folder and select Extract All. The Extract Compressed (Zipped) Folders window opens, prompting for a destination for the Crestron Fusion installer. Save the files on the desktop. Crestron Fusion Version 9.3 Enterprise Management Platform 4. Click Extract. A window opens showing the progress of the extraction and the file is copied to the desktop. Extract Progress Window 5. When the file is successfully copied to the desktop, Windows Explorer opens showing the Crestron Fusion installer in the right-hand pane. A new folder is also added to the desktop. Enterprise Management Platform Crestron Fusion Version 9.3 Run As Administrator Drop-Down List 7. A confirmation window opens, stating that the Crestron Fusion installation is about to begin. Click Yes to start the process. Install Confirmation Window 8. Extraction notices are displayed as the installer prepares by unpacking the necessary files. Crestron Fusion Version 9.3 Enterprise Management Platform Welcome To The Crestron Fusion Installation Wizard Window 9. Click Next. The Crestron End User License Agreement (EULA) window opens. Crestron End User License Agreement (EULA) Window 10. Read the end user license agreement and then click the I accept the terms of the license agreement radio button. Enterprise Management Platform Crestron Fusion Version 9.3 Fusion RV Licensing Window The Fusion RV Licensing window displays the licensing status for Fusion RV. An unlicensed version is listed as Inactive but has five TCP connections. Once properly licensed, the number of connections is unlimited. NOTE: Fusion RV is purchased and licensed separately. NOTE: Refer to Appendix B: Licensing Crestron Fusion on page 33 for licensing instructions. 12. Click Next. Crestron Fusion Version 9.3 Enterprise Management Platform Fusion EM Licensing Window The Fusion EM Licensing window displays the licensing status for Fusion EM. An unlicensed version is listed as Inactive but has five TCP connections. Once properly licensed, the number of connections is unlimited. NOTE: Fusion EM is purchased and licensed separately. NOTE: Refer to Appendix B: Licensing Crestron Fusion on page 33 for licensing instructions. 13. Click Next. The Crestron Fusion Features Selection window opens. The Crestron Fusion installer includes separate options for the Crestron Fusion server and the Capture HD media server. This allows the Crestron Fusion server and Capture server to be installed independently or together. NOTE: Refer to Appendix C: Capture-HD Software Installation and Testing on page 38. Select only the Room and Signal Management check box if the intent is to install the full Crestron Fusion server without the ability to process video encoding jobs. Select only the Media Service check box if the intent is to install the Capture media server as a server dedicated to processing video encoding jobs without the Crestron Fusion room and energy management features. Select both options if the intent is to install the server as a full Crestron Fusion server that can also process video encoding jobs. Enterprise Management Platform Crestron Fusion Version 9.3 Crestron Fusion Features Selection Window 14. Click Next. The Crestron Fusion Authentication window opens. The Crestron Fusion Authentication window displays the authentication method options for client connections to Crestron Fusion. Click the Forms or Windows radio button. Crestron Fusion Version 9.3 Enterprise Management Platform The Windows authentication uses the current user s Windows OS credentials. If Windows authentication is selected, the default Administrator Group Name is the Windows default administrator domain group BUILTIN\Administrators. This domain group can be changed as required. If Windows authentication is selected, the Crestron Fusion server must be part of a domain. Group names used for Windows authentication are case sensitive when entered into Crestron Fusion. 15. To change the authentication method, click the Forms or Windows radio button. If selecting Windows authentication, ensure that the entry in the Administrator Group Name field is appropriate. 16. Click Next. The Database Credentials window opens. Database Credentials Window 17. The Database Credentials window is divided into three sections: Main Database Login Credentials, Log Database Login Credentials, and Report Database Login Credentials. This allows each database to be created in a separate SQL Server environment, providing greater scalability and performance. The following settings also apply to the Log Database Login Credentials section and the Report Database Login Credentials section. The Main Database Login Credentials section requires the hostname of the SQL server and the name of the database be created in this section of the window by the installer. Enterprise Management Platform Crestron Fusion Version 9.3 NOTE: An IP Address cannot be used. The hostname or a fully qualified Domain Name of the SQL Server must be provided. The Database Name field requires a name for the database that the Crestron Fusion installer creates. If this is a new installation, the default database name is CrestronFusion. If this is an upgrade installation, enter the name of the existing Crestron Fusion database. NOTE: If an existing Crestron Fusion database is being upgraded, make sure to perform a database backup prior to upgrading. 18. Select the Windows Authentication radio button to use Windows domain credentials to authenticate to the SQL server. Select the SQL Authentication radio button to specify a username and password to authenticate to the SQL server. 19. Click Test Connection to verify successful authentication to SQL Server. If the verification is successful, a window opens stating that the database exists and shows the current schema version. Click OK to dismiss. If the existing database is not the current schema version, a prompt is displayed later in the install process to confirm the upgrade of the database to the current schema version. Database Exists And Is At Current Schema Version Window 20. If the connection test is successful and a database does not exist, a window opens stating this. Click OK to dismiss. A prompt is displayed later in the install process to confirm creation of the new database. Database Does Not Exist On Server Window 21. If the connection test fails due to invalid credentials, a window opens stating that an instance of SQL Server could not be found. Click OK to dismiss. Crestron Fusion Version 9.3 Enterprise Management Platform SQL Server Could Not Be Found Window NOTE: The SQL Server Disks check boxes are used to specify alternate disk locations for database files. This is an advanced option and is covered in detail in Appendix D: SQL Server Disk Selection on page 43. NOTE: The naming convention for the Log database is MainDBName_LOG. This is enforced by the Crestron Fusion installation and cannot be changed. The naming convention for the Report database is MainDBName_REPORT. This is enforced by the Crestron Fusion installation and cannot be changed. 22. Click the Use Log Database and Use Report Database check boxes to create separate Log and Report databases. These databases are optional. Selecting neither stores the Log and Report data in the main database. Selecting the Report database requires SQL Replication. NOTE: Refer to Appendix E: SQL Server Replication (Publication and Subscription) on page 46 for prerequisites and additional information on SQL Server Replication. 23. If the Log and Report databases are to be created on the same SQL Server as the Main Crestron Fusion Database, click Next. A window opens notifying the user of the free space on the SQL Server along with the space required for the Crestron Fusion Transaction Log. Click OK to dismiss. The Web Service, Web Client, and Service Credentials window opens. SQL Server Available Disk Space Window If the Log or Report database (or both) is to be created on a different SQL Server, remain on the Database Credentials window. Many of the fields on the Configuration Manager are filled automatically during the installation process, but the following procedures are provided in the event that a step-by-step manual configuration becomes necessary. NOTE: When the Crestron Fusion configuration is complete, click Save on the Save Crestron Fusion Configuration window before closing the Configuration Manager. This domain group can be changed to anything the installation requires. If Windows authentication is selected, the Crestron Fusion server must be part of a domain. Group names used for Windows authentication are case sensitive when entered into Crestron Fusion. Database Credentials Window Make any desired changes according to local needs or system requirements and then click Next to continue to the Database Credentials window. The Database Credentials window of the Configuration Manager is pre-populated with the information entered during the installation process. This window is provided in Configuration Manager to allow changes after installation if necessary. A new database can be created or the installation can be pointed to a different pre-existing database. The Database Credentials window is divided into three sections: Main Database Login Credentials, Log Database Login Credentials, and Report Database Login Credentials. This allows each database to be created in a separate SQL Server environment, providing greater scalability and performance. Database Credentials Window 1. This is an advanced option and is covered in detail in Appendix D: SQL Server Disk Selection on page 43. NOTE: The Force DB Update check box is generally used during internal development and testing of Crestron Fusion to force a database update between builds and when stored procedures or the database schema are changed and those changes need to be applied to the database. NOTE: The Re-establish Replication check box is only enabled when the SQL Server Disks check boxes are selected for all three databases (such as in a three database installation). Selecting this check box stops and then re-establishes replication on the SQL Server. NOTE: The naming convention for the Log database is MainDBName_LOG and the naming convention for the Report database is MainDBName_REPORT. These naming conventions are enforced by the Crestron Fusion installation and cannot be changed. 7. Click the Use Log Database and Use Report Database check boxes to create separate Log and Report databases. These databases are optional. Selecting neither stores the Log and Report data in the main database. Selecting the Report database requires SQL Replication. For a small installation, separate disk drives should not be necessary. Enterprise Management Platform Crestron Fusion Version 9.3 Appendix E: SQL Server Replication (Publication and Subscription) Replication is the process of sharing information between databases (or any other type of server) to ensure that the content is consistent between systems. Replication is normally used to increase the number of database servers available to clients, thereby reducing the load on each. Records written to the Main database are moved to the Reporting database through replication. Records written to the Log database are moved to the Reporting database through stored procedures. Generating reports from a reporting database ensures that the primary database is not impacted by potentially large report queries. If all three databases (crestronroomview, crestronroomview_log, and crestronroomview_report) are on a single SQL server, which is the simplest case, then the first four bullet points below are the most important to review. If all three databases are being used, with the Use Local Database and Use Report Database check boxes on the Database Credentials window selected, replication is set up and Crestron Fusion Reporting works. If only the main database, crestronroomview, is being used and the Use Local Database and Use Report Database check boxes are not selected, replication is not set up and Crestron Fusion Reporting does not work. Failure to comply with the information below results in a Crestron Fusion installation where Reporting does not work. The SQL Server account that Crestron Fusion is being installed under must be sysadmin on the SQL Server. The SQL Server Service account must have adequate permissions to perform the following steps: Create REPLDATA directory if it does not already exist. Grant full access of the REPLDATA directory to the SQL Server Service Login account. Start the SQL Server Agent if it is not already started. Installing Crestron Fusion requires sysadmin privileges on the SQL Server. The service account that runs the SQL Server service must have full control of the REPLDATA directory. If any of the three databases reside on a physically different SQL Server or even a different SQL Server instance on the same server, REPLDATA must be a shared directory named REPLDATA. If any of the three databases reside on a physically different SQL Server and the SQL Servers are in different Windows Domains, a Domain trust must exist so that the scheduled jobs have adequate permission to run. The SQL Agent service must be running and set to automatic. Typically the REPLDATA directory is created in the path of SQL Server s data as shown on the following page. The following explains the procedure for choosing and setting up those alternate servers. 1. To change the SQL Server for the Log database, click the Different DB Server check box in the Log Database Login Credentials section. This enables all of the fields in the Log Database Login Credentials section. 2. Enter the hostname of the SQL Server where the Log database is to be created into the Database Server field. 3. Use the Windows Authentication and SQL Authentication radio buttons, to set an authentication scheme appropriate to the installation. If Windows Authentication is selected, the Database Login ID and Database Password fields are disabled and Crestron Fusion is synchronized with the user s Windows username and password. If SQL Authentication is selected, the Database Login ID and Database Password fields require the appropriate entries. 4. Click Test Connection to verify successful authentication to the SQL Server. If the verification is successful, a window opens stating that the database exists and shows its current schema version. Click OK to dismiss. If the database is not the current schema version, a prompt is displayed later in the install process to confirm upgrade of the database to the current schema version. 5. If the connection test is successful and a database does not exist, a window opens stating this. Click OK to dismiss. A prompt is displayed later in the install process to confirm creation of the new database. 6. If the connection test fails due to invalid credentials, a window opens stating that an instance of SQL Server could not be found. Click OK to dismiss. Verify and correct the data for Database Server and Authentication Credentials and retest. 7. Click the SQL Server Disks check box to add the Select SQL Log Disks window to the installation process. This is covered in detail in Appendix D: SQL Server Disk Selection on page 43. 8. To change the SQL Server environment for the Report database, click the Different DB Server check box in the Report Database Login Credentials section. This enables all of the fields in the Report Database Login Credentials section. 9. Enter the hostname of the SQL server where the Log database is to be created into the Database Server field. 10. ("Crestron"). PREAMBLE A. You ( End-User ) agree to the License Terms and Conditions, listed below, by downloading, installing, or using this software or any portion thereof, or using the Crestron Server on which this software is pre-installed. B. By downloading, installing, or using this software or any portion thereof, or using the Crestron Server on which this software is pre-installed, You represent that You are an authorized End-User of a Device obtained in the normal course of business from a Manufacturer, or a Manufacturer s authorized representative or dealer, who is licensed by Crestron. C. LICENSE TERMS AND CONDITIONS 1. DEFINITIONS As used in this AGREEMENT, Capitalized terms not defined above shall have the following definitions: 1.1 Add-On Software means any Crestron Software or Software components that function or execute with one or more Third- Party Programs. 1.2 Crestron means Crestron Electronics, Inc., located at: 15 Volvo Drive, Rockleigh, New Jersey 07647. 1.3 Crestron Network Communication protocols mean certain communication protocols developed by Crestron to provide compatibility with the Software products. 1.4 "Crestron Server" means the hardware on which the Software is pre-installed. 1.5 Develop (or any conjugation thereof) means author, conceive, create, discover, design, engineer, prepare, reduce to practice, or otherwise develop. 1.6 Device means computer network compatible devices produced by a manufacturer from time to time and that are licensed by Crestron, under a separate agreement, to use Crestron Network Communication protocols. 1.7 Distribute (or any conjugation thereof) means sale, license, distribute, provide online access or otherwise make available (or such conjugation as the context may require). 1.8 Effective Date means the date that the End-User has accepted this AGREEMENT, such as by checking the I Agree checkbox. 1.9 End-User, You (or the possessive thereof) means the individual or single business entity that has entered into this AGREEMENT with Crestron. 1.10 Manufacturer means the person or entity that manufactures the Device that is licensed by Crestron under a separate agreement. 1.11 Party (or the plural thereof) means the parties to this AGREEMENT, specifically Crestron and/or an End-User who agrees to use the Software to operate a licensed Device in accordance with this AGREEMENT. 50 Enterprise Management Platform: Crestron Fusion Version 9.3 Installation Guide DOC. 7462B

Crestron Fusion Version 9.3 Enterprise Management Platform 1.12 Software means management software such as Crestron Fusion, Crestron RoomView Express Software, Crestron RoomView Server Edition Software, Crestron RoomView Add-On Software, or firmware provided by Crestron under this AGREEMENT and includes, as applicable, associated media, printed materials, and online or electronic documentation. 1.13 Third-Party Software or Third-Party Program means any software that is written, developed, or produced by a company other than Crestron. 2. LICENSE AND OWNERSHIP 2.1 Ownership. The Software is licensed and not sold. Crestron retains ownership of the Software and all copies of the Software and reserves all rights not expressly granted in writing, unless applicable law gives You more rights despite this limitation. You may use the Software only as expressly permitted in this AGREEMENT. 2.2 License Grant. Subject to the terms of this AGREEMENT, and provided that the Software is used only for the purpose of operating licensed Devices and that You shall not use the Software for any other purpose, Crestron hereby grants You, and You hereby accept, a non-exclusive, non-sublicensable, non-transferable, limited license to use the Software: (a) in machine readable object code as provided by Creston on a central processing unit ("CPU") owned or leased or otherwise controlled exclusively by You; and (b) only as authorized in this AGREEMENT and in accordance with any related explanatory files and written materials provided by Crestron, directly or indirectly (via distributors) in the download file package containing the Software (or on the CD-ROM or other file transfer means). 2.3 Backup Copy. You may make one backup copy of the Software provided by Crestron under this AGREEMENT. You may use the one Backup Copy only to reinstall the Software. 2.4 Sublicense. You may not sublicense or otherwise transfer or assign any interest in or to the Software to any third parties. 2.5 Copyright. (a) The Software is protected by copyright laws and international treaty provisions. Therefore, You must treat the Software like any other copyrighted material, subject to the provisions of this AGREEMENT. (b) All title and copyrights in and to the Software (including, without limitation, any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the Software), the accompanying media and printed materials, and any copies of the Software are owned by Crestron or its suppliers. 2.6 Trademarks. Crestron, the Crestron logo, Crestron Fusion, Fusion Roomview, and Crestron RoomView are registered trademarks of Crestron Electronics, Inc. in the United States and/or other countries. You shall not remove or conceal any trademark or proprietary notice of Crestron from the Software including any back-up copy. 2.7 Submissions. Should You decide to transmit to Crestron's website, by any means or by any media, any materials or other information (including, without limitation, ideas, concepts or techniques for new or improved services and products), whether in the form of information, feedback, data, questions, comments, suggestions or the like; (a) You agree such submissions are unrestricted and shall be deemed non-confidential; and (b) You automatically grant Crestron and its assigns a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license, with the right to sublicense, to use, copy, transmit, distribute, create derivative works of, display and perform the same. 2.8 Reservations. All rights not expressly granted in this AGREEMENT are reserved by Crestron. No additional rights whatsoever (including, without limitation, any implied licenses) are granted by implication, estoppel, or otherwise. 3. LIMITATIONS AND OBLIGATIONS 3.1 Authorized Parties. (a) If You are a business or organization, You agree that upon request from Crestron or its authorized agent, You will within thirty (30) days of the request fully document and certify that use of any and all Software at the time of the request is in conformity with Your valid license(s) from Crestron. 3.2 Delivery of Crestron Software. As soon as practicable, after You have accepted this AGREEMENT, Crestron will deliver to You, in the form of an Internet file download, CD-ROM, or through other appropriate means: (a) a copy of the Software; and (b) related explanatory files and written materials. 3.3 Restrictions. You or any third party may not: (a) sell, lease, lend, rent, or distribute (including through the Internet) the Software; (b) use the Software for any purpose other than for operating licensed Devices; (c) attempt to discover any underlying ideas or algorithms used by Crestron to Develop the Software through reverse engineering, de-compilation, or disassembly of the Software; or (d) remove, alter, or obscure any product identification, copyright, trademark, or other intellectual property notices embedded within the Software or included in any related explanatory files and written materials provided by Crestron. 3.4 Support Services. Crestron may, but is not required to, provide You with limited commercially reasonable Support Services to support Your use of the Software. (a) Crestron shall only provide the Development Support Services when available and competent personnel of Crestron are available to provide such support. In any event, Crestron undertakes to reply to Your e-mails and telephone calls within a reasonable time. (b) Crestron s Support Services may only be availed of for problems and issues arising from the Software and/or from the use thereof. 3.5 Automatic Software Updates. The Software may communicate with Crestron servers from time to time to check for available updates to the Software, such as bug fixes, patches, enhanced functions, missing plug-ins and new versions (collectively, "Updates"). By installing the Software, You agree to automatically request and receive Updates. All such updates to the Software are subject to the terms of this AGREEMENT. 4. PRIVACY POLICY 4.1 Software Registration. Download and/or operation of Software requires You to register by providing certain information and to accept this AGREEMENT. 4.2 End-User Data Base. Crestron will maintain a database of all registered End-Users including contact information. 4.3 Crestron Privacy Policy. As a condition of downloading and using the Software, You agree to the terms of the Crestron Privacy Policy at http://www.crestron.com/privacy_statement.asp, which may be updated from time to time and without notice. 5. WARRANTY DISCLAIMER AND LIMITATION OF LIABILITY 5.1 Warranty Disclaimer. In no event will Crestron be liable to You for any loss of use, interruption of business, or any direct, indirect, special, incidental, or consequential damages of any kind (including lost profits) regardless of the form of action whether in contract, tort (including negligence), strict product liability or otherwise, even if Crestron has been advised of the possibility of such damages. 5.3 Interpretation of Warranty Disclaimer and Liability Limitation. If the disclaimer of warranty and limitation of liability provided herein cannot be given local legal effect according to their terms, a reviewing court shall apply local law that most closely approximates an absolute waiver of all civil liability in connection with the Software. 6. GENERAL PROVISIONS 6.1 Governing Law and Dispute Resolution. This AGREEMENT shall be governed and construed in accordance with the laws of New York, United States, without regard to conflicts of laws principles. In any action to enforce this AGREEMENT, the prevailing Party shall be entitled to reasonable costs and reasonable attorneys fees from the non-prevailing Party. In the event of any dispute arising between the Parties under this AGREEMENT, the Parties agree that such dispute shall be resolved informally, if possible, and failing an informal resolution, then through binding arbitration. (a) For the avoidance of doubt, nothing in this Section (Governing Law and Dispute Resolution) shall prevent either Party from seeking injunctive relief from a court of appropriate jurisdiction. (b) All disputes arising out of or in connection with this AGREEMENT shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules. (c) The arbitration proceeding shall be conducted in New York City, New York. (d) The language to be used in the arbitration proceeding shall be English. (e) The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this AGREEMENT. 6.2 Injunctive Relief. Each Party acknowledges that its breach of this AGREEMENT may cause irreparable damage to the other Party and hereby agrees that the other Party shall be entitled to seek injunctive relief under this AGREEMENT by a court of competent jurisdiction. 6.3 Compliance with Laws. The Software technology is of U.S. origin for purposes of U.S. export control laws. (a) You agree to comply with all applicable international and national laws and regulations in using the Software provided under this AGREEMENT, including the U.S. Export Administration Regulations, as well as end-user, end use, and destination restrictions issued by U.S. and other governments; (b) You are certifying that You are not a national of Cuba, Iran, Iraq, Libya, North Korea, Sudan, or Syria or any country to which the United States embargoes goods; and (c) You are certifying that You are not otherwise prohibited from receiving the Software. 6.4 Headings. The insertion of headings and the division of this AGREEMENT into sections and articles are for convenience only and shall not affect the interpretation hereof. 6.5 Entire Agreement. (a) This AGREEMENT constitutes the entire agreement between You and Crestron with respect to the subject matter hereof and supersedes all prior and contemporaneous representations, understandings, and/or agreements, whether oral or written, relating to the subject matter hereof. (b) All prior or contemporaneous representations, understandings or agreements, whether oral or written, that are not expressly set forth within this AGREEMENT are hereby deemed waived, superseded, and abandoned. The invalidity or unenforceability of any provision of this AGREEMENT shall not affect any other provision of this AGREEMENT, and the remaining provisions shall continue with the same effect as if such unenforceable or invalid provision had not been included in this AGREEMENT. 6.7 No Third Party Beneficiaries. This AGREEMENT is for the benefit of, and will be enforceable by, the Parties only. This AGREEMENT is not intended to confer any right or benefit on any third party.
