service level agreements (SLAs) and allows you to access information related to billing, usage and SLA service credits if you have chosen to our consolidated billing. 24 x 7 Proactive Support and Incident Management - We proactively manage and identify any issues with our enterprise-class monitoring solution for your cloud resources that shows exact linkages between services, servers, virtual machines, and storage to provide complete operational awareness of service health. If a service disruption is detected, you and the Smartronix operations team will be immediately notified and we will take responsibility for mitigation and repair. Antivirus management - We provide complete monitoring/fixing and 100% protection against known threats. Patch & Vulnerability Management - We ensure your environment is safe from any exploits or outside attacks by monitoring and applying all necessary patches and updates. We follow a strict patch management lifecycle and our operations specialists assess and test patches before application. Monitoring, Incident Notification, and Incident Response - We use continuous monitoring to address the security impacts resulting from changes to the virtual servers/instances, software, or operational environment. Our model driven approach to monitoring increases visibility and provides a real-time view of component and service dependencies to ensure improved performance and minimal downtime. We provide proactive incident notification and response for all outages and service issues. For all severity 1 and 2 incidents, you will be notified within 30 minutes and a root-cause analysis and a postmortem will be conducted. Severity-level-driven response times, ranging from 30 minutes for severity 1 (complete outage or severe business impact) to 48 hours for severity 4 (no business impact or change request). We will provide a monthly report detailing major incidents logged and resolved and postmortem of any Severity 1 issues. It is designed to make web-scale computing easier for developers. Amazon EC2 s simple web service interface allows you to obtain and configure capacity with minimal friction. It provides you with complete control of your computing resources and lets you run on Amazon s proven computing environment. Amazon EC2 reduces the time required to obtain and boot new server instances to minutes, allowing you to quickly scale capacity, both up and down, as your computing requirements change. Amazon EC2 changes the economics of computing by allowing you to pay only for capacity that you actually use. Amazon EC2 provides developers the tools to build failure resilient applications and isolate themselves from common failure scenarios. Benefits Elastic Web-Scale Computing Amazon EC2 enables you to increase or decrease capacity within minutes, not hours or days. You can commission one, hundreds or even thousands of server instances simultaneously. Of course, because this is all controlled with web service APIs, your application can automatically scale itself up and down depending on its needs. Completely Controlled You have complete control of your instances. You have root access to each one, and you can interact with them as you would any machine. You can stop your instance while retaining the data on your boot partition and then subsequently restart the same instance using web service APIs. s can be rebooted remotely using web service APIs. AWS Storage EBS Storage Amazon EBS General Purpose (SSD) Volumes General Purpose (SSD) volumes are the default EBS volume type for Amazon EC2 instances. General Purpose (SSD) volumes are backed by Solid-State Drives (SSDs) and are suitable for a broad range of workloads, including small to medium-sized databases, development and test environments, and boot volumes. General Purpose (SSD) volumes provide the ability to burst to 3,000 IOPS per volume, independent of volume size, to meet the performance needs of most applications and also deliver a consistent baseline of 3 IOPS/GB. I/O is included in the price of General Purpose (SSD) volumes, so you pay only for each GB of storage you provision. If you need a greater number of IOPS than General Purpose (SSD) volumes provide or you have a workload where performance consistency is critical, we recommend that you use Amazon EBS Provisioned IOPS (SSD) volumes. Amazon EBS Provisioned IOPS (SSD) Volumes Provisioned IOPS (SSD) volumes offer storage with consistent and low-latency performance, and are designed for applications with I/O-intensive workloads such as databases. Backed by Solid-State Drives (SSDs), Provisioned IOPS volumes support up to 30 IOPS per GB, which enables you to provision 4,000 IOPS on a volume as small as 134 GB. You can also stripe multiple volumes together to achieve up to 48,000 IOPS when attached to larger EC2 instances. To maximize the benefit of Provisioned IOPS (SSD) volumes, we recommend using EBS-optimized EC2 instances. When attached to EBS-optimized instances, Provisioned IOPS (SSD) volumes can achieve singledigit millisecond latencies and are designed to deliver the provisioned performance 99.9% of the time. S3 Storage Amazon S3 is storage for the Internet. It is designed to make web-scale computing easier for developers. Amazon S3 provides a simple web-services interface that can be used to store and retrieve any amount of data, at any time, from anywhere on the web. It gives any developer access to the same highly scalable, reliable, secure, fast, inexpensive infrastructure that Amazon uses to run its own global network of web sites. The service aims to maximize benefits of scale and to pass those benefits on to developers. Content Storage and Distribution Amazon S3 provides a highly durable and available store for a variety of content, ranging from web applications to media files. It allows you to offload your entire storage infrastructure onto the cloud, where you can take advantage of Amazon S3 s scalability and pay-as-you-go pricing to handle your growing storage needs. You can distribute your content directly from Amazon S3 or use Amazon S3 as an origin store for pushing content to your Amazon Front edge locations. For sharing content that is either easily reproduced or where you re storing an original copy elsewhere, Amazon S3 s Reduced Redundancy Storage (RRS) feature provides a compelling solution. For example, if you re storing media content in-house but you need to provide accessibility to your customers, channel partners, or employees, RRS is a low-cost solution for storing and sharing this content002e Storage for Data Analysis Whether you re storing pharmaceutical data for analysis, financial data for computation and pricing, or photo images for resizing, Amazon S3 is an ideal location to store your original content. You can then send this content to Amazon EC2 for computation, resizing, or other large scale analytics without incurring any data transfer charges for moving the data between the services. You can then choose to store the resulting, reproducible content using Amazon S3 s Reduced Redundancy Storage feature (or, of course, you can store it using Amazon S3 s standard storage as well). Backup, Archiving and Disaster Recovery Amazon S3 offers a highly durable, scalable, and secure solution for backing up and archiving your critical data. You can use Amazon S3 s Versioning capability to provide even further protection for your stored data. If you have data sets of significant size, you can use AWS Import/Export to move large amounts of data into and out of AWS with physical storage devices. This is ideal for moving large quantities of data for periodic backups, or quickly retrieving data for disaster recovery scenarios. You can also define rules to archive sets of Amazon S3 objects to Amazon Glacier s extremely low-cost storage service based on object lifetimes. As your data ages, these rules enable you to ensure that it s automatically stored on the storage option that is most cost-effective for your needs. Static Website Hosting You can host your entire static website on Amazon S3 for an inexpensive, highly available hosting solution that scales automatically to meet traffic demands. Self-hosting a highly available website that can handle peak traffic loads can be challenging and costly. This Customer Agreement (the Agreement ) contains the terms and conditions that govern your access to and use of the Service Offerings and is an agreement between Smartronix, Inc. ( Smartronix, we, us, or our ) and Customer Name. ( XXX you or your ). 1. Smartronix Services This agreement provides Customer with the mechanism to acquire AWS Infrastructure as a Service at a discount off list prices via Smartronix consolidated billing program: To receive this discount, Customer will accept Smartronix invitation to join Smartronix AWS Account and consolidated billing program under the following terms: o o o o Customer will maintain their current AWS account (s) Customer will maintain full control of their AWS account (s) and Smartronix will not have the ability to add or remove resources within the Customer account Customer will be invoiced directly from Smartronix, rather than AWS, and shall pay Smartronix for all costs and usage incurred in their AWS account with Net 30 terms. Nothing herein shall obligate Customer to purchase any minimum or maximum number of services from Smartronix To receive these benefits and maintain AWS services through Smartronix Customer is required to maintain AWS Business Support In exchange for Customer joining Smartronix consolidated billing program, Smartronix will provide the following service: o Responsibility for payments to AWS for Customer s AWS usage o Invoicing in the similar format (e.g. containing the same level of details) that Customer would receive a bill from AWS, with details on AWS usage by region and by AWS services for example Note: There are no discounts provided on products and services sold through Amazon AWS for which Smartronix does not receive a discount. Use of the Service Offerings. You may access and use the Service Offerings in accordance with this Agreement. You will adhere to all laws, rules, and regulations applicable to your use of the AWS Service Offerings, including the AWS Service Terms, the Acceptable Use Policy and the other Policies as provided in the following links: http://aws.amazon.com/aup; http://aws.amazon.com/serviceterms; and http://aws.amazon.com/terms/ 3. Security and Data Privacy. 3.1 Security. Without limiting the AWS terms or your obligations, we will implement reasonable and appropriate measures designed to help you secure your content against accidental or unlawful loss, access or disclosure. Our security measures will be at least as stringent as those used to protect our own data. 3.2 Data Confidentiality. Each party will take reasonable precautions to safeguard the other s confidential information. Such precautions will be at least as great as those each party takes to protect its own confidential information. Each party will disclose the other s confidential information to its employees, consultants or contractors only on a need-to-know basis, provided that such employees, consultants or contractors are subject to confidentiality obligations no less restrictive than those contained herein. When confidential information is no longer necessary to perform any obligation under this Agreement, each of us will return it to the other or destroy it at the other s request. 4. 4.1. Service Fees. Subject to the discount structure set forth above, Smartronix will calculate and bill fees and charges monthly based upon actual usage. We may bill you more frequently for fees accrued if we reasonably suspect that your account is fraudulent or at risk of non-payment. You will pay us the applicable fees and charges for use of the Service Offerings using one of the payment methods we support, within 30 calendar days of the date of our invoice. All amounts payable under this Agreement will be made without setoff or counterclaim, and without any deduction or withholding. Fees and charges for any new Service or new feature of a Service will be effective when AWS posts updated fees and charges on the AWS Site unless we expressly state otherwise in a notice. Customer shall be entitled to the same discount structure set forth above off the AWS List Price for any such new Service or feature, provided Smartronix receives a discount on that service, measured from the date on which Customer begins using such new service or feature. We may charge you interest at the rate of 1.5% per month (or the highest rate permitted by law, if less) on all late payments and elect to suspend your discount. 4.2 Taxes. All fees and charges payable by you are exclusive of applicable taxes and duties, including VAT and applicable sales tax. You will provide us any information we reasonably request to determine whether we are obligated to collect VAT from you, including your VAT identification number. If you are legally entitled to an exemption from any sales, use, or similar transaction tax, you are responsible for providing us with legally-sufficient tax exemption certificates for each taxing jurisdiction. We will apply the tax exemption certificates to charges under your account occurring after the date we receive the tax exemption certificates. If any deduction or withholding is required by law, you will notify us and will pay us any additional amounts necessary to ensure that the net amount that we receive, after any deduction and withholding, equals the amount we would have received if no deduction or withholding had been required. Additionally, you will provide us with documentation showing that the withheld and deducted amounts have been paid to the relevant taxing authority. 5. Term; Termination 5.1. Term. The term of this Agreement will commence on the date that Customer joins Smartronix consolidated billing and will remain in effect for one year, with annual renewal options, unless terminated by you or us. 5.2 Termination. (a) Termination for Convenience (Reserved s were not purchased) - Either Party may terminate for convenience with thirty (30) days advance written notice to the other Party. (b) Termination for Convenience (Reserved s were purchased). You may terminate this Agreement for any reason by (i) providing us 30 days advance notice, (ii) paying in full the remaining balance for the 1 Year AWS Reserved usage costs and outstanding invoices. (c) Termination for Cause. (i) By Either Party. Either party may terminate this Agreement for cause upon 30 days advance notice to the other party if there is any material default or breach of this Agreement by the other party, unless the defaulting party has cured the material default or breach within the 30 day notice period. (ii) By Us. We may also terminate this Agreement immediately upon notice to you (A) for cause, if any act or omission by you or any End User results in a suspension described in the AWS links, (B) if our relationship with a third party partner who provides software or other technology we use to provide the Service Offerings expires, terminates or requires us to change the way we provide the software or other technology as part of the Services, (C) if we believe providing the Services could create a substantial economic or technical burden or material security risk for us, (D) in order to comply with the law or requests of governmental entities, or (E) if we determine use of the Service Offerings by you or any End Users or our provision of any of the Services to you or any End Users has become impractical or unfeasible for any legal or regulatory reason. 5.3. Effect of Termination. (a) Generally. Upon any termination of this Agreement: (i) all your rights under this Agreement immediately terminate; (ii) you remain responsible for all fees and charges you have incurred through the date of termination, including fees and charges for in-process tasks completed after the date of termination; (iii) you will immediately return or, if instructed by us, destroy all Smartronix and AWS Content in your possession; 68 P a g e

(iv) you will retain ownership of your AWS Account and the AWS Infrastructure that has been built on AWS by both you and us; and (v) Your payment obligations for use of the Services shall be directly to AWS at such prices as AWS shall direct. Any additional post-termination assistance from us is subject to mutual agreement by you and us. 6. Limitations of Liability. In no event shall we be liable for any indirect, incidental, special or consequential damages whatsoever (including but not limited to lost profits or interruption of business) arising out of or related to the services provided under this Agreement, even if advised of the possibility of such damages. In no event shall our liability in connection with this Agreement exceed the amounts paid to us hereunder. 7. Miscellaneous. 7.1 Publicity. You will not misrepresent or embellish the relationship between Smartronix or AWS and you (including by expressing or implying that we support, sponsor, endorse, or contribute to you or your business endeavors), or express or imply any relationship or affiliation between us and you or any other person or entity except as expressly permitted by this Agreement. 7.2 Force Majeure. We and our affiliates will not be liable for any delay or failure to perform any obligation under this Agreement where the delay or failure results from any cause beyond our reasonable control, including acts of God, labor disputes or other industrial disturbances, systemic electrical, telecommunications, or other utility failures, earthquake, storms or other elements of nature, blockages, embargoes, riots, acts or orders of government, acts of terrorism, or war. 7.3 Independent Contractors; Non-Exclusive Rights. We and you are independent contractors, and neither party, nor any of their respective affiliates, is an agent of the other for any purpose or has the authority to bind the other. Both parties reserve the right (a) to develop or have developed for it products, services, concepts, systems, or techniques that are similar to or compete with the products, services, concepts, systems, or techniques developed or contemplated by the other party and (b) to assist third party developers or systems integrators who may offer products or services which compete with the other party s products or services. Smartronix shall have no access to, or rights in, any of the content stored by you on AWS servers. Its relationship is solely limited to billing for the AWS services used by Customer and, except in the case of disputes arising out of or relating to such billing, Smartronix shall not be considered a necessary or proper party with respect to any disputes or other contractual arrangements between Customer and AWS. 7.4 Import and Export Compliance. In connection with this Agreement, each party will comply with all applicable import, re-import, export, and re-export control laws and regulations, including the Export Administration Regulations, the International Traffic in Arms Regulations, and country-specific economic sanctions programs implemented by the Office of Foreign Assets Control. For clarity, you are solely responsible for compliance related to the manner in which you choose to use the Service Offerings, including your transfer and processing of Your Content, the provision of Your Content to End Users. 7.5 Notice. All other notices or reports permitted or required under this Agreement shall be in writing and shall be by personal delivery, nationally recognized overnight courier service, facsimile transmission, email, or by certified or registered mail (return receipt requested. Notices shall be sent to the addresses set forth on the cover page or such other address as either Party may specify in writing. 7.6 Assignment. You will not assign this Agreement, or delegate or sublicense any of your rights under this Agreement, without our prior written consent, which not be unreasonable withheld. Any assignment or transfer will be void. Subject to the foregoing, this Agreement will be binding upon, and inure to the benefit of the parties and their respective successors and assigns. 7.7 No Waivers. The failure to enforce any provision of this Agreement will not constitute a present or future waiver of such provision nor limit our right to enforce such provision at a later time. All waivers by us must be in writing to be effective. 7.8 Severability. If any portion of this Agreement is held to be invalid or unenforceable, the remaining portions of this Agreement will remain in full force and effect. Any invalid or unenforceable portions will be interpreted to 69 P a g e

effect and intent of the original portion. If such construction is not possible, the invalid or unenforceable portion will be severed from this Agreement but the rest of the Agreement will remain in full force and effect. 7.9 erning Law; Venue. The laws of the State of Maryland, without reference to conflict of law rules, govern this Agreement and any dispute of any sort that might arise between you and us. The United Nations Convention for the International Sale of Goods does not apply to this Agreement. 7.10 Entire Agreement. This Agreement includes the Policies and is the entire agreement between you and us regarding the subject matter of this Agreement. This Agreement supersedes all prior or contemporaneous representations, understandings, agreements, or communications between you and us, whether written or verbal, regarding the subject matter of this Agreement. By signing below, each Party agrees to the terms of this Agreement. Once signed, any reproduction of this Agreement made by reliable means (for example, photocopy, PDF/electronic copy, or facsimile) is considered an original. SMARTRONIX, INC.
