terms and conditions PRICE BECOME A DEALER PAYMENT TERMS SPIFF PROGRAM STRATEGIC INCENTIVE PROGRAMS SAMPLE PROGRAM All prices are Manufacturers Suggested List price and are subject to change without notice. The prices in effect at the time of shipment will prevail. Please confirm pricing at the time of order. Possession of this price list or any other literature shall not imply the company s willingness to sell to the holder and shall not be construed as a direct offer of sale. Contact us at customerservice@ergocontractfurniture.com and we will email you a new dealer package. With approved credit, terms may be set at 1% 10 days, net 30 days from the date of invoice. Past due accounts are subject to interest at the maximum rate permitted by law. Credit cards may not be used for sample orders. In all cases please contact the accounting department for our credit card policy. Any past due accounts will have orders held until balance is satisfied. Call ERGO to learn about our Spiff Program. Call us at 1-800-336-1100 for information on how to become an Ergo Strategic Dealer and take advantage of our Incentive Programs which include Showroom Sample Packages, Dealer Volume Rebates and Sample Credit Program. Our Basic Sample Program is open to all dealers. One sample at the sample discount per order. Additional samples of the same sku will be at regular zone discounts. Credit cards may not be used for Sample purchases. Spiffs are not awarded for samples. Call ERGO for more information on the program. PROMOTIONS DESIGN HOW TO ORDER From time to time, promotions on products may occur. In some cases, pricing may be set where discounting and spiffs will not apply. Ergo Contract Furniture reserves the right to start and end promotions at its discretion. Projects quoted after the promotions are over will be at regular zone pricing. The right is reserved by Ergo Contract Furniture to make changes in design and material, as well as discontinuance of parts and units when such action is deemed to be an improvement in design, function and/or construction. Orders must be placed either via email to customerservice@ergocontractfurniture.com or faxed to (408-824-1626). Orders must have the following information: (a) model number (b) quantity (c) color or finish (d) desired ship date or date desired to receive product (e) desired will call date. (f) Name of individual who will receive the SPIFF (g) one time W-9 form for first time SPIFF recipients. An email order confirmation will be sent. Please check your order for accuracy upon receipt. terms and conditions Orders will be acknowledged with an Ergo Contract Furniture acknowledgement Form. Deposits may be required to hold product. A 50% deposit must accompany all special orders. All orders must be submitted no later than 1 pm to be processed that day. In the event that an error is made in the production of your product, the acknowledgement will be used as the resolution document. Standard lead-time is generally 8-10 weeks. PACKAGING CHANGE ORDERS CANCELLATIONS RETURNS All chairs ship one (1) (2) or (4) per carton. All of our chairs ship KD (Knocked down) with minor assembly required. The only exception is the F400SF folding chair. Orders already in production and/or any state of production, may not be changed. All changes on customer orders previously acknowledged must be requested in writing and are subject to approval. Requests for changes are not accepted until acknowledged by Ergo Contract Furniture. In the event revision is accepted, change fees may apply. Ergo Contract Furniture may not cancel orders already in production without written authorization. If we are able to accept a cancellation charges for committed labor and materials may apply. Please contact Customer Service: customerservice@ergocontractfurniture.com or 1-800-336-1100. Merchandise may be returned within 30 days of receipt for credit only, less a 40% restocking fee. Returns of new items for credit must be in original packaging and as new condition strapped and re-palletized and shrink-wrapped. Assembled product will not be considered for return. A return authorization number (RA#) must be issued prior to returning any merchandise. The RA # must be written clearly on the shipping label and packing slip. All returns must be accompanied by a copy of the original invoice and shipped prepaid. ASSEMBLY AND DELIVERY Please contact Customer Service: customerservice@ergocontractfurniture.com or 1-800-336-1100. Items returned freight collect or without proper authorization will be refused. Contact Customer Service to obtain information regarding assembly and delivery options at our warehouse locations. Extra charges will apply. FREIGHT DAMAGE Ergo Contract Furniture is not responsible for damage occurring in transit or during storage. Before accepting a shipment from the carrier, customers should carefully review the packing list and inspect the quantity and condition of the items. For any external damage, customers should document all damage on the bill of lading and request a carrier inspection of the product. Concealed damage must be reported to the Carrier and Ergo Contract Furniture in writing, within 48 hours of delivery. In the event of damage, customers shall accept the order and contact Customer Service for issue resolution. We will take all reasonable measures to assist customers in resolving claims for loss or damage. www.ergocontractfurniture.com 5

freight FREIGHT TERMS ROUTING Products are shipped FOB shipping point with freight costs and handling fees prepaid. See Freight Zone Map for more information. Freight is prepaid to Port of Seattle for shipments to Alaska and to the Port of Oakland for shipments to Hawaii. All standard LTL shipments are dock-to-dock and are scheduled to depart Monday through Friday between 8 am and 4 pm based on Ergo Contract Furniture published transit times. Standard courier shipments are made via common carrier, unless otherwise specified by the customer. Special routing requests made by the customer may result in additional charges to the purchaser. If you require a call ahead appointment, indicate as such on the Purchase Order. Orders that require a call ahead will extend the delivery date by a minimum of one day. All residential deliveries require a call ahead appointment and a lift gate. Ergo Contract Furniture reserves the right to charge the customer for non-standard customer delivery requirements. These charges may include special requests for lift gates, appointment delivery, residential delivery, inside delivery, etc. For information concerning these charges, please contact Customer Service at 800-336-1100. Ergo Contract Furniture shipments are never guaranteed. Ergo Contract Furniture makes every effort to ship in time for the requested delivery date, however, actual delivery dates may vary due to fluctuations in carrier transit times and events that may alter the requested delivery date such as Port delays, trucker strikes and any other unforeseen events. In some cases, expedited delivery can be arranged ahead of time. We can work to arrange a specific deliver timetable with the carrier. Extra charges for expedited delivery will apply and the carrier does not guarantee expedited deliveries. WILL CALL FREIGHT ZONE MAP Will call orders will have a confirmed pick up date. Date for pick will be scheduled at the time of submitting a Purchase Order. Copy of the Sales Order must be presented to will call product. Customers will have one week from notification to pick up their order. warranty SEATING WARRANTY Ergo Contract Furniture warrants that all products will be free from defects in its material and workmanship, as described below, for as long as the original purchaser owns the product. Warranty shall be effective for the applicable time period starting from date of purchase as shown on your original receipt or purchase order. Warranty is to the original end user. Lifetime Warranty period is the entire time owned by the original purchaser for all chair components including pneumatic cylinder, control mechanism, base, glides, casters, frame and other structural elements. Fabric upholstery, Eco leather, seat foam, mesh, bonded leather and leather is warranted to the original purchaser against wear and deterioration during normal usage for three (3) years. This warranty is your sole remedy for product defects and excludes defects due to or arising in connection with product abuse or misuse, user modification of, or attachments to the product, including application of your own upholstery materials and products or parts not used, maintained or installed in accordance with the company s installation, maintenance and/or applicable guidelines. This warranty does not apply to product or parts of product that have been subjected misuse or abuse, accident, alteration, or which have been damaged in transit. Textiles are sold subject to minor variations of color. Since textiles vary in weave, thickness and memory, some creasing and/or gathering may occur during the upholstery application process. All furniture is sold subject to minor irregularities of color, surface, grain, and texture. Our Eco and bonded leather upholstery materials are of the finest quality. Because leather is a natural product, variations of texture are common and should be expected. Leather will contain natural markings such as neck wrinkles, scratches, backbone marks and stretch marks. These distinctions give leather its unique characteristics and are considered to be a part of the natural beauty of leather. The company will repair or replace, at its option, without charge to the original purchaser only, defective structural products or mechanical parts from normal use. This warranty is for single shift, standard commercial usage, defined as a standard 8 hour work day, five days a week, when the product is used by a person weighing less than 250 lbs. Normal use consists of a standard 8 hour shift in a 5 day work week. We will repair or, at our option, replace the defective part, free of charge to the purchaser, provided that the purchaser returns said parts freight prepaid to our offices. Ergo Contract Furniture will inspect the part in question, repair or replace at its option any defective part at no charge to the original purchaser and return defective item thereafter. ALL SEATING IS LIFETIME WITH THE EXCEPTION OF THE FOLLOWING SKUS Boost-The Boost chair (MMX191M) is warranted for (3) three years from date of purchase by the original purchaser for all chair components including pneumatic cylinder, control mechanism, base, glides, casters, frame and other structural elements. Fabric Upholstery, seat foam, mesh and any other non COM fabric is warranted to the original purchaser against wear through and deterioration during normal usage for three (3) years. Layover Task-The Layover task chair (MM6233M) is warranted for (10) ten years from date of purchase by the original purchaser for all chair components including pneumatic cylinder, control mechanism, base, glides, casters, frame, and other structural elements. Fabric Upholstery, seat foam, mesh and any other non COM fabric is warranted to the original purchaser against wear through and deterioration during normal usage for three (3) years. warranty LABOR AND SERVICE ARE NOT COVERED UNDER THIS WARRANTY There are no other warranties, expressed or implied, other than those specifically described, including without limitation any implied warranty or merchantability or of fitness for a particular purpose. We will not be responsible for incidental or consequential damages. You agree to indemnify and hold harmless Ergo Contract Furniture, its officers, directors, shareholders, employees, and agents from any actions, claims, demands, damages, liabilities, costs, and strict liability in tort or contract, or any other legal theory arising out of the misuse or abuse, alteration, or damage in transit of the Product. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. This warranty gives you specific legal rights and you may have other rights, which vary from state to state. ERGOFLEX WARRANTY THE BENEFITS OF CHOOSING FURNITURE COMPLIANT WITH LEED INDOOR AIR QUALITY STANDARDS HOSPITALITY WARRANTY STEPS TO FILE A WARRANTY CLAIM Ergo Contract Furniture warrants that the Ergoflex table base will be free from defects in its material and workmanship, as described below, for a period of 10 years on mechanical parts and 5 years on electrical components. The company will repair or replace, at its option, without charge to the original purchaser only, defective products or parts from normal use. Labor and service are not covered under this warranty. Ergo Contract Furniture is committed to offering products that you can live with for a lifetime. Part of that commitment is addressing potential health concerns that can stem from working and living in a closed indoor environment. To address these concerns Ergo Contract Furniture voluntarily participates in the MAS Certified Green indoor air Quality Certification Program for low-voc Emitting Materials. This program ensures that any potentially hazardous chemicals released from our products have been thoroughly tested and meet rigorous standards established by independent toxicologists to address recognized long term health concerns. Please call for information. Should your product fail during normal use within the applicable warranty period: 1. Complete the Warranty Request Form which can be found on our website under the Dealer Resource Tab or you may request the form from customer service. 2. Attach a copy of the original Sales Confirmation or Purchase Order with the Warranty Request Form AND image(s) of the defective part(s). Images are always required for proof when you submit your Warranty Form. 3. Email the completed form, images and sales confirmation, invoice or original PO to: customerservice@ergocontractfurniture.com. In some cases, the defective part will need to be returned. Freight or other shipping charges prepaid to Ergo Contract Furniture for inspection, repair and/or replacement. Labor and service is not covered under warranty. certifications CAL 117-2013 ANSI/BIFMA PROP 65 This is the minimum-testing requirement for fabrics sold in California. All Ergo Contract Furniture seating upholstered chairs meet CAL117 standards. The Business and Institutional Furniture Manufacturer s Association (BIFMA) has developed tests which have been approved by the American National Standards Institute (ANSI) for determining the strength and durability of seating in its everyday use. This statement does not serve as a warranty or guarantee, however Ergo Contract Furniture products found within this price list generally meet or exceed applicable BIFMA and ANSI standards. In the State of California there exists what is referred to as Proposition 65. Proposition 65 is the California Safe Drinking Water and Toxic Enforcement Act of 1986. Any company that operated in California, sells products in California, or manufactures products that may be sold in or brought into California is subject to Proposition 65. Since our products are sold in California, Proposition 65 applies to us. Proposition 65 requires warning labels on any product that may contain any of 600-plus elements that the California Air Resources Board considers a carcinogens or a reproductive toxicant. These elements include lead, PVC, Diesel Fuel and a multitude of other everyday elements. Many of the elements listed under Prop 65 are common everyday items. Many of the elements are not used in the chair industry but would require very expense testing to prove they are not in our chairs. The elements keep changing and are periodically updated. Elements are added to the list while others are removed. There are penalties for not complying with Prop 65. Failure to label products may result in a civil penalty of $2500 per day. If a company s product is sold or is purchased outside the State of California and brought into California, the company may still be found in violation. Various trade organizations have issues notices to manufacturers warning of Proposition 65 and its implications. Included in the warnings were suggested methods of protection from Proposition 65 litigation and violations. Protection requires warning consumers about the possibility of dangers from products. A warning label as the one we use is considered to comply with warning consumers. The State of California requires that the foam in our chair pass California 117 fire code. In order to comply some of the additives used in some foam products are on that are on the list. It is excessively difficult to keep track of the changing list of elements. The label does not necessarily indicate our products will cause you to contract cancer or reproductive harm if used as designed. In fact many of our chairs at the point do not have any known problems. Since the list of elements can be applied retroactively we have no choice but to put a label on all our items.
